VOLUME IV-PRICE PROPOSAL

VOLUME IV: PRICE PROPOSAL

As described in Section M, the Government intends to perform different analyses of the various types of CLINs associated with this effort. As such, it requires different types and levels of supporting cost data for each type of CLIN. The following subsections detail the information required to support the various types of CLINs described in Section B.

This volume shall consist of the following and is not subject to any page limitations:

CHAPTER 1.0 – SUMMARY COST DATA

Section 1.1 – Cost/Price Summaries Cost/Price summaries shall be provided by offeror fiscal year and contain the cost/price summary information requested below for all items.

FFP HARDWARE CLINS 0001, 0002, 0003, 1002, 1003, 2002, 2003, 3002, 3003, 4002 and 4003 The Government will not perform either a cost realism analysis or price realism analysis on these CLINs. The Government will only evaluate the FFP CLINS for reasonableness and material balance. Since the Government expects to receive adequate price competition, the only information required to support the Offeror’s proposed FFP Step-Ladder CLIN pricing is the Completed SF-33. sFor stepladder priced items Offerors shall propose the Unit and Total Price in the “Stepladder Pricing Table” located in Section B, Note B and shall follow the stepladder pricing guidelines therein. Offerors should note that price breaks given for each stepladder within a CLIN are to apply to all units within that and lower stepladders.

The following example illustrates the correct procedure for calculating the overall price for specific quantities ordered:

Step-ladder Quantity
Price
1 – 5
$1,500
6 – 10
$1,200
11 – 12
$1,000

Examples of quantities ordered and pricing:

Quantity Ordered
*
Price
=
Total Price
3
*
$1,500
=
$4,500
5
*
$1,500
=
$7,500
6
*
$1,200
=
$7,200
10
*
$1,200
=
$12,000
11
*
$1,000
=
$11,000

As shown above in this example, due to the large quantity price breaks, it costs more to buy a quantity of five than it does a quantity of six. This is for example purposes only to illustrate how the stepladder quantity price breaks work.

Cost Plus Fixed Fee CLINs

The Government intends to perform a cost realism analysis of the Offerors’proposed costs for all CPFF Engineering Services CLINs. The burden of cost credibility rests with the Offeror to demonstrate the realism of its proposed costs; as such, the Offeror must submit substantiating data for every major cost element it proposes (e.g. direct labor, direct material, fringe rate, overhead rate, G&A rate, subcontract costs, etc.) While the Government reserves the right to rely on other relevant, reliable data in its cost realism analysis of each offeror’s proposed costs, each offeror must submit with its proposal sufficient substantitating data to demonstrate the realism of each of its proposed major cost elements. If an offeror fails to provide any of the specifically requested substantiating cost information with its proposal, the Government may find the Offeror ineligible for award. Moreover, providing insufficient information to substantiate realism of an offeror’s proposed costs may result in a cost adjustment and/or a determination that the offeror is ineligible for award.

The Offeror's proposal should represent its best efforts to respond to the solicitation. Any inconsistency between promised performance – i.e., the technical or management proposals and the identified personnel resources – and the proposed cost/price must be explained in the proposal. For example, if the intended use of new and innovative techniques is the basis for an abnormally low estimate, the nature of these techniques and their impact on cost shall be explained; or, if a corporate policy decision has been made to absorb a portion of the estimated cost/price, that must be stated in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the Offeror’s understanding of the nature and scope of the work required and may adversely impact the evaluation of the Offeror’s proposal. The burden of proof as to cost/price credibility rests with the Offeror. Unrealistically low prices may indicate an inability to understand requirements and a high risk approach to contract performance. Moreover, inconsistencies between cost and pricing information submitted by the prime and cost and pricing information submitted by a subcontractor may indicate a performance or cost risk based on unclear subcontracting agreements or a lack of communication amongst an offeror’s team. Accordingly, the Government may consider such inconsistencies in evaluating an offeror’s ability to perform and the cost risk of its approach.

Each offeror’s Volume IV shall have two main parts: 1. Cost/Price Summary Format Workbook (Table L-3) and 2. Cost Analysis Narrative and Substantiating Cost Information. Contents of the Cost Analysis Narrative and Substantiating Cost Information are outlined in Chapter 2 below.

The Offeror shall provide the Table L-3 Staffing plan provided in Volume II with the rate columns of table L-3 completed for this Price Proposal. In the event there is a discrepancy between the information provided in Volume II and Volume IV, Volume IV will take precedence. Table L-3 is provided below.

CHAPTER 2.0 – SUPPORTING COST DATA FOR CPFF CLINS 0005, 0007, 1005, 1007, 2005, 2007, 3005, 3007, 4005, and 4007 Offerors shall provide an Excel workbook that calculates its total proposed costs of all of the cost reimbursement CLINs using the format provided in L-3 table with this solicitation. This spreadsheet must have all formulas visible and editable; it may not contain macros; and the spreadsheet’s calculations must comply with the offeror’s proposed accounting and billing practices. If the proposed accounting and billing practices differ in any way from the Offeror’s current or approved practices, the Offeror must clearly note these changes in the Cost Narrative.

Electronic copies of these tables shall be submitted in MS Excel format and shall have the ability to be edited (hours, material cost, rates, etc.) to immediately observe the impact to the Total Cost of the cost-reimbursement CLINs via links and formulas native to MS Excel (that is: not an embedded picture within MS Excel). If the L-3 table links to or draws information from another spreadsheet, this other spreadsheet must also be provided with all formulas visible and editable.

This workbook must detail the breakdown of costs by contract year. Furthermore, Offeror shall also include a summary tab in this workbook that incorporates all contract years on the same tab of proposed costs/prices by contract year. The cost/price data shall include all major cost elements (e.g., direct labor by category/rate/hours, direct material cost, Fringe rate and amounts, Overhead rate and amounts, G&A rate and amounts, Cost of Money factor/rate and amount, escalation, Subcontracts, etc.) and fees.

The costs proposed in L-3 table shall be directly traceable to the staffing provided in the proposed CWBS. Any inconsistency between the named individuals, labor categories, labor mix, time phasing, or individual hours provided in the proposed CWBS and the L-3 table may result in a cost adjustment, an assessment of performance risk, and/or a determination that the offeror is ineligible for award.

Furthermore, the historical direct rates included for each named individual or labor category in L-3 table must match the corresponding information provided in Substantiating Cost Information section. Where the offeror must provide company-wide highest, lowest, and average direct labor rate actuals to substantiate a direct labor cost, it shall include the average direct labor rate actual for the historical rate column. If any proposed direct labor rate is lower than the historical rate provided, the Offeror shall explain the reason for the reduction in the Cost Narrative and Substantiating Cost Information.

Offers shall include the proposed level(s) of effort (man-hours) for each CLIN. Offerors shall clearly identify any proposed hours which are uncompensated effort and complete Section H fill-in within the level of effort clause. L-3 table shall calculate and account for the impact of direct labor rate escalation in the Option Periods.

"Significant" is defined for these purposes in terms in terms of major components (e.g. circuit card assemblies, encryption connections) or major processes (e.g. testing). All significant subcontractors performing under cost-reimbursement subcontracts must also provide a complete L-3 table, as described in the preceding paragraphs.

All subcontractors that do not meet the definition of significant subcontractor above are minor subcontractors. Minor subcontractor top-line hours and proposed costs must appear in the Prime offeror’s L-3 subcontractor calculations. The hours listed there must correspond to the hours included in the Prime offeror’s CWBS. Minor subcontractors, with a cumulative subcontract value less than $300,000 (inclusive of options), are not required to submit a separate L-3 table for their proposed costs or provide substantiating cost realism data.

Non-cost-reimbursement subcontractors may provide fixed rates or fixed prices for each contract year on the Offeror’s L-3 table, without breaking out direct labor and burdens, but the Offeror shall explicitly note that these costs or rates are fixed by describing the subcontract type (e.g., Firm Fixed Price or Time & Material).

NOTE: From a U.S. Government proposal evaluation perspective, discrepancies between the prime contractor’s proposed subcontractor costs or hours and the subcontractors’ supporting data or analysis may indicate poor communication between that prime and its subcontractors. Any material mismatch between the prime contractor’s proposal and the information submitted by subcontractors, particularly as it relates to the subcontractor’s allocation of costs or hours, may demonstrate an increased risk of unsuccessful contract performance, which may factor into the Government’s evaluation of that offeror’s Technical Approach. As such, prime contractors should ensure that, within reasonable rounding error, the supporting data and analysis their subcontractors provide the Government corresponds to the subcontractor costs or hours they propose.

Cost Analysis Narrative and Substantiating Cost Information General Instructions for the Cost Analysis Narrative and Substantiating Cost Information Part In the Cost Analysis Narrative and Substantiating Cost Information part, offerors should use the data they provide as well as reasonable analytic tools, to demonstrate the cost realism of their proposed cost estimates in Attachment J-1. Failure to demonstrate all of these may indicate the offeror’s proposal lacks cost credibility, cost realism, and/or an understanding of the solicitation requirements, which may result in a cost adjustment, an assessment of performance risk, and/or a determination that the offeror is ineligible for award.

NOTE: From a U.S. Government proposal evaluation perspective, fixed-price type subcontracts pose less risk of incorrectly capturing the ultimate cost of the services to the Government than cost-reimbursable contracts. Therefore, the offeror’s Cost Analysis Narrative need only perform price analysis on the fixed- price cost elements of its proposal to demonstrate that the fixed price elements are fair and reasonable. FAR 15.404-1(b) provides a general discussion of price analysis.

The Cost Analysis Narrative and Substantiating Cost Information part should identify any assumptions that the offeror must make in this analysis to reach its conclusions and justify why these assumptions are reasonable. Unreasonable assumptions or baseless assertions may indicate that the offeror’s proposal lacks cost credibility, cost realism, and/or an understanding of the solicitation requirements. These may result in a cost adjustment, performance risk, and/or a determination that the offeror is ineligible for award.

In its cost realism analysis, the agency desires to use the most relevant, reliable data available to capture the probable cost for each major cost element. Since each offeror bears the burden of demonstrating the realism of its proposed costs, each offeror must substantiate its proposed costs, as presented in its Table L-3, with relevant, reliable data that demonstrates the realism of each proposed major cost element. Offerors shall provide this cost realism substantiating data in the Cost Analysis Narrative and Substantiating Cost Information Part. In the subparts below, the Government identifies required cost realism substantiating data. Nevertheless, these minimums are not a complete list of the data that may be required to demonstrate the realism of the Offeror’s proposed costs. Therefore, the agency encourages offerors to provide additional substantiating information as necessary to demonstrate the cost realism of their proposed costs. Nevertheless, as with any substantiating data, merely providing the substantiating data, without sufficient analysis and explanation of the relevance and reliability of that data in the Cost Analysis Narrative and Substantiating Cost Information part, may not demonstrate cost realism. The Cost Analysis Narrative and Substantiating Cost Information part must clearly explain the reliability of all of the substantiating cost information provided and its relevance to the offeror’s cost analysis. Providing substantiating information, without demonstrating its relevance, may indicate that the offeror lacks an understanding of the costs involved in performing the solicitation’s requirements, which would indicate performance risks.

In developing its cost estimates, Offerors and their subcontractors shall use the following assumptions, which require no additional justification by the Offeror:The CPFF LOE tasks require the applicable total level of effort listed in section B for that CLIN. Furthermore, if the Offeror relies on the Government’s notional labor mix, provided in Section L, Factor 1, Personnel, (b) Engineering Services Staffing Plan and in Section L, Factor 1, Personnel, (c) SDP Repair Staffing Plan, per the applicable CLIN description , the Offeror need not further substantiate the realism of their proposed labor mix. Offerors that deviate from the Government provided labor mix must justify that the deviation is realistic and appropriate to the required work. Offerors shall also assume that all work will be performed at Contractor site or subcontracted sites. Offerors shall propose rates for the CPFF LOE CLINs according to this breakout.

Subcontractor Costs:

The Offeror shall furnish the following information for each subcontractor: Indicate potential subcontractor competition, rationale for the selection of probable source(s), and the reasons why the subcontract proposal is considered reasonable and realistic. The Offeror shall furnish a copy of any cost or price analyses performed on subcontractor costs.

In addition to the aforementioned cost information, Offeror’s shall provide the following for all significant subcontracts:

a. Name, address, and place of performance for each major subcontractor

b. Description of the supplies and services to be subcontracted

c. The percentage and dollar amount of subcontracts that will be awarded competitively

"Significant" subcontract is defined for these purposes in terms in terms of major components (e.g. circuit card assemblies, encryption connections) or major processes (e.g.

Significant Subcontractors under cost-reimbursement subcontracts may submit proposals that contain proprietary information directly to the Government at or before the time this RFP closes to the address IDENTIFIED IN Section L-1.5. Offerors proposing as prime are responsible for timely sub-contractor submissions.

Subcontractors need not submit a separate Section B pricing; instead, the subcontractor costs should match the corresponding subcontract costs in the Offeror’s L-3 tableFor cost/price summary data provided separately, Subcontractors shall place the appropriate restrictive legend on their data and identify the Company name, address, point of contact and solicitation number.

Proposed Direct and Indirect Rate Substantiation and Analysis The agency has already determined that certain types of information are necessary for its review, so each offeror must provide substantially all of the following information to be eligible for award:

(a) Current Named Individual Direct Rate Supporting Documentation: Offerors or major cost reimbursement subcontractors shall provide a screen-capture (or equivalent) from the employer's payroll system for each current employee, Key and non-Key, named in the Offeror's CWBS. The Offeror shall fully explain all pertinent data on a sample screen capture. The Government must be able to derive the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed) from the screen capture information provided by the Offeror.

(b) Contingent Hire Direct Labor Rate Supporting Documentation: Offerors or major cost reimbursement subcontractors shall clearly indicate named contingent hires, Key and non-Key, on its CWBS and Attachment J-1. The company intending to hire a contingent hire shall provide a signed contingent hiring agreement that explicitly lists the agreed upon annual salary for the named individual and the amount of uncompensated work required.

(c) Unnamed Direct Labor Rate Supporting Documentation: For any proposed labor category direct labor rates that are unsupported by either a screen-capture or a contingent hiring agreement, such as “To Be Determined” positions, the Offeror or its major cost reimbursement subcontractors shall provide the current, company-wide highest, lowest, and average direct labor rate actuals for the applicable labor category.

(d) Uncompensated Overtime Supporting Documentation: If any offeror or major cost reimbursement subcontractor proposes uncompensated overtime or direct labor rates decremented for the impact of uncompensated overtime, it must substantiate the cost reductions associated with its proposed use of uncompensated effort. This must include a copy of the company’s policy on uncompensated time and some form of historical data to demonstrate that the proposed level of uncompensated overtime is realistic. Such historical data might include the company’s historical average annual level of uncompensated overtime from preceding years and/or historical data demonstrating that the company’s proposed decremented rates are equal to or greater than historical actual incurred decremented direct labor rates for corresponding labor categories from preceding years, after adjusting them for annual escalation. In accordance with FAR 52.237-10 Identification of Uncompensated Overtime, if uncompensated time is included in the offer or any of the supporting cost data, the uncompensated time should be clearly identified with an explanation as to why it is needed.

(e) Other direct labor rate information: Detail any union agreements that control labor rates. Highlight wage rate forecasting assumptions, including escalation, and provide the basis for such escalation.
