The contractor must complete all work within 180 working days from issuance of the Notice to Proceed, with liquidated damages of $3,000 per calendar day for delays beyond the contract period. The specifications cover 87 distinct bid line items encompassing site clearing, earthwork, piping installation (HDPE, stainless steel, PVC, black iron, and galvanized carbon steel in various diameters), concrete work including foundations and slabs, structural steel fabrication, metal fabrications, electrical installation, equipment installation, system startup and testing, and demolition of the existing flare station. Work is limited to 8:00 a.m. to 4:30 p.m. PST, Monday through Friday, with no operations beyond these periods unless approved in writing by SWMD.

The contractor shall bid all 87 items separately and provide a total sum for work, with payment on a unit price, lump sum, lineal foot, cubic yard, or square foot basis only after completion of each work portion. All materials must be new and of specified quality, subject to inspection and approval by SWMD. The contractor is responsible for furnishing all labor, materials, equipment, and incidentals required for project completion and must provide a site-specific Health and Safety Plan meeting all Federal and State regulations, HAZWOPER training certifications for all employees, and an OSHA 200 log for the past three years. The contractor shall maintain continuous site access for engineering inspections and must coordinate with a yet-to-be-determined Construction Manager and Construction Quality Assurance firm. Additional requirements include establishment of permanent benchmarks, as-built drawings, completion of all submittals within specified timeframes, and assumption of all responsibility for damage to existing site features caused by contractor operations.

B. The Contractor shall coordinate and interface his work with all other work on or adjacent to the site. No other compensation is due for coordination.

Page C01010-5

C. The Contractor shall give the work the necessary constant attention to facilitate the progress thereof and shall cooperate with the disposal site Owner, and other Contractors.

1.08 WORK HOURS

A. Unless otherwise approved by the Owner, construction activities and material deliveries to the disposal site shall be limited to the hours of 8:00 a.m. Pacific Standard Time (PST) to 4:30 p.m. PST Monday through Friday.

1.09 WORKING DAYS

A. The Contractor may perform work Monday through Friday. No working operations will be conducted beyond those periods unless otherwise approved in writing by the SWMD.

1.10 JOB PROGRESS SCHEDULE

A. Within 10 days of the issuance of a Notice to Proceed by SWMD, the Contractor shall submit a proposed Project Schedule to SWMD. The schedule shall indicate the critical path of operations and milestones established by SWMD. The schedule shall also reflect anticipated submittal dates for shop drawings, and procurement, fabrication, and delivery schedules of major components or materials required for the project. The Schedule shall be in Microsoft Project format, or as approved by the CM, and shall be submitted via electronic mail (email), online shared cloud storage, or on a USB disk, as well as six hard copies.

B. If the Contractor elects to submit an early completion schedule for the project, it does so at its risk and such a submission does not change the Contract completion date reflected in the Notice to Proceed. SWMD will not accept any responsibility for, nor be held liable for, any damages allegedly caused by the Contractor's failure to complete the Project within its proposed early completion schedule.

C. No changes shall be made to the critical path logic of the schedule unless such changes have been approved, in writing, by the CM. The Project Schedule shall be updated monthly. The updated schedules shall indicate any deviations from the original schedule and provide a narrative description of problem areas, current and anticipated delaying factors and their impact, and an explanation of corrective actions taken or proposed.

D. In addition to the Project Schedule, the Contractor shall submit, on a bi-weekly basis, a two-week “look-ahead” schedule. The “look-ahead” schedule will include only those activities that will be in progress, started, or completed during the next two-week period.

Page C01010-6

1.11 TIME OF COMPLETION/LIQUIDATED DAMAGES; EXTENSION OF TIME

A. The Contractor agrees to complete all work within 180 working days, commencing upon issuance of a NOTICE TO PROCEED by the SWMD. In accordance with Government Code Section 53069.85, Contractor agrees to forfeit and pay to the SWMD the sum of Three Thousand Dollars ($3,000) per day for each calendar day that completion of the project is delayed beyond the specified 180 working days. SWMD issues notice to proceed (NTP), contractor has ten (10) days to start work, working days start when contractor(s) commence or 10 days after NTP (whichever is fewer).

B. Such sums shall be deducted from any payments due to or to become due to the Contractor. If delays are caused by unforeseen events beyond the control of both the Contractor and SWMD, or by delays within the control of the SWMD, such delays will entitle the Contractor to an extension of time, but Contractor shall not be entitled to damages or additional payment due to such delays.

C. If Contractor believes that the progress of the work has been adversely affected by abnormal inclement weather, Contractor shall submit a written request for extension of time to the CM. Any shutdowns caused by the wind and/or any other inclement weather will be considered a weather day and will not count as a working day.

Contractor will not charge for shutdowns caused by inclement weather and/or weather days.

D. It is understood that requests for time extensions related to delays for inclement weather will only be considered when the days in question impact a critical path element of the project. Further, a time extension will only be granted when the Contractor is prevented from working on a critical path item during the first five (5) hours of the day with at least sixty (60) percent of the normal work force for that item.

E. Additionally, Contractor agrees to forfeit and pay to the SWMD any penalties and/or fines assessed by the various regulatory agencies having jurisdiction over the landfill for violations associated with a failure to complete the project within the specified 180 working days.

F. Such sum shall be deducted from any payments due to or to become due to Contractor. If delays are caused by unforeseen events beyond the control of both Contractor and SWMD, or by delays within the control of SWMD, such delays will entitle Contractor to an extension of time, but Contractor shall not be entitled to damages or additional payment due to such delays.
