C. Additional Services Contractor will not perform any additional services or incur additional expenses outside of this Contract, without MHA’s express written consent in the form of an amendment to this Contract.
2. CONTRACT TERM AND RENEWAL
A. The contract begins on the date of the final signature below {{Effective Date}} and remains valid for 1 year unless terminated earlier pursuant to Section 7 below (“Initial Term”).
B. MHA may extend the term of this contract via one additional 1- year extension but must exercise the option to extend by providing Contractor written notice no later than thirty (30) calendar days prior to the expiration date of the Initial/existing Term. Failure to provide that notice may result in the automatic expiration of this Contract at the end of the initial term
3. COMPENSATION AND PAYMENT
A. MHA will pay Contractor the rate structure: per unit/hourly/fixed amount as specified in Contractor’s Pricing Sheet attached as Exhibit “(v)” and incorporated into this contract by reference.
B. No work is authorized under this Contract unless MHA issues a written Work Order or Purchase Order (PO). Each Work Order/PO will:
• Specify the scope of services to be performed;
• Identify the not-to-exceed amount applicable to that specific task;
• Incorporate the applicable pre-negotiated rates or pricing; and
• Include an expected timeline or deadline for completion.
The Contractor is not entitled to compensation for any work performed outside the scope or timeline of a valid Work Order/PO. E. Change Order: Contractor must submit a written Change Order request to MHA which details (1) the reason for the change, (2) the scope of additional work, (3) the associated costs, and (4) the impact on the project schedule, if any. I. Contractor must submit these timesheets along with each invoice that includes hourly charges. MHA may withhold payment for charges not supported by proper documentation. Timesheets must be signed by the employee and reviewed or certified by a supervisor or responsible company officer.
J. If Contractor fails to provide detailed, itemized invoices, MHA may withhold payment until Contractor complies with the invoice requirements.
K. Payment is also subject to MHA’s acceptance of services performed as meeting the specifications and standards outlined in this Contract.
L. If an invoice is incorrect or disputed, MHA will notify Contractor in writing, and Contractor must correct and resubmit the invoice within 15 days.

5. SERVICE CONTRACT ACT
For all service contracts in excess of $2,500, whose principal purpose of which is to furnish services through the use of “service employees”, both Parties hereby agree to comply with the Service Contract Act, as amended (41 U.S.C. 6701, et seq.), the applicable provisions of the Fair Labor Standards Act of 1938, as amended (29 U.S.C. 201, et seq.), and related Secretary of Labor regulations and instructions (29 CFR Parts 4, 6, 8, and 1925).
6. INSPECTION OF SERVICES
MHA may regularly inspect all work done under this contract, including services provided or products delivered. Contractor must work with MHA's representative to ensure that all work meets the contract requirements. Contractor must correct, at no cost to MHA, any service or product that fails to meet the contract terms.
If Contractor cannot or will not correct the work to meet the contract requirements, MHA may:
i. Ask Contractor to immediately take necessary actions to meet the contract standards in the future; and/or
ii. If appropriate, reduce the payment to Contractor to reflect the lower value of the services or products provided. Additionally, MHA can end the contract if Contractor fails to meet the contract standards, and also recover any costs incurred due to this failure.
Contractor must implement and maintain effective self-monitoring procedures to ensure compliance with the contract. MHA representatives may check, evaluate, or review Contractor’s work performance at any time, provided that reasonable notice is given to Contractor.
7. COMPLIANCE WITH FEDERAL and STATE LAWS and HUD

8. INDEMNIFICATION
Contractor will indemnify and hold MHA harmless, including its directors, officers, Board of Commissioners, officials, employees, and agents (collectively, “Indemnitees”), from any liability arising from Contractor’s acts, omissions, or services related to this Contract. This includes liabilities related to property damage, bodily injury, death (including MHA employees), or other damages connected with Contractor’s performance under this Contract.
Contractor will cover all costs, including attorney fees and investigation expenses, to defend the Indemnitees in any claims or legal actions resulting from such incidents. Contractor may, at its own expense, choose its own legal counsel and manage any claim settlements without MHA’s prior approval, provided any settlements do not affect Contractor’s obligation to indemnify the Indemnitees as described.
The insurance requirements specified in this Contract do not limit Contractor’s obligations to indemnify the Indemnitees. Acceptance of any insurance policies or certificates by MHA does not waive any rights MHA has against Contractor under this Contract.
Contractor’s obligations to indemnify, hold harmless, and defend the Indemnitees will remain in effect even after this Contract has ended.
9. INSURANCE REQUIREMENTS
Contractor must maintain the following insurance coverage throughout the contract. For the “Insurance Requirements” Section only, “MHA” refers to the Housing Authority of the County of Marin, its directors, officers, Board of Commissioners, employees, elected or appointed officials, agents or representatives as Additional Insureds. Proof of insurance must be submitted before work begins, and failure to maintain coverage may result in contract termination.

c. After terminating services, MHA may meet with Contractor to discuss possible actions Contractor can take to fulfill the contract requirements. MHA may adjust the contract terms, including price, which, if agreed in writing, will become binding.

26. CONFIDENTIALITY
Contractor must protect MHA’s confidential information and may not use MHA’s name or logo for marketing without written approval.
27. DISPUTES AND LEGAL MATTERS
