About this file
This document comprises the Maryland Department of Transportation (MDOT) Maryland Transit Administration's (MTA) mandatory terms and conditions for purchase orders, along with a related mail-in invitation for bid (IFB) #2217 for Oil Filter Assembly Kits. The terms and conditions apply to all purchase orders exceeding $50,000, though the MTA extends these terms to all purchase orders of $50,000 and below as standard policy. The document establishes comprehensive contractual requirements governing delivery, specifications, acceptance, performance standards, and termination provisions for all contractors engaging with the Maryland Transit Administration.
The mandatory terms and conditions outline critical contractor obligations including nondiscrimination in employment and commercial activities, compliance with federal and state safety and environmental standards, drug and alcohol-free workplace requirements, and political contribution disclosure requirements for contracts exceeding $200,000 in cumulative consideration. Contractors must maintain Maryland business registration if incorporated outside the state, comply with occupational safety and health standards, provide quarterly green purchasing data regarding recycled content and sustainability certifications, and promptly pay subcontractors within ten days of receiving payment. Additional provisions address intellectual property indemnification, payment procedures requiring invoices within thirty days of MTA receipt, contractor registration requirements, and the state's right to terminate for convenience or default. The MTA reserves discretionary authority to extend performance timelines for excusable delays, test delivered materials for specification compliance, reject defective materials, and purchase replacements in the open market at the contractor's expense.

Delivery shall be made in accordance with the solicitation specifications. The State, in its sole discretion, may extend the time of performance for excusable delays due to unforeseeable causes beyond the contractor’s control. The State unilaterally may order in writing the suspension, delay, or interruption of performance hereunder. The State reserves the right to test any materials, equipment, supplies, or services delivered to determine if the specifications have been met. The materials listed in the bid or proposal shall be delivered FOB the point or points specified prior to or on the date specified in the bid proposal. Any material that is defective or fails to meet the terms of the solicitation specifications shall be rejected. Rejected materials shall be promptly replaced. 23. CONFLICTING TERMS
Any proposal for terms in addition to or different from those set forth in this purchase order or any attempt by the contractor to vary any of the terms of this offer by contractor’s acceptance shall not operate as a rejection of this offer, unless such variance is in the terms of the description, quantity, price or delivery schedule, but shall be deemed a material alteration thereof, and this offer shall be deemed acceptable by the contractor without the additional or different terms. If this purchase is an acceptance of a prior offer by the contractor, the acceptance is expressly conditioned upon contractor’s assent to any additional or different terms contained herein. Contractor understands that a material violation of this clause shall be considered a material breach of this Agreement and may result in termination of this Agreement, disqualification of Contractor from participating in State contracts, or other sanctions. This clause is not enforceable by or for the benefit of, and creates no obligation to, any third party.
B. The Contractor shall include the provision in §A in all subcontracts to the State contract.

Maryland Transit Administration Policies
1. GOVERNMENTAL RESTRICTION
In the event any governmental restrictions may be imposed which would necessitate alteration of the material, quality, workmanship, or performance of the items offered on this proposal prior to their delivery, it shall be the responsibility of the supplier to notify the Purchasing Department at once, indicating in its letter the specific regulation which required an alteration.
The State reserves the right to accept any such alteration, including any price adjustments occasioned thereby, or to cancel the contract at no expense to the State.
2. ASSIGNMENT
The purchase order and the monies which may become due hereunder are not assignable except with the prior written approval of the Procurement Officer.
3. BID AWARD-RESIDENT BUSINESS
Pursuant to Section 14-401 of the State Finance and Procurement Article of the Annotated Code of Maryland, the procuring agency shall give a percentage preference to the lowest responsive and responsible bid from a Maryland firm over that of a nonresident firm if the state in which the nonresident firm is located gives a resident business preference. The percentage of preference awarded under this section shall be the same as that awarded by the State in which the nonresident firm is located.
This provision shall not apply if it conflicts with any federal law or grant affecting this Contract.
4. PAYMENT OF STATE OBLIGATIONS
Payments to the Contractor shall be made no later than thirty (30) days after the MTA’s receipt of a proper invoice for services provided by the Contractor, acceptance by the MTA of services provided by the Contractor, and pursuant to the conditions outlined in the Contract. Each invoice for services rendered must include the Contractor’s Federal Tax Identification or Social Security Number for a Contractor. Charges for late payment of invoices other than as prescribed at Md. Code Ann., State Finance and Procurement Article, §15-104 are prohibited. Invoices shall be submitted to the Contract Monitor. Electronic funds transfer shall be used by the State to pay Contractor pursuant to this Contract and any other State payments due Contractor unless the State Comptroller’s Office grants Contractor an exemption.
A proper invoice shall include a description of the items or services provided; the date the goods were received, or the inclusive dates the services were rendered; the Contract price(s); retention, if any; the basis for the billing; the Contract or purchase order number; the Contractor's Federal Tax Identification Number or Social Security Number; the name and address of the proper invoice recipient.
In addition to any other available remedies, if, in the opinion of the Procurement Officer, the Contractor fails to perform in a satisfactory and timely manner, the Procurement Officer may refuse or limit approval of any invoice for payment, and may cause payments to the Contractor to be reduced or withheld until such time as the Contractor meets performance standards as established by the Procurement Officer.
Payment of an invoice by the Department is not evidence that services were rendered as required under this Contract.
