The following have been modified:

SECTION B

B-1.1 CONTRACT STRUCTURE

B-1.1 The Contractor shall perform all services as described in the attached Performance Work Statement for the entire ordering periods of the contract. The Government intends to award a single Indefinite Delivery/Indefinite Quantity (ID/IQ) contract with five, 1-year ordering periods as a result of this solicitation. Task Orders issued under the resulting contract will be Firm-Fixed Price (FFP) and/or Cost-Plus-Fixed-Fee (CPFF).

As an ID/IQ, some CLINs will be awarded immediately following contract award; however, services within the scope required at a later date will be orderd on an “as needed” basis. The Government intends to utilize the proposed fixed hourly burdened rates and individual labor categories for all task orders awarded under the contract. Therefore, the Offeror shall provide, in Attachment 5, ALL labor categories and fully burdened rates necessary to complete the requirements identified in the PWS for each CLIN.

The contract resulting from this solicitation will include cost reimbursable CLINs for travel and other direct costs (ODCs) (CLIN 1020). For CLIN 1020 (to include the corresponding ordering period CLINs), NTE amounts have been provided by the Government for ODCs and Travel under Section B of the solicitation. For CLINs 1014 through 1019, costs will be proposed for each Task Order and may require certified cost and pricing data.

B-1.2 Contract Line Item Numbers (CLINs) 1001 through 1011 (to include corresponding ordering period CLINs) are FFP CLINs that will be FFP through out the contract period of performance. CLINs 1012 through 1019 (to include corresponding ordering period CLINs) are FFP and/or CPFF CLINs that will be negotiated in individual task orders and separate PWS(s) will be provided. CLINs 1021, 1022, and 1023 are for sample task orders and shall be pre-priced.

B-1.3 The base contract is not funded. Funds will be obligated on task orders written against this contract. Some Task Orders issued under this contract may be incrementally funded pursuant to FAR 52.232-22 and DFARS 252.232-7007.

B-2 MINIMUM GUARANTEE AND MAXIMUM CEILING

The minimum guarantee over the life of this contract, per FAR 52.216-22, is limited to the issuance of Task Order 0001 at Contract Award. Task Order 0001 will order services associated with CLIN 1001 for the first ordering period of performance. The anticipated maximum ceiling amount for this contract is $93,000,000.00 over a five-year period of performance. Individual task orders will be awarded in accordance with Section G Ordering. The contract maximum represents an estimated total requirement over the life of the contract and the Government is not obligated to issue orders, other than the minimum guarantee.

B-3 ISSUANCE OF TASK ORDERS

All services performed under this contract shall be set forth in individual task orders. All orders will be issued in accordance with the basic contract.

B-4 PRICING OF LABOR RATES FOR TASK ORDERS

As an ID/IQ contract will be awarded as a result of this solicitation, services within the scope shall be required at a later date, whether for Firm-Fixed Price CLINs or Cost-Plus-Fixed-Fee (CPFF) CLINs, on an “as needed” basis.

The Government intends to utilize the proposed fixed hourly burdened rates and individual labor categories proposed for all task orders awarded under this ID/IQ. Therefore, Offerors shall complete (in accordance with Section L) the ID/IQ Labor Rates and Categories Worksheet in Attachment 5 “Pricing Workbook” to this RFP, for ALL labor categories and fully burdened rates (Prime and Subcontractor) necessary to complete the requirement identified in the ID/IQ PWS for each CLIN (e.g.1001, 1002, etc.). This table, with some columns removed, will be incorporated into the awarded contract. Because this contract may award CPFF task orders that may required certified cost and pricing data, Offerors shall enter their pre-negotiated Forward Pricing Rate Agreement (FPRA) for their fixed labor rates.

Labor rates shall be fixed over the life of the contract. However, the contractor may submit a proposal requesting a change to the contract’s fixed labor rates, either generally or for a given task order, at any time during the life of the contract. The Government will review these proposals and determine if the revised rates are realistic and in the best interest of the Government. If the rates are accepted, the Government will modify the contract by incorporating the new rates. The rates proposed in Attachment 5 will be utilized, with their corresponding labor category as a ceiling price rate for all task orders.

SECTION E - INSPECTION AND ACCEPTANCE

SECTION E

E-1 INSPECTION AND ACCEPTANCE CRITERIA

a. Final inspection and acceptance of all work, performance, reports, and other deliverables under this contract shall be performed at the location specified in individual task orders. Inspection and acceptance of final delivery will be accomplished by the Contracting Officer’s Representative (COR) designated in Section G of this contract. If other inspection and acceptance criterion applies, each order will designate the individual responsible.

b. The basis for acceptance shall be in compliance with the requirements set forth in the orders; and other terms and conditions of the contract. Deliverable items rejected under resulting task orders shall be corrected in accordance with applicable clauses.

c. Contract Data Requirements List (CDRL) and/or individual task orders will address the Governments requirment for inspection and acceptance or rejection.

The KO shall designate contract level CORs during the term of this contract, DFARS clause 252.201-7000 “Contracting Officer’s Representative.” The COR will provide assistance in identification and resolution of problems, conflicts in priority, subtask requirement definitions, and other operations type problems.

(3) Contractor. The Contractor shall not accept any instructions issued by any person employed by the U.S. Government or otherwise, other than the KO, or the COR acting within the limits of his or her authority.

The Contractor shall not in any way represent that he is a part of the U.S. Government or that he has the authority to contract or procure supplies for the account of the United States of America.

G-10 CONTRACTOR’S PROPOSAL

The Contractor’s Proposal, or portions thereof, may be incorporated into the contract.

G-11 CONSTRUCTIVE CHANGE ORDERS

(a) No modification, statement, or conduct of Government personnel who might visit the Contractor’s facility or in any other manner communicate with Contractor personnel during the performance of this contract shall constitute a change under the “Changes” clause of this contract.

(b) No understanding or agreement, contract modification, change order, or other matter deviating from or constituting an alteration or change of the terms of the contract shall be effective or binding upon the Government unless formalized by contractual documents executed by the Contracting Officer.

(c) The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and, not withstanding provisions contained elsewhere in the contract, this authority remains solely with the Contracting Officer. In the event that the Contractor effects any change(s) at the direction of any person other than the Contracting Officer, these change(s) will be at the Contractor’s expense. No adjustment shall be made in the contract price or other contract terms and conditions, as the Contracting Officer did not approve any consideration for the aforementioned unauthorized change. Further, should the unauthorized change be to the Government’s detriment, the Contractor may be held financially responsible for its correction.

G-12 POTENTIAL ORGANIZATIONAL CONFLICTS OF INTEREST (OCI)

Limitation of Future Contracting. The Contracting Officer has determined that this acquisition may give rise to a potential conflict of interest. Prospective Offerors should read FAR Subpart 9.5, Organizational and Consultant Conflicts of Interest. This task may involve systems engineering and technical direction for the MC2S program that will preclude Contractor involvement in future efforts. The restrictions upon future contracting are as follows:

If the Contractor, under the terms of this task order, or through the performance of tasks pursuant to this task order, is required to provide systems engineering and technical direction for a system or helps to develop specifications or statements of work to be used in a competitive acquisition, the Contractor shall be ineligible to supply the system or major components of the system as a prime Contractor and shall be precluded from being a Subcontractor or consultant to a supplier of the system or any of its major components under an ensuing Government contract.

This restriction shall remain in effect for a reasonable time, sufficient to avoid unfair competitive advantage or potential bias (this time shall in no case be less than the duration of the initial production contract).

To the extent the work under this contract requires access to proprietary, business confidential, or financial data of other companies, and as long as these data remain proprietary or confidential, the Contractor shall protect the data from unauthorized use and disclosure and agrees not to use it to compete with those other companies.

(a) “ Organizational Conflict of Interest” means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person’s objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. “Person” as used herein includes corporations, partnerships, joint ventures, and other business enterprises.

(b) The Contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth in the contract, the Contractor does not have any organizational conflict of interest(s) as defined in paragraph (a).

(c) It is recognized that the effort to be performed by the Contractor under this contract may create a potential organizational conflict of interest on the instant contract or on a future acquisition. In order to avoid potential conflict of interest, and at the same time to avoid prejudicing the best interest of the Government, the right of the Contractor to participate in future procurement of equipment and/or services that are the subject of any work under this contract shall be limited as described below in accordance with the requirements of FAR 9.5.

(d) Disclosure of Information.

The Contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any information provided to the Contractor by the Government during or as a result of performance of this contract. Such information includes, but is not limited to, information submitted to the Government on a confidential basis by other persons.Further, the prohibition against release of Government provided information extends to cover such information whether or not in its original form, e.g., where the information has been included in Contractor generated work or where it is discernible from materials incorporating or based upon such information. This prohibition shall not expire after a given period of time.

1. The Contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any information generated or derived during or as a result of performance of this contract. This prohibition shall not expire after a given period of time.

2. The prohibitions contained in subparagraphs (d)(1) and (d)(2) shall apply with equal force to any affiliate of the Contractor, any Subcontractor, consultant, or employee of the Contractor, any joint venture involving the Contractor, any entity into or with which it may merge or affiliate, or any successor or assign of the Contractor.

(e) The Contractor further agrees that during the performance of this contract and for a period of three years after completion of performance of this contract, the Contractor, any affiliate of the Contractor, any Subcontractor, consultant, or employee of the Contractor, any joint venture involving the Contractor, any entity into or with which it may subsequently merge or affiliate or any other successor or assign of the Contractor, shall not furnish to the United States Government, either as a prime Contractor or as a Subcontractor, or as a consultant to a prime Contractor or as a Subcontractor, any system, component or service which is the subject of the work to be performed under this contract.

The Contractor may, with the authorization of the cognizant contracting officer, participate in a subsequent procurement for the same system, component, or service.

This exclusion does not apply to any re-competition for those systems, components, or services on the basis of work statements growing out of the effort performed under this contract, from a source other than the Contractor, Subcontractor affiliate, or assign of either, during the course of performance of this contract or before the three year period following completion of this contract has lapsed.

(f) The Contractor agrees that if, after award, it discovers an actual or potential organizational conflict of interest, it shall make immediate and full disclosure in writing to the contracting officer. The notification shall include a description of the actual or potential organizational conflict of interest, a description of the action which the Contractor has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the contracting officer in making a determination on this matter. Notwithstanding this notification, the Government may terminate the contract for the convenience of the Government if determined to be in the best interest of the Government.

(g) Notwithstanding paragraph (f) above, if the Contractor was aware, or should have been aware, of an organizational conflict of interest prior to the award of this contract or becomes, or should become aware of an organizational conflict of interest after award of this contract and does not make an immediate and full disclosure in writing to the contracting officer, the Government may terminate this contract for default.

(h) If the contractor takes any action prohibited by this requirement or fails to take action required by this requirement, the Government may terminate this contract for default.

(i) The contracting officer's decision as to the existence or nonexistence of the actual or potential organization conflict of interest shall be final and is not subject to the clause of this contract entitled "DISPUTES" (FAR 52.233.1).

(j) Nothing in this requirement is intended to prohibit or preclude the Contractor from marketing or selling to the United States Government its product lines in existence on the effective date of this contract; nor, shall this requirement preclude the Contractor from participating in any research and development. Additionally, sale of catalog or standard commercial items are exempt from this requirement.

(k) The Contractor shall promptly notify the contracting officer, in writing, if it has been tasked to evaluate or advise the Government concerning its own products or activities or those of a competitor in order to ensure proper safeguards exist to guarantee objectivity and to protect the Government's interest.

(l) The Contractor shall include this requirement in subcontracts of any tier which involve access to information or situations/conditions covered by the preceding paragraphs, substituting "Subcontractor" for "contractor" where appropriate.

(m) The rights and remedies described herein shall not be exclusive and are in addition to other rights and remedies provided by law or elsewhere included in this contract.

(n) Compliance with this requirement is a material requirement of this contract.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L

SECTION L: Instructions, Conditions, and Notices to Offerors Section L-1 – Proposal Submission

I. Introduction The Government intends to meet its requirements by selecting a single contractor for award of an Indefinite Delivery Indefinite Quantity (ID/IQ) contract consisting of a 5 year ordering period, utilizing a firm-fixed-price and a cost-plus-fixed-fee type CLIN structure.

II. General This section contains general instructions for submitting proposals for this effort as defined below:

A. The proposal shall be complete and clear in all respects without the need for additional explanation or information. The proposal shall be in sufficient detail and scope to permit the Government to evaluate it with respect to the technical and cost/price factors specified under Section M of this solicitation.

B. It is the Offeror’s responsibility to submit a well-written proposal, with adequately detailed information which demonstrates its clear understanding of, and compliance with, the solicitation requirements. Offerors are cautioned against general, vague or unsubstantiated statements which prevent or render difficult the Government’s evaluation of the proposal. Statements such as “will comply,” or “noted and understood,” without a supporting narrative to define compliance, are rarely acceptable. Further, a proposal that merely “parrots back” the requirements of the solicitation, but fails to provide the required approach to meeting the solicitations requirements, is generally unacceptable.

C. Data, even though previously submitted or presumed known by the Government, cannot be considered as part of the Offeror’s proposal unless submitted with, and incorporated into, the proposal.

D. Any inconsistency, whether real or apparent, between projected performance and cost/price, should be explained in detail by the Offeror. The burden of demonstrating technical merit and adequate approach at a realistic cost/price rests with the Offeror.

E. As prescribed by 52.215-1, the Government may award on the basis of initial offers received, without discussion. Therefore, each initial offer should contain the Offeror’s best terms from a cost or price and technical standpoint. However, the Government reserves the right to conduct discussions and award on the basis of proposal revisions.

F. Offerors are expected to submit sufficient information in the format specified in this section.

Section L-2 – Offeror’s Proposal Requirements

1. Contract Award

Any Offeror that is rated “Marginal” or below in any evaluation criteria may not be considered for contract award.

Award will be to the responsive and responsible Offeror whose proposal (conforming to the solicitation) represents the best value to the Government considering the areas of Technical Approach, Past Performance, Management Approach, Subcontracting and Small Business Participation, and Price. The Government may award to other than the lowest-priced Offeror or to other than the Offeror with the highest technical rating if the Contracting Officer determines that to do so would result in the best value to the Government. The Government may reject any or all proposals if such action is in the Government’s interest.

NOTE: All or part of the successful Offeror’s technical proposal may be incorporated into the contract resulting from this solicitation. Nothing contained in the successful Offeror’s technical proposal shall constitute a waiver to any requirement of the contract. In the event of any conflict between the successful Offeror’s technical proposal and any portion of the resulting task order, the conflict shall be resolved in favor of the task order.

2. Proposal Submission

THE GOVERNMENT RESERVES THE RIGHT TO REJECT ANY PROPOSAL THAT DOES NOT

SUBSTANTIALLY COMPLY WITH THESE PROPOSAL PREPARATION INSTRUCTIONS. THIS

INCLUDES, BUT IS NOT LIMITED TO, PROVIDING COMPLETE AND COMPREHENSIVE SECTIONS
