1. Purpose.

These instructions prescribe the requirements for proposals and describe the approach for the development and presentation of proposal data. They are designed to ensure the submission of information essential to the understanding and comprehensive validation of proposals. Offerors are cautioned to follow the instructions carefully. Statements such as "will comply," or "noted and understood" without a supporting narrative to define compliance are not acceptable. Further, a proposal that merely

"parrots back" the requirements of the solicitation, but fails to provide the required approach to meeting the solicitation's requirements is not acceptable.

THE GOVERNMENT RESERVES THE RIGHT TO REJECT ANY PROPOSAL THAT

DOES NOT SUBSTANTIALLY COMPLY WITH THESE PROPOSAL PREPARATION

INSTRUCTIONS. THIS INCLUDES, BUT IS NOT LIMITED TO, PROVIDING

COMPLETE AND COMPREHENSIVE SECTIONS IN ALL VOLUMES.

PM IS&I projects, programs, and strategic enterprise initiatives through competency subject matter expertise in administrative, program management, logistics, engineering, contracting, and financial management areas.

The Government will evaluate the Offeror’s Technical Approach to determine whether it fully addresses all the requirements from the Base IDIQ Attachment 1 – PWS; Task Order 0001

Exhibit B – PWS; and Task Order 0002 Exhibit C - PWS and provides a detailed, comprehensive, well-articulated, reasonable, understandable, feasible/realistic approach that can be implemented within the stated parameters (resources, schedule) and that provides sufficient confidence that the approach proposed and experience offered will meet the stated objectives.

Section 1. Technical Approach (General). The Offeror’s response shall be detailed enough to evaluate the Offeror’s understanding of the work to be performed based on the requirements stated in the Base IDIQ Attachment 1 – PWS; Task Order 0001 Exhibit B – PWS; and Task

Part II: Past Performance Information (PPI).

Section 1. Recent and Relevant Past Performance Information. The Offeror shall demonstrate recent and relevant past performance or affirmatively state that it possesses no recent and relevant past performance. To demonstrate past performance, the Offeror shall identify a minimum of five (5) of its most recent and relevant contracts or efforts performed for Federal, State, County, or Municipal agencies or commercial customers within the past five years, and provide any other information the Offeror considers relevant to the requirements of the solicitation. Offerors should provide a detailed explanation demonstrating the relevance of the contracts or efforts to the requirements of the solicitation. Relevant contracts include acquisition support and program management office support efforts.

Relevance is demonstrated by similarity in integration of proposed products, prior subcontractor partnerships/teaming agreements, size, scope, complexity, and cost/price. The contracts or efforts will be evaluated in the aggregate in order to allow Offerors who may not have the entire scope, magnitude, and complexity of the requirement under one individual contract to still be considered acceptable if experience with the full scope, magnitude, and complexity of the requirement can be demonstrated within the allotted number of contracts or efforts as described above. "Recent" is defined as work having been performed within the past 5 years.

(with contact information to include phone number and email address) that received a Past

Performance Questionnaire.

Should any of the efforts identified be registered in Contractor Performance Assessment

Reporting System (CPARS), the contractor may notify the Government, and the Government will utilize the CPARS report in place of the Questionnaire.

The Government may use past performance information obtained from other than the sources identified by the Offeror. Past performance information can be obtained from any other sources available to the Government, to include, but not limited to, the Past Performance Information

Retrieval System (PPIRS) and CPARS Federal Awardee Performance and Integrity Information

System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases;

(a) Project Staffing Plan. The Offeror shall provide a description of the mix of skills proposed and the numbers needed in the time required that meets the requirements of the Base IDIQ

Attachment 1 – PWS; Task Order 0001 Exhibit B – PWS; and Task Order 0002 Exhibit C -

PWS. If personnel are subcontracted, the approach shall illustrate the method of administration and technical control of the subcontractor(s). The Offeror shall demonstrate what labor categories the Offeror anticipates will be performed under each objective of the Base IDIQ mailto:Lindsey.Harris@USMC.MIL mailto:MCSC_ISI@USMC.MIL

The Offeror shall describe its approach for maintaining project schedule, operating within approved budgets, meeting project milestones, providing early notification of potential problems, utilizing management metrics to track progress and trends, providing deliverables on-time, and maintaining ongoing operations in an effective manner.

(c) Configuration Management. The Offeror shall provide its approach to comprehensive configuration and data management for contractor managed and Government managed items.

The Offeror's approach to processing changes in a timely manner will be described.

(d) Risk Management. The Offeror shall submit a risk assessment for the Technical and

Management Approach. The analysis shall identify risk factors, risk likelihood, and risk consequence and include a recommendation to mitigate the impact of the identified risks. The

Offeror shall identify at least one (1) and a maximum of seven (7) Offeror risks and subsequent mitigation strategies.

Section 2. Contract Work Breakdown Structure (CWBS). Provide a CWBS in .pdf format with the appropriate level of detail to provide how the Offeror intends to manage the proposed effort with visibility of tasks, activities, schedule, and list of deliverables for Task Order 0001 Exhibit

An Offeror’s proposal is presumed to represent its best efforts to respond to the solicitation. Any inconsistency between promised performance, the technical proposal, identified personnel resources and cost/price must be explained in the proposal. For example, if the intended use of new and innovative techniques is the basis for an abnormally low estimate, the nature of these techniques and their impact on cost or price shall be explained; or, if a corporate policy decision has been made to absorb a portion of the estimated cost, that must be stated in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the Offeror’s understanding of the nature and scope of the work required and may adversely impact the Offeror’s standing upon evaluation. The burden of proof as to cost credibility rests with the Offeror. Unreasonably low prices may indicate an inability to understand requirements and a high-risk approach to task order performance. Accordingly, the Government may consider the findings of such an analysis in evaluating an Offeror’s ability to perform and the risk of its approach.

Part V: Contract Information.

Section 1. Model Contract. The purpose of this Section is to provide information to the

Government for preparing the contract document and supporting file. Failure to provide all portions will result in rejection of the proposal without evaluation. This includes:

A. The Offeror's proposal shall include a signed copy of the Base ID/IQ SF1449, completed

(blocks 17 and 30) and with any/all Amendments acknowledged.

B. Completed representations, certifications, acknowledgments, and statements. (Note: Offerors must also comply with the System for Award Management (SAM) requirements of FAR 52.204-

7).

C. Statement of the period for which the proposal is valid (not less than 120 calendar days).

D. Each page shall contain the following legend at the bottom of each sheet: Source Selection

Information - See FAR 2.101 and 3.104.

E. Authorized Offeror Personnel. Provide the name, title and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually.

F. Company/Division Address, Identifying Codes, and Applicable Designations. Provide company/division's street address, county and facility code; Commercial Activity and

Government Entity (CAGE) code; Data Universal Numbering System (DUNS) code; and size of business (large or small). Provide the same information for your major subcontractors

(anticipated over $2,500,000 over a 4.5 year ordering period).

G. Organizational Financial Information. Submit copies of your latest available financial statement covering the organization(s), which will perform the contract. Multiple years of financial statements are not required or requested. Include any information which may have a bearing on your ability to handle the financial management of the contract. If you are proposing a joint venture, describe how you will handle financial matters.

Section 2. Compensation Plan. The Offeror shall submit a total compensation plan setting forth:

A. Proposed salaries (i.e. non burdened hourly rates) for each of the labor categories proposed within the pricing volume;

B. Fringe benefits provided in both an hourly rate as well as an itemized list of benefits;

C. Fully burdened hourly rates (these should match exactly the burdened rated provided in

Volume III);

D. Supporting documentation of sufficient compensation, to include data, such as recognized national and regional compensation surveys and studies of professional, public, and private organizations used in establishing the total compensation structure.

Section 3. Equal Employment Opportunity (EEO) and VETS 100 Pre-award Clearance

Information. To expedite the Government’s EEO pre-award clearance request process, the prime contractor shall include a list of all proposed subcontractors with a proposed subcontract value estimated at $10 million or more, to include the following information: Name, address, individual’s name/point of contact, and telephone number. The Government plans to request

EEO clearances early in the evaluation process to avoid possible delays in making contract awards (page limit not applicable).

In addition, Offerors shall submit a copy of the confirmation of receipt notification (e-mail) for verification of successful submission of VETS 100 report for the prime contractor and any subcontractor with a proposed subcontract value estimated at $100,000 or more. If a contractor, for any reason, cannot produce a confirmation notification then they may contact the VETS-100

Service Center to request a verification search to be performed.

Command via a secure data collection site. The Contractor is required to completely fill in all required data fields using the following web address: https://doncmra.nmci.navy.mil .

Reporting inputs will be for the labor executed during the period of performance during each

Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year. Contractors may direct questions to the help desk, linked at:

https://doncmra.nmci.navy.mil.

6) Constructive Changes-

No modification, statement, or conduct of Government personnel who might visit the

Contractor’s facility or in any other manner communicate with Contractor personnel during the performance of this contract shall constitute a change under the “Changes” clause of this contract.

No understanding or agreement, contract modification, change order, or other matter deviating from or constituting an alteration or change of the terms of the contract shall be effective or binding upon the Government unless formalized by contractual documents executed by the

Contracting Officer.

The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and, notwithstanding provisions contained elsewhere in the contract, the said authority remains solely with the Contracting Officer. In the event that the

Contractor effects any change(s) at the direction of any person other than the Contracting

Officer, these change(s) will be at the Contractor’s expense. No adjustment shall be made in the contract price or other contract terms and conditions, as the Contracting Officer did not approve consideration for the aforementioned unauthorized change. Further, should the unauthorized change be to the Government’s detriment, the Contractor may be held financially responsible for its correction.

Responsibility in Subcontracting- The Contractor shall provide the technology processes, test procedures, data, drawings, and/or other information required to facilitate competition to the fullest extent feasible, and ensure performance by selected subcontractors. The Contractor will be fully responsible for ensuring that all appropriate contractual provisions and clauses are passed down to its subcontractors, and that those provisions are enforced.

7) NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF

INTEREST

The Offeror is reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a prime Contractor under this competitive procurement. Of primary concern are those existing contractual arrangements in which a Contractor provides support to programs, operations or related activities for Marine

Corps Systems Command PMM 110. General guidance may be found in FAR 9.505; however, this guidance is not all inclusive. The Offeror’s attention is directed to the "Organizational

Conflict of Interest" (or similar) requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the "support" contract(s).

https://doncmra.nmci.navy.mil/

Notwithstanding the existence or non-existence of an Organizational Conflict of Interest (OCI) clause or similar requirement in current or completed contract(s), the Offeror shall comply with

FAR 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI requirement.

Offerors should review their existing contractual arrangements to determine whether they believe a potential conflict of interest exists, at any tier. If an Offeror believes a potential conflict of interest exists, the Offeror is required to notify the Contracting Officer within seven (7) calendar days of the date of this solicitation. The Offeror shall provide at this time: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; (5) a proposed mitigation plan; (6) and any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists.

The Government may independently verify the information received from the Contractor.

Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source. Any Offeror who is determined to have an Organizational Conflict of Interest that cannot, in the Government’s opinion, be mitigated, will be deemed ineligible to participate in the current competition and will have their proposal rejected.

The Government will notify an Offeror of any conflict of interest within fourteen (14) calendar days of receipt of all required information. Those Offerors deemed to have a conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government’s rights to make a conflict of interest determination. The Offeror is notified that proposal preparation and any expenditure is at its own risk and will not be reimbursed by the Government if it is determined that an organizational conflict of interest exists.

Any Offeror that proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which Offerors continue as part of the evaluation through the normal source selection process.

If the Offeror determines that a potential organizational conflict of interest does not exist at any tier, the Offeror shall include a statement to that effect in its Executive Summary in response to this solicitation.

52.212-2 Addendum Evaluation - Commercial Items (Jan 1999)

A.1. EVALUATION- COMMERCIAL ITEMS EVALUATION OF OFFERS

a. The Government will evaluate proposals in accordance with the Evaluation Section below.

b. In accordance with FAR 15.306(a), Offerors may be given the opportunity for clarification of certain aspects of their proposal or to resolve minor or clerical errors.

c. Any proposal that does not substantially and materially comply with all of the requirements of this solicitation may be rejected and not considered for further evaluation. Rejection of a proposal on this basis does not constitute creation of a

“competitive range.” Substantially and materially comply includes, but is not limited to:

1) Equal Opportunity Compliance, 2) a complete compensation plan; and 3) proof of

VETS 100 compliance.

d. The Government’s written evaluation will be based upon factors in Section A.3 below.

A.2. BASIS FOR AWARDS

a. The following conditions must be met in order to be eligible for award:

1) The proposal must comply in all material respects with the requirements of the law, regulation and conditions set forth in the solicitation.

2) The proposal must meet all mandatory solicitation requirements.

3) The Offeror must be determined responsible according to the standards of FAR Part

9, Subpart 1.

b. In accordance with 52.215-1 (included by reference in this RFP), the Government intends to evaluate proposals and award a contract without discussions with Offerors. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a technical and price standpoint. If the Government awards without discussions, any proposal that receives at least one factor rating of “Unacceptable” will be unacceptable for award and will not be considered during the Best value trade-off.

However, the Government reserves the right to conduct discussions if the KO later determines them to be desired. If the Government decides to conduct discussions, then, in accordance with

FAR 15.306(c)(1), the Government will establish a competitive range comprised of all of the most highly rated proposals. In setting this competitive range, the Government may determine that a proposal that receives a rating of “Marginal” or “Unacceptable” for any one, or any combination, of factors is not amongs t the most “highly rated” proposals and may choose to exclude it from the competitive range.
