Performance Works Statement

1. GENERAL:

Open since November 10, 2006, the National Museum of the Marine Corps (NMMC), located at 1775 Semper

Fidelis Way, Triangle, VA 22172, is a military history museum dedicated to showcasing the material history of the

United States Marine Corps (USMC). Each gallery within the museum portrays the history of the Marine Corps through a complex integration of artifacts, graphics, audio and video media, theatrical lighting, life cast figures, interactive displays, scenic tableaus, and dioramas. The museum’s Korean War Gallery, otherwise referred to as

Gallery 11, is an 8,000 square foot gallery within the museum that conveys the history of the Marine Corps from

1950 to 1953.

This is a Performance Work Statement (PWS) for the fabrication and installation of the National Museum of the

Marine Corps’ Korean War Gallery Updates. Within this document the terms NMMC, Government, and Museum are used interchangeably. The Museum is seeking a vendor to fabricate and install exhibit partitions, graphics, scenic treatments, lighting, artifact display cases, and artifact mounts as a part of a small-scale exhibit redesign in the existing Korean War Gallery (Gallery 11). The vendor will be required to perform modifications to existing exhibit structures, to remove an existing artifact case, fabricate new permanent exhibit partitions, and conduct licensed electrical work to install suitable artifact case & wall lighting. Prospective vendors will be required to conduct a site visit to consult with Marine Corps staff prior to the beginning of any fabrication work. An industry day will be held for interested vendors to answer any questions not covered in this document.

Included along with this PWS are several relevant Attachments and a PDF of the Korean War Gallery Update drawing set. Please use this document and the various attachments to compile your quote.

2. SCOPE OF PRODUCTION & DETAILS:

The following sections detail the elements of the Korean War Gallery Update, and define the specific production requirements for each.

A. DEMOLITION & REMOVAL OF EXISTING ELEMENTS

Removal of existing lighting fixtures, track & support arms

The vendor will be responsible for the removal of the pre-existing lighting structure that will be re-utilized for the lighting of the new partitions. The existing wall surfaces are lit by LED fixtures powered by a run of energized track. The vendor will be required to provide a licensed electrician to de-energize the track, and relocate the electrical infrastructure required to re-energize the track in the new location (a few feet away.) The vendor will be responsible for the re-installation of the support arms, track, and fixtures. Details on the existing lighting system can be found in Attachment H, drawing sheet iX11-06.

Removal of AC-1107 & existing graphic stand-offs

The vendor will be responsible for the removal of AC-1107 (Artifact Case 1107) a 16.75” wide X 15.25” height X

7.75” deep artifact case that is inset into an existing partition. Please refer to Attachment H, drawing sheet iX11-05 for the location of AC-1107. Additionally, the vendor will be responsible for the removal of twenty-two existing

“Type B” graphic stand-offs. See Graphic production types used by the NMMC found in Attachment H, drawing sheet iX11-02 for more information on Graphic Types.

Creation of wall opening

The vendor will be responsible for the creation of a new wall opening, within an existing partition in Gallery 11.

This new opening is required to support the addition of an AV monitor, to be installed by the museum at a later date.

The vendor will be required to remove an existing blackboard that serves as a set-piece in the entryway of Gallery

11. Behind the blackboard the vendor will be required to cut a wall opening, and to add the required structure to stabilize the wall and support the addition of a monitor. Upon completion, the vendor is required to re-install the blackboard to conceal the opening. The purchase of the AV monitor and subsequent installation is not to be included in this contract. Please refer to Attachment H, drawing sheet ix11-05 for the specifications of the required wall opening.

B. FABRICATION OF PARTITIONS

The vendor will be required to fabricate two contiguous wall partitions in Gallery 11, for a total of 17’- 10 ⅞” linear feet of partitions. The dimensions of these individual partitions are 7’-2 7/16” W X 10’ H, and 10’-8 7/16” W X 10’

H. Please refer to Attachment H, drawing sheet iX11-07 for the specific configuration of these partitions. All partitions are to be fabricated of 6” metal studs, backed with ⅜” plywood, covered with ⅝” thick gypsum wall board, sanded, painted, and brought to a level 5 finish before installing the full-height Type A Digital wall murals and vinyl baseboards. The tops of these partitions should be capped with two layers of ¾” fire-rated plywood, in order to support the installation of the lighting structure. Two artifact display cases are to be built-in to these newly fabricated partitions. More about the artifact display cases can be found in section “D” below.

C. ACCESS DOOR FABRICATION

The two new partitions in the Korean gallery are being installed approx. two feet in front of the existing gallery walls. The addition of these new partitions creates a cavity behind the walls that will allow the museum staff rear-access to both the artifact display cases, as well as media components to be installed at a future date. Access to this new area will be through a door fabricated out of graphic GR-11647. GR-11647 is a 24"W X 114"H digital print, mounted to aluminum sign blank, and then adhered to a 3/4” thick MDF panel. The vendor will be required to fabricate a stand-off and hinge design that allows the graphic to serve as a concealed door, providing access to the back-of-house area. Details can be found in Attachment H, drawing sheet ix11-18.

D. ARTIFACT DISPLAY CASES (2 Total):

Custom fabricated, In-wall artifact display cases

The vendor is responsible for the fabrication, transport, and installation of two custom built artifact display cases.

Both cases are to be set within the newly fabricated partitions in the Korean War Gallery. The cases are to have easily accessible, locking glass doors. They must match the existing build & aesthetic of the artifact display cases within the museum, and be keyed to match the existing access control system. All artifact cases must comply with the fabrication standards found in ANSI/NISO Z39.79-2001 Environmental Conditions for Exhibiting Library and

Archival Materials. Two weeks of off-gassing is required after the application of paint, before installation of artifacts.

Security Hardware & Desiccant Chambers

Each artifact case will require integration with the museum’s existing security and environmental monitoring systems. This means that the vendor will be required to collaborate with the COR to specify and purchase the proper locks, keys, and temperature and humidity sensing hardware, and to install these elements into the two new artifact cases. Security sensors will be installed by an outside vendor, but the artifact cases must be fabricated to accommodate the installation of these elements. See Attachment “F” for specifics on the existing temperature and humidity sensing hardware and Attachment “G” for specifics on the museum’s existing case locks.

Interior artifact case scenic theming

Case AC-1114 requires the fabrication of a themed, decorative case environment. A graphic backdrop and the creation of semi-dimensional stairs within the artifact case is meant to create a space that looks like the steps of the

Lincoln Memorial, as shown in the reference images included in Attachment H, drawing sheet ix11-10. The vendor must use approved, archival materials in the theming of this case interior.

E. ARTIFACT CASE LIGHTING & ELECTRICAL WORK

The vendor will be required to fabricate illuminated, back-lit LED graphics, as well as install an approved LED case lighting system in each artifact case. The vendor will be required to contract with a licensed electrician to purchase and install all wires, conduit, receptacles, electrical track, hardware, and light fixtures for this project. Both the backlit graphics and interior LED lighting are required to match the existing look and build of similar systems already being deployed within the museum. The museum currently utilizes TokistarLED Micro Tracklights & tracks and Knema LED Edge Lit Panels for interior case lighting. These spec sheets can be found in Attachment E. Details on the interior case lighting systems are found in sheets iX11-12 though iX11-15.

F. ARTIFACT MOUNT WORK

There are ten artifacts that will require mounting, six of which will need to be mounted to a single custom archival form. The list of artifacts can be seen in the Artifact Schedule in the Attachments provided with this solicitation. The

NMMC uses Artifact Data Sheets to convey relevant mounting and conservation concerns for each individual object. These Artifact Data Sheets (sometimes called ADSs) can be found in Attachment D of this solicitation.

G. GRAPHIC PROOFING, PRODUCTION, AND INSTALLATION

There are approximately 47 graphics that require production, all of varied size and type. The Graphics Schedule

(Attachment C) can be used in conjunction with the Korean War Gallery Updates drawing package (Attachment H) to identify the quantity and type of graphics required. The Korean War Gallery Update makes use of many large-scale wall murals, and has several digital standoffs. Additionally, the vendor will be required to fabricate a structure to display a HPL graphic flipbook that is included in this update. Details on the fabrication of the flipbook and structure can be found in Attachment H, drawing sheet iX11-17.

H. BACKLIT GRAPHIC FIXTURES

The vendor is required to fabricate a fixture to hold and illuminate two LED back-lit graphics that are to be located within the artifact display cases. This fixture must match the function and aesthetic of the museum’s existing LED

Backlit graphics. An example of this fixture can be seen in Attachment H, drawing sheet iX11-16.

I. SCHEDULING, COORDINATION & SITE VISITS

The NMMC seeks a quote that includes the scheduling and coordination of the fabrication and installation process.

While NMMC staff are the lead designers, writers, and historians for the Korean War Gallery Updates, some coordination between the NMMC and the vendor will still be required. Additionally, site visits for field dimension verifications and general planning should be included in the quote.

The Contractor shall act as project scheduler and provide a critical path document in both electronic and paper format to the COR before work commences. The document shall be created in PC-compatible Microsoft Project or similar software and published in PDF format. The document shall include milestones, all critical path elements, start and end dates for all activities critical to the installation and integration of all exhibit elements. The

Project Schedule shall incorporate all scheduling and milestone information from all other contractors that impact and or interface with the Contractor.

J. NUMBER PUCKS

The NMMC uses a standardized white, acrylic “number puck,” with applied black adhesive vinyl numbers to identify each object inside of artifact cases. These “number pucks” are affixed to the rear case deck, or case furniture, and correspond to the artifact labels. The NMMC will require that these number pucks be produced and installed in both artifact cases.

3. GOVERNMENT FURNISHED ITEMS AND SERVICES:

The NMMC will provide all electronic files for production. The graphic files will be turned over as Illustrator CC files, AutoCAD files, InDesign files, or press ready PDFs. Photos and graphics are to be printed with a resolution of at least 300 PPI, full size. The vendor will be required to produce full color proofs for the review of each graphic type, before sending the graphics to production. The NMMC requires a period of five business days to review and approve the submitted proofs, and reserves the right to request corrections at the vendor’s expense.

4. NMMC STANDARDS & REVIEW:

The NMMC has achieved and maintained a high level of quality in its exhibits, earning it a gold standard rating with independent museum rating organizations and winning awards for excellence from themed entertainment associations. It is incumbent on the Contractor, and their subcontractors, to maintain or exceed this level of quality and durability in the fabrication, installation, overall look, and quality in the completed exhibitry. Any work failing to meet this standard, as deemed by the Contract Officer's Representative (COR), shall be corrected by the Contractor at their expense. Time spent correcting rejected work shall not be accepted as a reasonable excuse for missing project deadlines. It is also the responsibility of the Contractor, and their subcontractors, to understand and adhere to the requirements of this document. It shall be understood that, for the sake of simplicity and to reduce redundancy, details listed herein are not always repeated on drawings. This is not meant to release the Contractor from meeting these requirements. Any work not meeting the level of quality as specified in this document shall be corrected at the Contractor’s expense to the satisfaction of the COR.

The Contractor shall conduct a site visit and verify all field conditions, dimensions, and materials in the field before commencing work, with the understanding that the government drawings represent design intent and are not to be interpreted as ready-to-build. Deficiencies with the final product caused by a lack of field verification shall be corrected by the Contractor at their expense to the satisfaction of the COR.

5. PROJECT TIMELINE:

The vendor shall have 90 calendar days from the award of contract to finish fabrication and installation of the

Korean War Gallery Updates. All electronic graphic production files will be provided to the vendor within two weeks from the award of contract.

6. VISITOR EXPERIENCE:

The Exhibit Fabricator will understand that the National Museum of the Marine Corps will remain open to the public during fabrication. Work that is loud or degrades the visitors' experience must be completed before 0900 or after 1700 each day. Loud or potentially degrading work is defined as noise created by any mechanical tool larger than a hand tool(s) that disrupt the visitor experience in the Museum. This will be assessed on a case-by-case basis.

Activities such as hammering and drilling will be permitted, but jack hammering or table saws will not be permitted during operating hours. Materials, such as solvents and paint that potentially off-gas with unpleasant or harmful vapors, shall not be used in or around Museum visitors. All workers on the job site will be mindful that they are sometimes watched by museum visitors and will not behave in a manner that reflects negatively on the museum.

7. WORKING ON A GOVERNMENT INSTALLATION:

The Contractor and their employees shall be subject to all traffic, security, and registration regulations for personnel and vehicles. All Contractor and sub-contracted personnel attending meetings, answering Government telephones, or working on site where their status is not known to third parties, must identify themselves as such on demand by

Government personnel. Unless otherwise directed by the COR, all documents produced or revised by Contractors or developed through Contract participation must be marked as “Contractor generated documents'' or otherwise identified in a manner that discloses the Contractor’s participation. The Contractor and their subcontractors shall understand they are working at a Government military installation and shall comply with all posted rules and laws and/or as directed by Government personnel.

While on-site, all contracted personnel shall always conduct themselves in a professional manner and not create a situation that interferes with Museum operations or with the general public’s visitor experience. Unacceptable or unsafe behavior will be documented by the COR and delivered to the Contractor via email. It shall be the responsibility of the Contractor to correct the behavior or remove the offending personnel per direction of the COR.

52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services--

Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-

Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph

(d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision-

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause

52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or

Equipment.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM)

(https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that--

(1) It [ ___ ] will, [ ___ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The

Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that--

It [ ___ ] does, [ ___ ] does not use covered telecommunications equipment or services, or use any equipment, system, or service that uses covered telecommunications equipment or services. The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.

(e) Disclosures.

(1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as

OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered

(include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as

OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

52.204-26 COVERED TELECOMMUNICATIONS EQUIPMENT OR SERVICES--REPRESENTATION (OCT

2020)

(a) Definitions. As used in this provision, “covered telecommunications equipment or services” and "reasonable inquiry" have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM)

(https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services”.

(c) Representations.

(1) The Offeror represents that it [ ___ ] does, [ ___ ] does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (DEC 2022)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business concern"--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1002", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least

51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the

United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR

127.300.
