Types of funding to be utilized are as follows:

3400 funds for Operations and Maintenance of the ALCM Weapon System; recurring engineering 3400 funds for Operations and Maintenance of the ALCM Weapon System; nonrecurring engineering 3020 funds for the Service Life Extension of the ALCM Weapon System; nonrecurring engineering 3600 funds for the development and testing for new capability; nonrecurring engineering

The total estimated contract valued is $70,617,859. Methodology used for the total estimated contract value is as follows:

Utilized hours from Option Years & that were previously negotiated for recurring engineering efforts.

Utilized current DCMA cost model (CUI 50_CLIN_MY_07Sept2022) with Forward Pricing Rate Proposal labor rates for F Y 2024 - FY 2029. (15% profit rate) - Boeing current rates.

Calculated the increase in price from FY 2027-2029 an average increase of 3.8%.

Increased price by 3.8% each FY from 2030-2033, as the DCMA cost model through 2029.

Included estimated $100 for material, based upon upcoming Service Life Extension Program (SLEP) Technical Inquiry projects and investigations, as well as ASIL material purchase expectations.

Included estimated $25 for travel, based upon historical travel surrounding recurring engineering efforts; flight and ground test and pre-ALMAG support, as well as Technical Inquiry travel.

Included estimated $10 for Over & Above, based upon an average over years.

Calculated FY 2033 total in accordance with (IAW) potential -month Option to Extend Services.

Reduced the FY 2033 total by a penny as the Strategic Management Tool (SMT) system was not taking into consideration rounding.

Removed the $0.22 per the J&A template guidance to round to the whole dollar.

There will be no separately priced CLINs for I P or IP rights. The IP rights strategy is consistent with the Acquisition Strategy as approved by the appropriate authority.

This J&A covers all contract actions including Ordering Periods and Task Order for all CLINs detailed in the CLIN discussion above.

Due to circumstances below in Sections V there are no immediate actions that could be taken to develop competition. Therefore, it is considered appropriate to seek approval for more than one fiscal year. If other qualified or approved sources become known during the life of this contract this J&A will not be utilized to support any buys using other than full and open competition.

This acquisition will be an Indefinite Delivery Indefinite Quantity contract. The Minimum will be the First Negotiated Task Order for Recurring Engineering services, Ordering Period One/Year One; and the Maximum will be $70,617,859.

IV. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the

Boeing, the Original Equipment Manufacturer (OEM), is the only company with the special equipment, personnel and technical data to satisfy the Air Force's minimum need. Boeing has provided engineering services support for this major Nuclear system, the ALCM, since the 1970s. Boeing has also been the contractor on all ALCM major system upgrades.

Activities such as Flight and Ground Test, ongoing specialized services and OEM Technical Data continue to be a part of the current contract. This ALCM Engineering services follow-on contract will continue these activities until the ALCM missile transitions out of the inventory. Therefore, this acquisition will be a follow-on contract for the continued performance of a highly specialized service .

11 Jul 2022 CONTROLLED UNCLASSIFIED INFORMATION Page 6 of 1011 Jul 2022 CONTROLLED UNCLASSIFIED INFORMATION Page 6 of 10

Boeing has been the only source providing the highly specialized technical engineering and engineering support required for the ALCM Engineering Services for over the last 40 years. oeing a wealth of legacy knowledge and experience.

The government requires Boeing to provide testing on all ALCM parts. The Government does not have complete data package to provide test requirements for ALCM parts . Boeing is the only source with the complete specialized test data requirement for the ALCM. As well, Boeing currently maintains the ASIL. The ASIL uses specialized test equipment that is required to initiate all testing requirements, as well to analyze test results. The Government has bee Boeing purchase of data unique to the ALCM, Boeing has stated they are not willing to sell the data to the Government. This highly specialized and unique lab is essential for performing evaluation and test for all ALCM Engineering Service components. There is no other vendor that has the specialized testing facilities in place, access to OEM data or the technically qualified staff to perform this Engineering Service.

The Missile Sustainment Division believes that award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition and unacceptable delays in fulfilling the Air Force's requirement. Duplication of the ASIL would require redesign, re-qualification, and excessive time to complete. As a comparable effort, the Program Office completed a historical analysis and determined duplication would amount to $30M which was a quote from 10 years ago. Average inflation per year is 2.68%. In addition to the years added after contract award and an estimated completion time of 2026. otal ASIL would cost $42M. This does not include cost for new testing hardware, and software development, as well as re-hosting and qualification of new hardware and software.

While the Government owns build-from print limited data rights for the missile; this data alone would not allow another source to provide the level of sustainment support the Government requires. Lastly, there is no guarantee the OEM would provide a license to the new source; therefore, the recreation of Technical Data is a high risk to the Government. The delay to attempt this redesign would also be unacceptable. The expected time it would take to establish a new source is estimated to be 3 years. Establishing a new source would include administrative planning, permits, lead times for construction, recreate technical data, training and test analysis. This would also incorporate e-build of a new ASIL, which is required in support of every aspect of the ALCM and the required engineering services long with potentially requiring the moving of test stations and equipment in place since the 1980s. This is an unacceptable delay causing severe impact to the ALCM Program, which provides one leg of the Nuclear Triad support for the Department of Defense.

1. The Contract Deliverables (CDRLS) received from the current ALCM Engineering Services contract are:

Conference Agenda, Report, Record of Meeting Minutes, Product Drawings and Associated Lists, Integrated Program Management Report, Suppliers Configuration Management Plan, Technical Manuals/Orders/TCTO, Engineering Change Proposal, Service Engineering Report, Quality System Plan, System Safety Hazard Analysis Report, Test Requirements Document, Test Plan, Test Procedure, Test/Inspection Report, Automated Computer Program Identification Number Data and Control Record, Failure Modes/Effects and Criticality Analysis Report, Computer Software Product, Performance Specification Documents, Software Requirements Specifications, Systems/Subsystem Specification, Software Version Description, Contractor's Risk Management Plan, Risk Management Status Report, Deficiency Report, Government Industry Data Exchange Program Alert/Safe-Alert Report, CEMS Reporting, Systems Engineering Management Plan, Counterfeit Prevention Plan, Nuclear Certification Impact Statement, Briefing Materials, Management Plan, Design Review Information Package, Test Readiness Review Information Package, Government Furnished Material (GFM) by National Stock Number, and Contract Funds Status Report (CFSR). CDRLS provided by the contractor included a Distribution D statement marking on all deliverables. The Government Engineering Services contract CDRLs do not include a complete and specialized data package to provide test requirements. This greatly hinders the ability for any other source to provide the Engineering Service testing requirements needed thus making it insufficient to compete these services.

2. The following clauses are included in the current and previous ALCM Engineering Services contracts:

DFARS 252.227-7013 Rights in Technical Data - Noncommercial Items DFARS 252.227-7014 Rights in Noncommercial computer software and noncommercial computer software documentation DFARS 252.227-7030 Technical Data -- withholding of payment DFARS 252.227-7037 Validation of Restrictive Markings on Technical Data

11 Jul 2022 CONTROLLED UNCLASSIFIED INFORMATION Page 7 of 1011 Jul 2022 CONTROLLED UNCLASSIFIED INFORMATION Page 7 of 10

The previous contract nor the current contract includes the Deferred Ordering Clause, DFARS 252.227-7027.

The Government did not purchase the IP at the onset of the development and production of the ALCM. The current requirements owner does not have the information the IP was not purchased.

The Government did not initiate any pre-challenge information requests or formal challenges to the assertions of development.

Boeing declined to provide the government a dollar value or opportunity to purchase the IP on the contract. A formal request for the cost to purchase data was submitted to the Boeing ALCM Program Manager on

30 January 2023 by the Government ALCM Engineering Services Contracting Officer. The response from Boeing, on 9 February 2023 stated, "Boeing Company is not interested in selling their data or company funded labs to the United States Government."

Reverse engineering was not considered as the ALCM is projected to transition out of the inventory in 2035, and a new weapon system will come on-line. Additionally, it would be economically unfeasible at this time for the Government to buy IP the system is within 12 years of retirement.

Accordingly, Boeing is the only firm capable of providing the services described in Section III above without the Government experiencing substantial duplication of cost that could not be expected to be recovered through competition and unacceptable delays in fulfilling its requirements.

Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under

FAR 5.202 applies.

Sources Sought Synopsis (SSS)/Request For Information (RFI) - A SSS for Engineering Services for the ALCM, Synopsis number ID FA8128-24-D-TBD posted on 28 December 2022 and closed 31 January 2023 through Sam.gov. The Government did not receive any responses.

A General Services Administration (GSA) RFI for Engineering Services for Air Launched Cruise Missile (ALCM) was posted to the Government Point of Entry (GPE) website, https://gsa.gov, on 4 January 2023 through 10 February 2023. The Government received nine esponses - Large Business and - Small Business.

The Small Businesses (8 interested Small Business vendors) were analyzed as part of Market Research. one of the Small Businesses that showed interest were identified as having capabilities, facilities, experiences, nor access pursuant to technical data. Due to complexity of the scope of work and unavailability of technical data, it was determined that there are no small businesses capable of supporting this requirement.

Raytheon ( interested Large Business) presented a detailed capabilities statement. Raytheon has extensive experience with

11 Jul 2022 CONTROLLED UNCLASSIFIED INFORMATION Page 8 of 1011 Jul 2022 CONTROLLED UNCLASSIFIED INFORMATION Page 8 of 10 developing weapons and weapons delivery systems. However, using Raytheon to fulfill these tasks will come with critical program risks. These risks could disrupt/delay ongoing ALCM maintenance efforts, aging surveillance information analysis studies, Technical inquir es, Flight Test Support and Engineering Assignments. It is stated in Raytheon's provided answers, that the company does not have the necessary equipment or technical data to conduct sustainment and maintenance of the ALCM. Therefore, it was determined that Raytheon was not capable of supporting this requirement.

Navy Crane provides lower skilled engineering support for the ALCM. Navy Crane does not have the extensive engineering capabilities required with the highly specialized skill set needed to accomplish the work stated in the ALCM Engineering Services PWS. Also, Navy Crane uses working capital funds to optimize the workload and person l for maximum efficiency. Once the Working Capital Funds fund is fully allocated, Navy Crane cannot receive more workload during that fiscal year. Not having the highly specialized engineering skillset the Working Capital Funds cap, would be a detriment to the requirements of this follow-on contract. Lastly, Navy Crane does not have the necessary equipment or technical data to conduct sustainment and maintenance of the ALCM.

Boeing, as the OEM, is the only source with the experience, expertise, and facilities to satisfy specific ALCM military sustainment requirements not found in the commercial sector. The Government requested to acquire all ALCM Technical Data from the OEM, Boeing, to include component, subcomponents, unlimited rights, licensing agreements on 30 January 2023. Boeing declined/refused to sell/provide technical data outside their current distribution statement.

Synopsis - This requirement will be synopsized in http://sam.gov as a notice of proposed contract action IAW FAR 5.201.

Expected date of publication is 2023

Qualifying Country Sources - No qualifying country sources have expressed interest.

Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer will ensure that the services described herein are negotiated at a fair and reasonable price to the Government. IAW FAR as supplemented, the contractor will be required to submit Certified Cost and Pricing Data and/or other certified cost and pricing data. A detailed cost and pricing analysis will be performed. The Contracting Officer will request a technical evaluation from AFNWC/NDME to aid in the evaluation of the contractor's proposal. The Contracting Officer will seek audit assistance from the D C A A and DCMA, if necessary.

Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market Research has been conducted IAW the FAR and is current, accurate and relevant.

The Market Research Report was signed by Program Manager and Contracting Officer on 25 April 2023.

The date the Market Research was completed is 17 April 2023 and conducted IAW FAR 10.001 and 10.002.

The Market Research techniques used include:

Posting a SSS in Sam.gov on 28 December 2023; no responses received.

Post a RFI in GSA.gov on 3 January 2023; nine responses (1-Large and 8-Small); all evaluated and determined not to be viable sources.

NAICS 541330 was searched in SAM.gov, as well as a Dynamic Small Business search, to which no additional

d. Navy Crane, which the ALCM Program currently utilizes for small engineering efforts, was contacted to discuss the likelihood of their ability to take the ALCM Engineering Services contract effort in its entirety. Navy Crane uses Working Capital funds to support their workload, and once the funds are fully allocated, Navy Crane cannot accept any additional workload. This is not a feasible option for the ALCM Program.

e. The Contracting Officer identified a potential Umbrella Engineering Services contract with AFLCMC that could be utilized for the ALCM Engineering Services effort. However, after discussion with the Teams, there is no avenue to leverage the AFLCMC contract other than utilizing lessons learned for CLIN structure, additional deliverables, and administrative tracking processes and procedures.

Boeing was contacted by the Contracting Officer to ensure their continued support surrounding ALCM Engineering Services, due to the fact that Boeing did not respond to the SSS nor the RFI. They concurred to continuing to provide support to the ALCM Program.

Boeing was contacted by the Contracting Officer on 30 January 2023 via contracts letter, with the Government s request to purchase the ALCM IP/Technical Data. Boeing declined to provide a cost/price, nor sell the data, via contracts letter dated 9 February 2023.

The Contracting Officer contacted the AFSC/Small Business Office for SSS/RFI review, and to discuss any additional Market Research techniques. However, the nature of this effort does not lend any additional avenues to research.

The Government team reviewed the ALCM Contractor Logistics upport contract to ensure there were no overlaps in work scope, as well as to view any additional sources which responded to that announcement that could leveraged. It was determined there are no overlaps, and no additional sources to be leveraged.

This effort is military unique and non-commercial.

None of the respondents requested additional information, therefore there were no documents shared via the bidder's library.

The Contracting Officer will post a Synopsis indicating the intent for a Sole Source contract, which is estimated to post 2023 on Sam.gov.

In summation, Boeing, the OEM, continues to be the only viable source to fulfill the Government s requirement for ALCM Engineering Services. Boeing has the IP/Technical Data, facilities, personnel and expertise supporting critical ALCM efforts, such as flight and ground testing, configuration management, ASIL support and additional ALCM engineering efforts.
