About this file

This is Addendum No. 2 to Invitation to Bid (ITB) 19-25 issued by New Smyrna Beach Utilities for the purchase and removal of two diesel-driven turbines and associated equipment located at the Field Street Power Generation Station. The turbines and inclusive equipment are being sold as-is-where-is without warranties, and the successful bidder must remove all equipment from the site. The addendum addresses clarifications and modifications to the original ITB requirements based on prospective vendor inquiries. Key operational requirements include that bidders are not responsible for fuel tank removal or associated Department of Environmental Protection permitting, no sub-groundwork removal is required, and bidders are responsible for waste management during removal. While the original ITB specified a 30-day completion timeline for equipment removal, the addendum permits alternate schedules for removal with bidder-submitted timelines subject to New Smyrna Beach Utilities approval, recognizing that third-party contractor and shipping lead times may exceed the original deadline.

Payment terms have been clarified as follows: 30 percent of the bid price upon firm selection, 30 percent upon scheduling equipment pickup, and the remainder prior to equipment removal. New Smyrna Beach Utilities established a minimum required bid of $2.5 million; however, the addendum indicates that lower offers from bidders demonstrating labor, equipment, and materials capacity for safe and efficient turbine removal may be considered. The utilities company will comply with Florida Statutes Chapter 119 regarding public records law and will provide bidders access to available engineering records, drawings, and maintenance records in a reasonable timeframe. No equipment has been removed from the property since the Florida Municipal Power Agency conducted its onsite visit, and bidders are not responsible for trailer removal from the site.

RE: ITB No. 19-25 ADDENDUM NO. 02

To prospective vendors:

New Smyrna Beach Utilities is issuing the following addendum. As such it becomes an integral part of the bid and must be acknowledged by the return of this signed form, with your proposal form, acknowledging receipt of the addendum.

The following questions have been asked and have been answered below:

1) Will the successful bidder be granted access to engineering records (e.g. drawings, maintenance records), either electronic or in hard copy format, that are associated with the asset and its history which NSB may have available?

In accordance with Chapter 119 of the Florida Statutes and its exemptions, NSBU will comply fully with the public records law and provide you with an opportunity to inspect or provide you with copies of existing public records in a reasonable time period, all in accordance with Florida law.

2) The ITB lists payment milestones that only add up to 90%. Please clarify the payment terms and schedule for payment.

Payment Terms are updated below:

Payment Terms Payment terms are as follows:

• 30% of the bid price upon selection of the firm

• 30% of the bid price upon scheduling the pick-up of the equipment

• Remainder of the bid price prior to the removal of the equipment

3) Has any other equipment been removed from the property since FMPA’s onsite visit?

5) The invitation to bid does not provide significant detail on acceptable state of “removal”.

Meaning while the invitation specifies that remediation is not required, which could be interpreted as no sub groundwork, the bid also states removal of footings and foundations.

Additionally, the invitation seems silent on equipment/assets that may require potential DEP permitting and compliance such as addressing the fuel tanks. With that background we have the following questions:

• Is buyer responsible for removal of fuel tanks and all associated DEP permitting requirements to remove said tanks? If so, are the fuel tanks empty?

o The buyer is not responsible for the removal of the fuel tanks.

• Can NSB provide a listing of all sub groundwork/removal that must be considered in the bid?

o No sub groundwork is required.

• Are there any known or suspected contaminants or hazardous materials on-site that could require special handling that the buyer would be responsible for?

o No.

• If so, is the buyer responsible for disposal of any contaminated/disturbed soil?

o No.

• Is the buyer responsible for waste management during removal?

o Yes.

6) The invitation to bid states that the minimum required bid is $2.5M. Will NSB accept non-compliant bids that specify an alternate valuation?

NSBU wishes to receive the highest and best value for the turbines and inclusive equipment which we believe is $2.5M. Offers from bidders who demonstrate the ability to safely and efficiently remove the turbines and inclusive equipment from the site at the requested $2.5M will be prioritized. Lower offers from bidders who possess the labor, equipment and materials for the safe removal of the turbines and inclusive equipment may be considered.

7) The invitation to bid states that the buyer must have removal complete 30 days after sale.

Some aspects of removal of equipment may require third party contractors and shipping firms to complete. Lead times for some of these firms are known to currently exceed 30 days. Will

NSB accept non-compliant bids that specify an alternate duration for removal of the equipment?

Alternate schedules for the removal of the equipment will be considered. Bidders must include a timeline for removal of the turbines and associated equipment with their bid submittal for approval by NSBU.
