52.212-2 ADDENDUM

52.212-2 EVALUATION – COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

ADDENDUM

52.212-2 revised in its entirety.

(a) The Government intends to award a single award contract to the responsible offeror whose offer will be most advantageous to the Government, price and other factors considered, utilizing a best value trade-off approach under FAR Part 15 procedures. Specifically, the Government will conduct a Performance Price Tradeoff (PPTO) source selection in which (See para. (c) for further information):

(1) Business Proposal (Factor 1) will be rated as Acceptable or Unacceptable based on its compliance with the RFP instructions (Addendum to FAR 52.212-1(b)(12)(ii)(A)) and applicable laws and regulations.

(2) Technical Capability (Factor 2) will be rated as Acceptable or Unacceptable.

(3) Past Performance (Factor 3) will be rated for Confidence, based upon the recency, relevancy, and quality of identified past performance information.

(4) Price (Factor 4) will be evaluated, utilizing FAR 15.404-1(b)(2) techniques, by adding the total value of all options to the base period to calculate a Total Evaluated Price (TEP); which must be determined fair and reasonable to be eligible for award.

(5) When combined, Technical Capability and Past Performance are more important than Price.

(6) This may result in award to a higher rated, higher priced offeror, where the decision is consistent with the evaluation factors and the contracting officer reasonably determines that the superior past performance of the higher priced offeror outweighs the price difference. However, the Government will not pay a price premium that is disproportionate to the benefits associated with the higher past performance rating.

(b) The following factors shall be used to evaluate offers:

(1) Factor 1: Business Proposal

(2) Factor 2: Technical Capability

(i) Subfactor 1: Specific requriements/tasks.

(ii) Subfactor 2: Personnel.

(iii) Subfactor 3: Mission Requirements.

(iv) Subfactor 4: Aircraft Condition.

(v) Subfactor 5: General Information.

HTC71125RC006

(3) Factor 3: Past Performance

(4) Factor 4: Price

(c) Evaluation Factors.

(1) Factor 1 – Business Proposal

The Government evaluation team will evaluate the Business Proposal factor on an Acceptable/Unacceptable basis, assigning a rating of Acceptable or Unacceptable as defined below. Proposals with an “Unacceptable” rating will not be considered for award.

ADJECTIVAL RATING DESCRIPTION

Acceptable Proposal meets the minimum requirements of the solicitation.

Unacceptable Proposal does not meet the minimum requirements of the solicitation.

To be rated Acceptable, the Offeror must:

(i) Submit completed RFP (SF1449), any amendments and additional proposal elements identified in Addendum to FAR 52.212-1(b)(12)(ii)(A).

(ii) Be registered in the System for Award Management (SAM) under the provided CAGE/UEI at time of proposal submission.

(iii) Provide applicable representations and certifications (Reps & Certs). Reps & Certs should be completed within Offeror’s SAM profile where available. Where unavailable within SAM, Offeror must submit additional Reps & Certs as included within the RFP.

(iv) Have available a NIST SP 800-171 DoD Assessment, no more than three years old, at the Supplier Performance Risk System (SPRS) module within the Procurement Integrated Enterprise Environment (PIEE) system.

(v) Be substantiated, by applicable authority, as an Approved DoD or CARB Air Carrier for the air transportation service and aircraft type offered. Carriers not approved at time of proposal submission will be ineligible for award.

(vi) NOTICE: The Fly America Act (FAR Subpart 47.4) applies to this source selection, which is likely to result in a trade-off preference of U.S.-Flag air carriers.

(2) Factor 2 – Technical Capability

The Government will evaluate the technical proposals at the subfactor level on an Acceptable/Unacceptable basis, assigning ratings of Acceptable/Unacceptable as defined below. An Unacceptable rating in any technical subfactor, identified below, will result in an overall Technical Capability rating of Unacceptable. Technical Capability proposals rated as Unacceptable will be ineligible for award.

ADJECTIVAL RATING DESCRIPTION

Acceptable Proposal meets the minimum requirements of the solicitation.

Unacceptable Proposal does not meet the minimum requirements of the solicitation.

To be rated Acceptable, the Offeror must be rated Acceptable against each of the following subfactors:

(i) Subfactor 1: Specific requriements/tasks. To be rated Acceptable, the offeror must provide an acceptable plan to accomplish the requirements IAW PWS paragraph(s) 1.3 through 1.3.3.

(ii) Subfactor 2: Personnel. To be rated Acceptable, the offeror must provide an acceptable plan to accomplish the requirements identified in PWS paragraph(s) 1.4.5 and 1.4.6.

(iii) Subfactor 3: Mission Requirements. To be rated Acceptable, the offeror must provide an acceptable plan to accomplish the requirements IAW PWS paragraph(s) 1.5.

(iv) Subfactor 4: Aircraft Condition. To be rated Acceptable, the offeror must provide airworthiness certificates that demonstrate the aircraft proposed to provide services under this contract has been certified as airworthy by trained and certified mechanics.

(v) Subfactor 5: General Information. To be rated Acceptable, the offeror must provide documentation supporting the requirements in PWS paragraph 4.1 and 4.3.

(3) Factor 3 – Past Performance

(i) The Government will evaluate each offeror’s past performance using questionnaires and other information independently obtained from government or commercial sources to assign each offeror a Past Performance Confidence Assessment Rating. Past Performance information about the offeror, as well as subcontractors, may be obtained from any sources available to the government, to include, but not limited to, the Contractor Performance Assessment Reporting System (CPARS), Federal Awardee Performance Integrity Information System (FAPIIS), or other databases; information obtained from Program Managers, Contracting Officers; Defense Contract Management Agency; and commercial sources. If the offeror fails to identify and describe the prime contractor, affiliate, subsidiary, or subcontractor role in a past performance effort or how an affiliate, subsidiary or subcontractor will perform on the current solicitation requirements, then that past performance effort may be treated with Neutral Confidence.

(ii) The Government will begin its evaluation by first determining the recency and the relevancy of each past performance effort submitted. To be considered a recent effort, the effort must be currently on-going or have been completed within three years of proposal submission. Past performance information submitted which ended beyond three-year limitation will not be considered. For each recent past performance effort to be considered relevant, it will be independently assessed for similarities in scope, magnitude and complexity to the requirement being solicited.

The relevancy of each past performance effort will be considered in the overall confidence assessment rating for the offeror. The following definitions will be used to determine the relevancy of the past performance efforts submitted:

ADJECTIVAL RATING DESCRIPTION – Past Performance Relevancy Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

(iii) After all past performance efforts have been assigned relevancy ratings, the Government will assign a single Performance Confidence Assessment rating based upon the recency, relevancy, and quality of the Offeror’s overall performance record. The assigned rating will reflect the Government’s overall confidence in the offeror’s ability to successfully perform this effort considering performance on previous efforts, information identified by each contractor, Past Performance Questionnaires, and/or other information known or obtained by the Government. The Performance Confidence Assessment rating is based upon all of the information submitted/obtained and determined relevant by the Government, regardless of whether the information is for a prime or subcontractor. Past Performance which cannot be validated by a source other than the offeror will not be considered in the Past Performance Confidence Assessment. Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, that Offeror will receive an overall Performance Confidence Assessment rating of “Unknown Confidence (Neutral)” which will be considered neither favorably nor unfavorably.

The Performance Confidence Assessment ratings are as follows:

ADJECTIVAL RATING DESCRIPTION – Past Performance Confidence Substantial Confidence Based on the offerors recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offerors recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offerors recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offerors recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral) No recent/relevant performance record is available, or the offerors performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

(iv) Past performance regarding predecessor companies or principal affiliates, subsidiaries, key personnel who have relevant experience or principal subcontractors that will perform major or critical aspects of this requirement will be weighted the same (equally as important) as the past performance information for the offeror. Offerors with no recent relevant past or present performance history shall receive an Unknown Confidence meaning the rating is treated neither favorably nor unfavorably. A strong record of relevant past performance may be considered more advantageous to the government than an “Unknown Confidence” rating. In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation. Offerors receiving a Past Performance Rating of Limited Confidence or No Confidence will not be considered for award.

(v) Offerors will be provided an opportunity to address any adverse past performance information not previously addressed. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation aspect or any unfavorable comments received from sources without a formal rating system.

(4) Factor 4 – Price

(i) The Government will conduct a price analysis to determine whether the proposed prices are fair and reasonable.

The determination may be accomplished by one or more of the techniques set forth in FAR 15.404-1(b)(2).

(ii) An offeror’s proposed Total Evaluated Price (TEP) will be determined by the total price for all CLINs and will include the total price for the 6-month extension of services, which may be ordered under FAR clause 52.217-8, Option to Extend Services. The 6-month extension of services period will be evaluated using the unit prices included in the contract for the last year of performance (Option Period 4). Offers submitted in United States Dollars (USD).

Pursuant to FAR 15.402(a), to be considered for award, the offeror’s TEP must be considered fair and reasonable.

(iii) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced. As defined in FAR 15.404-1(g), unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (MAY 2024)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov.
