Paragraph (c) “Period for acceptance of offer” is tailored to read: The offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers.
Paragraph (e) entitled “Multiple Offers” is tailored to read: “The government will not consider multiple offers presenting alternate terms and conditions for satisfying the requirements of this solicitation.”
Paragraph (g) entitled “Contract award (not applicable to Invitation for Bids)” is tailored to read: “The

Officer to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. The
Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.”
Paragraph (h) entitled “Multiple awards” is tailored to read: “The Government intends to award one contract as a result of this solicitation. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified.”

52.212-2 EVALUATION -- COMMERCIAL ITEMS (Oct 2014)
52.212-2 is replaced in its entirety as follows:
I. BASIS FOR CONTRACT AWARD
A. Basis for Award. The Government intends to evaluate offers and award a contract to one responsible offeror as a result of the solicitation. The Government will utilize a Best Value, Performance-Price Trade-
Off (PPTO) source selection IAW FAR Part 12, FAR 15.101-1, DoD Source Selection Procedures, and the trade-off process identified below to identify the offeror who represents the best value to the
Government. To receive the award, offerors must (1) be deemed responsible IAW FAR Part 9, (2) conform to all required terms and conditions, and (3) represent a best value to the Government, price and other factors considered. This may result in an award to a higher rated, higher priced Offeror, where the decision is consistent with the evaluation factors and the Source Selection Authority (SSA) reasonably determines that the superior past performance of the higher priced Offeror outweighs the cost difference.
However, the Government will not pay a price premium that it considers to be disproportionate to the benefits associated with the proposed margin of service superiority.
A.1. The following factors will be evaluated on all offers:
Factor 1. Business Proposal
Subfactor A – Proposal Compliance
Subfactor B – Use of U.S. Shipyards
Factor 2. Technical Proposal
Subfactor A – Equipment
Subfactor B – Management of Operations
Factor 3. Past Performance
Factor 4. Price
A.2. Relative order of importance: Offerors' past performance will be evaluated on a basis approximately equal to price. Business Proposal and Technical Capability Proposal subfactors are rated on an
Acceptable/Unacceptable basis. Price is evaluated but is not rated. All evaluation factors other than cost or price, when combined are approximately equal to cost or price.
A.3. Proposals will be evaluated in the following manner:
B. FACTOR 1 – BUSINESS PROPOSAL

Adjectival Rating Definition
Acceptable Proposal meets the requirements of the solicitation.
Unacceptable Proposal does not meet the requirements of the solicitation.
1. Subfactor A: Proposal Compliance
a. To be rated acceptable, the proposal must include all documents and information required to be submitted under the Proposal Preparation Instructions in the solicitation.
2. Subfactor B: Use of U.S. Shipyards
a. Use of U.S. Shipyards (IAW DFARS 252.247-7026 - Evaluation Preference for Use of Domestic
Shipyards — Applicable to Acquisition of Carriage by Vessel for DoD Cargo in the Coastwise or
Noncontiguous Trade (Nov 2008)). The Government will evaluate the offeror’s use of U.S.
shipyards for certain overhaul, repair and maintenance work.
b. The offeror shall provide the following information with its offer, addressing all covered vessels for which overhaul, repair and maintenance work has been performed during the period covering the current calendar year, up to the date of proposal submission and the preceding four (4) calendar years:

Description and cost of qualifying work performed in foreign shipyards o Such work was performed as emergency repairs in foreign shipyards due to accident, emergency, Act of God, or an infirmity to the vessel, and safety considerations warranted taking the vessel to a foreign shipyard; or o Such work was paid for or reimbursed by the U.S. Government
Names of shipyards that performed the work.
Inclusive dates of work performed.
Percentage on use of U.S Shipyards using below calculation.
A rating of Acceptable or Unacceptable will be assigned based on the following formula.
[Repair Money Spent in US]/[Total Repair Money Spent] = Evaluation of Use of U.S. Shipyards
Offeror with calculation amounting to 60% or higher will receive a rating of Acceptable. Offeror with calculation less than 60% will receive a rating of Unacceptable.
All calculations are based on total number of ships owned, operated or controlled by carrier whether or not they are used on this contract.
The calculation will be rounded to the nearest tenth (i.e., 38.7%).
C. FACTOR 2 – TECHNICAL PROPOSAL
a. The Government technical evaluation team will evaluate the technical proposals at the subfactor level on an acceptable/unacceptable basis as defined below. Proposals with “Unacceptable” technical proposal rating(s) at the subfactor level will not be considered for award.

i. If barges and tugs are owned by an affiliate, subsidiary or subcontractor company, provide a signed letter stating the relationship between the affiliate, subsidiary or subcontractor and the offeror showing proof of ownership and control of the barges and tugs being offered.
ii. If barges and tugs the offeror currently does not own or have control of the assets necessary to perform all requirements, offeror provided supporting documentation to demonstrate the ability to obtain them from 1 October 2020 through 30 September 2025
(commitment or explicit arrangement that will be in existence at the time of contract award, to rent, purchase, or otherwise acquire the needed facilities, equipment, or other resources) as required by PWS paragraph 2.3.

D. FACTOR 3 – PAST PERFORMANCE. The Government past performance evaluation team shall evaluate each Offeror’s performance information using past performance questionnaires and performance information independently obtained from government or commercial sources. The purpose of the past performance evaluation is to allow the Government to assess the offerors’ ability to perform the effort described in this RFP, based on the offerors’ demonstrated past performance.
a. If the offeror fails to identify and describe the prime contractor, affiliate, subsidiary or subcontractor role in a past performance effort or how an affiliate, subsidiary or subcontractor will perform on the current solicitation requirements and how the offeror controls/obligates the affiliate, subsidiary or subcontractor in the performance of this contract, then that past performance effort may be treated with Neutral Confidence.
b. The government evaluation team will determine the recency and the relevancy of each past performance effort being evaluated. To be considered a recent effort, the effort must be currently on-going, or have been completed within 3 years from the date of solicitation issuance. Past performance information submitted which exceeds the three (3) year limit will not be considered.
The following definitions will be utilized to determine the relevancy of each past performance effort:
Past Performance Relevancy Ratings
Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat
Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
c. In assigning the relevancy rating for each contract reference, the Government will consider at a minimum:
Relevant: Transportation of fuel by tug and barge of similar scope, magnitude, and complexity, as identified below.
Scope: Tug and barge transportation of fuel between United States ports and points on the
United States ports and points on the Gulf Coast and their connecting waterways, inland waterways, coastal waterways, rivers, and tributaries.
Magnitude of Effort: Transporting and delivering of approximately 13 million gallons per month with an average of 18 deliveries per load to multiple locations per month.
Complexities: Loading, transporting, discharging, and lightering fuel safely, timely, and free of contamination via tug and barge transportation.
d. Quality: The Government will consider the performance quality of recent and relevant efforts.
For each past performance reference, the performance quality of the work performed will be assessed and shall include the prime contractor’s roles in performance if a subcontractor, subsidiary, or affiliate performed contracted work. The quality assessment consists of an in-depth evaluation of the past performance questionnaire responses, Federal Awardee Performance and
Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), Contractor Performance Assessment Reporting System (CPARS) and/or interviews with
Government mission partners.
e. As a result of the relevancy and quality assessments of the recent contracts evaluated, offerors will be assigned a single Performance Confidence Assessment rating. The assigned rating will reflect the Government’s overall confidence in the offeror’s ability to successfully perform this effort. The Performance Confidence Assessment rating is based upon all of the information submitted, obtained, and determined relevant by the Government, regardless of whether the information is for a prime, subcontractor, subsidiary, or affiliate.
Past Performance Confidence Assessments Ratings
Substantial
Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory
Confidence
Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
f. The above table reflects the Performance Confidence Assessment ratings. In evaluating past performance, the Government reserves the right to give greater consideration to information on those past performance efforts contracts deemed most relevant to the effort described in this
RFP.
g. Past Performance which cannot be validated by a source other than the offeror will not be considered in the Past Performance Confidence Assessment. Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, that offeror will receive an overall Performance Confidence Assessment rating of
“Neutral Confidence” which will be considered neither favorably nor unfavorably. A record of relevant past performance may be considered more advantageous to the Government than a
“Neutral Confidence” rating. Offerors receiving a Past Performance Rating of Limited
Confidence or No Confidence will not be considered for award.
h. In evaluating past performance, the Government will give greater consideration to information on those contracts deemed most relevant to the effort described in this RFP.
i. Offerors are cautioned to submit sufficient information and in the format specified in FAR 52.212-
1. Offerors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the
Offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.
j. Past performance regarding predecessor companies or principal affiliates, subsidiaries or subcontractors, subsidiaries or affiliates that will perform major or critical aspects of this requirement will be weighted the same (equally as important) as the past performance information for the Offeror.
E. FACTOR 4 – PRICE
a. The Government will be conducting price analysis by one or more of the techniques set forth in
FAR Part 15.404-1(b) to ensure a fair and reasonable price. Unreasonably high prices may result in elimination of an offeror from further consideration. In addition, FAR 15.404-1(g) Unbalanced
Pricing, states that a proposal may be rejected if the contracting officer determines the lack of balance poses an unacceptable risk to the Government
b. The Government will evaluate the monthly rates and the Total Proposed Price (TPP) to include the base period, all option periods and the six-month Extension of Services period in making a fair and reasonable determination. Pricing for the 6-month Extension of Services period will be based on half (1/2) the Proposed Price of the final option period. Offerors shall not submit a price for the optional 6-month Extension of Services since the pricing spreadsheet will automatically populate the total. Evaluation of options will not obligate the Government to exercise the option(s).
c. The total cost of each CLIN will be determined by multiplying the number of barges/tows by the number of months multiplied by the proposed monthly rate. The total fixed price CLINs is a summation of the total cost of each CLIN, less the reimbursable CLINs for the base and all option year CLINs, to include the six-month extension.
d. The reimbursable out-of-pocket expense CLIN is provided as an estimated cost reimbursable
CLIN. The total reimbursable out-of-pocket CLINs is a summation of the reimbursable CLIN for the base year and all option year CLINs, to include the six-month extension.
e. The Offerors TPP is a summation of the total fixed price CLINs and total reimbursable out-of-pocket CLINs.
