5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that
(i) T he Offeror and/or any of its Principals
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three year period p receding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontrac t; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209 7, if included in this solicitation);
and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entit y with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and
(D) Have
, have not
, within a three year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the cas e of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles t he taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of App eals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior o pportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii)
The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three yea r period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to co ntract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily resu lt in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional informatio n as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by pa ragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provisio n is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Of ficer may terminate the contract resulting from this solicitation for default.
52.212
2 EVALUATION
COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: (Please see addendum below)
(Addendum to FAR 52.212
2)
EVALUATION FACTORS
1)
BASIS FOR CONTRACT AWARD
Unless all offers are rejected, the Government intends to award a single, firm fixed price contract to the responsible Offeror whose offer, conforming to the solicitation, is determined to be the best overall value, price and ot her factors considered. The Government may select for award the Offeror whose price is not necessarily the lowest, but whose technical proposal is more advantageous to the Government and warrants the additional cost. Offerors must satisfy the requirements described in the Performance Work Statement (PWS), as well as other Request for Proposal (RFP) requirements. Proposals that take exception to any requirement may be deemed to be unacceptable.
2)
EVALUATION FACTORS
The evaluation will be based on a compl ete assessment of the Offeror’s proposal. Proposals shall be evaluated on the following factors listed below. Technical Approach/Capability and Past Performance are equal, and when combined are significantly more important than Price.
Factor 1
TECHN
ICAL APPROACH and CAPABILITY
Factor 2
PAST PERFORMANCE
Factor 3
PRICE
Factor
: Technical Approach and Capability
The Government will evaluate the adequacy of the Offeror’s approach, completeness and understanding of the requirements specified in th e solicitation and all attached documents, including the PWS, as demonstrated by the proposed technical approach and capabilities. The proposal shall be sufficiently complete to demonstrate how the Offeror will comply with Government tasking and requireme nts throughout the performance period. Data previously submitted, or presumed to be known ( e.g., descriptions of previous projects performed for the Government ) cannot be considered as a part of the proposal unless physically incorporated into the proposa
l. Clarity, completeness, and conciseness are essential.
: Past Performance
The government will evaluate how well the offeror has performed on contracts that have been determined to be both recent and relevant to the PWS.
Past performance is a measure of the degree to which the Offeror satisfied its customers in the past and complied with Federal, State, and local laws and regulations, as identified as the Prime Contractor or direct employee or consultant. The Government may contact some, all o r none of each Offeror’s customers to ask whether: (1) the Offeror is capable, efficient, and effective; (2) the Offeror’s performance conformed to the terms and conditions of its contract; (3) the Offeror was reasonable and cooperative during performance;
(4) the Offeror was committed to customer satisfaction; (5) the Offeror was able to hire and retain qualified personnel to the satisfaction of the customer; and (6) if they would select the same Contractor or a different Contractor, given the opportunity.
The Government may also use other information available from other sources to evaluate an Offeror’s past performance, which may include, but not limited to: Past Performance Questionnaire, Federal, State and local Government agencies, Better Business Bu reaus, published media, electronic databases such as the Contractor Performance Assessment Reporting System (CPARS) and the Past Performance Information Retrieval System (PPIRS). The Government reserves the right to limit or expand the number of reference s it decides to contact and to contact references other than those provided by the Offeror.
In the case of an Offeror without a record of relevant past performance or for whom no information on past performance is available, the Offeror will not be eval uated favorably or unfavorably on past performance.
: Price
In accordance with FAR 15.404 1, Proposal analysis techniques, proposals will be evaluated to determine if they are fair and reasonable, and reflect a clear understanding of the requirem ents.
For evaluation purposes only, the total evaluated price is the sum of the total prices submitted for (a) the base period,
(b) all option periods, and (c) the six month extension authorized by FAR clause 52.217
8. For purposes of determining the ev aluated price for the six month 52.217 8 extension, the total price is calculated as one half of the total price of the final option year. The Government may determine that a proposal is unacceptable if the option prices are significantly unbalanced. Eva luation of options will not obligate the Government to exercise the option(s).
3)
RATING METHODS
a.
FACTOR 1 TECHNICAL APPROACH AND CAPABILITY:
Volume 1 of each proposal shall be given a rating identified in Table 1 that reflects the degree to which the prop osed approach meets or does not meet the minimum performance or capability requirements through an assessment of the attributes, strengths, weaknesses, deficiencies, and risks of a proposal.
If the contractor simply meets the minimum requirements, there w ill be no deficiencies or strengths identified.
b.
FACTOR 2 PAST PERFORMANCE:
There are two aspects to the past performan ce evaluation:
Step 1
The first aspect is to evaluate the offeror’s past performance to determine how relevant each recent effort accomplished by the Offeror is to the effort to be acquired through the evaluation, and give a rating identified in Table
2. Other common aspects of relevancy include similarity of service/support, complexity, contract type, Moreover, performance of each reference must be on going or completed within the previous three (3) years of the date of this solicitation.
Table 1. Combined Technical/Risk Ratings
Color
Rating
Description
BLUE
Outstanding
Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.
PURPLE
Good
Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.
GREEN
Acceptable
Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.
YELLOW
Marginal
Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.
RED
Unacceptable
Proposal does not meet requirements and contains one or more deficiencies. Proposal is unawardable.
Table 2. Past Performance Relevancy Ratings
Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Step 2
The second aspect of the past performance evaluation is to determine how well the contractor performed on the contracts.
The past performance information collected will be evaluated to determine the quality and usefulness as it applies to performance confidence assessment. In conducting a performance confidence assessment, each Offeror shall be assigned one of the ratings in
Table 3.
c.
F
ACTOR 3 PRICE:
The price factor will not receive a rating, but the evaluated price must be found to be fair and reasonable in order to be eligible for award. The pricing evaluation will be based on price analysis techniques found in
FAR 15.404
1 to dete rmine if they are fair and reasonable.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable i f the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within th e time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negoti ations after its receipt, unless a written notice of withdrawal is received before award.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
Table 3. Performance Confidence Assessments
Rating
Description
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.
Satisfactory Confidence
