PERFORMANCE WORK STATEMENT (PWS)

Washington Headquarters Services (WHS)/Executive Services Directorate

The Freedom of Information Division (FOID) Analytical and Administrative Litigation Support Services

Revised: 7 August 2015

PART 1

GENERAL INFORMATION

1. GENERAL: This is a non-personal services contract to provide Analytical and Administrative Litigation Support Services. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government. Support activities include, but are not limited to: organization and analyzing of case materials, preservation, processing, review, and production of electronically stored information and case work for release in Freedom of Information Act (FOIA) litigation.

1.1. Description of Services/Introduction: The contractor shall provide all personnel, supervision, and other items and non-personal services necessary to perform analytical and administrative litigation support services, as defined in this Performance Work Statement except for those items specified as government furnished property and services.

The contractor shall perform to the standards in this contract.

1.2. Background: The fundamental concept underlying this contract support effort is to provide assistance to the

Department of Defense Office of General Counsel and the Department of Justice Office of Federal Programs on Freedom of Information Act Litigations. This support effort has been ongoing since 2005 due to an increase in FOIA litigation that has continued to grow by over 15 percent each year. The FOIA mandates by law that each request is responded to in a timely manner, and when the agency fails to do so, a requester has the right to bring an action in district court. Management of the Project resides in the Department of Defense Freedom of Information Division, Executive Services Directorate, of the Washington Headquarters Services. The Contractor shall provide technical and implementation support to FOID - Litigation Support Office in its processing of documents all Freedom of Information Act (FOIA) lawsuits for the Office of the Secretary of Defense/Joint Staff (OSD/JS), and providing litigation support and assistance,

1.3. Objectives: The basic service objectives are to provide analytical and administrative litigation support to the

Litigation Support Office to include:

• Processing litigation casework by conducting coordination, research, and information release recommendations and assist in reconciling differences identified.

• Identification of non-OSD/JS component equities.

• Identification of information exempted from release IAW the FOIA (5 U.S.C. § 552).

• Meet continually increasing demand of FOIA litigations by assisting other DoD components with litigation support.

1.4. Scope: Litigation support services include technical and implementation support to Litigation Support Office in its processing of all Freedom of Information Act (FOIA) lawsuits for the OSD/JS, and providing litigation support and assistance, when requested by DoD Office of General Counsel (OGC), to other DoD Components. This contract supports Litigation Support Office in document search, document review, agency coordination, draft correspondence preparation, document/information release recommendations, and preparation of legal declarations for the courts.

1.5. Period of Performance: The period of performance shall be for one (1) Base Year of 12-months and two (2) 12-month option years. The period of performance reads as follows:

Phase In/Phase Out: 14 September 2015 through 26 September 2015 Base Year: 27 September 2015 through 13 September 2016

Option Year One: 14 September 2016 through 13 September 2017 Option Year Two: 14 September 2017 through 13 September 2018

1.6. General Information

1.6.1. Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract.

Government employees shall confirm contractor case quality once worked is completed and turned in for inspection. The work will be reviewed at three levels (Ligation Support Team Chief, OGC Attorney, and Department of Justice (DoJ Attorney)) with varying degrees of oversight. These three levels are not necessarily hierarchal, and all casework requiring their approval/coordination is usually done simultaneously (FOID, OGC, DOJ, and other DoD Components when appropriate), and approval is usually done by consensus without a single final approval authority. Each review official may reject the litigation case work and return it to the team chief for correction.

1.6.2. Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards.

It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

1.6.3. Recognized Holidays: The contractors will not be required to perform services on holidays:

1.6.4. Hours of Operation: The contractor is responsible for conducting business, between the hours of 6AM and

5PM Monday through Friday except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.

1.6.5. Place of Performance: The work to be performed under this contract will be performed at Mark Center, Alexandria VA.

1.6.6. Type of Contract: The government will award a firm fixed price contract.

1.6.7. Security Requirements: Contractor personnel designated to perform and deliver under this contract must have a TOP SECRET LEVEL, at time of proposal submission and maintain level for the life of the award. The security requirements are in accordance with the provided DD254 Contract Classification Specification.

1.6.7.1 PHYSICAL Security: The contractor shall be responsible for safeguarding all government equipment, information and property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured.

1.6.7.2 Key Control. The Contractor shall establish and implement methods of making sure all keys/key cards issued to the Contractor by the Government are not lost or misplaced and are not used by unauthorized persons. NOTE: All references to keys include key cards. No keys issued to the Contractor by the Government shall be duplicated. The Contractor shall develop procedures covering key control that shall be included in the Quality Control Plan. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The Contractor shall immediately report any occurrences of lost or duplicate keys/key cards to the Contracting Officer.

1.6.7.2.1 In the event keys, other than master keys, are lost or duplicated, the Contractor shall, upon direction of the Contracting Officer, re-key or replace the affected lock or locks; however, the Government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re- keying is performed by the Government, the total cost of re-keying or the replacement of the lock or locks shall be deducted from the monthly payment due the Contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the Government and the total cost deducted from the monthly payment due the Contractor.

1.6.7.2.2 The Contractor shall prohibit the use of Government issued keys/key cards by any persons other than the Contractor’s employees. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer.

1.6.7.3 Lock Combinations. The Contractor shall establish and implement methods of ensuring that all lock combinations are not revealed to unauthorized persons. The Contractor shall ensure that lock combinations are changed when personnel having access to the combinations no longer have a need to know such combinations. These procedures shall be included in the Contractor’s Quality Control Plan.

1.6.8. Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The Contracting Officer, Contracting Officers Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the contracting officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.

1.6.9. Contracting Officer Representative (COR): The (COR) will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.6.10. Key Personnel: The personnel listed below are considered essential to the work being performed hereunder.

Prior to substituting, removing, replacing, or diverting any of the specified individuals, the Contractor shall notify the Contracting Officer 15 working days in advance and shall submit a written request and justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on this Contract. The proposed substitution of personnel must meet or exceed the education, experience, and other technical requirements of the personnel being replaced. No change in personnel shall be made by the Contractor without the prior written consent of the Contracting Officer. In the event the proposed substitution of key personnel does not meet or exceed the education, experience, and other technical requirements of the personnel being replaced, the Government reserves the right to require continued performance of previously approved key personnel or to require substitution of acceptable replacements for the individuals specified below. The key personnel listed below may, with the consent of the contracting parties, be amended from time to time during the course of the Contract to either add or delete personnel as appropriate.

The Minimum Qualifications for all key personnel are listed below:

1.6.10.1 Contract/Program Manager/Team Lead: Three (3) or more years contract management experience running medium scale technical, implementation and litigation support services (at a minimum: processing FOIA requests, conducting declassification reviews of Federal documents, knowledge of classification and declassification regulations, along with advanced knowledge of 5 U.S.C. 552) within a high pressure, fluid work environment. Program manager will be a Team Lead and shall have a Bachelor's degree in Business, possess excellent ability to communicate orally and in writing to effectively assist, interpret, and document legal casework. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract/program manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract and is responsible for the performance of the work. This key person shall obtain and maintain a TOP SECRET/SCI security clearance.

1.6.10.2 Senior Analyst: Two (2) or more years of experience in litigation support services (at a minimum:

processing FOIA requests, conducting declassification reviews of Federal documents, knowledge of classification and declassification regulations, working knowledge of 5 U.S.C. 552) and a Bachelor’s degree.

Senior Analyst shall possess excellent ability to communicate orally and in writing to effectively assist, interpret, and document legal casework. This key person shall obtain and maintain a TOP SECRET/SCI security clearance.

1.6.10.3 Junior Analyst: One (1) or more years of experience in litigation support services (at a minimum:

processing FOIA requests, conducting declassification reviews of Federal documents, knowledge of classification and declassification regulations, working knowledge of 5 U.S.C. 552) and an advanced degree or credentials. Junior Analyst shall possess satisfactory ability to communicate orally and in writing to effectively assist, interpret, and document legal casework. These key people shall obtain and maintain a TOP SECRET security clearance.

1.6.10.4 Administrative Support Specialist: One (1) or more years of experience in administrative support services (at a minimum: creating electronic and paper folders, processing documents in accordance with DFOIPO tasking procedures, tracking referrals and ensuring review meet deadlines, establish and organize case files, track pending actions and provide litigation support) and an associates degree or credentials.

Administrative Support Specialist shall be familiar with database management, project management, and electronic redaction software, and possess satisfactory ability to communicate orally and in writing. This key person shall obtain and maintain a TOP SECRET/SCI security clearance.

1.6.11. Identification of Contractor Employees: All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed.

1.6.12. Organizational Conflict of Interest: Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the Contracting Officer to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the Contracting Officer and in the event the Contracting Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may effect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.

1.6.13. Contractor Travel: Travel may be required up to 5 times a year in CONUS, to DoD Combatant Command locations such as Tampa, FL, Miami FL, and Omaha NE. In addition travel may be required to other DoD Component locations such as San Antonio TX, Laurel, MD, and Fayetteville, NC. Travel expenses not to exceed $5000 dollars a year, and must be in accordance with the Joint Travel Regulation (JTR). Contractor will be required to travel CONUS and within the NCR during the performance of this contract to attend meetings, conferences, and training. The contractor may be required to travel to off-site training locations and to ship training aids to these locations in support of this PWS. Contractor will be authorized travel expenses consistent with the substantive provisions of the JTR and the limitation of funds specified in this contract. All travel requires Government approval/authorization and notification to the COR.

1.6.14. PHASE IN /PHASE OUT PERIOD: To minimize any decreases in productivity and to prevent possible negative impacts on additional services, the Contractor shall have personnel on board, during the two week phase in/ phase out periods. During the phase in period, the Contractor shall become familiar with performance requirements in order to commence full performance of services on the contract start date.

PART 2

DEFINITIONS & ACRONYMS

2. DEFINITIONS AND ACRONYMS:

2.1. DEFINITIONS:

2.1.1. APPROVAL. Case approval occurs only when the appropriate level of review approves the contractor casework, as detailed above.

2.1.2. CASES. Individual requests for documents and their public release through the FOIA review process.

2.1.3. CASEWORK. The research, tasking, coordination, analysis, synthesis, duplication and drafting of letters/memoranda involved in the preparation of a case for approval.

2.1.4. CHAIN OF INSPECTION. The multi-tiered approval hierarchy within FOID that places the Federal Government’s authority behind the casework performed by contract FOIA reviewers and approves its finalization, with the resulting release or denial of information in responsive documents, as appropriate, or with the resulting DoD response to legislatively mandated tasking (OGIS or the Annual Report).

2.1.5. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

2.1.6. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.

2.1.7. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.1.8. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.

2.1.9. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.

2.1.10. DOCUMENT REVIEW. Analysis of responsive records to identify information that shall be withheld from release in accordance with the nine exemptions of the FOIA and appropriate security sections of Executive Order 13526. The result of analyses conducted by several agencies and returned to FOID shall be combined into one document so that all agencies release positions are integrated into one authoritative release.

2.1.11. DOCUMENT SEARCH. The formal tasking of a responsible office for documents requested under the

FOIA.

2.1.12. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.1.13. OFFICIAL INFORMATION. Any information owned by or generated by an executive branch of a government and for which control is claimed by that branch.

2.1.14. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.

2.1.15. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

2.1.16. QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

2.1.17. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

2.1.18. REDACTION. In the FOIA context, the process of editing or revising a responsive document by cutting out or removing (“withholding”) all information exemptible by the nine exemptions allowed by the FOIA, or by appropriate sections of Executive Order 13526.

2.1.19. RESPONSIVE DOCUMENT. A document which contains information sought by a FOIA requestor.

2.1.20. SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

2.1.21. WORK DAY. The number of hours per day the Contractor provides services in accordance with the contract.

2.1.12. WORK WEEK. Monday through Friday, unless specified otherwise.

GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES

3. GOVERNMENT FURNISHED ITEMS AND SERVICES:

3.1. Facilities: The Government will provide the necessary workspace/office space for the contractor staff to perform support outlined in the PWS to include items necessary to maintain an office environment.

3.2 Equipment: The Government will provide basic office space equipment and its associated operating requirements (i.e., phones, desks, utilities, information technology and general office equipment/supplies) while working in Government facilities.

3.3 Materials: The Government will provide access to governing issuance pertaining to the task.

PART 4

CONTRACTOR FURNISHED ITEMS AND SERVICES

4. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:

4.1 General: The Contractor shall furnish all supplies, equipment, facilities and services required to perform work under this contract that are not listed under Section 3 of this PWS.

4.2 TOP SECRET Facility Clearance: The contractor shall possess and maintain a TOP SECRET facility clearance from the Defense Security Service. The Contractor’s employees, performing work in support of this contract shall have been granted a TOP SECRET security clearance, and capability to obtain and maintain a TS/SCI from the Defense Industrial Security Clearance Office. The DD 254 is provided as an attachment.

4.3. Materials: RESERVED.

4.4. Equipment: RESERVED.

PART 5

SPECIFIC TASKS

5. BASIC SERVICES: The contractor shall provide the analytical and administrative litigation support services for the FOID Litigation Division in its processing of all FOIA lawsuits for the OSD/JS.

5.1 Specific Support Task - Analytical Support. The contractor shall provide analytical services in support of this program, not limited to:

5.1.1 Provide review of OSD/JS and DoD component release recommendations and assist in reconciling difference in release recommendations.

5.1.2 Assist in the identification of classified National Security Information, Restricted or Formerly Restricted Data, and militarily critical technology and report to Team Chief or the Chief of the Litigation Support Office.

5.1.3 Assist in the identification and handling of NATO classified and unclassified information.

5.1.4 Assist in the identification of non-OSD/JS component (including DoD and intelligence community).

5.1.5 Assist in the identification of information exempted from release IAW the FOIA (5 U.S.C. § 552) and application of the appropriate exemption(s) to the information.

5.1.6 Process electronic redaction of exempt information for case records.

5.1.7 Prepare detailed Vaughn indices, which must: (1) identify each document withheld; (2) state the statutory exemption claimed; and (3) explain how disclosure would damage the interests protected by the claimed exemption.

5.2 Specific Support Task - Administrative Support. The contractor shall provide administrative services in support of this program, not limited to:

5.2.1 Coordinate internally with OSD/JS components for review of documents responsive to the FOIA request (for FOIA analysts, to include assistance with the search for responsive documents) and delivery of cases to and from component offices

5.2.2 Coordinate referrals external to OSD to other DoD or government agencies

5.2.3 Administer telephonic or electronic mail coordination (internal and external)

5.2.4 Coordinate follow-up of agency coordination to determine review status

5.2.5 Provide reproduction of documents required for case records

5.2.6 Provide registration of case work, to include Classified Document Registries and other office administrative functions

5.2.7 Maintain database/records management for each case using the standard FOID records management and case processing system

5.2.8 Prepare internal and external correspondence for approval of signature by Chief, FOID for coordination or Chief, Freedom of Information Division, for releases of documents

5.2.9 Process scanning, archival and retrieval of case files

5.2.10 Prepare draft answers to litigation complaints

5.2.11 Prepare draft analysis of documents recommended for release in FOIA litigation to ensure the release is defendable in Court by analyzing them for consistency with previous releases and relevant case law

5.2.12 Provide detailed tracking of all scheduled timing for each litigation case to ensure that all Court-imposed suspense dates of document releases are met

5.3 Specific Support Task – Program Management. The contractor shall provide supervisory and liaison program management services in support of this program, not limited to:

5.3.1 Provide advice, recommendations, and documentation in support of the litigation support services.

5.3.2 Workload Status Report: provide accurate and complete data concerning activities and performance. The report shall summarize the workload volume, completion, and any obstacles encountered for the previous week.

5.4 Mandatory Contractor Manpower Reporting (CMR): The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract via a secure data collection site.

The contractor is required to completely fill in all required data fields using the following web address http://www.ecmra.mil.

Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year, beginning with 2013. TECHNICAL EXHIBIT 1

PERFORMANCE REQUIREMENTS SUMMARY

The contractor service requirements are summarized into performance objectives that relate directly to mission essential items. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement.

These thresholds are critical to mission success.

The contractor shall perform analytical support functions in accordance with (IAW) established timelines, while demonstrating appropriate knowledge and understanding of the tasks.

Accuracy and timeliness of work products should be 95% error free and returned by attorney for additional corrections 1 time

100% inspection and review of reports, release recommendations or performance metrics by the COR and validated customer complaints
