B.2 CONTRACT TYPE

This is an IDIQ contract for services per FAR Part 16. Requirements may be placed under this contract through Firm-Fixed-Price (FFP) and Firm-Fixed-Price Level of Effort Term (FFP LOET) type task orders. Other Direct Costs (ODCs), such as travel, will be Cost Reimbursable/No Fee. Each task order may include options in combination with these contract types as specified in the individual task order. This contract includes provisions for the contract types specified above. The type of contract selected for each individual task order will be based on the criteria set forth in FAR Part 16.

B.3 CONTRACT LINE ITEM FORMAT

TBD

B.3.1 – Description of ACRN usage

TBD

B.4 MAXIMUM CONTRACT CEILING

This is a multiple-award IDIQ contract with a $947M ceiling for all orders under all contracts. The maximum aggregate dollar value of all task orders under all contracts cannot exceed the contract ceiling.

B.5 MINIMUM CONSIDERATION

The guaranteed minimum amount for this contract shall be $10,000 to be met by issuance of one or more task orders. The Government has no obligation to issue task orders to the Contractor beyond this minimum amount. The funding for each task order shall be specified in the individual task orders issued.

B.6 FIXED PRICE LABOR RATES

Offerors may not exceed the fully burdened labor rates as proposed in Section J, Attachment X, under this contract and subsequent task order awards.

The Clover IDIQ Contract will have a 5-year base ordering period. The Government will request 5 years of rates for the 5-year base period, and one (1) additional six-month option period. The six-month rates will allow an option exercise if additional performance period is needed, and provide the possibility that the Government may exercise the option at FAR 52.217-8, Option to Extend Services for one (1) additional six-month period.

Fair and reasonable pricing is expected to reflect no more than 7.5% profit for each work service category cost, as detailed in Section L.X.

For each Work Service Category (WSC), the Government expects a low to high price range. This range defines the lowest base rate and the highest base rate that can be utilized in the Task Order Pricing. An escalation rate of 2.10% for all option years shall be proposed under each WSC, and is applicable to all future Task Orders.

B.6.1 Usage of rates on Task Orders

After the Clover IDIQ contract is awarded, successful Offeror awardees will be able to set an individual, fully burdened pricing rate for each WSC and skill level when proposing against future task orders. The proposed Task Order rates may not exceed the highest base rate established for each WSC and skill level in the Offeror’s proposal and award. The individual Task Order rate(s) selected will then be locked for all current and future positions at the same WSC and skill level. A discount can be offered to reflect future, realized efficiencies during Clover IDIQ contract performance; however, any individual rate proposed for a task order that falls greater than 10% below the “low” IDIQ rate for that position and period will be deemed unreasonable at the time of task order proposal submission and evaluation.

The Offeror is strongly advised to provide clear and convincing rationale to support the proposed direct/indirect and/or profit rate(s). In the event the rationale is not determined reasonable, the proposal will be deemed to have a maximum rate(s) that is not considered fair and reasonable and the proposal will not be eligible for award, regardless of technical score.

Price proposals may only be modified as a result of discussions, and Offerors are advised that the Government intends to make award based on initial proposals without discussions.

The COR(s) has a written designation memorandum on file with the procurement office. This memorandum, as directed by DFARS 252.201-7000(b), specifies the extent of the COR’s authority to act on behalf of the contracting officer. This authority cannot be re-delegated to any other person. The alternate COR acts in behalf of the primary COR in absence of the primary COR and is appointed through a separate memorandum.

The primary responsibilities of COR(s) are:

1) Technical Liaison. Oversees the Contractor’s technical effort to ensure that performance is in strict accordance with the terms and conditions of the contract. CORs are not to direct the Contractor on how to perform, but communicate only what is required of a technical nature. If doubt exists as to whether information to the furnished falls within the scope of the contract, the COR will coordinate the action(s) with the Contracting Officer prior to transmitting the information to the Contractor. Responds promptly to Contracting Officer queries for technical information and directs the Contractor to submit written requests for change, deviation or waiver to the Contracting Officer. Keeps the Contracting Officer abreast of all communications with the Contractor in order to prevent possible misunderstandings or situations that could affect contract terms and conditions and become the basis for future claims against the Government.

2) Monitoring Contractor Performance. Ensures delivery schedules are adhered to and provides quality assurance. Provides status to the Contracting Officer and other program personnel to ensure compliance with the technical requirements of the contract. If performance is not proceeding satisfactorily, or if problems are anticipated, promptly notifies the Contracting Officer and may provide a recommended technical course of corrective action. Coordinates with the Contractors and the Human Resource Office (HR) all Contractor data changes, to include arrival and departure, names, physical location(s), NGA organization code of office responsible for Contractor-occupied-space, and employer name, address, and phone. Approves badging of Contractors upon Contractor completion and submittal of Contractor Data Input Record Form to Human Resources and a standardized NGA non-disclosure statement.

COR(s) shall not direct the Contractor in any manner that would be of the type of supervision or control that converts an individual who is an independent Contractor (such as a contractor employee) into a Government employee.

Notwithstanding the delegated duties listed herein, the COR does not possess the authority of a Contracting Officer and, therefore, shall not alter the terms and conditions of the contract in any way, to include any commitments or changes that will affect cost, price, quality, quantity, delivery, or any other term or condition of the contract. The Contracting Officer is the only official with the authority to enter into or modify contractual agreements or commitments. Unauthorized acts could result in personal liability.

The duties and responsibilities set forth herein are not intended to be all-inclusive. The Contracting Officer may delegate additional functions as deemed necessary.

COR appointment and termination on a specific contract shall be effective upon contract/order award or execution of a modification to the contract by the Contracting Officer.
