About this file

This is a Questions and Answers document for solicitation HE125425RE002 for Guam Full Transportation Service, containing 18 questions from potential offerors and the government's responses.

Key clarifications include: bus runs are defined as one-way transportation from point A to B; historical ridership data shows 1-51 students per bus depending on the service type; the contract will be a single Firm-Fixed Price IDIQ award using best value tradeoff; pricing must be structured as daily rates or run rates with all costs included; contract management can be done remotely as long as Primary and Alternate Contract Managers are within 10 miles of installations; and services will be performed at three locations in Guam (Andersen Air Force Base, Naval Base Guam, and USNH Compound). Solicitation HE125425RE002 Guam Full Transportation Service Questions and Responses

Offeror Questions Reference Government Responses

1. I would like to request the number of riders or number of busses required for the following categories listed in the matrix:

0002AC - ESY (summer school) Special Education (120 runs) 0003AA - Sport Trips (600 runs) 0003AB - Late Activity (300 runs) 0003AC - Career Practicum (200 runs) 0003AD - Study Trips (600 runs) 0003AE - Special Education Trips (300 runs) 0003AF - Far East Academics Trips (50 runs) 003AG - Far East Athletics Trips (50 runs)

N/A 1 run is for 1 bus, if the requirement needed 2 buses the government would pay for 2 runs. All answers are from historical data and requirements can change depending on student enrollment.

-0002AC - ESY (summer school) Special Education (120 runs) 4 students at 3 different school complexes requiring 3 seperate buses/vehicles -0003AA - Sport Trips (600 runs) 1-51 students depending on sport.

-0003AB - Late Activity (300 runs) 20-51 students depending on sport season/club season. Requires 2 buses, 1 for the north and 1 for the south. 10 stops on each route.

-0003AC - Career Practicum (200 runs) 1-5 students -0003AD - Study Trips (600 runs) 20-51 students per bus, entire grade levels going on the same trip could require 4 buses -0003AE - Special Education Trips (300 runs) 1-5 students -0003AF - Far East Academics Trips (50 runs) 25-51 students -003AG - Far East Athletics Trips (50 runs) 24-51 students

2. FAR 52.212-2 states “The Government intends to award a single Firm-Fixed Price (FFP), Indefinite Delivery/Indefinite Quantity (IDIQ) contract to the Offeror proposal that represents the best value to the Government. This acquisition will be conducted in accordance with FAR Parts 12 and 15, utilizing the Best Value Tradeoff approach as outlined in FAR Subpart 15.101-1.”

The Firm Fixed Price CLIN structure is based on providing either a daily rate for estimated ridership for a set number of days or a “Run Rate” based on an estimated number of runs. There is no CLIN associated with the cost of vehicles, vehicle maintenance, supplies, and/or equipment necessary to perform student transportation services at the Guam Schools.

Based on the CLIN/SLIN structure and the structure of Attachment X4_Pricing, the government expects offerors to calculate all material and labor costs associated with transportation into the daily or run rates, balanced across all CLINS and SLINS.

Given the government’s required pricing approach, how does the government propose to award an FFP contract in a manner that will enable a contractor to recover all associated material costs proposed?

Solicitation page 15 This is a performance-based acquisition for a Firm Fixed Price, Indefinite Delivery Indefinite Quantity (IDIQ) contract. All potential Offerors are recommended to review the requirements and the services in which the Government is seeking to procure and allocate all associated costs and risks in providing the services. The Pricing Template will outline the services that will be required for these requirements, broken down into CLINs/SLINs. Since the Offeror bears the maximum risk, profit or loss, in a Firm Fixed Price environment, it is recommended that the Offerors factor in all associated costs and risks in performing these services as part of their pricing proposal. The Government cannot advise Offerors on how to bid in their proposal.

3. Attachment X4_Price states “Only one of these 2 Ridership Population SLINS will typically be ordered/required at a time. The Student Ridership Population number at the time of ordering will determine which of the 2 SLINS/Population ranges will be used. However for this Pricing Sheet, please input unit prices for both Ridership Populations SLINS.”

SLINs 0001AD and Options for the Safety Attendants (“1 Attendant for 1 AM Run & 1 PM run per bus per day”) only provides one pricing SLIN option.

Based on the ridership ordered, there could be more or fewer vehicles required and, therefore more or fewer Safety Attendants required, Would the government accept offerors proposing multiple pricing options (one for each of the 2 SLINS/Population ranges) for the Safety Attendants SLIN given the ridership variables?

Attachment X4_Price No, the Government will not accept multiple pricing options for X001AC Safety Attendants. The unit of issue for these positions are in "runs;" therefore, the Government will order the required number of runs in each task order. Attachment X1(a) also outlines the routes in which a Safety Attendant/Aide will be required.

4. (1) The contracting officer shall, when contracting by negotiation, insert a clause that is substantially the same as the clause at 52.216-4, Economic Price Adjustment -Labor and Material, or an agency-prescribed clause as authorized in subparagraph (c)(2) of this section, in solicitations and contracts when all of the following conditions apply:

(i) A fixed-price contract is contemplated.

Would the government revise the contract type to a fixed-price contract with economic price adjustment, as the price is contingent upon ridership, which is variable?

(ii) There is no major element of design engineering or development work involved.

(iii) One or more identifiable labor or material cost factors are subject to change.

Per FAR 16.203-4 (c) Adjustments based on actual cost of labor or material.

No, the Government will not be using a Fixed Price-Economic Price Adjustment (FP-EPA) type contract for this effort. The Offeror is able to provide different pricing based on the Ridership Population ranges presented in Attachment X4.

5. The government states “Ridership Population will be provided to the contractor prior to the issuance of each task order.” Without historical data, the contractor cannot presume how many vehicles or drivers will be needed to perform the contract in its entirety.

Would the government please provide the historical data necessary to accurately price this work?

PWS, Section 2.1.2.4.3, page 4 Yes, historical data, Attachment X1(a), and Attachment X1(b), is available after an Offeror submits Attachment X6 Non- Disclosure Agreement per the solicitation instructions. The Government will not be posting these aforementioned documents on SAM.gov due to the sensitive nature of the information in these documents that should not be released and available to the general public.

6. What constitutes an ORDER on this requirement? 52.216-18 Ordering (Aug 2020), page 49 For this requirement, we will be issuing Task Orders against the awarded IDIQ contract. Per definition in FAR 2, a Task Order means an order for services placed against an established contract or with Government sources. In accordance with FAR 16.505, individual orders will cearly describe all services to be performed or supplies to be delivered so the full cost or price for the performance of the work can be established when the order is placed. Orders shall be within the scope, issued within the period of performance, and be within the maximum value of the contract.

7. Several attachments are listed but were not provided with solicitation documents:

8. The government states “Contracting Officer Final Decision (COFD) may result in additional monetary or other considerations for non-conforming services not otherwise acceptable under the terms and conditions of the contract.”

Will the Government provide a table of non-conforming services and the monetary amounts to be withheld?

PWS Section 5.4 The intent of the Contract Discrepancy Reports (CDRs) are not intended to be punitive in nature, as a result, the Government will not be established monetary amounts that will be withheld. The Government will be following the Inspection/Acceptance procedures outlined in FAR 52.212-4(a) for any nonconforming services.

9. Would the government please provide historical total quantities for Daily Commuting Days, Sport Trips, Late Activity, Career Practicum, Study Trips, and SPED Trips?

Additional information required for PWS Yes, the Daily Commute and SPED historical data is provided once the Offeror provides a completed Attachment X6-NDA.

The following are historical data based on School Year 23-24 for the Curricular, Co-Curricular and Extended School Year trips:

Curricular Trips: 142 days Co-Curricular Trips: 472 runs Special Needs Student Trips: 45 days Extended School Year (ESY): 44 days Bus Safety Aides (ESY): 44 days *Note: the maximum ESY days were 60 (20 for the 3 Guam locations). Historically, there were 3 students at 2 locations enrolled in ESY that required transportation; however, this is subject to change each school year.

10. From PWS page 21:

“Run – All runs are one-way transportation (point A to point B), including any stops along the way. “Runs” are the requirement’s unit of issue for all Safety Attendant, SPED, Curricular and Extra-Curricular Transportation Services under this Performance Work Statement (PWS). See definitions for Safety Attendant, SPED, Curricular and Extra-Curricular Transportation Services in PWS Section 6.” SLIN 0002AA SPED and EY SLINs also have the Unit of Issue “Runs”. Will the government clarify the definition of the Unit of Issue “Runs” for each applicable SLIN?

PWS, page 21; Attachment_X4_Price As defined in the PWS, all runs are one-way transportation (point A to Point B), including any stops, if any, along the way.

Any requirements with the unit of issue of "runs" will follow the definition of runs in the PWS.

11. Attachment X5 requests CAGE (or NATO CAGE) Code. Instructions for Attachment X6 on page 71 indicate an UEI and a NATO Cage Code. Please confirm that if an entity has a CAGE code/UEI that it does not need a NATO CAGE code.

Attachment X5 – Offeror Representations and Certifications (Reps & Certs), Instructions for completing Attachment 6 in Section L

The solicitation has been revised to state, "Please provide the company's name and point of contact to include name, title, address, email, phone number, company's Unique Entity Identifier/ID, CAGE/NATO Cage Code in the body of the email." The main difference between a CAGE versus an NCAGE code is that a CAGE code is assigned to a U.S. based organization, while an NCAGE code is assigned to a non- U.S. based organization.

Could you please confirm if the proper approvals have been obtained for these addendums? If so, could you provide the necessary proof of authorization? Additionally, if these addendums are authorized deviations, can FAR 52.252-6 Authorized Deviations in Clauses (Nov 2020) be included and both clauses annotated as DEVIATION?

N/A As long as the Offeror has a Primary AND Alternate Contract Manager located within 10 miles/16 kilometers of the installations and the Offeror is able to meet the PWS requirements, there are no restrictions to the country in which an Offeror's company must be located, with the exceptions to the countries (ex: Russia, etc) that are prohibited from conducting business with the Federal Government.

16. Will the Contractor be required to work out of Joint Base Pearl Harbor-Hickman, as stated in the solicitation, or a location or base in Guam or remotely from another US state or territory?
