52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (AUG 2020)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in the provision at 52.204-26, Covered Telecommunications Equipment or Services--Representation, or in paragraph (v) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items.

(a) Definitions. As used in this provision-

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that--

(1) It [ ] will, [ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that--

It [ ] does, [ ] does not use covered telecommunications equipment or services, or use any equipment, system, or service that uses covered telecommunications equipment or services. The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.

(e) Disclosures.

(1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(2) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the PSC of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(2) of this provision.

52.204-25 PROHIBITION ON CONTRACTING FOR CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (AUG 2020)

(a) Definitions. As used in this clause--

Backhaul means intermediate links between the core network, or backbone network, and the small subnetworks at the edge of the network (e.g., connecting cell phones/towers to the core telephone network). Backhaul can be wireless (e.g., microwave) or wired (e.g., fiber optic, coaxial cable, Ethernet).

Covered foreign country means The People's Republic of China.

Covered telecommunications equipment or services means--

(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);

(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);

(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or

(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.

Critical technology means--

(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;

(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled--

(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or

(ii) For reasons relating to regional stability or surreptitious listening;

(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);

(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);

(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or

(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).

Interconnection arrangements means arrangements governing the physical connection of two or more networks to allow the use of another's network to hand off traffic where it is ultimately delivered (e.g., connection of a customer of telephone provider A to a customer of telephone company B) or sharing data and other information resources.

Reasonable inquiry means an inquiry designed to uncover any information in the entity's possession about the identity of the producer or provider of covered telecommunications equipment or services used by the entity that excludes the need to include an internal or third-party audit.

Roaming means cellular communications services (e.g., voice, video, data) received from a visited network when unable to connect to the facilities of the home network either because signal coverage is too weak or because traffic is too high.

Substantial or essential component means any component necessary for the proper function or performance of a piece of equipment, system, or service.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract, or extending or renewing a contract, with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract.

(c) Exceptions. This clause does not prohibit contractors from providing--

(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(d) Reporting requirement.

(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause to the Contracting Officer, unless elsewhere in this contract are established procedures for reporting the information; in the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.

(2) The Contractor shall report the following information pursuant to paragraph (d)(1) of this clause:

(i) Within one business day from the date of such identification or notification: The contract number; the order number(s), if applicable; supplier name; supplier unique entity identifier (if known); supplier Commercial and Government Entity (CAGE) code (if known); brand; model number (original equipment manufacturer number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.

(ii) Within 10 business days of submitting the information in paragraph (d)(2)(i) of this clause: Any further available information about mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of covered telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.

(e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e) and excluding paragraph (b)(2), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items.

52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (DEC 2006)

The following paragraph(s) are added or changed as indicated:

(b)(4) The Technical Description shall address the following factors:

FACTOR 1 – Technical. The technical section shall be a comprehensive statement of the vendor’s capability to meet or exceed the requirements in the Performance Work Statement at Attachment 1 and Technical Exhibits 1 through 3. Specific requirements for each Subfactor are listed below:

Note: Any reference to “offeror” shall include the same meaning as “vendor” and any references to “offer” shall include the same meaning as “quote.”

SUBFACTOR 1 – Software and Technical Requirements:

- The vendor shall provide a detailed narrative of the offeror’s capability to meet or exceed the required Grades 6-12 and Teacher Specialty Databases (licensing, maintenance, technical support, training and professional development) stated in the Performance Work Statement (PWS) and the Technical Exhibits 1 through 3.

Vendors may offer additional capabilities that may exceed the Government’s requirements to identify value benefits. If this is provided, vendors are requested to state how the enhanced solution will provide value added benefits to the Government’s requirement.

The narrative shall emphasize the following:

o Age Appropriate Resources:

o Age Appropriate Characteristics o Age Appropriate Navigation Features o Database Content o Virtual Professional Learning o Technical Requirements – As described in Technical Exhibit 1 o User Account Privacy: Student and teacher user account requirements of unique usernames and passwords, and that teacher user accounts as well as all user accounts do not require personally identifiable information (PII) first and last name and any other unique personal information to access online content.

- When submitting their narrative quotes, the vendor shall provide in their documentation access via a link or information that provides advance access to the proposed database system for the Government’s review and advanced testing to ensure it meets the Government’s technical requirements.

- The narrative shall not exceed a total of 35 pages, including any graphics, photographs, brochures, pamphlets, charts, and diagrams.

Page size shall be 8.5 inches x 11 inches or A4 and text font size no smaller than size 11. Number pages sequentially, when feasible.

Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Pages shall only include graphics, photographs, brochures, pamphlets, charts, and diagrams for the purpose of depicting the technical approach.

SUBFACTOR 2 – Government IT Compliance Requirements

The vendor shall provide the following filled-out forms:

- A fully executed “Addendum to License Agreement or Terms of Use” at Attachment 2 and a copy of the license agreement for the vendor’s proposed solution.

- A fully executed GPAT or VPAT for providing evidence of compliance with Section 508 requirements at Attachment 3.

- A fully executed “Cloud Questionnaire” at Attachment 4.

(b)(10) FACTOR 2 – Past Performance.

The offeror shall provide at least three (3) Past Performance references.

These references shall be from relevant and recent contracts, on-going contracts, subcontracts and/or task/delivery orders accomplished within the past three (3) years. Relevant efforts are defined as any efforts that are of similar size and scope as the solicitation. Recent efforts are defined as those performed to any extent within the last three (3) years prior to the closing date of the solicitation. These efforts shall be the same or similar in type, size and complexity as the requirements of this contract. The following information shall be included for each reference as applicable:

1. Company or Organization receiving the goods and services

2. Point of Contact with knowledge of the goods and services received and the offeror’s performance:

3. Description of the deliverable(s) and/or service provided, including the location of the service and its relevancy to the requirements of this solicitation effort (if not obvious).

7. Copy of letter sent to company authorizing the Point-of-Contact (POC) to discuss contract performance with Government evaluators.

*Please note that if an offeror does not have three (3) past performance references to submit in accordance with the above submittal requirement, the offeror shall note this information in their proposal.

(b)(6) FACTOR 3 – Price. The Vendor shall insert the proposed price in the pricing template provided at Attachment 5 to include the unit price, amount and total amount listed for the base year and option periods.

Vendors shall fill out the tabs for the base year and all option periods of the template. All items must have a price or be marked “NSP” for “Not Separately Priced.)

- Quotes WILL NOT be accepted by mail or hand delivery. Quotes must be received no later than the date and time specified in Block 8 of the SF 1449.

- E-mail subject line shall include the following information:

Solicitation number, Vendor’s company name, and number of emails if applicable (e.g. 1 of 3).

- Electronic files shall be clearly labeled and compatible with

Windows 10, Microsoft Office 2013 and Adobe Acrobat DC.

- It is the vendor’s responsibility to ensure receipt of the quote, any modifications, or revisions before the closing date and time specified in the solicitation.

Notice: DoDEA HQ has a size limitation of 10MB for each email to a DoDEA HQ email addressee. Accordingly, the vendor is solely responsible to ensure that the vendor’s quote or correspondence successfully transmits to, and is received by, its intended DoDEA HQ email addressee. The vendor is advised to immediately contact the intended email addressee for acknowledgement email receipt of the vendor’s email quote and attachments (as applicable).

(c) Period for acceptability of quote: This paragraph (c) is changed to read as follows: The vendor agrees to hold the prices in its quote firm for 120 calendar days from the date specified for receipt of quote, unless another time period is specified in an amendment to the solicitation.

(n) QUESTIONS: Questions regarding this requirement shall be submitted electronically to the Contract Specialist, Georgette.Hendricksen@DODEA.EDU and Contracting Officer, Ms. Jerri Newton at Jerri.Newton @DODEA.EDU no later than 2:00 PM Eastern Standard Time (EST) on Tuesday, 11 August 2020. (52.212-1 – End of Provision Addendum)

52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS (DEC 2006)

(a) The Government reserves the right to execute multiple awards to the responsible vendors whose narrative quotes conforming to the solicitation will be the most advantageous to the Government, price and other factors considered in accordance with FAR Part 13. Basis of Award: To be eligible for an award, a vendor must receive an overall Acceptable technical rating for Technical and an Acceptable or Neutral Past Performance rating. The following factors shall be used to evaluate offers: Technical, Past Performance, and Price.

FACTOR 1. TECHNICAL - The Government will evaluate the Vendor’s technical capability, including each sub-factor element listed below, in accordance with the following ratings. Any unacceptable rating in one or more sub-factors makes the overall factor unacceptable.

RATING DESCRIPTION

Good Quote exceeds the requirements of the solicitation.

Acceptable Quote meets the requirements of the solicitation.

Unacceptable Quote does not meet the requirements of the solicitation.

The Government will also evaluate the following subfactors in accordance with the Addendum to 52.212-1, FACTOR 1 – PWS, Technical Requirements and Exhibits to evaluate the vendor’s capability to provide the Grades 6-12 Specialty Databases using the following subfactors:

- SUBFACTOR 1 – Software and Technical Requirements: The Government will evaluate the vendor’s approach to meet or exceed the educational and technical requirements focusing on delivery of the required licensing, maintenance, technical support, training and professional development as described in the Performance Work Statement (PWS) and technical exhibits. (Exceeds/Meets/Does Not Meet)

- The evaluation will also include examination of the vendor’s proposed solution to address the following unique database product capabilities:

- Age Appropriate Resources: Grades 6-12 age appropriate reading, vocabulary and conceptual levels. (Exceeds/Meets/Does Not Meet)

- Age Appropriate Characteristics: As described in the PWS.

(Exceeds/Meets/Does Not Meet)

- Age Appropriate Navigation Features: Ease of use/simple and advanced searching. (Exceeds/Meets/Does Not Meet)

- Database Content: Age-appropriate interface and graphics, organized by source type, 100% full text resource, allows users to print, save and share materials, interface with Follett, Destiny and Library Manager.

- Virtual Professional Learning: On demand librarian/teacher tools, teacher tips, lesson plans, and/or user tutorials. (Exceeds/Meets/Does Not Meet)

- User Account Privacy: Assurance that student and teacher user accounts require unique usernames and passwords, and that teacher user accounts as well as all user accounts do not require personally identifiable information (PII) - first and last name and any other unique personal information to access online content.

- Link or access information for Government advance testing of the proposed databases and technical requirement solution.

- SUBFACTOR 2 – Government IT Compliance Forms: The

Government will evaluate the vendor’s executed submission of the required compliance forms. (Exceeds/Meets/Does Not Meet)

FACTOR 2– PAST PERFORMANCE

The offeror’s past performance shall be evaluated to assess the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance information that pertains to the resources/services outlined in the solicitation requirements. Relevant efforts are defined as any efforts that are of similar size and scope of the solicitation. Recent efforts are defined as those performed to any extent within the last three (3) years prior to the closing date of the solicitation.

Past performance will be rated on an “Acceptable,” “Neutral” or “Unacceptable” basis.

Rating Description

Good Based on the vendor’s performance record, the Government has confidence that the vendor will successfully perform the required effort.

Acceptable Based on the vendor’s performance record, the Government has a reasonable expectation that the vendor will successfully perform the required effort.

The Government may consider data available in the statistical reporting module of the Contractor Performance Assessment Reporting System (CPARS) regarding the offeror’s past performance history for the services being purchased. Information regarding past performance may also be obtained from the offeror’s proposal, information obtained from questionnaires tailored to the circumstances of the acquisition, or any other sources available to the Government, to include but not limited to: Federal Awardee Performance and Integrity Information System (FAPIIS);

Electronic Subcontract Reporting System (eSRS); other federal databases;

references from Program Managers and Contracting Officers; past customers, Government agencies and activities and other sources deemed necessary.

NOTE: In the case of an offeror without a record of relevant past performance history, the offeror will not be evaluated favorably or unfavorably for its past performance history. The offeror shall be determined to have “Neutral” past performance. For this evaluation, “Neutral” past performance rating shall be considered “Acceptable.”

FACTOR 3 – PRICE

(a) Price will be evaluated utilizing techniques identified in FAR 13.106- 3(a) to determine whether it is reasonable. The analysis will be conducted on the total price to include the base period and all option periods. All line items will be evaluated to determine if prices are unbalanced. If the analysis indicates that pricing is unbalanced, the quote may be rejected if it is determined to pose an unacceptable risk to the Government.

Neutral

No recent and relevant performance record is available or the vendor’s performance record is so sparse that no meaningful past performance assessment rating can be reasonably assigned.

Unacceptable Based on the vendor’s performance record, the Government does not have a reasonable expectation that the vendor will be able to successfully perform the required effort.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
