G.1 CONTRACTING AND ADMINISTRATIVE AUTHORITY
a. The contract will be administered by the Defense Information Technology Contracting Organization (DITCO)-National Capital Region (NCR). The Contracting Officer (KO) at DITCO-NCR (PL6), P.O. Box 549, Fort Meade, MD 20755-0549, is the only person authorized to approve changes or modify any of the requirements contained elsewhere in this contract; the said authority remains solely in the KO. In the event the contractor effects any such change at the direction of any other person other than the KO, the change will be considered to have been made without authority and no adjustment will be made in the contract costs to cover any increase incurred as a result thereof. See Clause 52.204-9000 for contact information.
b. The contractor shall submit requests for modifications of this contract to the KO with a copy of the request to the KO’s representative as designated in the KO’s representative appointment letter.
c. Contractual problems, of any nature, that may arise during the life of this contract must be handled in conformance with very specific public laws and regulations (i.e., Federal Acquisition Regulation). Only the KO is authorized to formally resolve such problems. Therefore, the contractor is hereby directed to bring all such contractual problems to the immediate attention of the KO.
d. Request for information on matters related to this contract, such as explanation of terms and contract interpretation, shall be submitted to the KO.

G.2 CONTRACT MANAGEMENT
Notwithstanding the contractor’s responsibility for total management during the performance of this contract, the administration of the contract requires maximum coordination between the Government and the contractor. The following individuals will be the Government points of contact during the performance of the contract:
a. Contracting Officer (KO).
(1) Contract Administration. All contract administration will be effected by the Contracting Officer.
Communications pertaining to contractual administrative matters shall be addressed to the KO. No changes in or deviation from the scope of work shall be effected without a written modification to the contract executed by the KO authorizing such changes.
(2) Designation of Representatives. The KO may designate individuals to act as the Contracting Officer’s Representative (COR) under any resultant task order. CORs may provide technical guidance in direction of the work, but they will not be authorized to change any of the terms and conditions of the contract or task order. CORs will be designated by a letter of appointment from the KO. Specific COR duties are described in the Task Order Guidelines.
b. Contracting Officer Representative (COR). All communication with agencies of the Government and interface with other contractors required in the performance of this contract shall be accomplished only through the direction and with the coordination of the COR. The responsibilities and limitation of CORs are contained in the Task Order Guidelines.
c. Technical Coordination.
(1) Performance of work under this contract shall be in compliance with the PWS and terms and conditions of any approved task orders.
(2) All technical coordination shall remain within the scope of this contract and that of individual task orders.
No oral statements of any person whosoever shall in any manner or degree modify or otherwise affect the terms of this contract or of the TOs. Technical coordination shall not result in any action that:
(a) Constitutes an assignment of additional work outside the SOW, PWS or task order.
(b) Constitutes a change as defined in the contract clauses 52.243-1, Changes - Fixed-Price and 52.243-2, Changes - Cost-Reimbursement, as applicable.
(c) Causes an increase in the total contract ceiling amount, task order price, or the time required for contract or task order performance.
(d) Changes in any of the expressed terms, conditions or specifications of this contract or any approved task orders.
(e) Interfere with the contractor’s right to perform the terms and conditions of the contract.

G.3 TASK ORDER PROCEDURES
The following defines the process by which TOs will be processed and priced and how a TO will be awarded. It also defines specific, local provisions to be used for issues concerning TO consideration and payment. Careful attention should be paid to those areas in which the procedures, processes, and provisions change due to use of a different contract types or pricing methodology.
a. RFP Process. The KO(s) will assign a pre-award tracking number to each task order requirement at the time it is received from a customer agency. The prime contractor shall submit a proposal in response to the Government’s request. The announcement will include, at a minimum, the following information:
* Tracking Number
* Date of Announcement
* Statement of Work (SOW), Statement of Objectives (SOO) or Performance Work Statement (PWS)
* Anticipated Contract Type
* Proposal Evaluation Criteria
* Contracting Agency POC Name Phone Number and Fax (KO and Contract Specialist)
* E-mail Address, Mailing Address or Fax Number
* Proposal Due Date
b. Awarding a Task Order. The Government will evaluate the requested proposal for technical acceptability and to ensure prices are in accordance with the terms of the base contract. The Government’s award decision will be based on selection criteria which may address past performance, technical/management approach, and cost. Among other sources, evaluation of past performance will be based on a database built from past performance assessments provided by the CORs on individual task orders performed throughout the life of the contract. In addition to past performance, technical/management approach, and cost, individual TO selection criteria may include other factor(s) relevant to the particular requirement. The order of importance for the factors will be identified in each individual request for proposals.
c. Proposal Process.
(1) Request for Proposals (RFP). The KO solicits proposals from the contractor by sending an RFP to the contractor. The contractor is typically allowed between 14-30 days to prepare and submit offers (maybe more depending upon the complexity of the requirement). Each RFP will indicate the proposal due date and any unique evaluation criteria, including relative importance.
(2) Questions and Answers. The contractor may request written or oral clarification of requirements, evaluation criteria, and proposal preparation instructions. Such requests for clarification must be sent to the KO within 7 days or if specified, by a date specified in the RFP transmission. As a result of clarification requests, the KO will determine if any revisions to SOW/PWS/SOO requirements or evaluation criteria are required, and if necessary, issue an Amendment to the request for proposals. The KO may extend the proposal due date in the event that written clarification is not provided to the contractor in a timely manner.
NOTE: Do not confuse clarifications as used above with regard to questions about the RFP with clarifications as used during discussions as described in FAR 15.306 Exchanges with offerors after receipt of proposals for the IDIQ Base Contract.
(3) No-Bid Replies. The contractor must submit complete technical and price/cost proposals no later than the proposal due date and time. “No-bid” replies are only permitted when the contractor is not obligated to honor orders in accordance with FAR 52.216-19. “No-bid” replies must be submitted to the KO by e-mail and must reference the tracking number specified in the KO’s letter request for proposal.
(4) Technical Proposals. Written technical proposals will be streamlined, normally customized to the size and complexity of the requirement, stating compliance with SOW or PWS requirements. Risks, assumptions, and conflict of interest issues must be resolved prior to submitting proposals for task orders. Proposals shall not merely restate SOW or PWS requirements. The technical proposal may be required to address for example:
* Technical Approach
* Key Personnel
* Quantities/hours of personnel by labor categories
* Other Direct Costs (ODCs)
* Risks
* Period of Performance
* Government-Furnished Equipment (GFE) and/or Government-Furnished Information (GFI)
* Security (including clearance level)
* Teaming Arrangement to include subcontracting, if applicable.
(5) Cost Proposals. A written cost/price proposal will always be required. This part of the proposal shall include detailed cost/price amounts of all resources required to accomplish the task, (i.e. labor hours, rates, travel, incidental equipment, etc.). The contractor is permitted to propose discounted labor rates that are lower than those established in the Labor Rate Tables of this award, which will be included in Section B of the final awarded IDIQ contract. The contractor shall fully explain the basis for proposing lower rates. The proposed, reduced labor rates will not be subject to audit. The reduced labor rates will apply only to the respective TO and will not change the fixed rates in the Section B Labor Rate Tables of the base IDIQ contract. The level of detail required shall be primarily based on the contract type planned for use, as further discussed below.
(i) Fixed Price (FP). The proposal shall identify labor categories in accordance with the Labor Rate Tables contained in Section B of the base IDIQ contract, and the number of hours required for performance of the task. The proposal must identify and justify use of all non-labor cost elements. It must also identify any GFE and/or GFI required for task performance. If travel is specified in the TO statement of work, air fare and/or local mileage, per diem rates by total days, number of trips and number of contractor employees traveling shall be included in the cost/price proposal. Prior to incurring any long distance travel expenses, the contractor shall obtain written approval from the COR that approves approximate travel dates, expected duration, origin and destination, purpose, estimated costs, and the number and names of personnel traveling. Proposed materials costs shall, when requirements for materials are sufficiently defined by the TO statement of work, include sufficient break-out of all materials, including description, brand name, model/part number and number of units that can be verified as fair and reasonable.
(ii) Cost-Reimbursement. TO Cost/price proposals shall include, as a minimum, a complete Work Breakdown Structure (WBS), which coincides with the detailed technical approach; and provides proposed labor categories, hours, wage rates, direct/indirect rates, ODCs and fee. Cost-reimbursement proposals shall be submitted in accordance with FAR 52.215-20 - Requirements for Cost or Pricing Data or Information Other Than Cost or Pricing Data.
(iii) Other Relevant Information. This information shall always be in writing and shall address other relevant information as required by the contract or requested by the TO proposal request. The contractor shall assume all costs associated with preparation of proposals for task order as an indirect charge. The Government will not reimburse awardee proposal costs as a direct charge.
(iv) Clarifications, Communications or Discussions of Proposals. Proposals will be evaluated in accordance with the selection criteria set forth in the proposal request. If necessary, during the evaluation of proposals, the Government may contact the contractor with questions concerning its proposal. Upon completion of the evaluation, the KO will issue a TO.
f. Other Considerations.
(1) The Contracting Officer is not required to synopsize orders under this contract.
(2) The contract rates contained in Section B of the base IDIQ contract have been determined to be fair and reasonable based upon adequate price competition during the award of the basic contract. These contract rates shall be used by the contractor as the basis for developing proposals. However, the contractor may choose to use discounted contract rates for specific orders where the actual work requirements and the site location(s) are known or to provide a better value to the Government.
(3) Performance based work statements shall be used to the maximum extent practical.
(4) The contractor shall work in partnership with the Government to close out orders as soon as possible after they are physically complete by using the “Quick-Closeout” procedures described herein as much as practical.
g. Resolution of Issues. In the event issues pertaining to a proposed TO cannot be resolved to the satisfaction of the KO, the KO reserves the right to withdraw and cancel the proposed TO. In such event, the contractor shall be notified in writing of the KO’s decision. This decision is final and conclusive and shall not be subject to the “Disputes” clause or the “Contract Disputes Act.”
h. Task Order Issuance. Task order awards may be issued by e-mail, regular mail or facsimile using a DD Form 1155, Order for Supplies and Services. The contractor may be required to register in the Electronic Data Access (EDA) web site at http://eda.ogden.disa.mil/ to obtain copies of TOs.
i. Unauthorized Work. The contractor is not authorized at any time to commence TO performance prior to issuance of a signed TO or other written approval provided by the KO to begin work.
j. Task Funding Restrictions. No unfunded tasks are allowed.

k. Contract Closeout. Final invoice shall be submitted within ninety (90) calendar days following the end of the Period of Performance. When the bilateral modification to closeout the specific TO is forwarded to the contractor, it shall be signed and returned to the respective KO within 10 working days of modification submittal. For specific TOs, these dates can be revised at the discretion of the KO.
l. DISA Ombudsman. In accordance with FAR 16.505(a)(10)(i), no protest under FAR Subpart 33.1 is authorized in connection with the issuance or proposed issuance of a TO under this contract, except for a protest on the grounds that a TO increases the scope, period, or maximum value of the contract, or when the value of the TO exceeds $10 million. The DISA/DITCO Chief of Information Technology Contracting Division has been designated as the DISA Ombudsman. The DISA Ombudsman will review complaints from the contractor and ensure that contract actions related to this base IDIQ follow the procedures set forth in the contract. Complaints to the DISA Ombudsman may be forwarded to:

G.4. KEY PERSONNEL.
a. As prescribed by DARS 52.237-9000, Task Order-level key personnel will be identified by the Government based upon reviews of the Contractor’s Technical/Management proposal in response to task order requirements.
Prior to substituting, removing, replacing, or diverting any of the specified individuals, the Contractor shall notify the Contracting Officer (KO) 15 working days in advance and shall submit a written request and justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on this Contract. The proposed substitution of personnel must meet or exceed the education, experience, and other technical requirements of the personnel being replaced. No change in personnel shall be made by the Contractor without the prior written consent of the Contracting Officer. However, in urgent situations, as determined or agreed to by the Contracting Officer, an oral request to substitute key personnel may be approved and subsequently ratified by the Contracting Officer in writing. Such ratification shall constitute the consent of the Contracting Officer required by this paragraph. The Contracting Officer will notify the Contractor within 10 working days after receipt of all required information of the decision on the substitution(s). In the event the proposed substitution of key personnel does not meet or exceed the education, experience, and other technical requirements of the personnel being replaced, the Government reserves the right to require continued performance of previously approved key personnel or to require substitution of acceptable replacements for the individuals specified below. The key personnel listed below may, with the consent of the contracting parties, be amended from time to time during the course of the Contract to either add or delete personnel as appropriate.
b. Contract-level key personnel who will be responsible for managing the FTE support, including business development, quality control, proposal management, contract management, as well as the individual assigned as the single interface with the Government’s contracting organization, shall be identified by the Offeror in the table below. Removal, replacement, or diversion of Contract-level key personnel shall be processed in accordance with DARS 52.237-9000 and Paragraph a above. c. Notwithstanding any of the foregoing provisions, key personnel shall be furnished unless the contractor has demonstrated to the satisfaction of the KO that the qualifications of the proposed substitute personnel are equal to or better than the qualifications of the personnel being replaced. In the event the proposed substitution of key personnel does not meet or exceed the education, experience, and other technical requirements of the personnel being replaced, the Government reserves the right to require continued performance of previously approved key personnel or to require substitution of acceptable replacements for the individuals specified above.

INFORMATION TO OFFERORS AND INSTRUCTIONS FOR PROPOSAL
PREPARATION
1.0 Program Title and Objectives
1.1. Budget/Funding Information
For consideration in developing your proposal, the program/budget funding is as follows:

2.0 General Instructions
(a) This section of the Information to Offerors provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS). Non-conformance with the instructions provided in this Information to Offerors may result in removal of the proposal from further evaluation.
(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.
(c) Elaborate brochures or documentation, binding, detailed art work, internet hyperlinks, or other embellishments are unnecessary and are not desired.
(d) The proposal acceptance period is specified in Section A of the solicitation. The offeror shall make a clear statement in Section A of the proposal documentation volume that the proposal is valid through this date.
(e) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
2.1 General Information
2.1.1. Point of Contact
The contracting officer (KO) is the sole point of contact for this procurement. Address any questions or concerns you may have to the KO. Written requests for clarification must be sent to the KO at the address located in Section A of the model contract/solicitation.
2.1.2. Debriefings
The KO will notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The KO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
2.1.3. Discrepancies
If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the KO in writing. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.
2.1.4. Electronic Reference Documents
All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation. The Defense Spectrum Organization Electromagnetic Spectrum Applied Engineering Spectrum and E3 Services RFP and all attachments are available on the FedBizOpps web page. Potential offerors can add opportunities to a “watch list” list (aka “favorites” list) and receive email updates anytime this RFP is updated. (Refer to the Vendors Guide located on the FedBizOpps website for information on establishing a “Watch List”).
2.1.5 Communications
Exchanges of source selection information between Government and offerors will be controlled by the contracting officer. Email may be used to transmit such information to offerors only if the email can be sent and received encrypted and includes “Source Selection Information – See FAR 2.101 & 3.104” in the Subject line.
2.2 Organization/Page Limits
The offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table 2.2 below). The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits as specified in Table 2.2. The contents of each proposal volume are described in the information to offerors paragraph as noted in the table below.

2.2.1 Page Limitations
Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. The Government reserves the right not to consider for award any proposal that does not adhere to the administrative requirements of this solicitation. Each page shall be counted except the following: Title/Cover pages, tables of contents, glossaries, resumes, OCCI mitigation plans, and blank pages, which shall not count against page limitations.
2.2.2 Page Size and Format
2.2.2 .1 A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts.
Pages shall be single-spaced. Except for the reproduced sections of the solicitation document, the text size shall be no less than 12 pt point Ariel, Times New Roman, or Courier New font for all text. The technical volume of the proposal is to be submitted as an MSWord 2010 or PDF document. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall apply to responses to ENs. The technical portion of the quotation is to be submitted as an MSWord 2010 or PDF document.
2.2.2 .2 Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 by 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a single page.
Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 10 point Ariel, Times New Roman, or Courier New font for all text included in a table.
2.2.3 Cost or Pricing Information
All cost or pricing information shall be addressed ONLY in the Cost/Price Proposal Volumes. Cost trade-off information, work-hour estimates, and material kinds and quantities may be used in other volumes only as appropriate for presenting rationale for alternatives or design and trade-off decisions.
2.2.4 Cross-Referencing
To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.
Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity.
2.2.5 Table of contents
Each volume, except the Cost/Price Volume IV shall contain a more detailed table of contents to delineate the subparagraphs within that volume.
2.2.6 Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each.
2.2.7 Labeling
A cover sheet should be contained in each volume, clearly marked as to volume number, title, solicitation identification, and the offeror's name. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
2.3 Proposal Submission
a. To respond to this solicitation, the offeror shall deliver its proposal in electronic file format via the following email addresses.

b. All proposal volumes shall be submitted in MSWord 2010 or Adobe Acrobat, Portable Document Format (PDF), Version XI; except the Cost/Price Volume, which shall be submitted in MS Excel. Note: There shall be no page markings with restrictive legend prohibiting the copying and pasting of text for Government use specific to this acquisition.
c. Submit each volume as a separate electronic file. Each file must be autonomous and complete. The maximum email size limit is 10MB.
d. Virus Check. Offerors shall perform a virus check prior to proposal submittal and certify they have done so in the proposal’s Narrative Summary.

e. Use of the software and procedures described in this part will reduce the amount of time and effort needed by the Government to receive and install proposals into an electronic evaluation system and will help to ensure that proposals are suitable for reading electronically. Information regarding electronic products listed herein should not be construed as Government endorsement for such products.
f. Due Date/Time. The time specified on the SF-33 is in EST. Any proposal, modification, or revision, that is received at the designated email address in section 2.10(a) after the exact time specified for receipt of proposals (Block 8 of the SF-33) is “late” and will be handled in accordance with FAR 15.208(b) and subparagraphs thereto.
g. The offeror’s proposal submission will be considered complete when all volumes have been received.
Partial proposals will be considered late.
h. The offeror shall prepare a “readme” file which provides a checklist and describes the organization and layout of the files in its electronic submission.
i. Efforts by the Government to clarify or expedite installation of electronic proposal submissions, in accordance with FAR 15.207(c), will not be considered discussions.
3.0 Volume I - Executive Summary
In the executive summary volume, the offeror shall provide the following information:
a. Cover page providing the contractor name and reference to the RFP name and number.
b. Table of Contents of the entire proposal to include Lists of Tables, Figures, and/or Drawings.
c. Narrative Summary which should include the validity of the period of the proposal.
d. Glossary of Abbreviations and Acronyms
3.1 Narrative Summary
The narrative summary of the entire proposal should be concise, to include addressing the significant risks, and highlighting any key or unique features, excluding cost/price. The salient features should tie in with Section M evaluation factors/subfactors. Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal.
4.0 Volume II - Technical/Management Approach (Evaluation Factor 1). The PWS, included in Section C of this solicitation, provides the Government’s overall requirements for the duration of the contracts. After contract award, the offeror shall use the PWS together with other applicable portions of the basic award as a basis for the description of its capabilities and ability to propose appropriate services when ordered in specific future TOs.
4.1 Scope of Volume. Offerors shall submit their Technical/Management Approach as Volume II of the proposal in response to the Technical/Management subfactors. All the requirements specified in the solicitation are mandatory.
The Technical/Management Approach Volume shall not include price information or classified information.
4.2 General. The Technical/Management Volume should be specific and complete. Your responses will be evaluated against the technical/management subfactors defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. Do not merely reiterate the objectives or reformulate the PWS.
4.3 Format and Specific Content. In the Technical/Management volume, address your proposed approach, as applicable, to meeting or exceeding the PWS requirements for each technical/ management subfactor. Resume shall be submitted in support for Key Personnel subfactor.
4.4 Volume II Organization – Technical/Management. The Technical/Management volume shall be organized to correlate the proposed solution to the technical/management subfactor being proposed. Proposed solutions must be labeled with the subfactor number and presented in the exact order they are presented in Section M.
5.0 Volume III - Past Performance
5.1 General
Each offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with the format contained in Attachment #4, Past and Present Performance Information. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance.
Along with the information required in this paragraph, the offeror shall submit a consent letter executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of past performance information to the offeror so the offeror can respond to such information.
5.2 Relevant Contracts
Submit information using the format contained in Attachment #4, Past and Present Performance Information. Past and Present Performance Information may be submitted for the offeror/teaming partner/subcontractors on a maximum of 5 recent contracts that you consider most relevant in demonstrating your ability to perform the proposed effort. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this solicitation, or for ongoing efforts, must have been in place at least six (6) months before the proposal due date. Past performance information that fails this condition will not be evaluated. The total of Past and Present Performance Information references must not exceed 5. The page limit for each Past Performance reference is annotated above in Table 2-2. Include rationale supporting your assertion of relevance. The Government uses degrees of relevancy when assessing recent, relevant contracts I AW DoD Source Selection Procedures, paragraph 3.1.3.1, Table 4, exerted in Section M as Table 3, Past Performance Relevancy Ratings. The past performance evaluation team will consider the performance quality of relevant recent efforts for the second aspect of the past performance evaluation using Section M Table 4, Past Performance Quality Assessment. Finally, the past performance evaluation team will assign a performance confidence assessment rating at the factor level based on an integrated assessment of the quality and relevance of each recent Past Performance reference. Performance Confidence Assessment ratings are identified in Section M, Table 5.
5.2.1 Specific Content
Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. Categorize the relevant information into the specific technical/management subfactors used to evaluate the proposal. IDIQ contracts, including GSA Schedule contracts, will not be considered as past performance references unless the offeror identifies at least one correct task order number meeting the recency criteria. Each task order under an IDIQ contract shall be considered as a separate reference.
5.3 Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this procurement.
To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offerors, your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
5.4 Questionnaires. The offeror shall provide the Past Performance Questionnaire, found as attachment #5 of this solicitation, to each of the customer Points of Contact (POC) identified for each of the past performance efforts submitted. Offerors should request the customer POCs to complete and e-mail the questionnaires directly to both e-mail addresses as referenced in Section L 2.3(a), no earlier than 15 days after release of the RFP and no later than the date indicated for proposal submission. In order to expedite the assessment process, the offeror may complete Sections 1 and 2 of the Past Performance Questionnaire for the convenience of the POC. The offeror shall not, however, complete any other section of the Past Performance Questionnaire. Once the questionnaires are completed by the customer POCs, the information contained therein shall be considered source-selection sensitive and shall not be released to the offeror. Early submission of the Past Performance Questionnaires is encouraged.
6.0 Volume IV - Cost/Price
6.1 General Instructions
6.1.1 Cost/Price Reasonableness, and Completeness
This section is to assist you in submitting cost or pricing data that is required to evaluate the reasonableness, completeness, and balance of your proposed price/cost. Reasonableness will be determined using one or more of the techniques within FAR 15.404. For those labor categories with multiple skill levels (senior, mid-level, entry-level), the Government will review the labor rates for balanced pricing. Unbalanced costs pose an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. For completeness, the Government will verify that the offeror has proposed fully burdened labor rates for all labor categories provided by the Government in the pricing template for both Government Site and Contractor Site. The Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format.
Note that unreasonably high proposed costs, initially or subsequently, may be grounds for eliminating a proposal from competition. Cost submissions should be sufficiently detailed to demonstrate their reasonableness and be adequate enough to support and sustain a DCAA audit.
6.1.2 Cost/Price Information
Pricing submitted for the base period and all option periods, including option pricing for an additional six-month period that may be authorized IAW FAR 52.217-8 "Option to Extend Services" will be evaluated. See FAR 52.217- 8 which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. These prices shall be identical to the proposed pricing in the six months prior to expiration of the final option period. Pricing will be incorporated into Schedule B and related B-Tables upon contract award and used as a ceiling for all firm-fixed-price orders placed post-contract award.
Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your cost/price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price Volume.
Under no circumstances shall this information and documentation be included elsewhere in the proposal.
6.1.3 Cost or Pricing Information Requirements
It is anticipated that pricing of this action will be based on adequate price competition; therefore, offerors are not required to submit certified cost or pricing data. Following contract award, cost/price information related to proposals for task orders and modifications submitted by both the prime contractor and subcontractor will be subject to regulations set forth in FAR 15.403. In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5. If, after receipt of proposals, the KO determines the required conditions of adequate competition do not exist that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing data (see: FAR 15.406-2 -- Certificate of Current Cost or Pricing Data).
6.2 Volume IV (Cost and Price Proposal) Organization
The Cost/Price volume shall consist of the following sections:
a. Price Narrative
b. Pricing Spreadsheet; Pricing Template, provided by the Government in attachment #1.
c. Other information
6.2.1 Price Narrative. Include table of contents; summary descriptions of accounting, estimating, and purchasing systems; and changes to estimating or accounting practices as applicable to this solicitation.
6.2.2 Microsoft Excel Spreadsheet template provided by the Government
a. To enable the Government to evaluate pricing information as Factor-3 of the contract, the Government has provided a Pricing Spreadsheet Template, included as Attachment #1 to this solicitation that the offerors shall utilize in pricing their proposal. Within the pricing template, offerors are required to provide fully burdened labor rates for each year of the period of performance plus the FAR 52.217-8 Option to Extend Services.
b. With the exception of selected cells within the ‘Labor Rate Table’ tab, the pricing template is protected by the Government and offerors shall not unprotect, alter, or add to the pricing template in any manner.
c. The offeror shall provide a fully burdened labor rate for each labor category included within the ‘Labor Rate Table’ tab of the pricing template. Failure to provide Contractor-proposed labor rates for all labor categories, to include work performed on a Government site and work performed at the Contractor site, may result in a rejection of the offeror’s proposal.
d. The Government does not guarantee that any of the labor categories or estimated hours on the price template will be ordered. The ‘Labor Rate Table’ provided in the pricing template will be used as the ceiling labor rates for pricing of all labor proposed under future fixed priced task orders issued under this IDIQ contract. The complete Labor Rate Table, to include escalated rates for each contract years 2 through 5shall be incorporated into the resultant contract as an attachment to Section B.
e. The Government provided pricing template is NOT an order for service. The spreadsheet lists a set of labor categories, anticipated for use on future task orders issued under the IDIQ, and estimated hours which will be used for evaluation purposes only.
f. Upon award, the period of performance will consist of a one-year base period and four one-year option periods.
