H CLAUSES
H.1 GOVERNMENT-CONTRACTOR RELATIONSHIPS (NON-PERSONAL SERVICES).
The Government and the Contractor understand and agree that the services to be delivered under this contract by the Contractor to the Government are non-personal services. The parties recognize and agree that no employer -employee relationships exist or will exist under the contract between the Government and Contractor and/or between the Government and the Contractor's employees. It is therefore in the best interest of the Government to afford the parties a full and complete understanding of their respective obligations.
Contractor personnel under this contract shall not:
• be placed in a position where they are appointed or employed by a Federal Officer, or are under the supervision, direction, or evaluation of a Federal Officer, Military or Civilian.
• be placed in a staff or policy making position.
• be placed in a position of command, supervision, administration of control over Military or Civilian Personnel, or personnel of other Contractors, or become a part of the Government organization.
• be used for the purpose of avoiding manpower ceilings or other personnel rules and regulations or the Civil Service Commission.
• be used in administration or supervision of military procurement activities.
The services to be performed under this contract do not require the Contractor or its employees to exercise personal judgment and discretion on behalf of the Government, but rather the Contractor's employees will act and exercise personal judgment and discretion on behalf of the Contractor.
Rules, regulations, directions and requirements which are issued by command authorities under their responsibility for good order, administration, and security are applicable to all personnel who enter the installation, or who travel on Government transportation. This is not to be construed or interpreted.
(End of Clause)
H.2 INTELLIGENCE OVERSIGHT
Per DoD Directive 5148.13, Intelligence Oversight, 26 April 2017, contractor personnel shall receive initial and annual refresher intelligence oversight training during the entire Period of Performance. At a minimum, intelligence oversight training will include:
(1) Familiarity with the authorities and restrictions established in DoDD 5240.01, DoD Manual 5240.01, and other applicable Intelligence Community Directives and DoD issuances governing applicable intelligence activities.
(2) Responsibilities of DoD personnel and DoD contractor personnel for reporting Questionable Intelligence Activities (QIA) and Significant or Highly Sensitive Matter (S/HSM) per Paragraph 4.1.a. of DoD Directive 5148.13, Intelligence Oversight, 26 April 2017.
H.3 SUBCONTRACTING REQUIREMENT
The magnitude of this contract may require many business concerns to team, partner, and/or subcontract with other business concerns (large and small). The Government has set a small business subcontracting requirement of 30% of total contract dollars for this contract. All large business prime contractors will be required to meet and maintain this requirement throughout the life of the contract. Data regarding each Contractor's subcontractor performance will be obtained as follows: large business prime contractors shall submit documentation supporting actual total contract dollars subcontracted to small business concerns per eSRS contract clause and FAR 52.204-10. This 30% minimum requirement shall be evaluated by the Contracting Officer as part of a determination of past performance compliance for exercising an option period on that prime contractor's contract. Additionally, the Government shall be entitled to a unilateral reduction on contract price in an amount that, considering the circumstances, is determined to be equitable by the Contracting Officer (see Clause H-7)
H.4 SMALL AND SMALL DISADVANTAGED SUBCONTRACTING REQUIREMENTS
The subcontracting levels stated below are the minimum requirements of the contract. The percentages stated in this clause are not goals; they are mandatory requirements. The minimum mandatory requirements are a percentage of total contract dollars.

H.5 BILLABLE TIME.
Per FAR 52.232-7 Payments Under Time-and-Materials and Labor-Hour Contracts, time shall be calculated as stated in this clause. Under this clause, the appropriate fully burdened hourly or daily rate prescribed in the Schedule shall be the applicable rate for the authorized position the contract employee is filling (for CONUS-based positions) or is slated to fill (for OCONUS-based positions).
For CONUS labor, time shall be calculated by multiplying the appropriate fully burdened hourly rate prescribed in the Schedule by the number of direct labor hours worked after the employee has been selected for employment (for CONUS labor). The Government does not consider the time spent by potential new contract employees on Contractor-directed interviews, training, medical screening, security screening and language testing required to meet minimum contract qualifications and requirements outlined in Statement of Work (Attachment 1) as direct hours billable under this contract.
For OCONUS labor, time shall be calculated by multiplying the appropriate fully burdened daily rate prescribed in the Schedule by the number of days the employee assigned to an authorized position is available to support mission requirements and shall not include, travel time to/from the OCONUS assigned deployment site including the day of arrival and day of departure, days the employee is sick, on leave, not assigned to an authorized position (only one individual may be assigned to an authorized position on any given day), or otherwise not available to support contract requirements.
For Government approved travel using commercial carriers, the contractor shall book commercial travel in the most cost effective method and schedule for the employee to reach their destination in a timely manner. Any overnight layovers requiring billeting en-route shall have prior COR approval. During Government approved travel, time for contract employees shall be billed to the appropriate CONUS labor CLIN and calculated by multiplying the appropriate fully burdened hourly rate prescribed in the Schedule by the number of direct labor hours spent in a travel status not to exceed 8 hours per calendar day. For air travel, the starting time shall be when the contract employee arrives at the departure airport, but no earlier than two hours prior to the scheduled flight departure time.
Travel time shall cease upon arrival at final OCONUS deployment or TDY site. For OCONUS deployments, the contractor may bill a maximum of 8 hours (at the corresponding CONUS hourly rate) the day of arrival and day of departure at the deployment site if the individual is not available to support contract requirements. Under no circumstances shall the contractor bill both CONUS and OCONUS labor CLINs for an individual on the same calendar day.
H.6 BILLABLE TRAVEL AND ODCS.
Per FAR 16.601(a), Other Direct Costs shall be billable at cost and may include applicable indirect rates as stated and accepted by the government in the contractor’s proposal.
The Travel and ODC CLIN, will only be utilized for payment of the following billable expenses: Government approved travel and costs of Government directed unique training. All anticipated expenses under this CLIN shall be submitted to the COR or other designated Government representative for approval prior to any expenditures taking place.
The Government does not consider travel or expenses associated with pre-employment Contractor-directed interviews, any training required to meet minimum contract qualification or requirements outlined in Attachment 1, as direct costs billable under this CLIN. Any ODCs other than those stated in Attachment 1, SOW 6.2.1-2 or this clause are not reimbursable without the prior consent of the COR and Contracting Officer.
H.7 SYNCHRONIZED PRE-DEPLOYMENT AND OPERATIONAL TRACKER (SPOT).
All contractor personnel authorized to accompany U.S. Armed Forces deployed outside the United States must be accounted for in the Synchronized Pre-deployment and Operational Tracker (SPOT) Program located at https://spot.altess.army.mil/. Per DFARS 252.225-7040, the prime contract will be pre-loaded in SPOT by the Contracting Officer.
The prime contractor will have a primary Point of Contact that will process the LOAs within the SPOT system. The contractor, including subcontractors, will be required to input the LOA requests for each employee in SPOT and send to the applicable designated government approver. The Contracting Officer will assign the Government Authority who will authorize the LOA followed by the Contracting Officer, or designated representative, who will approve the LOA within the system. Once approved by the Contracting Office, an LOA cannot be modified. If changes are required, the Contracting Officer will revoke the current LOA and a new LOA must be submitted. If the individual is already deployed, the contractor and designated government personnel have 72 hours to submit and approve a new LOA before access to authorized Government Furnished Life Support will be denied. A complete and current SPOT guide is available on the SPOT website.
The basic process for LOA's is three steps:
Step 1: The contract will be loaded in SPOT by the Contracting Officer; the Government will pre-load authorizations, privileges per the contract, etc. and ensure all Government Authorities are assigned in the SPOT system.
Step 2: The Primary Company Representative shall register in SPOT in the role of Company Representative and list the Contracting Officer as the sponsor. Once approved, the Primary Company Representative may sponsor SPOT accounts for other company personnel to assist.
Step 3: An LOA is requested as part of creating a deployment (from contractor) at the contract level. The LOA is assigned to a Government Authority for approval.
Step 4: The Government Authority reviews the LOA inbox and authorizes the LOA.
Step 5: The Contracting Officer then reviews the LOA and approves. Once the Contracting Officer approves the LOA it is digitally signed and available to be reviewed and printed.
H.8 OFFICIAL USE OF GOVERNMENT MOTOR VEHICLES.
Per 41 Code of Federal Regulations (CFR) 102-34.200 - 250, Official Use of Government Motor Vehicles, contractors may use a Government motor vehicle when authorized only and solely in the performance of the contract at OCONUS locations by the local Commander. Per 41 CFR 102-32-215(c), Government contractors may use Government motor vehicles when authorized per the Federal Acquisition Regulation (FAR), GSA Fleet procedures, and the following conditions:
(a) Government motor vehicles are used for official purposes only and solely in the performance of the contract;
(b) Government motor vehicles cannot be used for transportation between residence and place of employment, unless authorized per 31 U.S.C. 1344 and 41 CFR 102-5; and
(c) Contractors must:
(1) Establish and enforce suitable penalties against employees who use, or authorize the use of, Government motor vehicles for unofficial purposes or for other than in the performance of the contract; and
(2) Pay any expenses or cost, without Government reimbursement, for using Government motor vehicles other than in the performance of the contract.
(End of Clause)

The daily Contract Fill Rate shall be averaged across each twelve-month performance period to determine the Annual Contract Fill Rate. At no time shall the Contract Fill Rate exceed 100%.
(b) Minimum Contract Fill Rate. The contractor is required to maintain a Contract Fill Rate of 85% for Authorized Positions beginning on the 1st day of base year performance period thru the duration of the contract. For the purposes of this clause, Fill Rates will be calculated daily from the Daily Manning Report. The monthly numbers reported by the vendor in the monthly status report shall be the average of the fill rates from the Daily Manning Reports for the month and shall be rounded down to the first decimal place (tenth). The annual fill rate number reported by the vendor in the monthly status report shall be the average of the fill rates from the Daily Manning Reports for the current period of performance to date and shall be rounded down to the tenth (e.g., 84.999% shall be reported as 84.9%). The Government reserves the right to validate all fill rates and raw data.
(c) Fill Rate Exclusion: The Government will provide a grace period for new or increased authorized positions before the positions will be included in the fill rate calculations. The grace period will start on either the effective date of the contract modification or the date of receipt of other written direction from the Contracting Officer, whichever is earlier. The Government will provide a grace period for the backfill of any individual who accepts employment as a Government Civilian in the requiring activity's organization. The grace period will start the day following the individual’s last day of work on the contract. Grace periods shall last until the position is filled or 30 days, whichever occurs first. Any authorized positions excluded from the Fill Rate calculations will be explicitly identified by the Contractor in the Daily Manning Report submissions, and include the date the grace period started and ends. Any decrease in authorized positions shall be included in the fill rate calculations beginning the effective date of the contract modification or the date of receipt of other written direction from the Contracting Officer, whichever is earlier.
(e) General. This contract may be extended based on overall contractor performance provided the Agency has a need for the services at or before the time an incentive option term is to commence. The Contracting Officer is responsible for the overall incentive option term evaluation and incentive option term decision. The contractor shall be eligible for incentive option terms by meeting or exceeding the annual Fill Rate percentage as defined in this clause. The exercise of any option period remains the sole discretion of the Government. The Contracting Officer may waive the annual contract fill rate percentage if determined to be in the best interests of the Government. (n) Incentive Option Term Availability of Funds. Funds are not presently available for any incentive option term.
The Government's obligation under any incentive option term is contingent upon the availability of appropriated funds.
