Section H - Special Contract Requirements
H CLAUSES
H.1 GOVERNMENT-CONTRACTOR RELATIONSHIPS (NON-PERSONAL SERVICES).
The Government and the Contractor understand and agree that the services to be delivered under this contract by the Contractor to the Government are non-personal services. The parties recognize and agree that no employer -employee relationships exist or will exist under the contract between the Government and Contractor and/or between the Government and the Contractor's employees. It is therefore in the best interest of the Government to afford the parties a full and complete understanding of their respective obligations.
Contractor personnel under this contract shall not:
• be placed in a position where they are appointed or employed by a Federal Officer, or are under the supervision, direction, or evaluation of a Federal Officer, Military or Civilian.
• be placed in a staff or policy making position.
• be placed in a position of command, supervision, administration of control over Military or Civilian Personnel, or personnel of other Contractors, or become a part of the Government organization.
• be used for the purpose of avoiding manpower ceilings or other personnel rules and regulations or the Civil Service Commission.
• be used in administration or supervision of military procurement activities.
The services to be performed under this contract do not require the Contractor or its employees to exercise personal judgment and discretion on behalf of the Government, but rather the Contractor's employees will act and exercise personal judgment and discretion on behalf of the Contractor.
Rules, regulations, directions and requirements which are issued by command authorities under their responsibility for good order, administration, and security are applicable to all personnel who enter the installation, or who travel on Government transportation. This is not to be construed or interpreted.
(End of Clause)
H.2 INTELLIGENCE OVERSIGHT
Per DoD Directive 5148.13, Intelligence Oversight, 26 April 2017, contractor personnel shall receive initial and annual refresher intelligence oversight training during the entire Period of Performance. At a minimum, intelligence oversight training will include:
(1) Familiarity with the authorities and restrictions established in DoDD 5240.01, DoD Manual 5240.01, and other applicable Intelligence Community Directives and DoD issuances governing applicable intelligence activities.
(2) Responsibilities of DoD personnel and DoD contractor personnel for reporting Questionable Intelligence Activities (QIA) and Significant or Highly Sensitive Matter (S/HSM) per Paragraph 4.1.a. of DoD Directive 5148.13, Intelligence Oversight, 26 April 2017.
H.3 SUBCONTRACTING REQUIREMENT
The magnitude of this contract may require many business concerns to team, partner, and/or subcontract with other business concerns (large and small). The Government has set a small business subcontracting requirement of 30% of total contract dollars for this contract. All large business prime contractors will be required to meet and maintain this requirement throughout the life of the contract. Data regarding each Contractor's subcontractor performance will be obtained as follows: large business prime contractors shall submit documentation supporting actual total contract dollars subcontracted to small business concerns per eSRS contract clause and FAR 52.204-10. This 30% minimum requirement shall be evaluated by the Contracting Officer as part of a determination of past performance compliance for exercising an option period on that prime contractor's contract. Additionally, the Government shall be entitled to a unilateral reduction on contract price in an amount that, considering the circumstances, is determined to be equitable by the Contracting Officer (see Clause H-5)
H.4 SMALL AND SMALL DISADVANTAGED SUBCONTRACTING REQUIREMENTS
The subcontracting levels stated below are the minimum requirements of the contract. The percentages stated in this clause are not goals; they are mandatory requirements. The minimum mandatory requirements are a percentage of total contract dollars.
CATEGORY MINIMUM REQUIREMENT
Small Business Offeror To Propose % HUBZone Offeror To Propose% Small Disadvantaged Business Offeror To Propose % Women Owned Small Business Offeror To Propose % Service Disabled Veteran Owned Offeror To Propose % Total Small Business Subcontracting Not less than 30%
H.5 PENALTY FOR FAILURE TO MEET THE SMALL AND SMALL DISADVANTAGED BUSINESS
CONTRACTING PARTICIPATION
The initial evaluation of small business subcontracting performance will be the second regular Subcontracting Report for Individual Contract and Summary Contract Report submission that occurs after the first, full 1 year period from contract award. All subcontracting reports will be submitted via eSRS.
If the actual Small Business performance for the overall contract effort does not meet the mandatory percentages outlined in H-4 for each category(except HUBZone) each year, the Government shall be entitled to a reduction in contract price of $10,000 per category that was not met up to a total reduction of $40,000 per contract year.
H.6 BILLABLE TIME.
Per FAR 52.232-7 Payments Under Time-and-Materials and Labor-Hour Contracts, time shall be calculated as stated in this clause. Under this clause, the appropriate fully burdened hourly rate prescribed in the Schedule shall be the applicable rate for the authorized position the contract employee is filling (for CONUS-based positions or OCONUS-based positions).
For CONUS labor, time shall be calculated by multiplying the appropriate fully burdened hourly rate prescribed in the Schedule by the number of direct labor hours worked after the employee has been approved for employment (for CONUS labor). The Government does not consider the time spent by potential new contract employees on Contractor-directed interviews, training, medical screening, security screening and skills verification required to meet minimum contract qualifications and requirements outlined in Statement of Work (Attachment J-1) as direct hours billable under this contract.
For OCONUS labor, time shall be calculated by multiplying the appropriate fully burdened hourly rate prescribed in the Schedule by the number of direct labor hours worked while the employee is assigned to an authorized OCONUS position and is available to support mission requirements and shall not include, travel time to/from the OCONUS assigned deployment site, including the day of arrival and day of departure, days the employee is sick, on leave, or not yet assigned to an authorized OCONUS position (only one individual may be assigned to an authorized position on any given day), or otherwise not available to support contract requirements.
For Government approved travel using commercial carriers, the contractor shall book commercial travel in the most cost effective method and schedule for the employee to reach their destination in a timely manner. Any overnight layovers requiring billeting en-route shall have prior COR approval. During Government approved travel, time for contract employees shall be billed to the appropriate CONUS labor CLIN and calculated by multiplying the appropriate fully burdened hourly rate prescribed in the Schedule by the number of direct labor hours spent in transit, not to exceed 12 hours per day. For air travel, the starting time shall be when the contract employee arrives at the departure airport, but no earlier than two hours prior to the scheduled flight departure time. Extended layovers, beyond a 12-hour travel day, and any overnight layovers shall not count as transit time and therefore is not billable under this contract. Travel time shall cease upon arrival at final OCONUS deployment or TDY site. For OCONUS deployments, the contractor may bill a maximum of 8 hours (at the corresponding CONUS hourly rate) the day of arrival and day of departure at the deployment site if the individual is not available to support contract requirements.
Under no circumstances shall the contractor bill both CONUS and OCONUS labor CLINs for an individual on the same calendar day.
H.7 BILLABLE TRAVEL AND ODCS.
Per FAR 16.601(a), Other Direct Costs shall be billable at cost and may include applicable indirect rates as stated and accepted by the government in the contractor’s proposal.
The Travel and ODC CLINs, will only be utilized for payment of the following billable expenses, if required:
Government approved travel, costs of Government directed unique training, Defense Base Act Insurance, and any direct labor uplift entitlements, as defined by the Department of State, for deployed personnel. All anticipated expenses under this CLIN shall be submitted to the COR or other designated Government representative for approval prior to any expenditures taking place.
The Government does not consider travel or expenses associated with pre-employment Contractor-directed interviews, any training required to meet minimum contract qualification or requirements outlined in Attachment J- 1, as direct costs billable under this contract. Any ODCs, other than those stated in this clause, are not billable or reimbursable without the prior consent of the Contracting Officer.
H.8 LIMITATIONS ON INDIRECT COST RATES FOR THE BILLABLE MATERIALS
a) Pursuant to FAR 42.707, an indirect cost rate ceiling is incorporated into the contract. "Indirect cost" is defined as set forth at FAR 31.001 and 31.203. "Indirect cost rate" is defined as set forth at FAR 42.701.
b) Notwithstanding the clauses of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7) and “PAYMENTS UNDER TIME-AND-MATERIALS AND LABOR-HOUR CONTRACTS” (52.232-7), the allowable indirect cost under this contract shall be obtained by applying limitations on indirect cost rates to bases agreed upon by the parties, as specified below.
c) Allowability of costs and acceptability of cost allocation methods shall be determined in accordance with FAR Subpart 31.2 in effect on the date of this contract, as limited by the indirect cost rate ceiling established by this clause.
d) For the contract performance period, the indirect cost rates for the CLIN 0003 Travel and CLIN 0004 ODC contained in the Contractor's accepted contract proposal shall be incorporated into this clause as limitations on indirect cost rates for each corresponding ordering year.

e) The Government will not be obligated to pay any additional amount should any final indirect cost rates exceed the indirect rates incorporated into this clause as a result of increased indirect pool costs incurred. In the event any of the Contractor's final indirect cost rates are less than the indirect cost rates incorporated into this clause as a result of decreased indirect pool costs incurred, the incorporated rates shall be reduced to conform with the lower rates.
Adjustments due to actual indirect base costs incurred may be upward or downward.
f) The limitations on indirect cost rate shall not change any monetary ceiling, contract obligation, or specific cost allowance or disallowance provided for in this contract.
g) The limitations on the indirect cost rate shall apply to all work performed under the contract, and to all change orders and supplemental agreements, including changes due to growth, supplemental, emergent and new work in the first year of contract performance.
h) Notwithstanding any of the terms of this requirement, should the Contractor initiate a change to its accounting systems which would alter the composition of any overhead base or pool affected by this requirement, the Contracting Officer and Contractor shall negotiate to determine the indirect cost rate ceilings to be applied to the new overhead pools, provided that no agreement shall be made which would increase the costs paid by the Government under this contract.
i) Unreimbursed costs resulting from application of the provisions of this clause shall not be charged to any other direct or indirect cost account in such a manner as to result in recoupment of the unreimbursed costs on this or any other Government contract or assistance agreement.
H.9 OFFICIAL USE OF GOVERNMENT MOTOR VEHICLES.
Per 41 Code of Federal Regulations (CFR) 102-34.200 - 250, Official Use of Government Motor Vehicles, contractors may use a Government motor vehicle when authorized only and solely in the performance of the contract at OCONUS locations by the local Commander. Per 41 CFR 102-32-215(c), Government contractors may use Government motor vehicles when authorized per the Federal Acquisition Regulation (FAR), GSA Fleet procedures, and the following conditions:
(a) Government motor vehicles are used for official purposes only and solely in the performance of the contract;
(b) Government motor vehicles cannot be used for transportation between residence and place of employment, unless authorized per 31 U.S.C. 1344 and 41 CFR 102-5; and
(c) Contractors must:
(1) Establish and enforce suitable penalties against employees who use, or authorize the use of, Government motor vehicles for unofficial purposes or for other than in the performance of the contract; and
(2) Pay any expenses or cost, without Government reimbursement, for using Government motor vehicles other than in the performance of the contract.

The Daily Manning Report shall calculate and state Contract Fill Rate on a daily basis. The daily Contract Fill Rate shall be averaged across each twelve-month performance period to determine the Annual Contract Fill Rate. At no time shall the Contract Fill Rate exceed 100%.
(b) Minimum Contract Fill Rate. The contractor is required to maintain a Contract Fill Rate of 85% for Authorized Positions beginning on the 1st day of base year performance period thru the duration of the contract. For the purposes of this clause, Fill Rates will be calculated daily from the Daily Manning Report. The monthly numbers reported by the vendor in the monthly status report shall be the average of the fill rates from the Daily Manning Reports for the month and shall be rounded down to the first decimal place (tenth). The annual fill rate number reported by the vendor in the monthly status report shall be the average of the fill rates from the Daily Manning Reports for the current period of performance to date and shall be rounded down to the tenth (e.g., 84.999% shall be reported as 84.9%). The Government reserves the right to validate all fill rates and raw data.
(c) Fill Rate Exclusion: The Government will provide a grace period for new or increased authorized positions before the positions will be included in the fill rate calculations. The grace period will start on either the effective date of the contract modification or the date of receipt of other written direction from the Contracting Officer, whichever is earlier. The Government will provide a grace period for the backfill of any individual who accepts employment as a Government Civilian in the requiring activity's organization. The grace period will start the day following the individual’s last day of work on the contract. Grace periods shall last until the position is filled or 30 days, whichever occurs first. Any authorized positions excluded from the Fill Rate calculations will be explicitly identified by the Contractor in the Daily Manning Report submissions, and include the date the grace period started and ends. Any decrease in authorized positions shall be included in the fill rate calculations beginning the effective date of the contract modification or the date of receipt of other written direction from the Contracting Officer, whichever is earlier.
(d) General. This contract may be extended based on overall contractor performance provided the Agency has a need for the services at or before the time an incentive term option is to commence. The Contracting Officer is responsible for the overall incentive term option evaluation and incentive term option decision. The contractor shall be eligible for incentive term options by meeting or exceeding the annual Fill Rate percentage as defined in this clause. The exercise of any option period remains the sole discretion of the Government. The Contracting Officer may waive the annual contract fill rate percentage if determined to be in the best interests of the Government. The Contracting Officer will unilaterally determine whether the contractor is eligible for an incentive term option, and in conjunction with the Contracting Officer's Representative, will determine the need for continued performance and funding availability.
(1) Incentive Term Option - Option Year 5: The contractor shall become eligible for this performance period by receiving a Satisfactory or higher CPARS rating in all rated areas by achieving an Annual Contract Fill Rate of 93.0% or more for both Option Year 1 and Option Year 2. In the event the contractor does not become eligible for this performance period at the end of Option Year 2, no further Incentive Option Terms will be considered or provided.
(2) Incentive Option Term - Option Year 6: The contractor shall become eligible for this performance period by receiving a Satisfactory or higher CPARS rating in all rated areas by achieving an Annual Contract Fill Rate of 93.0% or more for both Option Year 3 and Option Year 4. In the event the contractor does not become eligible for this performance period at the end of Option Year 4, no further Incentive Option Terms will be considered or provided.
(3) Incentive Option Term - Option Year 7: The contractor shall become eligible for this performance period by receiving a Satisfactory or higher CPARS rating in all rated areas by achieving an Annual Contract Fill Rate of 93.0% or more in Option Year 5. In the event the contractor does not become eligible for this performance period at the end of Option Year 5, no further Incentive Option Terms will be considered or provided.
(e) Period of performance. Provided the contractor has achieved the performance measures (i.e. met or exceeded the annual fill rate goal), the Contracting Officer may extend the contract by up to 12 months for each Incentive Term option exercised. The total maximum period of performance under this contract, if the Government exercises all four
(4) option periods and all three (3) incentive term options is eight years and nine months to include the transition period and any option extension in accordance with FAR clause 52.217-8.
(f) Right to cancel, or not grant, the incentive option term.
(1) The Government has the unilateral right to cancel, or not grant, incentive term options if--
(i) The Contracting Officer has determined not to exercise an incentive term option, regardless of whether the contractor's performance results in eligibility for the incentive term option; or
(ii) The contractor has failed to achieve the performance measures for the corresponding evaluation period; or
(iii) The Government notifies the contractor in writing it does not have funds available for the incentive term option; or
(iv) The Government no longer has a need for the incentive term option at or before the time an incentive term option performance period is to commence.
(2) When an incentive term option period is cancelled, or not granted, any--
(i) Prior incentive term option periods for which the contractor remains otherwise eligible are unaffected; and
(ii) Subsequent incentive term options are thereby also cancelled.
(g) Cancellation of an incentive term option period that has not yet commenced for any of the reasons set forth in paragraph (g) of this clause shall not be considered either a termination for convenience or termination for default, and shall not entitle the contractor to any termination settlement or any other compensation. If the incentive term option is cancelled, a unilateral modification will cite this clause as the authority.
(h) Incentive Term Option - Availability of Funds. Funds are not presently available for any incentive term option.
The Government's obligation under any incentive term option is contingent upon the availability of appropriated funds. No legal liability on the part of the Government for any incentive term payment may arise until funds are made available to the Contracting Officer for an incentive term and the Contractor receives notice of such availability, in writing, by the Contracting Officer.
H.11 USE OF NON-COMPETE AGREEMENTS BY OFFERORS OR CONTRACTORS
The use of non-compete conditions in employment agreements or letters of commitment (to achieve exclusive capture of personnel by the offeror/contractor) is not acceptable. The use of non-compete conditions in employment agreements or in Letters of Commitment that prevent employees and/or subcontractor employees of the offeror’s/contractor’s or incumbent team from being interviewed by, employed, accepting offers of employment, or signing letters of commitment by other potential offerors/contractors on this solicitation (or follow-on competitive effort) is unacceptable. It hinders the government's ability to accomplish the mission of providing geospatial analytical support to timely meet operational objectives during contract transition and HQ USSOCOM’s desire in providing incumbent employees on this requirement the opportunity to continue providing support services on any successor contract. All offerors/contractors, and their subcontractors, may not include such conditions in employment agreements or Letters of Commitment.
5652.209-9003 Use of Contractor Support/Advisory Personnel (2015) Section H (Revised August 2015)
The contractor’s attention is directed to the fact that USSOCOM contracts for various IT, business, acquisition, technical, and staff support services, some of which require support contractor access to proprietary information submitted by other contractors during administration of this contract. Execution of this contract constitutes approval to release the contract, contractor proposals, other contractor information, or proprietary data obtained during contract administration to Government Support Contractors who require access and have signed Non-Disclosure and Rules of Conduct/Conflict of Interest Statements.
