CLAUSES INCORPORATED BY FULL TEXT
52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)
(a) Definitions. As used in this provision--
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.
(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:
(i) In a criminal proceeding, a conviction.
(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.
(iii) In an administrative proceeding, a finding of fault and liability that results in--
(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).
(End of provision)
52.211-11 LIQUIDATED DAMAGES--SUPPLIES, SERVICES, OR RESEARCH AND DEVELOPMENT (SEP 2000)
(a) If the Contractor fails to deliver the supplies or perform the services within the time specified in this contract, the Contractor shall, in place of actual damages, pay to the Government liquidated damages of $4,000 per calendar day of delay.
(b) If the Government terminates this contract in whole or in part under the Default--Fixed-Price Supply and Service clause, the Contractor is liable for liquidated damages accruing until the Government reasonably obtains delivery or performance of similar supplies or services. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.
(c) The Contractor will not be charged with liquidated damages when the delay in delivery or performance is beyond the control and without the fault or negligence of the Contractor as defined in the Default--Fixed-Price Supply and Service clause in this contract.
(End of clause)
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. 52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Security Requirement
Technical/Management
Past Performance
Price
The Security factor is evaluated as Pass/Fail. If the Security factor fails, and at the discretion of the Government, and cannot reasonably be made acceptable through clarifications (and discussions, if held), the proposal may not receive further consideration for evaluation or award. The Technical and Past Performance factors are equal. Price will be evaluated, but not rated. All evaluation factors other than price, when combined, are significantly more important than price.
GENERAL
Attention is directed to Federal Acquisition Regulation (FAR) 52.212-2, which provides that the contract will be awarded to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. “Factors” shall include all of those evaluation factors that are described in this evaluation section and in 52.212-2 Evaluation – Commercial Items.
Offerors are advised that the government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the Offeror’s initial offer should contain the Offeror’s best terms from a price and technical standpoint. The government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
The Government will evaluate each Offeror’s understanding of NSW’s requirements and ability to perform the work on the basis of its proposal. It is the Offeror’s responsibility to provide information and evidence that clearly demonstrates its ability to satisfactorily perform the contract requirements as stated in the solicitation and based upon factors listed below. All information submitted as part of the proposal will be used to evaluate the Offeror’s capability to perform and understanding of the contract requirements.
Award will be made to an Offeror whose proposal presents the best value in accordance with the criteria set forth in this solicitation. Offerors are cautioned that proposals that do not meet these requirements may be deemed unresponsive and result in the Offeror’s proposal being rated unacceptable overall, and eliminated from further consideration.
Each factor will be evaluated on a stand-alone basis; however, information contained in one factor of the proposal may be used to assist the Government in evaluating other factors of the proposal.
EVALUATION FACTORS:
The Government will evaluate the following factors: Security Requirement, Technical/Management, Past Performance, and Price for the contract. In determining best value, the Government will perform a tradeoff of price and non-price factors consistent with the evaluation criteria contained in this solicitation. Each Technical sub-factor will be evaluated and assigned a rating of Outstanding, Good, Acceptable, Marginal or Unacceptable. Any sub-factor rating of Unacceptable will result in an overall Technical factor rating of Unacceptable. Rating descriptions are provided in the charts below.
Factor 1: Security Requirement
The Government will evaluate the Offeror’s security proposal on a PASS/FAIL basis to meet the security eligibility requirements for both sub-factors indicated below. In order to PASS, both sub-factors 1.1 and 1.2 must receive a PASS rating.
Sub-factor 1.1 – Facility Security Clearance (FCL), Safeguarding Capability, and Foreign
Ownership Control or Influence (FOCI)
The factor is met when the proposed Offeror, via database query possesses at the time of proposal submittal the following:
· possess an active SECRET FCL; and
· address any FOCI issues or concerns as indicated in the National Industrial Security Program Operating Manual (NISPOM) that has not been properly negated. The Offeror will provide information on their FCL and safeguarding capability using the Facility Security Clearance template (Attachment 7).
Sub-factor 1.2 – Personnel Security Clearance
The factor is met when the proposed key personnel, via database query, possess a Secret personnel security clearance at the time of proposal submittal. Offeror shall submit personnel information for the identified key positions proposed for this contract on the Personnel Security Clearance Information template (Attachment 8).
Factor 2: Technical/Management
This factor will be evaluated to determine the Offeror’s technical and management capabilities to accomplish the contract work to provide Logistic and Engineering Support services; and support crisis and surge events as described in the Performance Work Statement. The Offeror’s proposal will convey and demonstrate its understanding of program and mission objectives and the PWS requirements—both at the contract level and Sample Task Order level --in terms of the below sub-factors.
The purpose of the evaluation is to assess how well the Offeror demonstrates an understanding of the scope of work and ability to provide the required work in accordance with all requirements set forth in this RFP, as well as to determine the Offeror’s performance risk for the subject solicitation. The agency will give an overall technical rating based upon the ratings of the technical sub-factors.
The evaluation of this factor will include an assessment of technical risk, which is manifested by the identification of weakness(es), considers potential for disruption of schedule, increased costs, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. The combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses, and deficiencies in determining technical ratings.
Sub-factor 2.1 – Technical Capability: This sub-factor evaluates the technical approach for supporting events as described in the Performance Work Statement. Furthermore, this sub-factor evaluates the Offeror’s approach for the efficient and effective support services.
Sub-factor 2.2 – Management Approach and Personnel Plan: This sub-factor evaluates the Offeror’s approach to managing their personnel, integrating the work of their team and the ability to fulfill requirements. The Risk Mitigation Plan will be be evalutated to determine contractor’s ability to commence full performance of services on the contract start date to the maximum extent possible. This sub-factor evaluates proposed personnel and how well they meet the Agency’s requirements. Resumes will be evaluated to determine that proposed Key Personnel meet the minimum requirements of the PWS. The offeror’s proposed Quality Assurance Surveillance Plan (QASP) will be evaluated to determine the offeror’s comprehensiveness of the requirement.
Factor 3: Past Performance
Offerors are advised that in evaluating an Offeror’s past performance, the Government may, in its sole discretion, consider information from sources outside the Offeror’s proposal. For example, the Government may consider information based on its own experience with the Offeror and/or may contact the parties for whom the Offeror performed contracts and consider their response when evaluating the Offeror’s proposal. The Government may review Contractor Performance Assessment Reporting System (CPARS) ratings on relevant contracts and may also consider Past Performance Information Retrieval System (PPIRS) ratings, regulatory agency databases, past performance questionnaires, information submitted by each Offeror with its proposal, and other existing past performance information contained in either local or other supervisor files, or from other Government sources or non-Government sources. General trends in a contractor’s performance will also be considered.
The assessment of the Offeror’s Past Performance is one of the factors used for evaluating the Offeror’s ability to successfully perform the requirements of this solicitation as well as to determine the Offeror’s performance risk for the subject solicitation. Such consideration is separate and distinct from the Contracting Officer’s responsibility determination under FAR 9. The Government reserves the right to contact references provided by the Offeror, and otherwise verify statements and representations made in the Offeror’s proposal, but reserves the right not to contact all references. In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available, the Offeror may not be evaluated favorably or unfavorably on past performance in accordance with FAR 15.305.
The past performance evaluation may also consider the past performance of affiliated companies or operating divisions within the parent company or joint ventures of the parent company when it is reasonable to attribute the experience of these past efforts to the proposed effort and when the proposal clearly demonstrates the resources (e.g. financial resources, overall oversight and management or other resources) of the parent or affiliated division will meaningfully affect performance of the instant acquisition. Consideration of past performance of teaming partners or subcontractors will only be given if the percentage of their performance is provided and permission for its use is contained in the proposal. The past performance of teaming partners or subcontractors who are proposed to perform less than 20% of the work and are not proposed to perform critical aspects will not be evaluated.
The relevancy evaluation will be based on the following definitions, these are not subfactors and will not be individually rated:
Scope: Experience in the areas defined in the PWS.
Magnitude: The measure of the similarity of the dollar value of actually performed work that exists between the PWS and the offeror’s contracts. Magnitude will be evaluated on the dollar amount of work actually performed under the contract or contracts during the relevant three-year period established by the solicitation.
The quality evaluation will be based on the following definitions, these are not subfactors and will not be individually rated:
Quality: The offeror’s demonstrated history of delivering products and services of high quality and compliance with contractual requirements in terms of:
· Overall customer satisfaction,
· Instances of rework and/or deficiency reports, and
· Evidence of effective and/or innovative work applications that were beneficial to the customer
Timeliness: The offeror’s compliance with:
· Delivery and/or performance schedules,
· Timeliness of submission of requested information, reports, and invoicing
Contractor Responsiveness: The offeror’s demonstrated ability to:
· Respond to customer concerns,
· Isolate and resolve problems, and take systematic improvement action
Following the relvancy and quality evaluations an overall confidence rating will be assigned to the Past Performance factor, considering both…
