Section L - Instructions, Conditions and Notices to Bidders

SECTION L FULL TEXT

L.1 GENERAL PROPOSAL

L.1.1 This is an electronic solicitation release. No hard copies will be mailed to Offerors (except for Classified Attachments J-1). Amendments to the solicitation will be posted to www.fedbizopps.gov. It is the responsibility of each Offeror to review the webpage for notice of amendments, updates, or changes to current information. The exclusive responsibility for source selection will reside with the Government. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C. 423) as implemented in DFARs 252.227-7016. The proposal and corresponding program will be unclassified and treated as Source Selection Sensitive Information.

L.1.2 All proposals must be complete, self-sufficient, and respond directly to the requirements of the solicitation. Any inconsistency, if unexplained, that raises a fundamental issue of the Offeror’s understanding and/or ability to perform under this contract may be a basis for rejection of the Offeror’s entire proposal. In no case shall statements similar to “we will comply with the requirements of the contract,” or equivalent declarations, be considered acceptable to meet the requirements of this RFP. Failure to comply with these instructions may result in an Offeror’s proposal being excluded from further consideration for award. Offerors shall submit with their proposals a list of names and telephone numbers of persons authorized to conduct negotiations.

L.1.3 The following Areas will be evaluated:

Area 1: General and Administrative Qualifying Criteria Area 2: Management Plan/Key Personnel Area 3: Transition Plan Area 4: Price Area 5: Past Performance

L.1.4 Offeror’s proposal volumes shall not contain any classified information. Classified information will not be accepted, and will be returned to the vendor. The Government will perform a virus scan on all electronic files/CDs provided by the Offerors. Any submittal failing the virus scan shall be immediately disqualified and returned to the Offeror. All disqualified proposals are ineligible for award in accordance with Section M.1.15.

L.1.5 Area 1, General and Administrative Qualifying Criteria (Volume 1). This volume will contain a list of qualifying criteria submissions that will be evaluated on a pass or fail basis in accordance with Section M.2. The qualifying criteria proposal shall be organized in Tab format in the order listed in Section L and submitted in accordance with IAW L.1.12.

L.1.6 Area 2, Management Plan/Key Personnel (Volume 2) shall be prepared IAW these instructions and will be evaluated IAW the evaluation criteria in Section M.3, Evaluation Factors for Award. Proposals shall include necessary information to enable the evaluators to form a definitive conclusion concerning the Offeror’s ability to perform the required services. The Management proposal shall be organized in Tab format in the order listed in Section L and submitted IAW L.1.12.

L.1.7 Area 3, Transition Plan (Volume 3) shall be prepared IAW these instructions and will be evaluated IAW the evaluation criteria in Section M.4, Evaluation Factors for Award. Proposals shall include necessary information to enable the evaluators to form a definitive conclusion concerning the Offeror’s ability to perform the required services. The Management proposal shall be organized in Tab format in the order listed in Section L and submitted IAW L.1.12.

L.1.8 Area 4, Price (Volume 4) shall be prepared IAW these instructions and will be evaluated IAW the evaluation criteria in Section M.5 and submitted IAW L.1.12.

L.1.9 Area 5, Past Performance (Volume 5) shall be prepared IAW these instructions and will be evaluated IAW the evaluation criteria in Section M.6 and submitted IAW L.1.12.

L.1.10 Hand delivery is permitted and encouraged by an individual from the Offeror or teaming partner's staff. A messenger service delivering the proposal package on behalf of the Offeror is not considered a hand delivery, and will not be accepted. All hand-carried proposal CD-ROMs/DVDs, shall be delivered to the address below. Offerors are requested to provide a 24-hour notice to both of the Points of Contact (POC) at the email address below to provide notification of pending arrival:

If the Offeror prefers to mail the CD-ROMs/DVDs they shall mark the packages as shown above and mail to the address on the outer package. It is highly recommended the Offeror provides, the POCs identified above, tracking numbers and is aware of the rules regarding Government point of entry (FAR 52.215-1 Instruction to Offerors –Competitive Acquisitions).

L.1.11 Proposal Format: Format of the proposal Areas (and any resulting responses to Evaluations Notices (ENs)) shall be as follows:

1. Text size shall be no smaller than what is equivalent to Microsoft Word, Times New Roman, 10 point, uncompressed font.

1. A page is defined as one 8 ½ x 11-inch paper with printing on one side of the page. Line spacing settings shall be at least one and one-half (1½) line spacing. Margins on all four (4) edges of each page will be at least 1-inch. Pages shall be dated and numbered sequentially by Area. A cover sheet should be bound in each book, clearly marked as to Area number, title, “original” or copy number, solicitation identification, and the Offeror’s name. The cover page, table of contents, tabs, dividers, and blank pages are excluded from page count. Company Logos/Emblems are to be on the cover page only, not on each individual page. Offerors are encouraged to divide, tab, and cross reference individual topic areas of the Areas. The use of the USSOCOM logo on proposals is expressly prohibited IAW Clause 5652.204-9003 of the solicitation.

1. Each Volume shall contain a glossary of all abbreviations and acronyms used with an explanation for each.

1. Elaborate format, color representations, and bindings are not permitted. Three-ring binders are required. The pages in the binders shall be easily removed and replaced to facilitate page changes. Any pages that are changed (as the result of Discussions/Final Proposal Revisions) should be of a different color (as specified by the Contracting Officer) and have changed information clearly marked by a vertical line in the right margin of the page and/or circling if changing data in a chart. The Offeror shall clearly indicate on each page the data/information that has been revised via track changes or other acceptable method.

1. Legible tables, charts, graphs and figures shall be used when necessary to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. A maximum of ten (10) fold out pages each for the Management Plan/Key Personnel Area and the Transition Plan Area will be permitted. Please do not submit a transition timeline that requires the Government to use Microsoft Project software to open and review it. Foldout pages shall count as one page towards the page limit count described in Section L.1.12. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics; not for additional pages of text. For fold out pages, the text shall be no smaller than equivalent to Microsoft Word 8 point, Times New Roman with single spacing permitted. Proposal volumes shall not be supplemented by a package or reference documents.

1. Electronic copies must be provided on CD-ROMs/DVDs, read-only memory. Microsoft Office 2007, presentation and spreadsheet products are preferred. Changes, as a result of negotiations, will be conformed on CD-ROMs/DVDs and have changed information clearly marked by a vertical line in the right margin.

L.1.12 Proposal Submission Requirements:

AREA 1 GENERAL ADMINISTRATIVE DATA

Volume 1 – General Administrative Data One (1) digital Copy (CD) in Word/Excel Format; to include information required in L.1.16 and L.2.1 No page limit. Separate disk are required for each volume. All Prime and Subcontractor company names and logos are permitted in this section.

AREA 2 MANAGEMENT PLAN/KEY PERSONNEL

Volume 2 – Management Plan/Key Personnel Management Plan: One (1) digital copy (CD) in Word/Excel Format 25 page limit. Key Personnel (IAW Clause 5652.237-9001) resumes (limited to 2 pages each) are exempt from page limit. Separate disk are required for each volume. The Offeror shall black out all company names and logos in this section. If an offeror has multiple teaming partners, identify the companies as Subcontractor 1, Subcontractor 2, etc.

AREA 3 TRANSITION PLAN

Volume 3 – Transition Plan One (1) digital copy (CD) in Word/Excel Format. 15 page limit for the Transition plan. Separate disk are required for each volume. The Offeror shall black out all company names and logos in this section. If an offeror has multiple teaming partners, identify the companies as Subcontractor 1, Subcontractor 2, etc.

AREA 4 PRICE

Volume 4 – PriceOne (1) digital copy (CD) of attachment J-5, back up data required shall be in Word/Excel Format with no page limit* Separate disk are required for each volume.
All Prime and Subcontractor company names and logos are permitted in this section.

*Offerors are encouraged to limit the Price Proposal pages unless the Offeror determines that this limitation would preclude compliance with the price proposal instructions of the RFP. NOTE: Offerors are cautioned that submission of more data than required by the price proposal instructions may hinder the evaluation of the price proposal.

AREA 5 PAST PERFORMANCE

Volume 5 - Past Performance One (1) digital copy (CD) in Word/Excel Format. 4 page maximum (1 pg Past Performance Matrix, 1 page per reference up to a maximum of 3 references). Of the 3 references, at least 1 must be for the prime contractor. Past Performance Questionnaires (Section L.6.1) are exempt from page limit. Separate disk are required for each volume. All Prime and Subcontractor company names and logos are permitted in this section.

L.1.13 Incorporation of Proposal Information: Any feature of an Offeror’s proposal may be unilaterally incorporated in the contract in full text or by reference as a contract requirement.

L.1.14 Proposal Due Date: All areas of the proposal will be due to the Government not later than 4:00PM Eastern Standard Time (EST) on Friday, 18 October 2013. Failure to meet these due dates will be handled in accordance with FAR 52.215-1 Instructions to Offerors – Competitive Acquisitions.

L.1.15 Delivery Requirement: Failure to submit the required information on-time will result in disqualification of the Offeror IAW M.1.15.

L.1.16 Contract Forms and Certifications: Include the following data in Administrative Data (Area 1) in the format indicated. Designate on the Area cover which proposal package contains the original, executed copy of the RFP and which contains copies.

1. Section 1 – Proposal cover letter or proposal cover page (include names, office phone and facsimile numbers, if applicable, cell phone numbers, and e-mail addresses for proposal POCs).

1. Section 2 – A conformed contract copy from this RFP with the original signature of an official authorized to contractually bind the Offeror in Block 17 of the SF 33.The Offeror must complete the following sections within the RFP for these criteria:

1. Solicitation, Offer and Award (Standard Form 33), Blocks 12- 18

1. All Section K, Representations, Certifications and Disclosures

1. All amendments posted to FBO

L.2 VOLUME 1 – AREA 1 QUALIFYING CRITERA. Offerors shall provide the Administrative documentation, as required below. The Government will evaluate this information in accordance with Section M.2.

L.2.1 Facility Clearance. The Prime Offeror must have a Top Secret Facility Clearance and Secret Level Safeguarding as accredited by the Industrial Security Facilities Database (ISFD) at the time of proposal submittal, and shall meet all requirements of the Contract Security Classification Specification (DD Form 254), showing proof of clearance, storage, etc.

L.3 VOLUME 2 – AREA 2 - MANAGEMENT PLAN/KEY PERSONNEL:

The Offeror’s proposal shall be written clearly and contain the pertinent information necessary for the Government to determine if the proposal meets/does not meet requirements of this solicitation.

L.3.1 Management Plan/Key Personnel: The Offeror’s Plan should describe how the Offeror will monitor and manage performance of the requirement spelled out in Attachment J-1 in the key functional areas including:

1. Explain in detail the number of managerial layers required to facilitate communication between the Government and the prime contractor regarding daily operations, ie. Will the Government be given a single point of contact, or will there will be multiple layers of management to transmit direction for the overall contract requirement.

1. Detailed explanation of how the prime contractor will manage subcontractor(s), if applicable. Provide the number of years that the Offeror (not including partners/subcontractors) has been managing subcontractors for OCONUS support requirements with a list of contracts (by contract number) spanning the provided number of years.

1. Detailed description of how the company will train new employees in compliance with the SOW requirements.

1. Company management plan to prepare its personnel for deployment and support to employees while OCONUS. Detail how the Offeror will coordinate travel; to include, but not limited to receipt of valid visas, passports, Synchronized Pre-Deployment and Operational Tracker (SPOT) requirements, and transportation. Describe infrastructure/procedures to support deployed personnel. Provide the number of years that the Offeror (not including partners/subcontractors) has been deploying and supporting employees while OCONUS in a hostile fire area supported by a list of contracts (by contract number) spanning the provided number of years.

1. Key Personnel. The Offeror shall provide information regarding their proposed key personnel (as identified in Clause 5652.237-9001) including identification of the key management positions and the corporate commitment of providing proposed candidates to the specified positions. For each proposed candidate the Offeror shall include a resume (not to exceed 2 pages for each Key Personnel, resumes do not count towards page limitations for Volume 2) that includes but not limited to the following information; management experience on similar contracts, educational experience, tenure with current employer, technical competency, specific knowledge and skill interfacing with people at all levels including communication and problem solving, and any skills, ability, experience that will differentiate the key personnel from other Offerors.

Labor Category
Experience Requirements

A: Management

Program Manager (Key Personnel One FTE)
Minimum of ≥ 5 years managerial experience within DoD or equivalent with Government agencies required, with 2 years at the operational level. Additional years of general experience in Special Operations or significant knowledge of Special Operations is required. Reference SOW 4.1 for additional Experience Requirements.

Deputy Program Manager (Key Personnel One FTE) Minimum of ≥ 5 years managerial experience within DoD or equivalent with Government agencies required, with 2 years at the operational level. Additional years of general experience in Special Operations or significant knowledge of Special Operations is required. Reference SOW 4.1 for additional Experience Requirements.

1. Details on how the Offeror will successfully turnover Offeror personnel on a rotational basis during performance of the Contract, to include knowledge transfer (while minimizing overlap of resources), account for end of tour rotations of Contractor Personnel, and emergency situations while minimizing degradation in services.

1. The Offeror shall describe and specify staff hiring, recruitment and retention plans, and marketing efforts that are currently in place or planned to identify qualified labor categories as described in the SOW for this effort. This plan shall include all aspects of recruitment from prospect mining to actual deployment to customer locations and any steps in between, to include but not limited to; first contact, screening, interview, and security/credential verification. This plan will include average time (in calendar days) from recruitment to actual deployment. In addition the plan will describe the average washout rate the Offeror has experienced historically (# of recruits/actual deployed Personnel) for the labor categories described in this solicitation.

L.4 VOLUME 3 – AREA 3 – TRANSITION PLAN:

The Offeror’s proposal shall be written clearly and contain the pertinent information necessary for the Government to determine if the proposal meets/does not meet requirements of this solicitation.

L.4.1 Transition Plan: The Offeror’s transition plan details their plan to staff and transition the requirement from Contract Award. The Classified Statement of Work, Attachment J-1 details the requirement to be fulfilled by location and FTE count.

(1) The Offeror shall describe if/how it will assimilate “legacy” contract employees (those currently performing under the existing contract) into its operations. The Offeror shall provide detail of any previous corporate experience on accomplishing succession from performance by a legacy contractor to its own performance.

(2) Offerors shall describe its contingency plan for insertion of non-incumbent employees in the event incumbent employees decline employment with their company and/or its subcontractors or are otherwise unavailable for work under this requirement. The Offeror shall explicitly describe to what degree they plan to hire/utilize personnel currently performing this effort with the incumbent contractor and/or its subcontractor(s).

(3) The Offeror shall address and provide a timeline by labor category and location that demonstrates its capability to execute a smooth and seamless phase-in/transition leading to assumption of full contractual responsibility. This description shall include management expertise, ability to meet all security requirements (facility and personnel), procedures and policies, risk mitigation techniques, flexibility, and experience that when viewed collectively demonstrates the Offeror’s ability to successfully execute a contract phase-in. The Offeror shall explain how each activity would be assured of timely completion, identify its phase-in management team, and shall describe its approach for interfacing with the incumbent contractor. Special attention should be given to the unique nature of OCONUS locations that require visas, travel coordination (to include US Military coordination and transportation), unique skill sets that are required per the SOW, and the ability to plan for location specific requirements prior to Offeror personnel deployment.

L.5 VOLUME 4 – AREA 4 PRICE

L.5.1 Overview: The Offeror shall submit a total price for each Contract Line Item Number (CLIN) contained within Section B of the SF 33. The Government will evaluate each Offeror’s proposal to determine the Total Evaluated Price (TEP). The TEP will consist of following components: 1) Labor 2) Travel 3) Training and 4) Other Direct Costs (ODCs). Each of these components is discussed further throughout this section.

L.5.2 Labor Component: This section will deal with the pricing of Labor for the Intel Support Services. The Offeror will propose FFP hourly rates that will roll up to a FFP daily rate by labor category to include all direct labor, indirect burdens, uplifts (post differential, hazardous duty pay, incentives, and escalation) and profit for a period of five years by completing attachment J-5 Excel file entitled “Pricing Sheet.” The daily rates will be applied to CLINs 0001 CONUS labor and 0002 OCONUS labor. The hourly rate utilized to derive the daily rate will be the same hourly rate applied to CLIN 0007 Over and Above Labor CLIN if needed. Please see paragragh 4.8.2 of the Attachment J-1 SOW for further instructions regarding this CLIN. If the Government labor categories detailed in the schedule below are not the same title used by your company, map to the appropriate Government labor category based on the required qualifications and experience level to the labor category used by your company. In addition, provide the labor category title used by your company.

L.5.3 Travel: The Offeror shall be required to travel (both CONUS and OCONUS) to fulfill the requirements of this contract. Travel costs will be in accordance with DOD Joint Travel Regulations and the contract. For this section the Offeror shall identify their travel burden which would include all indirect costs/rates that are currently applied to direct travel costs incurred. Fee proposed on travel costs is not allowed. Travel Costs will include, but not necessarily be limited to, transportation to staging location, per diem (if paid), and lodging (if paid), and any other travel costs that the Offeror believes they will incur regarding travel costs.

L.5.4 Training: At the guidance of the Government, the Offeror shall be required to attend specific Government and/or commercial training to fulfill the requirements of this contract. Fee proposed on training costs is not allowed. Training Costs will include registration fees, course fees, and any other associated costs that the Offeror believes they will incur related to attending training. The training estimate is based on approximately 200 training events for up to 10 days per event and 8 hours per day. All labor and travel costs associated with training will be captured under the Labor/Travel CLINs.

L.5.5 Other Direct Costs: In this section the Offeror shall describe all costs not specifically tied to the labor, travel, and training components. Fee proposed on ODC costs is not allowed.

L.5.5.1 Defense Base Act (DBA) Insurance: The Offeror shall provide, identify and price DBA insurance in accordance with FAR 52.228-3. This amount is only applicable to the labor portion of the contract. The vendor shall either 1) roll DBA costs into the total FFP daily labor rate, or 2) direct charge DBA costs under the ODC CLIN; whichever is in accordance with the Offeror’s disclosed accounting practices. Under both of these scenarios the vendor must 1) explain how DBA is charged to the contract 2) include the quote from the DBA insurance provider if your company does not currently have coverage or provide evidence of DBA insurance if your company is currently covered. If the Offeror is not proposing DBA Insurance, documentation that they are enrolled in the DBA self-insurance program, approved by the Department of Labor, must be provided within the proposal.

L.5.5.2 Indirect Rates: The Offeror shall be required to describe all indirect rates applied to CLIN 0003 Training, CLIN 0004 Travel, and CLIN 0005 ODCs, as applicable. The Offeror is required to submit one of the following to support their proposed indirect rates:
1. Current Forward Pricing Rate Agreement (FPRA) for the contract period of performance, or
2. Detailed historical pool and base costs for the Offeror's prior three (3) years and budgeted pool and base costs for the contract period of performance.

L.6 VOLUME 5 - AREA 5 - PAST PERFORMANCE

L.6.1 Past Performance General Information: Submit only information on Government contracts most recent and relevant in demonstrating your ability to perform the proposed effort.

1. The Offeror may submit performance on classified programs as long as that information can be verified. If the Offeror intends to submit in this manner the information that is classified (customer, contract number, etc.) should be marked “reserved” and the description/write up of the work performed shall remain unclassified. If the Offeror cannot describe what work was accomplished in an unclassified manner they cannot submit that program for evaluation.

1. Organizational Structure Change History (as applicable). Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. Not to be used for evaluation purposes, but, in order to facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts identified for the past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts identified and general enough to apply to efforts on which the Government receives information from other sources. This requirement applies to both the Prime and its teaming partners.

1. While the primary source of information for each Offeror is the Past Performance Volume and Questionnaires, this information, as well as other information the Government may obtain elsewhere via Government databases (CPARs, PPIRs, etc.) and other Government agencies (DCMA, DCAA etc.), will be used to evaluate the Offeror’s Past Performance. The Government reserves the right to solicit feedback beyond what is identified in the questionnaire in its determination of the Offeror’s Past Performance Confidence Assessment.

L.6.2 Current and Relevant Contracts: Offerors are notified that the Government will use the data provided in this Area that is determined to be current and relevant to the effort at hand and data obtained from other sources in the development of performance risk assessments. For the purposes of this solicitation, current contracts are defined as those on which performance occurred during the last three (3) years. In determining relevancy, the Offeror should consider the type and value of the contract and the type of requirement compared to this solicited requirement. The Offeror should also consider the level or amount of effort. Only past performance dealing with use of personnel within the functional spectrum of CONUS/OCONUS Intel Support Services will be considered highly relevant. Please see Section M for relevancy criteria table.

L.6.3 Past Performance Volume Formatting:

1. Offeror shall provide the following as their proposal: A one (1) page matrix identifying the following information for each of the Past Performance Questionnaires (PPQ) sent out: (1) Organization/Customer, (2) Name of Contract, (3) Brief Description of the work performed, (4) Contract Number, (5) Telephone/E-mail of Organization/Customer POC. The Offeror’s Matrix may contain up to three (3) References to contracts (to include any sub-contractors) it considers recent and relevant to this requirement. At least one reference must be on behalf of the prime Offeror. The format for the one-page descriptions of each past performance citation is at the offeror’s discretion.

1. Specific Content: Offerors should include a discussion of any significant achievements and explain any Past Performance problems/issues that it considers relevant to the proposed efforts. Offerors should also discuss past and present efforts to identify and manage program risk.

1. No Applicable Past Performance Information: If an Offeror has no current or relevant past performance information for itself or its subcontractors, they should not respond to this solicitation. Failure to provide Past Performance dealing with use of personnel within the functional spectrum of CONUS/OCONUS Intel Support Services will be considered a proposal deficiency and will result in exclusion of the Offeror’s proposal from consideration for award.

1. The Past Performance Area includes the Past Performance Questionnaires which must be completed and returned to the Government. The pages of each questionnaire do not count in the overall page limit for this Area. The Offeror should send out the Past Performance Questionnaire (See Section J, Attachment J-4 for the questionnaire format) to personnel with cognizance and firsthand knowledge of contract performance for each of the relevant contracts identified. Suggested personnel are the Program Manager and Contracting Officer. The responsibility to get the Past Performance Questionnaires completed rests solely with the Offeror. The Offeror shall exert its best efforts to ensure that at least two Points of Contact (POCs), per relevant contract, submits a completed Past Performance Questionnaire directly to the Government. The completed questionnaires shall be emailed directly from the POC to sordac-k_intel@socom.mil .

5652.209-9002 Use of Contractor Support/Advisory Personnel for Review of Proposals (2005)

The offeror’s attention is directed to the fact that contractor consultant/advisors to the Government will review and provide support during proposal evaluations. When appropriate, non-government advisors may have access to offeror’s proposals and may be utilized to objectively review a proposal in a particular functional area and provide comments and recommendations to the Government’s decision makers. They may not establish final assessments of risk, rate or rank offerors’ proposals. All advisors shall comply with procurement Integrity Laws and shall sign Non-Disclosure and Rules of Conduct/Conflict of Interest statements. The Government shall take into consideration requirements for avoiding conflicts of interest and ensure advisors comply with safeguarding source selection and proprietary data. Submission of proposal in response to the solicitation constitutes approval to release the proposal to Government Support Contractors.

In the event that the price reasonableness cannot be determined based on adequate competition, the Contracting Officer may require the submittal of cost or pricing data in accordance with FAR 15.403.
