SECTION IV PROJECT DESCRIPTION & SCOPE OF SERVICES

Project Description

The Town of Branford is located in the south-central region of Connecticut along the beautiful north shore of the Long Island Sound. Comprised of 28 square miles, with a population of 28,225, Branford is one of Connecticut’s most desirable shoreline communities. Featuring an array of colonial and contemporary architecture coupled with cobblestoned sidewalks and historic light posts, Branford offers a picturesque town center and business district. The town is surrounded by natural ponds, salt marshes, a river and many hiking and biking trails. The town has a state-of-the-art library, a community center, recreational facilities, public town beaches, many public parks and more.

Nestled in neighborhoods across the community, Branford Public Schools offer a comprehensive educational experience for nearly 2,600 students from pre-kindergarten through grade 12 across six campuses.

The Town of Branford has six (6) schools within their district:

Branford High School | 185 E Main St, Branford, CT 06405 | Grades 9 to 12 Francis Walsh Intermediate School | 185 Damascus Rd, Branford, CT 06405 | Grades 5 to 8 Mary R. In June of 2025, the Town of Branford and Branford Public Schools (the “Owner”) engaged with Tecton Architects to prepare a district-wide Conditions Assessment and Master Plan to develop a 15-Year Facilities Master Plan. This Master Plan supported the Owner in evaluating capital investments required at each school and their respective priority level.

Branford High School is a part of this plan and the Town and the District have decided to complete capital projects to improve the existing building. The District anticipates the completion of a full roof replacement during the summer of 2026 in addition to upgrade the HVAC system within F-Wing.

The services for this RFQ/P focus on the completion of design services to prepare drawings and specifications required to replace the HVAC system contained within the F-Wing of Branford High School. The Owner would like the selected firm to complete a complete engineered design inclusive of project drawings and specifications to be utilized for the completion of a Pre-Bid Conformance Review (PCR) with the State of Connecticut’s Office of Grants Administration. The selected firm should also include submittal and RFI review as part of their scope of services.

[1] The prices of this submission have been arrived at independently, without collusion, consultation, communication, or agreement, for the purposes of restricting competition, as to any matter relating to such prices with any other Respondent or with any competitor;

[2] Unless otherwise required by law, the prices which have been quoted in this submission have not been knowingly disclosed by the Respondent and will not knowingly be disclosed by the Respondent prior to opening, directly or indirectly, to any other Respondent or to any competitor; and [3] No attempt has been made or will be made by the Respondent to induce any other person, partnership or corporation to submit or not to submit a response for the purpose of restricting competition.

The fact that the respondent (a) has published price lists, rates or tariffs covering items being procured, (b) has informed prospective customers of proposed or pending publication of new or revised price lists for such items, or (c) has sold the same items to other customers at the same prices being submitted, does not constitute, without more, a disclosure within the meaning subparagraph one (a).

Any submission hereafter made to any political subdivision of the state of any public department, agency or official thereof by a corporate respondent for work or services performed or to be performed or goods sold or to be sold, where competitive RFQ/P is required by statute, ruled, regulation, or local law, and where such submission contains the certification referred to in subdivision one of the section, shall be deemed to have been authorized by the board of directors of the respondent, and such authorization shall be deemed to include the signing and submission of the response and the inclusion therein of the certificate as to non-collusion as the act and deed of the corporation.

NOW THEREFORE, the parties agree as follows:

1. Term. The term of this Agreement shall be completed in full on or before [INSERT DATE] with the option to extend the contract if agreeable to both parties for the 2026-2027,2027-2028, and 2028-2029 school years (the “Term”).

2. Independent Contractor. Subject to the terms and conditions of this Agreement, the Board hereby engages the Provider as an independent contractor to perform the services set forth in

Appendix [#] , and the Provider hereby accepts such engagement. It is the express intention of the parties that the Provider is an independent contractor and not an employee, agent, joint venture, or partner of the Board. Nothing in this Agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between the Board and the Provider or any employee or agent of the Provider. Both Parties acknowledge that the Provider is not an employee for federal or state tax purposes. The Provider will not be eligible for any Board employee benefits. Further, the Provider waives any claims against the

Board for benefits provided to its employees during any period in which the Provider may be determined to be a common law employee or some other designation and not an independent contractor. The Provider acknowledges that it makes this waiver knowingly and voluntarily. The Board shall not be responsible for withholding taxes with respect to the Provider’s compensation hereunder and/or pursuant to the provisions of Appendix [#]. The Provider shall have no claim against the Board hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, workers’ compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind. The Board will not be liable for any obligations incurred by the Provider, including, without limitation, unpaid minimum wages and/or overtime premiums.

3. Services and Compensation. The Board must receive a fully executed Agreement from the Provider before payment can or will be made under this Agreement to the Provider. The Board will not be responsible for any additional services and/or charges not specified in this Agreement and/or

Appendix [#] and Appendix [#]. Once the Agreement has been received by the Board, payments to the Provider shall be processed thirty (30) days from the Board’s receipt of an accurate, detailed invoice for services provided in the prior month. Detailed invoices must include the nature of the services, the rate(s) for services, the date(s) of services, the number of hours of services, and the location where services were provided. Invoices submitted by the Provider must be addressed to Branford Public Schools Central Office. The hours of services may not exceed the hours specified in Appendix [#] without advance written permission from the Chief

Operating Officer. The Parties agree that payment to the Provider shall be conditioned on the proper delivery of services described in Appendix [#] and Appendix [#].

4. Provide Representations. The Provider represents that the Provider will exercise independent judgment and discretion in providing the services under this Agreement. The Provider acknowledges that it shall be responsible for the methods and means for fulfilling its obligations under this Agreement. The Provider represents that the Provider and/or its officials, employees, and/or agents have the qualifications and ability to perform the services for which the Provider is contracting. The Provider represents that the Provider and/or its officials, employees, and/or agents have all necessary certifications, licenses, and/or registrations and have performed the offered services for others in the past. The provisions of this Paragraph 6 shall survive the termination or expiration of this Agreement.

7. Background and Employment History Checks. For each Provider Employee who performs services for the Board involving direct student contact, the Provider shall ensure compliance with the following background and employment history checks:

a. The Provider shall perform, and the Provider Employee shall submit to, employment history checks in accordance with

Section 10-222c of the Connecticut General Statutes, as amended by Public Acts 16-67 and 17-68. The Provider expressly agrees that, in performing such employment history checks, it shall comply with the procedures and obligations set forth in Appendix [#] hereto.
