“Phase-Out Plan”

Solicitation # FA930126Q0003

1. This attachment is being incorporated into the Contract to enable a smooth and efficient transition from one contractor to the next. Based on required regulations and laws, the Government must (to the maximum extent possible) promote competitive acquisitions as they will likewise result in competitive pricing.

2. Within this attachment, “Phase-Out” refers to period at the end of this Contract where the contractor is handing over the required services to a new contractor. Should the incumbent contractor bid upon and ultimately win the follow-on acquisition then a Phase Out will NOT be required. It is anticipated that the follow-on to this Contract shall be a competitive acquisition, and award will be made to the offeror who meets the Governments requirements (in accordance with the terms and conditions specified in the solicitation for that follow-on effort). Incorporation of this attachment is by no means an indication that the incumbent will/will not be the winner of the follow-on effort, as award will be made based on the evaluation criteria set forth in the solicitation of the follow-on acquisition. Incorporation of this attachment simply ensures that a smooth/efficient Phase-In/Out is achieved in the future award, as applicable.

3. Contractual Notes: Based on the incorporation of this attachment into the Contract, the following should be noted.

a. Contract Line-Item Numbers (CLINs) Within this Contract, CLIN #4003 pertains to the Phase-Out, if required.

b. Federal Acquisition Regulation (FAR) 52.237-3 “Continuity of Services”: This clause pertains to the Phase-In/Out and therefore is contained within the subject Contract.

4. Phase-Out Requirements: It is the incumbent (outgoing) contractors’ responsibility to ensure that they promote and welcome collaboration between their team, the incoming contractor, and the respective Government Project Manager (GPM) during the Phase-Out.

a. The outgoing contractor for the subject Contract shall allow the incoming contractor to interview for employment the outgoing contractor’s personnel, provided that work interruption time is reasonable. The outgoing contractor shall continue to perform all requirements in their SOW, until at which time the incoming contractor begins to perform necessary functions. The outgoing contractor shall promote and encourage open dialog to ensure that they are positioning the incoming contractor to efficiently begin to perform on their follow-on Contract.

b. The outgoing contractor shall provide up to 30 calendar days of on-the-job training (OJT) to the incoming contractor as necessary to promote a smooth/efficient transition.

The outgoing contractor shall integrate the incoming contractor personnel into the regular work schedule to maximize OJT benefits. Contractor personnel to be trained shall possess, prior to training, all required special skills needed to perform the specific tasks in this SOW. The training objective is to enhance technical skills so that the transfer of responsibilities will be efficient.
