Addendum to 52.212-1 -- Instructions to Offerors -- Commercial Items
May 2007
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449).
(b) Submission of offers. Offers shall be submitted on the SF 1449. The proposal will consist of three volumes: Volume One – Technical Proposal; Volume Two – Past Performance Proposal; and Volume Three – Price/Contracting Proposal. Each volume will be submitted in a two-inch, three-ring binder (minimum) and clearly marked with the volume title and “original or copy number. The Offeror shall make no reference to price in either the technical or past performance volumes. Alternate proposals will not be accepted. The Offeror’s proposal and any subsequent negotiated changes thereto shall be binding upon that offeror. The Government may make a final determination regarding acceptability solely on the basis of the proposal as submitted without requesting any further information. However, if deemed necessary, and at its sole discretion, the Government may request additional information from Offerors clarifying or supplementing, but not substantially changing, any proposal as submitted. For that purpose, the Government may clarify or hold discussions regarding any such proposal with the Offeror.
(12) Adherence to page limitations established in each area of consideration is imperative, as pages which exceed the limit will not be reviewed by the technical evaluators. Excess pages will be removed by the Contracting Officer and returned via US Postal Service mail as soon as practicable. This may render the Offeror's proposal "technically unacceptable." Evaluation Notices (ENs) will not be generated for those Factors and Subfactors addressed over the page limit. Written responses to ENs generated as a result of proposal reviews, will be subject to page limitations, to be specified in future EN correspondence.
(13) Each volume shall contain a detailed table of contents to delineate the sections and subparagraphs contained therein. Table of contents will not be considered in the allowable number of pages to be submitted.
(14) Page and Typing: The page size shall be 8 1/2 x 11 inches. Pages shall be typed with a minimum of font size twelve, Times New Roman type, with minimum one-inch margins. This limitation does not apply to the Attachment 1, Pricing Table. Foldout pages may be included in the proposal, but their width shall not exceed two regular (8 1/2 x 11 inch) pages. Foldout pages are limited to charts, graphs, etc., and shall fold entirely within the page size of the volume with a minimum of font size 10, if included. Foldout pages shall count as two pages.
(15) Each volume containing original proposals will contain a virus-free CD-ROM (read/Write direct). Failure to provide an electronic copy as specified may render the proposal non-responsive.

Provide sufficient discussion/explanation of how the requirements can be satisfied; restating the requirements identified in the PWS will render your technical proposal unacceptable. If an Offeror is subcontracting/teaming with another vendor who will perform more than ten percent of the work, or if other than the prime contractor will be performing switch maintenance, technical and past performance information shall be submitted for each vendor in the Past Performance Volume. The technical proposals shall provide a clear distinction of functions to be performed by the prime and subcontractor to include: the nature of work, criticality of the work, and the percentage of overall effort performed by each subcontractor in each area of service provided. (A) REFERENCE INFORMATION.
(1) The number of referenced contracts is limited to no more than ten (reference each contract only once). If the referenced contract is a Delivery Order/Task Order, identify both the contract and delivery order/task order number. Submit a description of all Government and/or Commercial contracts (prime and major subcontractors) performed during the past five years, which are relevant to the efforts required by this solicitation. “Relevant” is defined as experience with site specific equipment/systems listed in PWS, especially those in Appendix 5.2. Each instance of contractual past performance shall be presented as a contiguous description, but organized into the following sections:
SECTION 1 – CONTRACT DESCRIPTION. Include the following information:
-- Offeror's Company/Division name
-- Offeror's Involvement: Prime or Subcontractor
-- Program Title, if applicable
-- Contract Specific: Contracting Agency or Private Customer
-- Contract Number
-- Brief description, location, and dollar value of the contract effort
-- Type of contract: Fixed Price, Time & Material, etc. and dollar amount of the contract including modifications
-- Completion Date: Original Date, Current Schedule, Estimated as Completion, How many times changed, Primary causes of change
-- Primary Customer(s) Point(s) of Contact: Name, Office, Address, E-mail address, Telephone, and Fax numbers of current, or last (if contract completed) Government program manager, Administering Contracting Officer (ACO), and Procuring Contracting Officer (PCO), and/or contract manager on each referenced contract.
SECTION 2 – PERFORMANCE. Include the following information:
-- Explain what aspects of the contracts identified are deemed relevant to the proposed effort, and may include a discussion of significant achievement.
-- Address technical areas (or other) areas about this contract considered unique.
-- Describe any past or present litigation or administrative proceeding pertaining to the reference contract, including the results if the proceedings are complete or the current status if the proceedings are on going. Provide a copy of any cure notices or show cause notices received on each contract listed and a description of any corrective action taken. Indicate if any of the contracts listed were terminated and the type and reasons for termination.
-- Discuss the number and severity of the problems in the referenced contract considered relevant to the proposed efforts and identify the effectiveness of corrective actions to resolve the problems.
-- Include any information not previously covered, which will enhance the evaluators’ understanding of the proposed operation and qualifications.
SECTION 3 – PERFORMANCE – SUBCONTRACTOR. Provide the above information for any proposed subcontractors who will perform ten percent of the proposed effort based on the total proposed price, or perform aspects of the effort that’s considered to be critical to the overall success of the program. Specifically, describe the work that major subcontractors will perform. Submit a consent letter executed by the subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the Offeror, so the Offeror can respond to such information. Additionally, submit a letter authorizing release of requested information to the Government for performance on each commercial customer contract/effort identified.
SECTION 4 – NEW CORPORATE ENTITIES. New corporate entities may submit data on prior contracts involving its officers, employees, and key personnel who have relevant experience, and/or data of efforts that will perform major or critical aspects of the requirement. Discuss the roles and responsibilities of personnel involved in the prior contracts cited.
(2) The Government reserves the right to contact and use information provided by the references and any other sources. The Government will also obtain and consider information about other contracts not mentioned in the Offeror’s proposal, but which are believed to be similar to the proposed effort. It is the Offeror’s responsibility to ensure all reference data is current and correct so that the performance information can be evaluated.
(iii) VOLUME THREE – PRICE/CONTRACTING.
(A) PRICE INFORMATION. Submit one volume marked “original”, within the same binder as Volume I and Volume II (original), of the Pricing Table (attached). The Offeror shall also comply with the following additional requirements and instructions:
(1) Reference Pricing Table: Price all Contract Line Item Numbers/Subcontract Line Item Numbers (CLINs/SLINs)/Product Identifications (PIDS) with the exception of the Reimbursable Material CLINs. Limit unit prices to two decimal places. The abbreviations Not Separately Priced (NSP) and No Charge (N/C) are not acceptable entries. If the CLIN/SLIN is to be provided to the Government at no additional charge, “$0.00” must be entered for that item. Entering text in cells set up for numerical format will result in calculation errors within the spreadsheets and may render the proposal non-responsive.
(2) Price Proposal – Electronic Media Submission of Pricing Table. The PIDs and/or SLINs in the Pricing Table of this solicitation have been made available as an electronic file, are presented as Excel for Microsoft Office( spreadsheets/workbook format, and are included as an attachment to the solicitation/contract. Submit an electronic copy using the electronic files provided by the Government without changing the format of the files. Generate printed copies of the Pricing Table Attachment from the disk and return both with the proposal. Ensure the disk submitted with the proposal is identical to the printed copies. If a discrepancy exits between the information contained on the disk and the printed copy, the printed copy will prevail.
(a) Labeling. Label all disks identifying the Offeror's name, the solicitation number (amendment number, if applicable), and date submitted. The outside of the package containing the disk must be labeled as containing electronic media to avoid magnetic field damage.
(b) Description of Files.
EXCEL WORKSHEET
CONTENTS
Summary Sheet
Contains cells for the entry of unit prices and calculates extended prices for
Monthly Maintenance CLIN/SLINs for the Base Period through Option
Period 4.
Summary prices for all other CLINs/SLINs
(except Reimbursable Materials) are linked to the Grand Total Amount on other worksheets (excluding Escalation Factors worksheet).
Escalation Factors
This worksheet allows Offerors to enter escalation rates for Option Periods 1 through
4 and thereby automatically enter all prices in the option periods. The unit prices in worksheets (other than Summary), contain formulas, which automatically compute the prices based upon base period prices and the escalation rates entered.
Automatic calculation of option period prices based upon escalation is optional.
Option period prices in these worksheets are unprotected. To enter something other than what is calculated in the unit prices, simply enter the number in the unit price cell. This will erase the link between worksheets and Escalation Factors for that cell.
Worksheets containing
Entry of PID/SLIN Unit Prices is only
Product Identification (PID) required for the Base Period. PID/SLIN and/or Subcontract Line Item unit prices will automatically be calculated
Numbers (SLINs) based on the base period unit prices and escalation factors for Option Periods 1 through 4 unless the unit price is manually entered and thus overrides the formula as described in the procedure above.
(c) Printing. The spreadsheets have been formatted to print on Hewlett Packard LaserJet 4000N and 4200DTN printers. The use of another printer may affect the number of columns or rows that fit on one page. Should the offeror use another printer, adjustment within the Excel Scaling Box may be necessary. Reduction of the Scaling Box settings may, however, cause large numbers to be displayed as pound signs. (The Scaling Box can be found on the Sheet tab under the File, Page Setup command.) Offerors are cautioned against changing other Page Setup configurations.
(d) Printer Errors. Check the summary totals on the spreadsheets for a single pound sign followed by the letters REF and an exclamation point (#REF!). A “#REF!” indicates an input error, which may only be corrected by replacing the corrupted formula in the Excel file. (Within adjacent unprotected unit price cells, movement, cut and paste or dragging, (not copying) of one cell over another cell corrupts the extended price formula.)
(e) “Zero” Unit Prices. The spreadsheets contain zeros ($0.00) in option unit prices and all of the extended prices. These are placeholders until the Offeror fills in the prices. The Government will interpret $0.00 entries as no additional charge. Provide a written narrative explaining the basis for all unit prices of zero.
(f) Monthly Maintenance pricing. Monthly maintenance pricing does not include any work order price allocations. Inclusion of such price allocations within the monthly maintenance price may result in the offer being determined unbalanced.
(g) The EIPS provides detailed descriptions of the material and labor effort required by the attached Pricing Table, identified by PIDs, and are those items that are pre-priced for material and labor for installation, removal, and/or relocation. This installation support solicitation/contract is principally for services for Operation and Maintenance (O&M) of the BTS and infrastructure, and Work Orders under the Service Contract Act (SCA). Also required in this solicitation/contract is a substantial and segregable amount of construction, alteration, renovation, or repair work (total of 32 or more work-hours to perform), with an aggregate dollar value exceeding or expected to exceed $2,000; as a result, the Davis Bacon Act (DBA) is applicable. Some of the SLINs/PIDs for installation could be both SCA and DBA applicable. The DBA level of effort is adequately defined in the EIPS. By attaching the DBA wage determination, inserting the appropriate DBA clauses into the solicitation, and clearly identifying the DBA level of effort required; offerors are able to identify the appropriate SCA/DBA labor mix. It is each Offeror’s responsibility to evaluate work effort and propose the appropriate labor mix for the level of effort required to perform the services described in the PWS and associated appendixes for the Work Orders (CLINs X003 thru X010) and price allocations for installation of SLINs/PIDs in the Pricing Table. The Government will not assume responsibility for any omission.
(h) Time & Material CLINs. T&M rates will include all overheads including any proposal/processing expenses. Labor rates will be loaded into the Labor CLIN to reflect any labor costs directly associated with this work. Rates shall include wages, indirect costs, general administrative expense(s), and profit. Addendum to 52.212-2 – Evaluation – Commercial Items.
April 2008
(a) GENERAL INFORMATION. In accordance with FAR 15.101-1, proposals shall be evaluated in the technical, past performance, and price areas to determine the degree of risk associated with each competing proposal. The Government will utilize the Performance-Price Trade-Off (PPT) technique to arrive at the best value award decision. The technical area is ranked as most important, and the performance confidence area is ranked second and co-equal with price. Subjective judgment on the part of the Government evaluators is implicit throughout the entire process, in particular the past performance assessment. The application of the PPT technique in the contract award selection and approval process is as follows:
(1) A decision on the technical acceptability of each technical proposal will be made. The technical evaluation team will conduct the technical proposal evaluation independent of the past performance and price evaluation and will evaluate the technical proposals on a pass/fail basis, assigning ratings of Acceptable, Reasonably Susceptible of Being Made Acceptable, or Unacceptable. Only those offers determined to be technically acceptable, either initially or as a result of discussions, will be considered for award; major revisions of offerors’ technical proposals will not be considered. The Government reserves the right to exclude from the competitive range those proposals without a reasonable chance of being selected for award. Proposals that are unrealistic in terms of price or reflect an inherent lack of comprehension of the complexity and risks of the proposed contractual requirements may be rejected.
(2) Technically acceptable offers will then be ranked by the total overall evaluated price.
(3) Technically acceptable offers will receive a performance risk assessment rating of substantial confidence, satisfactory confidence, limited confidence, no confidence, or unknown confidence. This rating represents the confidence level the government has that an offer will accomplish the proposed effort. In assigning this rating, the Air Force will use both past and present performance data provided in the company proposal, as well as any other data obtained independently by the Government. Rating terms are defined as follows:
Rating
Description
SUBSTANTIAL CONFIDENCE
Based on the offeror’s performance record, the government has a high expectation that the offeror will successfully perform the required effort.
SATISFACTORY CONFIDENCE
Based on the offeror’s performance record, the government has an expectation that the offeror will successfully perform the required effort.
LIMITED CONFIDENCE
Based on the offeror’s performance record, the government has a low expectation that the offeror will successfully perform the required effort.
NO CONFIDENCE
Based on the offeror’s performance record, the government has no expectation that the offeror will be able to successfully perform the required effort.
UNKNOWN CONFIDENCE
No performance record is identifiable or the offeror’s performance record is so sparse that no confidence assessment rating can be reasonably assigned.
(4) The Government will select the best overall offer, based upon an integrated assessment of technical, past performance, and price. The Government reserves the right to award a contract to a technically acceptable offeror with a higher evaluated price. In these cases, the appropriate authority shall use good business judgment in making the best value award decision. This award shall be made on an all or none basis.
(5) The contracting officer may elect to hold limited exchanges with offerors in order to clarify past performance issues, or to resolve minor errors. These exchanges shall not be construed as discussions.
(6) If the Contracting Officer receives a reasonable number of proposals rated technically acceptable, the Government reserves the right to evaluate all proposals received and to award a contract without further discussions with any offeror.
