PERTINENT EXCERPTS FROM

SECTION L - INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

RIK-L00X FOREIGN PARTICIPATION (JAN 2020)

Only United States companies may participate as prime contractors on this acquisition, unless a National Interest Determination (NID) is approved in accordance with the National Industrial Security Program Operating Manual (NISPOM).

RIK-L00X FACILITY CLEARANCE (JAN 2020)

(a) To qualify as a responsible contractor, the Offeror must demonstrate the following at the time of proposal submission: (1) a facility clearance equal to the highest classification stated on the Contract Security Classification Specification (DD Form 254) attached to this solicitation; (2) at least 50% of technical personnel with eligibility to access Sensitive Compartmented Information (SCI) or clearable (Final US Top Secret Clearance without waiver and a Special Background investigation either on record or in process); and (3) at least 80% of all personnel with active Secret/Collateral clearances.

(b) Offerors must identify in Section 3 of the Contract Forms volume those cleared or clearable personnel by name and Social Security Number that will be assigned to the program upon award. This information will be protected in accordance with the Privacy Act, and will be used to verify security clearances.

RIK-L00X ORGANIZATIONAL CONFLICTS OF INTEREST (JAN 2020)

(a) All facts relevant to the existence or potential existence of organizational conflicts of interest (FAR 9.5) must be disclosed. The disclosure shall include a description of the potential conflict as well as the action the Offeror has taken or proposes to take to avoid, neutralize, or mitigate such conflict. Proposals that fail to fully disclose potential conflicts of interest and/or do not have plans to mitigate this conflict may be rejected without technical evaluation and withdrawn from further consideration for award.

(b) The most effective time to handle potential problems is during the proposal preparation stage, i.e.

prior to the proposal due date, not in the proposal. Therefore, if a prospective Offeror believes that any conflict of interest exists or may exist (whether organizational or otherwise), the Offeror is strongly encouraged to promptly raise the issue with the Contracting Officer by sending Offeror's contact information and a summary of the potential conflict by email to Shelley.Dormio@us.af.mil before time and effort are expended in preparing a proposal and mitigation plan. If, in the sole opinion of the Government after full consideration or the circumstances (including review of the Offeror's mitigation plan), any conflict situation cannot be effectively mitigated, the proposal may be returned without technical evaluation and withdrawn from further consideration for award under this solicitation.

(c) Organizational conflict of interest disclosures shall be included in Volume I - Contract Forms, Section 3.

RIK-L00X ORAL PRESENTATIONS (JAN 2020)

Oral presentations will not be allowed.

RIK-L00X DEBRIEFINGS (JAN 2020)

The Contracting Officer will promptly notify Offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505. The Contracting Officer will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

RIK-L00X PROGRAM STRUCTURE AND OBJECTIVES (JAN 2020)

(a) In order to receive from industry the most novel and innovative approaches to fulfilling the Government's requirements, it is anticipated that 3 to 5 prime Small Business (SB) contracts are necessary. The Government reserves the right to award more or less contracts than anticipated if it is determined to be in the best interest of the Government.

(b) The total amount ordered under all basic contracts will not exceed $49.9M.

(c) The initial orders for successful Offerors will be Task Orders FA8750-20-F-1003 "Network Operations Identification and Sensing Environment (NOISE)" and FA8750-20-F-1004 "LEMON CRABCAKES". Any successful Offerors that are not awarded one or both of these Orders will be awarded an initial Order for a "Kick-Off Meeting/Project Plan". The dollar amount associated with these orders is the minimum quantity the Government is certain to order (FAR 16.504).

(d) Funding will be obligated on each Task Order awarded under the basic contract.

RIK-L00X PROGRAM EFFORT (JAN 2020)

The Government will use Task Order Nos. FA8750-20-F-1003 and FA8750-20-F-1004 to assess the Total Evaluated Price. Offerors who are selected for award, but are not awarded Task Order Nos. FA8750-20-F-1003 and/or FA8750-20-F-1004 will be awarded an initial Order for a "Kick-Off Meeting/Project Plan". The following information is provided to Offerors only as a general indication of the scope of this effort. The amount of labor actually required by each individual Offeror is a function of its technical approach, experience, background, method of management, accounting system, and other factors. For this reason, Offerors should use this information only as a benchmark in formulating an approach to performance. Offerors are neither expected nor encouraged to attempt to make their proposal precisely fit the Government's estimate. Award will be made on the basis of the selection factors in Section M of this solicitation.

(1) Task Order No. FA8750-20-F-1003

a. Assumed start date: SEP 2020

b. Period of Performance: 36 months

c. Work Description entitled "Network Operations Identification and Sensing Environment (NOISE)" dated 20 May 2020 with Exhibit A, Contract Data Requirements List (CDRL).

d. Engineering, scientific and/or technical labor: 18,250 hours.

e. Other Direct Costs (ODCs), such as materials: $852,000. This is to be treated as a plug number. ODCs include items such as hardware, software, insurances, misc, etc., with application of any overhead amounts.

RIK-L009 SUBMISSION, MODIFICATION, REVISION, AND WITHDRAWAL OF PROPOSALS (JAN 2020)

(a) Unclassified proposals and modifications to proposals shall be submitted via email to: Shelley R. Dormio, shelley.dormio@us.af.mil. The submittals must show the solicitation number, and the name and address of the Offeror. Late proposals will only be considered IAW FAR 15.208. Preferred file types include searchable PDF, Microsoft Word 97-2003 or later, and/or Excel 97-2003 or later. Submission of cost information in Excel is preferred. Receipt of emails prior to the posted solicitation closing time will be considered timely. Request email confirmation of receipt from Contracting Officer.

(b) Personally Identifiable Information (PII) and For Official Use Only (FOUO) information may be transmitted via DoD SAFE (Secure Access File Exchange) at https://safe.apps.mil/. Offerors are responsible for ensuring sent items have been received by the Contracting Officer.

(c) Offerors are encouraged to submit unclassified proposals. If an element of the proposal must be classified, Offerors shall reference in Volume I any classified proposal element and submit it as follows:

(1) Elements of proposals and modifications to proposals classified UP TO THE COLLATERAL SECRET LEVEL must be submitted in paper only via U.S. Postal Service, registered mail and addressed to: AFRL/RIKD, 26 Electronic Parkway, Rome, NY 13441-4514. Please address the inner envelope to Shelley R. Dormio, Contracting Officer, AFRL/RIKD Info Grid & Systems Contracting Branch, 26 Electronic Parkway, Rome, NY 13441-4514. Electronic media submission of classified information is NOT authorized.

(2) Elements of proposals and modifications to proposals ABOVE COLLATERAL SECRET AND UP TO TOP SECRET/SCI LEVEL shall be submitted in accordance with instructions obtained by contacting 315-330-3406. Submittal shall be paper copy only.

(d) Proposals containing special access information will not be accepted.

RIK-L012 PROPOSAL PREPARATION INSTRUCTIONS - GENERAL (JAN 2020)

(a) Page limitation, format. Proposals shall consist of 3 volumes as follows: Volume I - Contract Forms (no page limit), Volume II - Cost (less than 50 pages goal*), and Volume III - Technical (75 page limit**). Cover page, table of contents, and index are exempt from the page limit. Cost proposal pages should be limited to the minimum number necessary to comply with solicitation requirements, regulation, and law. No cross-referencing between volumes for essential information is permitted except where specifically set forth herein.

* The 50-page cost proposal is a goal not a limit. The Offeror may use additional pages if necessary to comply with public law.

** Excluding resumes of management/engineering/scientific personnel.

(b) Any technical proposal pages submitted that exceed the page limitations set forth above will not be read or evaluated. Proposal pages failing to meet the following format requirements will not be read or evaluated:

(1) Pages, defined as one face sheet of 8.5" x 11" paper containing information, shall have a 1" margin.

(2) Type size shall be 10-12 point. Arial or Times New Roman fonts are preferred.

(3) Technical proposals shall be in the same sequence as the Statement of Work and Task Order Work Descriptions.

(4) Pictures and graphics shall be limited to essential information.

(5) All pages shall be numbered sequentially from the first to the last page using only arabic numerals.

(6) No models, mockups or video tapes will be accepted.

(d) Content. Proposals shall be complete and respond directly to the requirements of this solicitation. Each amendment to the solicitation must be acknowledged. The factors and subfactors listed in Section M of the solicitation shall be addressed.

RIK-L00X PROPOSAL PREPARATION INSTRUCTIONS – CONTRACT FORMS (VOLUME I) (JAN 2020)

(a) The following data shall be included in this volume in the format indicated.

(1) SECTION 1

(i) Proposal forwarding letter, if any.

(ii) Standard Form 33 and Section K from this solicitation, signed by an official authorized to contractually bind the Offeror in Block 17 of the Standard Form 33. Offerors are requested to insert at a minimum "120 days" in block 12 of the Standard Form 33 to ensure proposals remain valid through completion of the acquisition process.

(iii) Identification and Assertion of Use, Release, or Disclosure Restrictions pursuant to DFARS 252.227-7017 (see Attachment _TBD_). This document should indicate any noncommercial technical data or computer software that the Offeror currently anticipates delivering to the Government under this contract based on the Offeror’s approach to fulfilling the requirements as set forth in the Statement of Work and Order(s). A separate form is required for the basic contract and each Order. Please note that while Government Purpose Rights are the minimum acceptable, the Government desires Unlimited Rights. If Offeror proposes rights more restrictive than Government Purpose Rights, include in this section or in the cost proposal any prices associated with the Government obtaining Government Purpose Rights. The Government will add this price to the Offeror's proposed cost and fee to arrive at a probable cost of doing business with the Offeror.

(iv) A current copy of their DD Form 2345 Militarily Critical Technical Data Agreement The Government anticipates that successful Offerors will generate or require access to export-controlled items during performance. Offerors must provide.

(2) SECTION 2.

(i) Offerors are reminded that exceptions to terms and conditions will be considered as part of an integrated assessment of all offers received (as indicated in Section M of this solicitation). Thus, the most effective time to request clarification of, or express an exception to, the terms and conditions set forth in the solicitation is during the proposal preparation stage, i.e. prior to the proposal due date, NOT in your proposal. If your offer includes exceptions to terms and conditions, they must be explained and justified in this Section in sufficient detail to allow the Government to determine the acceptability of your offer without necessitating discussions with your firm. Failure to provide detailed support for your position may, in conjunction with the other evaluation elements identified in Section M, lead to the determination that your proposal does not offer the best overall value to the Government. In the event that award is not made based on initial proposals and discussions are held, any revisions to the model contract (Sections A through J and Attachments) are to be agreed upon to the maximum extent possible during discussions by the Offeror and the Government before the Government requests a proposal revision.

(3) SECTION 3.

(i) Names and Social Security Numbers of personnel cleared or clearable that will be assigned to the contract upon award. This information will be protected in accordance with the Privacy Act, and will be used to verify security clearances.

(ii) Information required in the solicitation for which there is insufficient space in the requiring clauses or certifications.

(iii) A statement indicating whether or not the Offeror is able to submit electronic invoices as set forth in the Section I clause DFARS 252.232-7003, ELECTRONIC SUBMISSION OF PAYMENT REQUESTS AND RECEIVING REPORTS.

(iv) Include the information required by the Section L provision DFARS 252.215-7003, EXCESSIVE PASS-THROUGH CHARGES – IDENTIFICATION OF SUBCONTRACT EFFORT, if required.

(v) Organizational conflict of interest (OCI) disclosures and mitigation plan. If no OCI exists, so state.

(4) SECTION 4.

(i) Per FAR 45.103(a)(2) and (4), the Government must eliminate to the maximum extent practical any competitive advantage a prospective contractor may have by using Government property. Unless otherwise specified in this solicitation or attachments, the Government does not plan to furnish any Government property for use in the performance of the contract resulting from this solicitation.

(ii) The Government may, however, authorize such use in accordance with FAR 45.3, Authorizing the Use and Rental of Government Property. To use existing Government property in the performance of this proposed contract, a copy of the cognizant Contracting Officer's written concurrence with such use must be furnished to the Government as a part of the response to this solicitation. Your proposal must include a listing of Government property you desire to use in the performance of the proposed contract, including the following information for each item: nomenclature, date of purchase, acquisition value, number of months of contemplated use (identify first, last, and all intervening months), rental fee, if applicable, and the copy of the Contracting Officer's written concurrence for such use.

(iii) In the event that permission for such use of Government property is not authorized and the Contractor must furnish the property to perform the contract, identify the total cost impact, if any, to the proposed price.

(iv) An evaluation factor as set forth in FAR 45.202, Evaluation Procedures, will be used to eliminate any competitive advantage from the use of such property unless the Contracting Officer determines that the use of an evaluation factor would not affect the choice of Contractor.

RIK-L00X COST PROPOSAL PREPARATION INSTRUCTIONS (VOLUME II) (FEB 2020)

Applies to Task Order Nos. FA8750-20-F-1003, FA8750-20-F-1004, and Task Order 0003 "Kick-Off/Project Plan,” Submit one Cost Proposal, separated into separate sections, as follows: Section 1 - Task Order No. FA8750-20-F-1003; Section 2 – Task Order No. FA8750-20-F-1004, and Section 3 – Task Order No. 0003.

(a) For proposal pricing purposes, Offeror should assume a start date of SEP 2020 for each order.

(b) The Government anticipates that the conditions for adequate price competition at FAR 15.403-1(c)(1) will exist. However, submission of cost or pricing information in accordance with FAR 15.408, Table 15-2, is still required as part of the proposal in order for the Government to adequately evaluate the proposed costs. Offerors will not be required to submit a Certificate of Current Cost or Pricing Data unless after receipt of proposals it is determined that adequate price competition does not exist.

(c) Submit a cover sheet of the Offeror's choice containing the following information:

(1) Solicitation, contract, and/or modification number;

(2) Name and address of Offeror;

(3) Name and telephone number of point of contact;

(4) Name of contract administration office (if available);

(5) CAGE Code;

(6) Proposed cost, profit or fee, and total FOR EACH ORDER, AND FOR THE TOTAL EVALUATED PRICE (TEP) (Task Order No. FA8750-20-F-1003 plus Task Order No. FA8750-20-F-1004 as stated in Section M);

(7) Whether you will require the use of Government property in the performance of the contract, and if so, what property;

(8) The following statement: "This proposal reflects our estimates and/or actual costs as of this date and conforms with the instructions in FAR 15.403-5 (b)(1) and Table 15-2. By submitting this proposal, we grant the Contracting Officer and authorized representative(s) the right to examine, at any time before award, those records, which include books, documents, accounting procedures and practices, and other data, regardless of type and form or whether such supporting information is specifically referenced or included in the proposal as the basis for pricing, that will permit an adequate evaluation of the proposed price."

(9) Date of submission; and

(10) Name, title, and signature of authorized representative.

(d) For purposes of determining cost reasonableness and realism, the Contracting Officer requires that the information shown on the Table of Contents at the end of this provision be included in the cost proposal for each order. The Offeror's format for submitting such information may be used. Do not omit any topics or elements. Additional topics may be added by the Offeror as necessary. All pages should be numbered. Fill in all blanks either with the applicable page numbers, or "N/A."

(e) Subcontractors' proposals must be similarly structured. All subcontracted work must be properly identified as such. If a subcontractor elects to submit an abbreviated proposal to Offeror, it is Offeror's responsibility to see that the subcontractor simultaneously submits a complete detailed proposal per Table 15-2 directly to the Contracting Officer by the response date of this solicitation. Offeror must ensure that subcontractor adheres to the guidance set forth herein. FAR 15.404-3 requires that an Offeror provide an analysis of subcontractors' cost proposals. To that end, the Offeror's proposal must:

(1) Identify principal items/services to be subcontracted.

(2) Identify prospective subcontractors and the basis on which they were selected. If noncompetitive, provide selected source justification.

(3) Identify the type of contractual arrangement contemplated for the subcontract and provide a rationale for same.

(4) Identify the basis for the subcontract costs as included in Offeror's proposal (e.g., firm quote or engineering estimate, etc.).

(5) Identify the cost documentation submitted by the subcontractor.

(6) Provide a price analysis of the proposed subcontract in accordance with FAR 15.404-1(b) and a cost realism analysis in accordance with FAR 15.404-1(d). Provide an analysis concerning the reasonableness, realism and adequacy of each subcontractor's proposal. If the analysis is based on a comparison with prior prices, identify the basis on which the prior prices were determined to be reasonable.

(f) The cost proposal should be limited to the minimum number of pages necessary to satisfy the specific requirements set forth herein. Submission of volumes of computer-generated data to support the cost proposal is not necessary or desired. If computer-generated data is essential to support the cost proposal, it may be submitted as an addendum and must be clearly cross-referenced to the material it supports in the cost proposal.

(g) Cost proposals should represent the Offeror's best response to the solicitation. Along with the information required in the Table of Contents, provide a brief narrative explaining the necessity and purpose of each proposed resource. Any inconsistency, whether real or apparent, between promised performance and cost or price information must be fully explained in the proposal. Failure to explain any significant inconsistencies may demonstrate Offeror's lack of understanding of the nature and scope of the work required. Accordingly, cost proposals must be sufficient to establish the reasonableness, realism and adequacy of the proposed cost/price. Further, any modifications made to the initial proposal must likewise be thoroughly supported in writing regardless of whether such changes are made during negotiations or at the time of a proposal revision.

(h) Cost proposals for the Task Orders shall be based on the information contained in RIK-L00X Program Effort.

(i) The Cost Proposal Table of Contents for each order is as follows:

RIK-L00X PROPOSAL PREPARATION INSTRUCTIONS - TECHNICAL (VOLUME III) (FEB 2020)

Applies to FA8750-20-R-1001 Statement of Work and Task Orders FA8750-20-F-1003 and FA8750-20-F-1004.

(a) The Technical Volume should be specific, complete, clear, and coherent. Offerors responses will be evaluated against the Technical subfactors defined in Section M, Evaluation Factors for Award. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation. As a minimum, the Technical Volume shall address the following:

(1) Provide in specific detail the technical and management processes proposed to fulfill the Government's requirements. Innovative approaches are encouraged, but must include an assessment of risk, risk mitigation strategy, alternatives, and effects on effectiveness. Describe the proposed program organization and techniques for managing the organization. Describe how the engineering team and/or management will interact with any subcontractor. Explicitly indicate references to appropriate Statement of Work and Work Description tasks.

(2) Provide a description of related experience and qualifications of proposed types of engineering/scientific personnel that the Offeror considers central to performance, and the quantity and quality of the Offeror's corporate experience relevant to program requirements, including related experience. Specifically address Offeror’s with demonstrated experience addressing relevant technology development. Resumes of engineering/scientific personnel should be provided andmay be appended to the Technical Volume provided names of personnel are redacted. Resumes are not counted toward any page limitation set forth elsewhere herein.

(3) Prepare technical proposals in the same sequence as the Statement of Work and Work Descriptions.

(b) The Technical Volume shall address the Statement of Work and Task Order Work Descriptions in 5 Sections: Section I - FA8750-20-R-1001 Statement of Work, Section II - FA8750-20-F-1003 Work Description, Section III - FA8750-20-F-1004 Work Description, Section IV - Experience and Expertise, and Section V Task 0003, Kick-Off Meeting/Project Plan Work Description. Do not duplicate information contained in previous Sections.

(c) The Government reserves the right to incorporate features proposed in the Technical Proposal in the resulting contract/orders.
