SECTION L

INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS (ITO)

I. PROGRAM INFORMATION

1.0 Program Structure and Objectives

1. The Kirtland, Davis-Monthan, Andrews, and Moody Aircrew Training and Rehearsal Support (KDAM ATARS) customers are represented by US Special Operations Command (USSOCOM), Air Force Special Operations Command (AFSOC), Air Education and Training Command (AETC), Air Combat Command (ACC), and Air Force Global Strike Command (AFGSC). The KDAM ATARS contract provides comprehensive Formal Training Unit (FTU) operations for unique crew positions across all KDAM ATARS Mission Design Series (MDS) aircraft and initial qualification training for AFSOC Special Operations Forces (SOF) aircrews, all training for ACC Personnel Recovery (PR) aircrews, all training for AFGSC Vertical Lift Aircrews in Nuclear Security Response, and all training for Convoy Support and Air Force District of Washington (AFDW) Vertical Lift Aircrews in Continuity of Government and Continuity of Operations.

2. The baseline requirements of this contract are for aircrew instruction (initial qualification, refresher, upgrade, and currency), student services, Contractor Logistics Support (CLS), concurrency management, Training Systems Support Center (TSSC), and aircraft concurrency modifications to aircrew training devices, courseware, support for Distributed Mission Operations (DMO), Database Generations Services (DBGS), and cybersecurity in support of this contract’s mission.

3. The requirements of this contract will be performed at Kirtland Air Force Base (AFB) NM, Davis Monthan AFB AZ, Joint Base Andrews, MD, Moody AFB GA, and potential future Continental United States (CONUS) sites.

4. The Contract Line Item Number (CLIN) structure and option matrices represent the required flexibility and scalability the KDAM ATARS contract requires.

5. Budget and Funding Information: Notice to Offeror(s): Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date.

In the event the Government cancels this solicitation, the Government has no obligation to reimburse any offeror for any costs incurred in responding to this solicitation.

II. GENERAL INSTRUCTIONS

1. This solicitation excludes Foreign-owned or foreign-influenced companies as primes.

2. Offerors shall have an existing or be eligible/capable to receive a valid U.S. security facility clearance of Top Secret (TS) in order to be eligible for contract award. Failure to obtain the required TS clearances (both awardee and personnel) by 1 October 2016 will be grounds for a default termination. The 1 October 2016 deadline corresponds to the end of the transition period and the start of this contract.

3. The offeror's proposal must include all data and information requested by this ITO and must be submitted In Accordance With (IAW) these instructions. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors.

Alternate proposals are not acceptable. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.

4. The Offeror’s proposal shall be clear, concise, and include sufficient detail to allow for an effective evaluation and for substantiating the validity of stated claims. The proposal should not rephrase or restate the Government's requirements; but rather shall provide convincing rationale to address how the offeror intends to accomplish the requirements. Offerors shall assume the Government has no prior knowledge of their facilities and past contract effort and as such, the Government will base its evaluation only on the information presented in the offeror's proposal.

5. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.

6. The proposal acceptance period is specified in Section A of the model contract/ solicitation.

The offeror shall make a clear statement in Volume IV the proposal is valid through this date.

7. IAW Federal Acquisition Regulation (FAR) 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise within 10 days after contract award, the Government will destroy extra copies of such unsuccessful proposals.

8. The North American Industry Classification System (NAICS) code for this acquisition is 336413, size standard 1000 employees.

9. System for Award Management (SAM): Offerors will not be eligible to receive a contract award from a Department of Defense (DoD) activity unless they are registered in SAM. Offerors must be registered in the SAM Database prior to award of any contract, basic agreement, basic ordering agreement, or blanket purchase agreement. Firms must register on a one-time basis and annually confirm accuracy and completeness of registration information. On-line registration and instructions can be accessed at https://www.sam.gov/index.html.

10. Data Universal Numbering System (DUNS) Number: A DUNS Number is required for offers exceeding $25,000. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” followed by the DUNS number identifying the offeror’s name and address. If the offeror does not have a DUNS number, contact Dun and Bradstreet at 1-800-333-0505 or via their internet homepage at http://www.dnb.com/. If an https://www.sam.gov/index.html

4-Jun-15, Page 3 of 17 offeror is unable to locate a local service center, an email may be sent to Dun and Bradstreet at custserv@dnb.com.

11. Point of Contact: The Contracting Officer (CO), Jon Snyder, (937)255-4389, email:

jon.snyder.2@us.af.mil, is the sole point of contact for this acquisition. Any questions or concerns shall be addressed to the CO. The Government will accept requests for clarification addressed to the POC identified above, for 10-days after release of the Request For Proposal

(RFP).

12. Discrepancies: If an Offeror believes the requirements in these instructions contain an error, omission, the offeror shall immediately notify the CO in writing with supporting rationale and suggested remedies the offeror is asking the CO to consider as related to the omission or error.

The offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

13. Electronic Reference Documents: All applicable documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) website at http://www.fedbizopps.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

14. Communications: Exchanges of source selection information between the Government and each offeror will be controlled by the CO. Email may be used to transmit such information to offerors only if the email can be sent and received encrypted and/or password protected and includes “Source Selection Information – See FAR 2.101 & 3.104” in the Subject line.

Otherwise, source selection information will be transmitted via facsimile or pick-up by local representative.

15. Debriefings: The CO will promptly notify unsuccessful offerors of any pre-award or post-award decision, IAW FAR 15.503. Offerors excluded from the competitive range may request and receive one debriefing IAW FAR 15.505 or FAR 15.506. Unsuccessful offerors included within the competitive range, upon receipt of the source selection decision may request and receive one debriefing IAW FAR 15.506.

III. PROPOSAL PREPARATION INSTRUCTIONS

1. These instructions prescribe the format of proposals and describe the approach for the development and presentation of proposal data. They are designed to ensure the submission of information essential to the understanding and comprehensive validation of proposals. The instructions permit the inclusion of any additional data or information an offeror deems pertinent within the stated page limitations. The Government may make a final determination regarding acceptability solely based on the proposal as submitted without requesting any further information. However, if deemed necessary, and at its sole discretion, the Government may request additional information from offerors clarifying information contained within the proposal. Offerors shall only submit unclassified proposals.

2. Organization/Number of Copies/Page Limits: The offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table 3.2 below). The titles and contents of the volumes shall be as defined within this table, all of which shall be within the required page limits and with the number of copies as specified within Table 3.2. Each volume shall be separately bound in slant D three-ring binders. The contents of each proposal volume are described within the ITO paragraphs noted within the Table 3.2 below:

3. Page Limitations: Page limitations shall be treated as maximums. If exceeded, excess pages will not be read or considered in the evaluation of the proposal and (for paper copies) will be destroyed. Each page will be counted except: transmittal letters, cover pages, tab/index pages, glossaries and tables of contents, as well as any pages under a clear overlay on the front, spine or back of the binder. Do not include proposal information on pages that are not counted. The specific content of each volume shall only be presented within its respective volume. Page limitations will be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors.

4. Page Size and Format:

a. A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it will be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts. Pages shall be typed single spaced with a double space between paragraphs. Except for the reproduced sections of the solicitation document, the text size shall be no less than 12-point Times New Roman font.

b. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. These page size and format restrictions shall also apply to EN responses. These limitations shall apply to both electronic and hard copy proposals. NOTE: The line spacing, font size (etc.) restrictions do not

4-Jun-15, Page 5 of 17 apply to the pages generated by the Past Performance Information (PPI) Tool (paragraph 3.11 and 3.12).

c. Legible tables, charts, graphs, diagrams and figures shall be used where practical to depict organizations, systems, layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 by 17 inches in size. Pages larger than 8.5x11 (Foldout pages) shall fold entirely within the volume and each 8.5x11 surface containing printed material shall be counted as a separate page. Foldout pages may only be used for large tables, charts, graphs, diagrams and figures not for pages of text. For tables, charts, graphs, diagrams, and figures, the text shall be no smaller than 10-point Times New Roman font. These limitations shall apply to both electronic and hard copy proposals.

5. Experience-based versus Past Performance: For the purposes of this evaluation, Experience-based and Past Performance have the following definitions and are evaluated under separate Factors:

a. Experience-based - an attribute of an offeror’s proposed technical approach or solution indicating that prior experiences in business or on other efforts was considered by management in formulating the proposed technical solution in a manner that reduces the risk associated with meeting program requirements.

b. Past Performance - is a measure of the probability that the offeror will successfully perform the required effort based on an assessment of the offeror’s prior work record.

6. Pricing Related Data: All cost or pricing data shall be addressed only in the Price Proposal and Contract Documentation Volumes. The offeror shall provide all pricing information in electronic format using Microsoft Excel 2010 and the electronic files shall be live with all equations and functions fully functional and unhidden. At any time during this competition if the CO determines adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the CO to determine the reasonableness of the price.

7. Cross-Referencing: To the greatest extent possible, each volume shall be written on a stand-alone basis so its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found within its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use will conserve space without impairing clarity. The offeror shall fill out the Solicitation Cross Reference Matrix (not included within the respective volume page count) at Section J, Attachment 16 indicating the proposal reference information as it relates to the ITO (Sec. L), Evaluation Factors (Sec. M), Government-provided Performance Work Statement (PWS), Contractor-generated Statement Of Work (SOW), CLIN numbers, and Contract Data Requirements List (CDRL) references found therein.

8. Indexing: Each volume shall contain a table of contents delineating the sections, paragraphs, subparagraphs, tables, charts, graphs, diagrams, and figures within the volume. Tab indexing

4-Jun-15, Page 6 of 17 shall be used to identify sections. Tables of contents and Tab indexing do not count against the page limitations for their respective volumes.

9. Glossary of Abbreviations and Acronyms: Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

10. Binding and labeling:

a. The “original” proposal shall be printed flip-up using both sides of the sheet, should have 2 holes punched in the top of each sheet (using a 2-hole punch), and be bound using an appropriately sized binder clip or secured with rubber bands. The original shall be labeled “original” in addition to all required document labeling. All other copies of each volume should be separately bound in slant D three-ring binders and shall be printed in book read format, which shall permit the pages to lie flat when open. Staples, paper clips, rubber bands, binder clips, etc.

shall not be used within the binders.

b. A cover sheet shall be bound in each binder and shall clearly mark the volume number, title, copy number, solicitation identification, and the offeror's name (not included within the page count). The same identifying data should be placed on the spine of each binder. All unclassified document binders shall have a color other than red or other applicable security designation colors. Be sure to apply all appropriate markings, including those prescribed IAW FAR 52.215-1(e), “Restriction on disclosure and use of data”, and FAR 3.104-4, “Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information”.

c. All material shall include the following information located in the header and footer of each page:

11. Electronic Offers: DO NOT submit your proposal on a flash drive or Compact Disk- ReWritable (CD-RW) media. The content and page size of electronic copies must be identical to the hard copies. For electronic copies, indicate on each Compact Disc (CD) the volume number, title, solicitation number, and offerors name. Use separate files to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments, if any. The offeror shall submit volumes I through V in electronic format, using recordable CDs. Each volume shall be in a different directory on the CD. DO NOT use file compression software. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 2010, MS Office Excel 2010, MS Office Project 2010, and MS Office Power Point 2010, as applicable.

If there are any discrepancies between the hard copies and the electronic copies of the proposal, the hard copies will be used for evaluation. All electronic documents shall be searchable. One copy must be unlocked in order to export the winning offeror’s information into government contract writing systems.

12. Past Performance Information (PPI): Offerors must use the PPI Tool (see Section J, Attachment 19 for use instructions) (use latest version from FBO.gov) in order to electronically submit the PPI database with Past Performance Volume IAW the RFP. Hard copies of the pages generated from this tool shall be used in the hard copy of the Past Performance Volume subject to the limitations outlined in this solicitation and shall be labeled as Tab 1 of the Past Performance Volume. In addition to the hard copies included in the proposal, submit one electronic copy of the PPI database on a prerecorded (pressed) CD-ROM or CD-R (no CD-RWs), and include it with the proposal sent to the CO. If you are unable to download the PPI tool, contact the CO for assistance. All Past Performance materials shall include the following legend at the top and bottom of each page:

IV. PROPOSAL ORGANIZATION

1. VOLUME I – TECHNICAL VOLUME

a. General: The Offeror shall deliver a Technical volume with their proposal, containing their technical solution IAW the format identified within Section L, Instructions to Offerors. The Technical volume shall be specific, complete, clear, and concise and shall include sufficient detail for the Government’s evaluation, as defined within Section M. The Government will evaluate the Technical Volume against all of the criteria defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology and approach planned for accomplishing/satisfying each subfactor. All the requirements specified in the solicitation are mandatory. By proposal submission, the offeror affirms it will perform and accomplish all requirements specified within the solicitation. Proposal submissions merely reiterating the requirements or reformulating the requirements specified in the solicitation may be considered non-responsive to the solicitation.

b. Format and Specific Content:

(1) Volume Organization: The Technical volume shall be organized according to the following general outline:

(2) The Technical volume shall demonstrate the offeror’s understanding of the requirements, evidence of the offeror’s experience for each Technical Subfactor, and provide the offeror’s technical solution and thorough approach to meet the requirements.

Factor 1 – Technical:

Subfactor 1: Technical Solution Subfactor 2: UH-1N Weapons System Trainer (WST) And Operational Flight Trainer (OFT) Helicopter Terrain Awareness Warning System (HTAWS) And Traffic Collision Avoidance Device (TCAD) Concurrency Modification

(3) The Offeror shall address Technical Risk associated with those aspects of the proposed technical solution considered to have a higher probability for disruption of schedule, impacts to costs, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. Provide rationale for each risk, including quantitative estimates of the impact on cost, schedule, and performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (for example: PWS or specification requirements), regardless of whether or not those requirements are identified as subfactors.

Include within the proposed Technical Solution, the risk mitigations planned to eliminate or reduce the risk to a level that does not impact accomplishing the requirements of the contract.

(4) Technical Subfactors: Provide your firm’s proposed approach that meets the requirements of each of the following technical subfactors:

SUBFACTOR 1: TECHNICAL SOLUTION

The Offeror shall provide the following:

a) A detailed experience-based* approach to manage all locations of performance to accomplish annual student throughput and on-time graduation requirements, specifically addressing the integration of CLS (PWS Para 2.b), training management (PWS Para 4.7.b, 4.7.1, 4.7.4.d), and Cybersecurity (PWS Para 6.1.1.c and 6.1.1.d).

b) A detailed experience-based* approach to execute a 90-day Ramp-Up Transition specifically addressing timelines and describing procedures/process/plans for team formation, travel, Government Furnished Property audits, device performance baselining, hiring/training of personnel and approach variations to reduce transition to 60 and 30 days.

2. VOLUME II – PAST PERFORMANCE

a. Each offeror shall submit a Past Performance Volume with its proposal containing recent and relevant Past Performance Information (PPI). The online past performance information tool described herein and Section J, Attachment 19 – Past Performance Information (PPI) provides the format.

b. In addition to the data provided in this volume, the Government will use Contractor Performance Assessment Reporting System (CPARS) and/or similar systems of other Government departments and agencies, questionnaires tailored to the circumstances of this acquisition, Defense Contract Management Agency (DCMA) channels, interviews with program managers and CO’s, and other sources known to the Government, including commercial sources in the evaluation of past performance.

c. The Past Performance Volume shall be organized according to the following general outline:

SUBFACTOR 2: UH-1N WST/OFT HTAWS/TCAD CONCURRENCY MODIFICATION

The Offeror shall provide the following:

a) An experience-based* Technical Solution meeting the objectives defined within Section J, Attachment 06 – Statement of Objectives (SOO) and an explanation of how integrated hardware, software, firmware and courseware solutions (mods) are derived from the requirements and the types of tradeoffs and rationale used to select the final solution.

b) A contract work breakdown structured Statement of Work (SOW) (Data Item Description DI-MGMT-81606) specifically addressing:

i. All tasks and deliverables required to meet the objectives detailed within Section J, Attachment 06 – Statement of Objectives

ii. Identification of milestone events and timelines (e.g., System Requirements Review (SRR)/Engineering Design Review (EDR)/Government Acceptance Testing (GAT)/DD250) to be conducted during the execution of the concurrency modification, deliverables (PWS Para 11)

d. Early Proposal Information: Offerors are required to submit their Past Performance Volume before the required submission date for the remainder of the proposal. Each Offeror shall submit the past performance information described herein, no later than 30 days after the RFP issue date.

e. Recent Contracts: To be recent, the effort must have at least six months of performance and either be active or have been completed within five years preceding the date of this solicitation.

f. Relevant Contracts: The Offeror shall provide Past Performance Information for no more than five (5) recent contracts considered the most relevant in demonstrating your firm’s ability to perform the proposed effort. In addition, each offeror shall submit no more than three (3) recent contracts considered the most relevant in demonstrating each subcontractor and/or joint venture partner proposed to perform in its entirety or any portion of PWS section 4 Training Management, PWS section 5 – Courseware, PWS section 2 – CLS, PWS section 3 – TSSC, and PWS section 6.1.1 – Cybersecurity.

g. Offerors shall explain what aspects of the contracts submitted are relevant to the proposed effort. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror shall clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a higher confidence candidate.

h. In the Past Performance Information Tool, provide examples of past effort performing contracts with requirements similar in scope, magnitude and complexity to the KDAM ATARS requirements. For each contract identified, provide a comparative analysis of the offeror’s past contract effort as compared to this contract’s requirements and describe the relevancy of the past contract effort. Specifically describe and compare the type of work and scope of effort (e.g., number of sites, number of devices maintained, number of students, number of courses, etc.). Include a description of the breadth and

4-Jun-15, Page 11 of 17 depth of the work performed. The capability of key personnel on these contracts should only be described if those individuals will have roles and responsibilities on this contract.

Provide the contract number and title of the program, dates, and location under which the capability was gained. Also, specifically identify the number of years performing the contract at time of proposal submittal and how recent the contract performance is (currently ongoing or number of years from the date of this solicitation).

i. The offeror’s PPI shall include information about predecessor companies. If an offeror is submitting a proposal as a joint venture, past performance information is required from that joint venture. This information may be from work performed as the joint venture or from one or more of the companies that formed the joint venture as long as the total contracts submitted do not exceed the prime offeror contract citation limitations stated within Section L, paragraph 4.2.6.

j. Joint Ventures (JV) and Mentor-Protégé Agreements (MPA): Along with the information required within this paragraph, if the prime offeror is a JV or MPA, provide complete information concerning the arrangement, i.e., copy of the operating agreement, legal relationship between the parties, handling of tax obligations, ensuring compliance with insurance obligations, bankruptcy, handling of a pro Government claim, intra-agreement for dispute resolutions, etc. This information shall not be included within the page count limitations and shall be provided within the Past Performance Volume 3 under tab 6.

k. Past Performance Questionnaire (PPQ): Submit information IAW Section J, Attachment 09 – Past Performance Questionnaire, on submitted relevant contracts. The Offeror shall send PPQs directly to the points of contact for the relevant past performance efforts identified. PPQ respondents shall be instructed to return responses directly to the Government CO by e-mail, jon.snyder.2@us.af.mil. Offerors shall provide a listing of the individuals to whom the questionnaires were sent with contact information (name, phone, email, etc.) and include within tab 4 of this volume. This is needed in case the Government has to follow-up with any Points Of Contact (POCs) for questionnaires not received. This listing is excluded from the volume page count. It is important that the completed questionnaire(s) be sent directly to the Government POC referenced above NOT LATER THAN 30 days after RFP release. Note that once the questionnaire is filled out, it becomes source selection sensitive and must be handled accordingly.

l. Consent Letter/Client Authorization Letter: Along with the information required within this paragraph, the offeror shall submit a Consent letter (see sample, Section J, Attachment 11 – Subcontractor/Teaming Partner Consent Letter) executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For commercial customers, the offeror shall also submit a Client Authorization letter, authorizing release to the Government of requested information on the offeror's performance (see sample, Section J, Attachment 10 – Client Authorization Letter). This information shall not be included within the page count limitations and shall be provided within the Past Performance Volume 3 under tab 4.

m. Terminated Contracts: In addition to the content provided in the PPI tool on FedBizOpps (FBO), offerors shall furnish the following information for all contracts fully or partially terminated (either for default or for convenience) within the last five calendar years:

n. Organizational Structure Change History: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as information provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources. This information shall not be included within the page count limitations and shall be provided within the Past Performance Volume 3 under tab 7.

3. Volume III - Price

a. Volume Organization: The Price volume shall consist of the following sections:

b. The Offeror shall populate the Pricing Matrix found in Section J, Attachment 05, for the base year, option years, and the Table Rates matrix as instructed within the attachment. These values shall include all direct costs, indirect costs, profit, etc. for each CLIN for each period of performance.

c. Submission of an incomplete Price Matrix, see Section J, Attachment 05 – Pricing Matrix, will cause the offeror’s proposal to be non-compliant with the terms and conditions of the RFP and may render the proposal ineligible for award.

d. Proposals shall be in “Then Year” (TY) United States currency. TY dollars are dollars escalated into the time period of performance of the contract. They are sometimes referred to as “escalated dollars” or “inflated dollars.”

e. The offeror shall include all applicable Federal, State and Local jurisdiction direct and indirect costs within the CLIN values proposed, including but not limited to New Mexico Gross Receipts Tax.

f. The offeror shall include a statement the offeror and all subcontractors are in compliance with the Collective Bargaining Agreement (CBA)-based wage determinations (Section J, Attachment 12) for Kirtland AFB, Davis-Monthan AFB, Joint Base Andrews, and Moody AFB, currently in effect under the incumbent ATARS II contract. FAR 22.1008-2(b) of the Service Contract Labor Standards provides that a successor contractor must pay wages and fringe benefits (including accrued wages and benefits and prospective increases) to service employees at least equal to those agreed upon by a predecessor contractor for the first year of the awarded contract.

g. Specific classes of employees performing work on this contract may be exempt from the Service Contract Act (SCA) provisions (as implemented by Section I, FAR Clause 52.222-41) if the employee meets the criteria specified in Department of Labor (DOL) Regulation 29 Code of Federal Regulations (CFR) Part 541 for the Executive, Professional, Administrative, or Computer-related occupations. Wages and benefits for employees exempt from the SCA are not governed by either a DOL area wage determination or a CBA-based wage determination, thus the wage and benefit escalation for exempt employees is not recoverable under Section I, FAR Clause 52.222-43. Offerors shall address planned wage and benefit escalation for all exempt employees accordingly. Offerors shall not build any escalation into the contract price for the non-exempt employees because that escalation is recoverable under Section I, FAR Clause 52.222-43 (see clause paragraph b).

h. All dollar amounts provided in response to these instructions shall be extended dollar amounts and shall be rounded to the nearest dollar. For yearly efforts, round unit prices to the nearest dollar so the yearly prices will also be in whole dollars. CLIN and unit price dollar amounts provided shall be rounded to the nearest dollar. Table Rate values shall be rounded to the nearest 1/10th of a dollar.

i. Offerors may be required to submit other than cost or pricing data to assist the Government in determining the reasonableness and balance of your proposed price. Compliance with these requirements is mandatory and failure to comply may result in rejection of your proposal. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Offers shall use sufficient detail to demonstrate reasonableness and balance. The burden of proof for credibility of proposed prices rests with the offeror.

(1) Price Data: Data beyond what is required by this instruction shall not be submitted, unless you consider it essential to document or support your price position. All data relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Price volume. Under no circumstances shall this data and documentation be included elsewhere in the proposal.

(2) Pricing Data Requirements: IAW FAR 15.403-5(b)(1),(2), and (3), the offeror's format for submitting such information should be used unless the Contracting Officer decides use of a specific format is essential and the format has been described in the solicitation.

j. The offeror shall provide a narrative of the basic pricing approach and methodology used to generate matrix prices. The offeror shall provide any ground rules and assumptions necessary for the Government to understand what the prices represent and to enable the Government to determine if the prices are reasonable. These assumptions should correlate to and/or supplement information elsewhere in the Price volume to add clarity but avoid repetition or conflict.

k. IAW FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support a determination of price reasonableness. Data shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the CO determines there is insufficient data available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror shall be required to submit additional cost or pricing data.

4. Volume IV - Contract Documentation

b. Model Contract/Representations and Certifications: The purpose of this section is to provide information to the Government for preparing the contract document and supporting file.

The offeror's proposal shall include a signed copy of the Model Contract, and Sections A through K.

c. Section A - Solicitation/Contract Form: Completion of blocks 13-16 and signature and date for blocks 17 and 18 of the SF33. Signature by the offeror on the SF33 constitutes an offer, which the Government may accept. The “original” copy shall be clearly marked and shall be two-hole punched at the top of each sheet of paper. The pages shall be double sided and bound at the top of the page (flip up).

d. Section B - Supplies or Services and Costs/Prices: Complete pricing information in Section B of the model contract. Do not enter prices in Section B of the Model Contract for CLINs with pricing bands.

e. Section I - Contract Clauses: The Offerors shall complete clause 252.208-7000 paragraph (b).

f. Section J - Attachments

(1) Attachment 05 – Pricing Matrix: See pricing matrix for instructions on completing

(2) Attachment 24 – CBA/WD: Labor Hours (see paragraph h(1) below for instructions)

g. Section K - Representations, Certifications, and other Statements of Offerors: IAW FAR 52.204-8 Annual Representations and Certifications, and other Statements of Offerors:

Completed representations, certifications, acknowledgments and statements. Offerors are reminded to read each representation and certification carefully before answering or completing.

Offerors shall certify the assurances in Section K are accurate and true to the best of their knowledge by signing page 21 of 21 in the spaces provided. Offerors must complete this certification as manifested by signing the Representation and Certifications (Section K) on the page indicated if their proposal is to be considered responsive.

h. Other Information Required:

(1) Wage Determination/CBA Labor Hours: Offerors shall submit within Volume IV of their proposal an attachment (Section J, Attachment 24), in MS Office Excel 2010 format, identifying each CLIN that is subject to a Collective Bargaining Agreement (CBA) and Wage Determination (WD). For each CLIN that is subject to a CBA and/or WD, the offeror shall provide, identified by CLIN the associated labor categories and respective labor hours for each labor category included within the proposal for the base year and option years. If the CLIN is a Banded CLIN the offeror shall provide the requested information for the respective Bands as well. This proposal attachment will be incorporated into the awarded contract and will be used as the basis for all potential future CBA and WD adjustments within the contract period of performance (base year, and option years if exercised).

(2) License and Maintenance Agreements: Provide each agreement for Government review to ensure agreements do not contain terms and conditions prohibited by Federal Laws.

The required License and Maintenance agreements are identified within Section J, Attachment 20.

(3) Authorized Offeror Personnel: Provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the Government. Additionally, please provide name, title and telephone number of the Chief Executive Officer (CEO).

(4) Government Offices: Provide the mailing address, telephone and fax numbers and facility codes for the cognizant Contract Administration Office, Defense Contract Audit Agency (DCAA), and Government Paying Office. Also, provide the name and telephone and fax number for the Administrative Contracting Officer (ACO).

(5) Non-Government Advisors: Non-Government Advisors will be advisors to the Source Selection, see Section K clause AFLCMC/YWK-001.

(6) Company/Division Address, Identifying Codes, and Applicable Designations:

Provide company/division's street address, county and facility code; Commercial and Government Entity (CAGE) code; DUNS code; Taxpayer Identification Number (TIN); size of business (large or small); and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other location(s). List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.

(7) Government Furnished Property (GFP) and/or Base Support Requirements: The Government plans to provide the items listed in Section J, Attachment 18 of the solicitation as GFP and Section J, Attachment 13 as Base Support. If the offeror requires the use of Government furnished items other than those specified, the offeror shall provide a listing including quantity, federal stock number, nomenclature, date needed and duration of availability, rental value per FAR 45.1 and 45.2, reason for need, and cross reference to cost/price volume paragraphs which pertain to GFP and/or base support. The offeror shall also provide the written authorization from the cognizant ACO, as applicable. The offeror shall supply this information in the format shown in Table 7.8.
