1.2 Debriefings

Offerors excluded from the competitive range or otherwise excluded from the competition before award may request a debriefing before award. The offeror may request a pre-award debriefing by submitting a written request IAW the requirements of FAR 15.505 or 15.506 as applicable for debriefing to the contracting officer within 3 days after receipt of the notice of exclusion from the competition. At the offeror’s request, this debriefing may be delayed until after award. If the debriefing is delayed until after award, it shall include all information normally provided in a post award debriefing. If the offeror does not submit a timely request, the offeror need not be given either a pre-award or a post award debriefing (see FAR 15.506(d)). Offerors are entitled to no more than one debriefing for each proposal.

1.3 Discrepancies

If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer in writing with supporting rationale.

1.4 Classified Proposals

No classified proposal shall be submitted.

2 Volume I, Completed and Executed Model Contract and Cost/Price Information

2.1 Purpose

The primary purpose of the model contract documentation and cost/price proposal volume is to provide the contracting officer with the contract line item structure and instructions, and indicates acceptance of the contractual terms and conditions. This volume also provides the contracting officer and the cost team evaluators an understanding of how the price proposal was developed. This will include the FFP line items and the methodology of development and the Firm Fixed Rates Table (Section J Attachment 3). The price evaluation criteria of reasonableness, balance, and Total Evaluated Price (TEP) as defined in section M of the RFP will be assessed from the offeror’s information provided in this volume.

2.2 The Contract Documentation and Price Proposal Volume I shall consist of the following sections:

Section 1. Table of Contents; summary descriptions of estimating, purchasing, and accounting systems; changes to estimating, accounting practices, or Cost Accounting Standards (CAS) Disclosure Statement.

Section 2. Cost or pricing information and supporting data, to include estimating methodology.

(See Section L, paragraph 2.3, Cost or Pricing Information Requirements)

Section 3. Other information as applicable such as Government Furnished Property/Government Furnished Equipment (GFP/GFE), base support, long lead cost issues, development/production schedule, inflation rate summary and explanation. List each exception to the ground rules and assumptions provided in the solicitation and each qualification of the Cost/Price volume, if any. Provide complete rationale for any exceptions.

Section 4. The purpose of this section is to provide information to Government for preparing contract document and supporting file. Offeror’s proposal shall include a signed copy of Model Contract and completed Sections A through K.

Section A - Solicitation/Contract Form: Completion of blocks 11, 13, 15, 21, 22, and 27 of the Standard Form 1447. Signature by the offeror on the Standard Form 1447 constitutes an offer, which the Government may accept. The "original" copy should be clearly marked under separate cover and should be provided without any punched holes.

Section B - Supplies or Services and Costs/Prices: Offeror will fill-in unit price and extended amount for each priced Contract Line Item Number (CLIN) in Section B. Note that Section J Attachment 3, Fixed Rate Table and Section J Attachment 4, CLIN Price Summary worksheet/spreadsheet must also be filled out to depict all ranges and will be used for price evaluation purposes. The offeror will develop the range limits applicable to the instruction CLINs using the min/target/max student number in the PWS and the identified courses for the Formal Training Unit (FTU) for formal training and the Main Operating Bases (MOBs) for Continuation/Refresher Training (CT/RT), and as subsequent option periods are exercised in accordance with the min/target/max requirement for each period using the same identified courses. Section J Attachment 4, CLIN Price Summary worksheet/spreadsheet consists of several worksheets including the summary of CLINs, instructions for the offeror’s range table, and worksheets for developing CLIN prices for each instruction CLIN. Priced Option CLINs will be included once in the TEP. Relocation CLINs will be included each option year in the TEP. Final funded amounts may not correspond directly to the bid amounts evaluated.

Section F - Deliveries: Deliveries will be required as shown in section F of the model contract.

Section G - Contract Administrative Data: Section G of the model contract will include all fund cites and dollar amounts for the contract. Contractor is not required to fill in this information.

Section H - Special Contract Requirements: The offeror shall comply with all special provisions/clauses shown under section H of the model contract.

Enhanced Small Business Participation In accordance with DFARS 215.304, small business (SB) participation must be shown in the proposed FAR 52.219-9 Small Business Subcontracting Plan or Comprehensive Subcontracting Plan, as well as the offerors’ commitment to the mandates of the Enhanced Small Business Participation and Reporting as detailed in Special Provision 9952.902-H902. Performance to these mandates and goals shall be evaluated annually with reporting via the applicable CDRL.

The offeror’s compliance to 9952.902-H902 found in the proposed FAR 52.219-9 Small Business Subcontracting Plan or Comprehensive Subcontracting Plan shall be considered responsive when the enhanced SB Participation Plan demonstrates commitment to realistic, sound, and executable SB participation which includes the minimum:

SB participation proposed/mandated to at least 15% of the total contract value to small business partners, tracked to the first tier subcontractor.

Section I - Contract Clauses: The offeror shall comply with the clauses specified within section I of the model contract. Furthermore, any inference of a clause and or provision will be adhered to. All laws regulations and statutory authorities will also be applied within the model contract.

Section J – List of Attachments: All documents listed in Section J of the model contract will be binding in full. Additionally, offeror’s technical and pricing proposals, SOW and all proposed documents whether or not specifically identified are incorporated by reference into the model contract.

Section K - Representations, Certifications, and other Statements of Offerors: Complete representations, certifications, acknowledgments and statements.

2.3 Cost or Pricing Information Requirements (Section 2)

If price reasonableness and competition are present through the process, certified cost and pricing data will not be requested. In accordance with FAR 15.402, 15.403-1(b) and 15.403-3(a), “information other than cost or pricing data” may be required to support price reasonableness. If, after receipt of proposals, the CO determines that there is insufficient information available to determine the proposed prices/rates’ reasonableness and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data.

Submit the price proposal in Microsoft Word and Microsoft Excel (2003/2007 version for all Microsoft Office applications) worksheets as appropriate. Word documents and Excel spreadsheets must be editable and not password protected. No formula in any Government provided spreadsheet shall be altered, hidden, or locked. Each disk shall be clearly labeled. Scanned documents in PDF files are NOT acceptable for the Cost/Price Proposal Volume. The Fixed Rates Table (Section J Attachment 3) shall be submitted in a Microsoft Excel worksheet. All labor rate cells must be populated with a fully-loaded rate. The CLIN Price Summary worksheet/spreadsheet (Section J Attachment 4) shall also be submitted in a Microsoft Excel worksheet. CLIN prices must be filled in as indicated on the CLIN Price Summary worksheet/spreadsheet (Section J Attachment 4).

Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your cost/price position. All information relating to the proposed price including all required supporting documentation must be included in the section of proposal designated as the Cost/Price Proposal and Contract Document volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.

2.3.1 Estimating Techniques and Methods

When responding to the Cost/Price Proposal requirements in the solicitation, the Offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods, to develop their estimates. Identify deviations (if any) from your standard estimating procedures (including overhead and G&A applications) in preparing this proposal volume. Indicate whether you have Government approval of your estimating and purchasing systems and provide evidence of such approval. Provide a summary description of your pricing methodology as it pertains to this acquisition.

2.3.2 Fully Loaded Labor Rates (Fixed Rate Table)

The Offeror shall provide the fully-loaded labor rates and the government will compute the Total Evaluated Price (TEP) based on these proposed rates and other fixed price CLINs. Offeror’s shall complete the pricing spreadsheet entitled Fixed Rates Table (ref. Section J Attachment 3). Use the format in Section J Attachment 3 for these fully-loaded labor rates. The Offerors must ensure that all fully-loaded labor rates include all applicable labor overheads, G&A, and cost of money (if proposed), and profit, for the applicable period of performance for each labor category in the spreadsheet. A rate must be proposed for all labor categories. A “no bid” or omitted rate may result in an unfavorable proposal evaluation. The rate tables will be incorporated as an attachment to the resultant contract award and will be the rates used on subsequent ECPs/CCPs subject only to adjustments under the Fair Labor Standards Act (FLSA) or the Service Contract Act (SCA).

2.3.3 Total Evaluated Price (TEP)

The Offeror’s TEP will be computed using Section J Attachment 4 CLIN Price Summary worksheet/spreadsheet.

1. The FFP line items (CLINs XX03, XX06, XX07, XX10, XX12, XX14, XX16, XX20-XX23, XX25, XX31-XX33, XX36-XX37, XX39, XX48, XX50, XX53-XX54, XX56-XX57, XX60-XX61, XX63, XX64, and XX66). Reserved CLINs will not be included in the TEP.

2. A predetermined subset of the proposed fully-loaded rates (Section J Attachment 3 Fixed Rate Table) from the entire projected term of the contract multiplied against a predetermined number of government-generated hours for each rate. The distribution of rates and number of hours per rate will be based upon the government’s best estimate of projected workload over the term of this contract. (CLINs XX08).

3. Throughput pricing. For student and continuation throughput prices, use the government provided instructions in Section J Attachment 4 Range Table Worksheet to build a range table with up to a maximum of 7 ranges per course, utilizing the min/target/max tables in the PWS. The offeror will determine the range limits and the corresponding range price. The offeror will transfer the corresponding range price of the target student number to the instruction CLIN worksheets in Section J Attachment 4. The offeror will input the corresponding price with the corresponding course. This will provide a unit price (based on 12 months) and an extended total. The site unit price and total price are then calculated and transferred to Section J Attachment 4 CLIN Price Summary worksheet. The offeror will populate Section J Attachment 4 CLIN Price Summary, including the instruction CLIN worksheets in Section J Attachment 4 using the offeror developed range table and the government provided student numbers in the PWS. The offeror developed range table will become a part of Section J Attachment 4 at contract award. (CLINs XX04-XX05, XX11, XX13, XX15, XX17-XX19, XX24, XX27- XX30, XX52, XX55, XX58-XX59, XX62, and XX65).

4. Note: Cost Reimbursable/Cost Plus CLINs (XX02, XX09, XX26, XX34-XX35, XX38, and XX49) and Ramp-up CLIN (XX01) will not be included in the TEP.

As stated above, the source selection price evaluation team will review all price proposals submitted to determine whether the offeror has provided pricing that is both reasonable and balanced. In regards to all courseware classes, although priced range tables are required to be provided to accommodate all possible courseware class sizes, a single class size has been provided to the offerors for each course and option year to facilitate the calculation of a Total Evaluated Price (TEP). The TEP is for award purposes only and does not become a contractually binding amount after contract award. The single class sizes that have been provided for purposes of the TEP have been included in the TEP worksheet. The offeror shall populate the TEP worksheet with the appropriate unit prices from the range tables, i.e. the unit price from the range in which each TEP class size falls.

It is understood by the government that there is the possibility that an offeror may attempt to “game” or manipulate his proposed ranges and prices to unfairly lower his TEP. An offeror could provide a small price range that includes the TEP class size and then propose an artificially low price for this range; while the prices for the other ranges that are not included in the TEP would be higher priced. This could be done because the TEP class sizes are only estimates and the actual award class sizes could fall in any of the quantity ranges. An offeror may be tempted to do this in hopes that the actual class size purchased by the government will not be in the TEP class size range, but will actually fall within one of the higher priced ranges.

The source selection price evaluation team will carefully review the range tables for price reasonableness and balance. In the event that it appears to the source selection price evaluation team that the range prices do not follow a logical, consistent and anticipated decrease or increase in comparison to the range prices for the other established ranges of a given course, or if the price for one range appears to be out of sync with the other range prices for a given course, then that proposal will be considered unawardable. In the event the government makes this determination and revision can’t be achieved through discussions, the offeror’s price proposal will be subject to elimination from the contract competition without regard to any other facet of the offeror’s proposal submission.

Labor Rates subject to Collective Bargaining Agreements (CBA) and DOL Wage Determinations For those labor categories which fall under the CBA, they shall be in accordance with FAR 22.1002 – Wage Determination Based on Collective Bargaining Agreements. For CBA and Wage Determination wages, all contract base labor rates shall be proposed using the most current revisions for the base year. All offerors should propose the base year CBA labor rates for all years of the contract, even if there are negotiated CBA rates for contract years 2 and beyond. In other words, we request offerors straight-line their base labor rates for all years. This process will alleviate the burden of the offeror having to accurately project escalation for the out-years of the contract in the TEP. In your proposal, provide the Wage Determination, Revision No. and Revision Date of the published CBA/WD agreement/determination you are using to facilitate future wage determination adjustments.

Offerors are requested to provide both the base labor rate and the fully-loaded rate (inclusive of base labor, all other applicable direct and indirect costs, and profit) for all labor categories and contract years. This is also to facilitate adjustments under the appropriate DOL wage determinations. When DOL-generated base labor rates are eventually available and rates are then calculated for the contract out-years, the adjustments made to the fixed fully-loaded rates will only be the difference between the base labor rate originally established in the contract, and the CBA and/or DOL Wage Determination base labor rate. Adjustments will be made only at the direct cost line, no increases or adjustments will be made for indirect expenses and profit.

This process will also preclude offerors from “gaming” the Total Evaluated Price (TEP) to obtain a contract award by understating escalation for the contract years beyond year 1 that will eventually be determined by the applicable wage determination law.

2.3.4 Pricing Assumptions

Summarize all significant pricing assumptions, scope limitations, and/or qualifications of the Cost/Price proposal. The Pricing Assumptions section shall not exceed two pages.

3 Volume II Technical Proposal

The technical proposal shall contain narratives of the offeror’s methodology for compliance to the following technical factors:

Technical Factor
PWS Section(s)
Training
Section 1
Contractor Support
Sections 2, 3, and 4
Management
Sections 5 and 6
AMP
Section 13
Other areas for compliance
Sections 7, 8, 9, 10, 11, and 12

The technical proposal shall contain a main body, which shall follow the outline of the PWS (Section J Attachment 1), and a number of appendices as instructed below. Use section titles appropriate to the PWS (Section J Attachment 1) section. Failure to meet a requirement may result in an offer being determined technically unacceptable.

The technical proposal shall be clear, concise, and include sufficient detail for effective evaluation. An executive summary to the technical proposal may be included. The proposal shall not simply rephrase or restate the Government’s requirements, but rather shall provide convincing documentation to address how the Offeror will meet these requirements. There will be no reference to rates or price in this volume. Offerors shall assume that the Government has no prior knowledge of their certifications, facilities and/or structural, mechanical, and avionics capabilities, and will base its evaluation on the information presented in the Offeror’s proposal. The information provided will be evaluated to assess technical acceptability in accordance with Section M, Evaluation Factors for Award. Cross-referencing from the main body to the appendices is acceptable. Cross-referencing from the appendices to the main body is NOT acceptable.

3.1 Main Body

Section 1. Executive Summary. The offeror may use this section as it deems necessary to provide a short executive summary of the overall approach.

Section 2. Definitions and Abbreviations. At a minimum, a glossary of all abbreviations used in the proposal shall be provided.

Section 3. Performance requirements Methodology. The proposal shall mirror the outline of the PWS with the following exceptions:

Integrated Master Plan (IMP). A Draft IMP shall be provided IAW the CDRL requirements (A007, A008) as Appendix B addressing the requirements of PWS section 5.3.1. A Draft Integrated Master Schedule (IMS) shall be provided IAW the CDRL requirements (A006) as Appendix C addressing the requirements of PWS section 5.3.2

3.2 Appendices

Appendix A. PWS-RTM. Submit a completed PWS Requirements Traceability Matrix (PWS-RTM) as provided in the solicitation (Section J Attachment 2). The PWS-RTM includes the Visual System Replacement Requirements Traceability Matrix (VSR-RTM). Only the “technical proposal paragraph” and the “cross reference(s)” columns are to be completed. The government will use the “comply block” as a checklist to verify that the offeror has complied with that requirement. The offeror should exercise caution to ensure that that the proposal cross references are correct.

Appendix B. Integrated Master Plan (IMP). Include Draft IMP IAW CDRL A007/A008 instructions and PWS section 5.3.1 (Section J Attachment 1).

Appendix C. Integrated Master Schedule (IMS). Include Draft IMS IAW CDRL A006 instructions and PWS Section 5.3.2 (Section J Attachment 1), and a rolled-up IMS in a PDF format showing an overview of the program and its key dates and milestones shall be provided.

4 Volume III Past Performance

4.1 Organization

Section 1. Title Page, Table of Contents, Executive Summary not to exceed 3 pages. At a minimum the executive summary shall describe the capabilities and roles that will be provided by the contractor and all subcontractors/teaming partners.

Section 2. List of Drawings/Tables/Graphs/Figures/Charts, Glossary

Section 3a. Past Performance Information Sheets (PPISs) (Attachment L-1) in accordance with specific guidance below

Section 3b. The purpose of the spreadsheet is to capture the total scope of work that the Offeror has ongoing or completed in the past three (3) years. The Government may obtain and use performance information on any or none of these programs. The table shall include (as a minimum) current information as follows:

Contractor
Contract Number
Period of Performance (Max Yrs)
Maximum Total Estimated Dollars
Contracting Agency or Customer
Phone Number and E-Mail Addresses for at Least Two Gov’t POCs
Brief Program Description (max 25 words)
Stage of the Program & Brief Status (max 25 words)

Section 3c. Consent Letters (Attachment L-4) executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the offeror can respond to such information.

Section 3d. Client Authorization Letters (Attachment L-5) for each identified effort for a commercial customer authorizing release to the Government of requested information on the offeror’s performance.

4.1.1 Past Performance Information Sheets (PPIS) (Section 3a)

The PPIS (Attachment L-1) will be used to submit information on no more than ten (10) of the most relevant contracts performed by the prime offeror, key partners or subcontractors for Federal agencies and commercial customers during the 3 years prior to the date of issuance of this solicitation. Limit each PPIS to 7 pages, or a total of 70 pages for all PPIS submitted. Submit five (5) hard copies, and two (2) digital copies. Relevant contracts include performance of efforts involving Aircrew Training Systems management and modifications in the areas of Aircrew Training, Contractor Support, Management, and Avionics Modernization Program (AMP) of efforts that are similar in scope, magnitude, and complexity than the effort described in this solicitation.

The offeror has discretion in determining the most beneficial mix and quantity of contracts by prime offeror, key partners, or subcontractors covering as many of these elements as is practical. A minimum of three (3) contracts shall be for the prime offeror and if less than ten (10) relevant contracts are submitted, the contractor shall specifically state and acknowledge its number is less than the ten (10) it could submit.

If the customer for any PPIS is a potential offeror (or critical subcontractor) for this solicitation, the offeror shall provide the POCs for the next higher level customer. Example, if Contractors X and Y are both potential offerors for this solicitation and Contractor X was a subcontractor to Contractor Y on workload performed for the government, then Contractor X shall provide both Contractor Y and the government POCs for each applicable PPIS.

The evaluation of past performance information will take into account information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the acquisition and will be considered in the evaluation. If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts. As with all past contracts identified in the proposal, use the PPIS (Attachment L-1).

4.1.2 Consent Letter (Section 3c)

A Consent Letter (Attachment L-4) is provided because past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

4.1.3 Client Authorization Letter (Section 3d)

A Client Authorization Letter (Attachment L-5) is provided because the government needs requested information on the offeror’s past performance and the government will need consent before contacting commercial customers to assess the offeror’s past performance.

4.2 Performance Surveys

The government will evaluate the quality of offeror's performance deemed relevant to the requirements of this RFP. The government will use information submitted by the offeror, by independent submittals of questionnaires and other sources such as other Federal Government offices and commercial sources, to assess performance. Relevant performance includes performance of efforts involving support with same effort and complexities this solicitation requires.

4.3 Questionnaires

The Government requests the Offeror send out Past Performance Questionnaires (Attachment L-3) to each of the Customer Points of Contact (POC) (EN, PM and CO) for each PPIS identified in the Past Performance Volume. A Past Performance Cover Letter is provided (Attachment L-6), the cover letter shall be provided with the Past Performance Questionnaire to each customer, as it provides directions for the completion of the Past Performance Questionnaire.

POCs will submit completed questionnaires directly to the Government to David Young at david.young@hill.af.mil. Once the Past Performance Questionnaires are completed by the POCs, the information contained therein shall be considered sensitive and shall not be released to the offeror. A fax cover sheet for transmitting the questionnaire to the POC is provided (Attachment L-2).

4.4 Clarifying Submitted Past Performance

In addition to past performance questionnaires for each relevant contract submitted, the government will use, as available, information submitted by the offeror, independent submittals of questionnaires and the Performance Confidence Assessment Group (PCAG) may contact the points of contact provided by the Offeror for the purpose of ascertaining and/or clarifying past performance information.

4.5 Other Past Performance Instructions

It is not presumed that the Offeror’s past performance has been perfect. Rather, the proposal should contain evidence of the Offeror’s ability to isolate the root causes of problems and should include in their PPIS a description of programs or actions taken to resolve those causes. Problems not addressed by the Offeror, but found by the Government during the evaluation of the information in this volume, will be assumed to still exist. Note: In the case of Contractor Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/ circumstances have not changed, DO NOT repeat them here. The Government will use data provided by each Offeror in this volume and may use data obtained from other sources in the development of the confidence assessment.

ATTACHMENT L-1: PAST PERFORMANCE INFORMATION SHEET (PPIS)

Past Performance Information (PPI): Offeror’s must use the PPI template database provided by request from the PCO as part of this Request for Proposal (RFP) for their electronic proposal submittal of relevant past performance contract information.
