Part IV (Transparency in Subcontracting), Section 1651(Limitations on subcontracting) of the FY13 National Defense Authorization Act amended the Small Business Act (15 U.S.C. 631 et seq.), by inserting new language in section 46 (Limitations on subcontracting). The new language in subsection b (Similarly situated entities) states “Contract amounts expended by a covered small business concern on a subcontractor that is a similarly situated entity shall not be considered subcontracted for purposes of determining whether the covered small business concern has violated a requirement established under subsection (a) or (d).”
Subsections (a) established the percent of work a small business must perform as a prime services and supply contractor. While subsection (d) established the percent of work a small business must perform as a prime construction contractor.
In a recent bid protest decision, GAO confirmed that the National Defense Authorization Act of 2013 permits prime contractors to meet the requirements of the limitations on subcontracting clause by including work performed by "similarly situated" subcontractors.

Two of the Government must effective market research tool for locating small business contractors it is to post the requirement on FedBizOpps, in the form of a request for information (RFI) or sources sough synopsis (SSS). In order for the requirement to become a small business set-aside, at least two small businesses concern MUST respond to the RFI or SSS.
When there is a reasonable expectation that offers will be obtained from at least two responsible small business concerns offering the products of different small business concerns and award will be made at fair market prices, the contracting officer SHALL set aside the acquisition for small businesses.
Other ways of locating small business contractors are performing a system for award manage (SAM) NAICS code search or an internet search.

TAFB MACB Overview
TAFB MACB Background The MACB program will accomplish a broad range of construction, sustainment, restoration and modernization projects on real property at Tinker AFB. Work may include maintenance, repair, alteration, renovation and construction.

TAFB MACB Structure
The MACB is put in place as an agreement for terms and conditions in accordance with FAR 16.703.
This is not a contract; it is an agreement of terms and conditions that will be utilized to provide multiple disciplines in general construction categories and may involve design services for execution of a broad range of sustainment, restoration, and modernization construction projects affecting real property at Tinker Air Force Base (TAFB), OK.
Effective ordering period is five (5) years from the effective date of this BOA award with annual updates.
TAFB MACB Structure The Government will procure the BOA requirements utilizing the multi-phase procurement process outlined below.
Phase One, Competition for BOA Holders The PCO will post an annual synopsis of all known and emergent requirements, for 30 days, and issues a subsequent BOA Invitation, which will result in proposals to be evaluated on an acceptable/unacceptable basis with consideration given to technical and past performance factors.
The Government will evaluate all responses in accordance with the published criteria, and advise each offeror in writing whether they will be invited to participate in the resultant acquisition or, based on the information submitted, they are unlikely to be a viable competitor (including a general basis for that opinion) which will result in an issuance of multiple BOAs.
In Phase Two, Competitive Requirement/Order Process within BOA Holder Pool:
The PCO issues competitive Order Proposal Requests (OPRs) for a specific requirements. Depending on the magnitude of construction, the OPR will either be solicited as a small business set-aside or full and open competition amongst BOA holders.
Orders will be evaluated IAW stated criteria in the OPR. All orders above $10M will be subject to FAR Part 15, Contract by Negotiations and source selection procedures. The government will strictly adhere to the ordering procedures outlined in the BOA statement of work (SOW).
The orders will be awarded for each requirement. Any requirement less than $25M will be executed on a competitive basis, restricted as a small business, set-aside to those small businesses holding a BOA.
TAFB MACB Oversight
Annual revisions will be accomplished IAW FAR 16.703(c)(2) and shall be limited to adding/changing requirements based on statutes, Executive Orders, FAR and FAR supplements that have changed since the inception of the BOA.
During the annual review, additional clauses mandated by statute or Executive Order, shall be incorporated by unilateral modification.
Additional clauses not mandated by statute or Executive Order, shall be incorporated only by the mutual written agreement of the parties of this BOA and shall be accomplished by modification to the basic BOA and not incorporated on an order.
TAFB MACB Oversight
In Accordance with the Section 13 of the Statement of Work:
OPR will be issued which includes a SOW, drawings, specifications (if available), submittal register, bid schedule, and other documentation as required to communicate the Government's requirements.
The OPR will also specify date for site visit, evaluation factors to be used for award of the Order, and required proposal response time.
After award of initial agreements, it is the Government’s intention to allow all MACB contractors compete for OPRs.
However, the Government will set-aside, for small businesses, OPRs with a magnitude of construction less than or equal to $25M and on a full and open basis for OPRs with a magnitude of construction more than $25M.
Submission of proposals in response to all OPRs is not required; however, contractors are required to notify the CO within two days of the required response date that the contractor will not be submitting a proposal.
TAFB MACB Ordering Procedures
The Government reserves the right to withdraw the OPR at any time prior to award. In the event the Government cancels an OPR, the Government has no obligation to reimburse the Contractor for any costs associated with site visits, proposal preparation, or exchanges.
Proposal Package Requirements (Section 13.4 of the SOW) The proposal package shall comply with the Government’s OPR as well as ensure that all proposed work will comply with governing codes, regulations and the Technical Specifications. The Contractor’s proposal package shall be submitted electronically (except as indicated) and include the following documents:

TAFB MACB Ordering Procedures
In Accordance with Section 13.4.3 in the SOW, Detailed Cost Proposal:
The Contractor shall provide a detailed cost proposal describing the design and construction effort; design and construction costs shall be provided as separate bid items.
Design cost proposals shall include the proposed labor categories, labor hours per category, and labor rates per category.
Construction cost proposals shall be broken out/subtotaled per the divisions defined by the Construction Specifications Institute (CSI) Master Format System.
Contractor shall submit construction cost proposals utilizing AF Form 3052, Construction Cost Estimate Breakdown, or a contractor generated equivalent that provides the same information.
TAFB MACB Detailed Cost Proposals
Construction cost proposals shall be detailed enough to for Government reviewers to determine the contractor's understanding of the work to be performed and that the proposal is complete (includes all work items included in the order). Cost proposals shall be broken down to at least CSI Level IV.
Pricing for subcontracted work shall comply with the following requirements:
Subcontractor quotes should be based on the best value offered from at least two (2) vendors; Contractor shall provide a copy of the quotes as part of the proposal package.
In the event that the minimum of two (2) acceptable vendors cannot be obtained (only one supplier, potential suppliers/subcontractors are unresponsive or respond with 'no bid', etc.), a justification for the single quote shall be submitted as a part of the proposal package.
Subcontractor quotes shall provide the same level of detail as discussed above and include supporting documentation as described in section PROPOSAL SUPPORTING DOCUMENTATION.
TAFB MACB Detailed Cost Proposals
In accordance with FAR 15.404-3, the Contractor shall conduct cost or price analysis to establish reasonableness of proposed subcontract prices; include the results of this analysis in price proposal; and when required by paragraph (c) submit subcontractor certified cost or pricing data to the Government as part of its own certified cost or pricing data.
To assist the Government in the evaluation of cost proposals, the Contractor may be requested to separate out constructions costs by feature (e.g. for a multi-room renovation, contractor may be asked to break out proposal costs per room) or by construction type (e.g. repair, minor construction, demolition). If applicable, these requirements will be identified in the OPR and the Bid Schedule.

Evaluation Factors for BOA Issuance

In accordance with Section 3 of the SOW QCM is required and responsible for management of the Contractor Quality Control Program.
The QCM shall have the minimum qualifications set forth in the TAFB General Specifications, Section 01 45 00.00 10, Quality Control. The name of QCM shall be designated in writing to the CO upon award of the Basic Agreement.
The Contractor may designate an Alternate Quality Control Manager(s) who may act on behalf of the Contractor when the QCM is absent.
Qualifications for the Alternate(s) are the same as for the QCM. Any alternates shall be designated in writing to the CO.
The QCM/ Alternate, or a designated assistant/technician shall monitor each active project site (i.e., where work is being performed) daily to ensure full compliance with all safety requirements, and verify that the materials and workmanship are in accordance with the approved construction drawings, shop drawings, material submittals and technical specifications.
TAFB MACB Quality Control
The QCM shall coordinate and review all design submissions; material and shop drawing submittals, including those of subcontractors, offsite fabricators and suppliers; prepare QC reports; schedule and coordinate testing procedures; and attend all status meetings, site visits, and pre-final/final inspections.
The QCM or Alternate(s) cannot be Construction Project Manager.
For additional information regarding the requirements for Contractor’s Quality Control Program, refer to TAFB General Specifications, Section 01 45 00.00 10.
TAFB MACB Quality Control
In accordance with Section 6 of the SOW
6.1 Inspection System
The Contractor shall establish a three phase inspection system which monitors the execution of any task completed under this agreement. The Contractor must specify the areas to be inspected on a scheduled or unscheduled basis, how often inspections will be accomplished, and titles of the individuals who will perform the inspections.
6.2 Deficiency Prevention
The Contractor shall establish a method for identifying, correcting, and preventing future recurrence of quality deficiencies; this includes deficiencies within the same Order (i.e. a deficiency addressed in an initial phase of an Order shall not recur in follow-on phases) and in future Orders awarded to the Contractor.

6.3 Inspection Files
In accordance with Section 01 45 00.00 10, the Contractor shall maintain records of all required inspections conducted by the QCM and the necessary corrective actions taken. This documentation shall be submitted to the Government weekly (with the order progress reports) throughout the life of each Order.
TAFB MACB Quality Control
The CO must be able to contact the Contract Program Manager or Alternate by phone at all times. Throughout the life of this agreement, the Contract Program Manager or Alternate shall be available to meet with the CO at Tinker Air Force Base, Building 3 during standard business hours.
Active Orders: within one (1) hour after notification by telephone.
No Active Orders: within 24 hours after notification by telephone.
