SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
INFORMATION TO OFFERORS (ITO)
L-I - INFORMATION TO OFFERORS (ITO) AND INSTRUCTIONS FOR PROPOSAL PREPARATION
1.0 Program Structure and Objectives
(a) The Government plans to award a Firm Fixed Price contract for the Air Force Global Strike Command
(AFGSC) UH-1N Helicopter Maintenance, Aircrew Flight Equipment, and Weapons Maintenance located at three
(3) CONUS locations (FE Warren AFB, WY, Minot AFB, ND, and Malmstrom AFB, MT) and one location at one
(1) PACAF base located at Yokota AB, Japan as stipulated in the PWS. Requirements may also include the support of exercises and responses to real world events such as natural disasters.
(b) Award will be made on the basis of “best value” utilizing Performance Price Tradeoff (PPT) procedures. Award will be made to the offeror that provides the “best value” to the Government over the entire period of performance.
L.1.1 Budget/Funding Information
Funding will be obligated utlizing 3400 O&M. The basic contract performance period and all options may be fully or incrementally funded as appropriate.
L.2.0 General Instructions
(a) The offeror's proposal must include all data and information requested by this ITO and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the
Performance Work Statement (PWS) and Model Contract. Non-conformance with the instructions provided in this ITO may result in an offer being ineligible for award.
(b) The proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities or experience, and will base its evaluation on the information presented in the offeror's proposal.
(c) Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.
(d) The Government requires a minimum acceptance period of 210 calendar days from the date of receipt of offers. The offeror’s proposal must affirmatively state an acceptance period equal to, or greater than, 210 calendar days.
(e) In accordance with FAR Subpart 4.8 (Government Contract Files,) the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
(f) Submit signed and dated offers to the office specified in L.2.4 on or before 07 Mar 2016 @ 1400 hours
CST. Offers shall be submitted on the Standard Form 33 (SF 33).
L.2.1 General Information
2.1.1 Point of Contact
The Contracting Officer (CO) and/or the Contract Team Lead are the sole points of contact for this acquisition.

2.1.2 Debriefings
The CO will promptly notify offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful offerors in accordance with FAR 15.503. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
2.1.3 Discrepancies
If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the offeror is requesting the CO to consider as related to the omission or error. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.
2.1.4 Electronic Reference Documents
All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) website at https://www.fbo.gov. Potential offerors are encouraged to subscribe for real time e-mail notifications when information has been posted to the website for this solicitation.
2.1.5 Oral Presentations
Oral presentations will not be used.
2.1.6 Amendments to Solicitation
If this Request for Proposal (RFP) is amended, all terms and conditions that are not amended remain unchanged.
Offerors shall acknowledge receipt of any amendment to this request by the date and time specified in the amendment(s) by signing and returning the front page of each. Signed amendments will be included in Volume IV of the proposal.
2.1.7 Proposal Submission
Proposals must be submitted in both electronic and paper format. Telegraphic or facsimile offers will not be accepted. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the solicitation number, the offeror’s POC name, and address and phone number.
2.1.7.1 Offerors are cautioned that Barksdale AFB, LA has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass to gain entrance. Offerors hand delivering proposals should anticipate some delay with the base access process and plan accordingly. Offerors are responsible for allowing sufficient time to obtain a visitor pass and arrive at the proposal delivery location on base prior to the time specified for receipt of the proposal. Late proposals will be processed in accordance with FAR 52.215-1(c) “Submission, modification, revision, and withdrawal of proposals.”
2.1.7.2 Site Visit
A Site Visit at F.E. Warren AFB, Wyoming, will be conducted on 19 Jan 16. F.E. Warren is an accurate representation of what to expect at the other two CONUS bases. Due to space constraints, offerors participating in the Site Visit will be limited to two (2) individuals per prime contractor and one (1) for any major subcontractor or a maximum of three (3) for any prime or joint venture/teaming arrangement. Offerors are requested to submit questions to the CO above no later than 12:00 p.m CST on 27 Jan 16. Answers to questions submitted during and after the site visit will be made available on the FedBizOpps website at https://www.fbo.gov. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. Please note site visit dates are subject to change.

Jan 16.

L.2.2 Organization/Number of Copies/Page Limits The response shall consist of four (4) separate volumes. The offeror shall prepare the proposal as set forth in the
Proposal Organization Table. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified in Table 2.1. Each volume will include a title page, table of contents, list of tables and figures (if applicable), and glossary of abbreviations and acronyms located at the beginning of the volume. The contents of each proposal volume are described in the paragraphs below:

2.2.1 Page Limitations
Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and excess paper copies will be returned to the offeror as soon as practicable. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Each page shall be counted except the following: blank pages, title pages, tables of contents, tabs, indexes, and glossaries, if utilized.
2.2.1.1 Page Size and Format
(a) A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts. Page line spacing can be single spaced or 1.5 line spacing. Except for the reproduced sections of the solicitation document, the text size shall be no less than Times New Roman, 12 points. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and 3/4 inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall apply to responses to Evaluation Notice (ENs). These limitations shall apply to both electronic and hard copy proposals.
(b) Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics; not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 8 font size (pitch), Times New Roman font style. These limitations shall apply to both electronic and hard copy proposals.
2.2.2 Cost and Pricing Information
All cost or pricing information shall be addressed ONLY in the Cost/Price and Contract Documentation Volume.
2.2.3 Cross-Referencing
Each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation, which is not found in its designated volume, will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. The offeror shall provide a
Solicitation Cross Reference Matrix indicating by ITO, PWS, paragraph number, the corresponding proposal paragraph in that section which addresses the referenced item.
2.2.4 Indexing
Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.
2.2.5 Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used, and an explanation for each.
Glossaries do not count against the page limitations for their respective volumes.
2.2.6 Binding and Labeling
Mark original hard copy as “Original” (for contract file), and all others as “Copy.” The “Original” for each volume shall be unbound and also include a standard (5 ½ inch-spaced) two-hole punch applied to the top of each page when viewed in Portrait orientation (for Government filing). Each hard-copy volume (other than the “Original”) of the proposal shall be separately bound in a three-ring, loose leaf binder permitting the volume to lie flat when open.
Staples shall not be used. Volumes I through IV shall not be submitted together within the same binding. A cover sheet should be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification, and the offeror's name. The same identifying data should be placed on the spine of each binder. All unclassified document binders shall have a color other than red. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on disclosure and use of data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
L.2.3 Electronic Offers
The content and page size of electronic copies must be identical to the hard copies. When discrepancies exist between the written hard copies and those provided in electronic format, the written hard copies will take precedence in all cases. For electronic copies, indicate on each Compact Disc Read Only Memory (CD-ROM)(or
CD-DVD) the volume number and title. Use separate files to permit rapid location of all portions, required plans, exhibits, appendices, and attachments, if any. The offeror shall submit volumes I through IV in electronic format.
Each volume shall be provided on a separate CD. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS)
Word 2007 or 2010, MS Excel 2007 or 2010, MS-Project 2007 or 2010, and MS-Power Point 2007 or 2010.
L.2.4 Distribution
The "original" proposal shall be clearly identified. Proposals shall be addressed to the Contracting Officer and mailed or hand carried to:

L.3.0 Volume I - Technical (Factor 1)
L.3.1 General Each offeror shall submit a Technical Volume with its proposal. The Technical Volume should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the
Technical subfactors defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. It is neither necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
L.3.2 Format and Specific Content
3.2.1 Mission Capability/Technical Evaluation (Factor 1)
In the technical volume, address your technical solution for meeting the Government’s minimum performance or capability requirements of each technical subfactor.
3.2.2 Volume Organization
The Technical volume shall be organized according to the following general outline:

3.2.2.1 Table of Contents, Summary Page, and Glossary
There is no page limitation for TOC, Summary Page and Glossary. All pages wil be considered part of the page limitation listed in Table 2.1.
3.2.3 Subfactor One (Program Management)
The offeror shall provide an approach for Program Management. As a minimum, the approach shall provide the following essential components:
3.2.3.1 Staffing Plan – provide a staffing plan including the items below:
(a) An organizational approach and management structure, i.e. organizational chart. The response must describe how the offeror’s team is organized to coordinate activities among team members, including, if applicable, mentor/protégé and joint venture partners. An organizational chart with the proposed management structure to include the names and locations of the prime Contractor, core team members, subcontractors and if applicable, mentor/protégé and joint venture partners shall be included. The approach shall also describe processes for clear lines of communication with delegated authority, monitoring team performance, resolving team conflict/personnel issues, accomplishing tasks in a timely manner, and submission of deliverables and prompt resolution of task issues and discrepancies.
(b) Provides a detailed strategy to recruit and retain an experienced labor pool and ensures employees are fully trained and qualified, with training, certifications and qualifications remaining current for the duration of the contract. Using the Staffing Matrix format provided (Atch 10), provide your workforce composition showing manning numbers by labor category and hours to meet all PWS requirements by site for the base period and all option years. Use page two of the Staffing Matrix to further describe each "Labor Category Description" identified to include position titles, experience, security investigations, clearances, and certification requirements associated with all PWS requirements. Offeror format is acceptable as long as it includes all information requested in the
Staffing Matrix and meets ITO formatting criteria.
3.2.3.2 Quality Control Plan – as described in Section 2.25 (Helicopter Maint) and 2.26 (AFE) of the PWS.
3.2.3.3. Transition Plan – provide a plan to facilitate full performance at the completion of the mobilization period, provide a detailed mobilization strategy with corresponding timelines to: a) recruit, b) train, c) qualify and/or certify maintenance personnel and, d) transfer Government provided equipment, tools, and facilities (e.g., inventory of tools, equipment, facilities and acceptance of those items). See Section 2.27 of the PWS.
3.2.3.4 Training Plan – as described in Section 2.6 of the PWS.
3.2.3.5 Contingency Plan – as described in Section 2.15 of the PWS
3.2.3.6 Vehicle Listing - Identify: a) type, b) quantity of each type, and c) towing and seating capacity (or utility) of each vehicle.
3.2.3.7. Tool Control Plan - as described in Section 4.2.6 of the PWS.
3.2.4 Subfactor Two (Technical Approach)
This sub-factor assesses the offeror’s overarching strategy to execute the helicopter maintenance, aircraft flight equipment maintenance, and the weapons maintenance mission. Through responses to scenarios and questions, illustrate understanding of Government’s requirements and ability to provide technical capabilities to successfully provide mission support. Within the overaching strategy for helicopter mainteanance, the following technical areas shall be addressed:

(b) Question 2: An aircraft has a grounding write up. The technician thinks he knows the problem and has a plan to fix it. He cannot find this procedure in any tech order. How does the SP proceed to resolution?

(d). Question 4: A technician is following a procedure in the 2-1 and comes to a step that seems out of sequence.

(f) Question 6: The aircrew requests maintenance to remove the pilot's and copilot's doors. Besides removing the doors, what maintenance must also be accomplished?
(g) Question 7: A technician MICAP’d a gauge that was on base and it finally showed up from supply. It is rushed to the aircraft and installed only to find out that it didn’t fix the problem. The technician is told the gauge was loose in the box from supply with no protective packing around it. What should the technician do?
(h) Question 8: An aircraft launches for a morning mission and picks up into a hover; the aircraft rolls hard to the right, corrects itself, then sets down immediately. The pilot reports the sticks were straight and level when the aircraft rolled right. This particular aircraft just FCF released the day prior for a primary servo change. What would be your fist course of action?
(i) Question 9: What are the Quality Control’s responsibilities for a helicopter combing gearbox installation prior to

3.2.5 Subfactor Three (Small Business Subcontracting Plan/Small Business Participation)
(a) In accordance with FAR 19.705-2, large business prime offerors shall provide a clear, detailed and realistic plan that complies with FAR 52.219-9 and DFARS 252.219-7003 and satisfies all of the requirements of FAR 19.704, DFARS 219.704, and AFFARS 5319.704(a)(1) in order to be determined acceptable by the CO prior to contract award. The offeror's submission must provide sufficient information to support the CO's review of the subcontracting plan to determine acceptability. If small business subcontract possibilities do not exist or are limited, the offeror’s plan must state as such and provide rationale supporting the assertion. An approved Subcontracting
Plan is required for contract award to a large business offeror. FAR 52.219-9 Small Business Subcontracting Plan does not apply to small business concerns.
(b) For reference purposes, FY14 DoD subcontracting goals are as follows:

L.4.1 General Instructions Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your pricing position. All information relating to the proposed price including all required supporting documentation must be included in the section of the proposal designated as the Price Volume.
Compliance with these requirements is mandatory and failure to comply may result in rejection of your proposal.
Note: Attachment 14, Contract Performance in Japan, provides information on the Status of Forces Agreement
(SOFA) between the United States and Japan referencing contractor personnel. This attachment is provided for information purposes only. It is the responsibility of the contractor adhere to the SOFA and all applicable host nation laws while performing the services required in the PWS.
4.1.0. Summary Page
Provide a summary page of total proposed price for the base period, and each option period. Provide a summary of total proposed price for each CLIN, in the order listed in Section B, for the base period, and each option period. For fixed priced CLINS, list the CLIN number (item number), the unit price, and the max amount. For the travel
CLINs, list the CLIN number, and include the prices inserted by the Government in Section B. The offeror is not required to calculate and apply a travel cost for the travel CLINs. If this amount is changed, please provide reasoning behind the change. Please provide a total amount for the entire proposal at the bottom of the CLIN schedule which identifies total proposed price for all CLINs. There is no page limitation for this summary page.
4.1.1 Price Reasonableness and Realism
(a) These instructions are to assist you in submitting information (i.e., data other than certified cost or pricing data) that is required to evaluate the reasonableness of your proposed prices. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal.
(b) The source selection will be conducted with the expectation of adequate price competition for this acquisition per
FAR 15.403-1(c)(1); therefore, certified cost or pricing data are not required per FAR 15.403-1(b)(1). If at any time during this competition the Contracting Officer determines that adequate price competition no longer exists or if price reasonableness cannot be determined, offerors may be required to submit certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the Contracting Officer to determine price reasonableness.
(c) Offeror’s proposal will be evaluated for reasonableness and balance. Note that unrealistic pricing (unrealistically low prices), initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic proposal. Additionally, unbalanced pricing may pose an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Balanced pricing is determined with respect to separately priced CLINs or SubCLINs or significant unexplained variance in pricing from year to year. Offers should be sufficiently detailed to demonstrate their reasonableness and balance. The burden of proof for credibility of proposed prices rests with the offeror.
4.1.2 Price Data
(a) The offeror shall propose and insert a whole dollar unit price, with no decimal places, for each Firm-Fixed-Price
(FFP) CLIN of the Base Period and each Option Period in the Section B Price Schedule of the RFP. The total extended amount for the FFP CLINs must equal, to the dollar, the unit price multiplied by the quantity of units. The sum total of all FFP CLINs, for the Base Period and each Option Period, will form the offeror’s Total Evaluated
Price (TEP). The offeror is not required to provide an estimated price for travel CLINs. The government has already estimated travel costs for each travel CLIN and those amounts shall be annotated in the offeror’s proposal.
The proposed prices in Section B must be based on the offeror’s own technical approach submitted in the Technical
Proposal and the Government’s PWS requirements.
(b) Data beyond that required by this instruction shall not be submitted, unless it is essential to document or support the offeror’s price position. All data relating to the proposed price, including all required supporting documentation, must be included in the Price volume (Volume II). Under no circumstances shall this data and documentation be included elsewhere in the proposal with the exception of the Small Business Subontracting Plan which will be provided in Technical Volume (I), Subfactor 3, as a separate section easily removed from the technical proposal to be evaluated by the contracting officer.
(d) STATEMENT OF COMPLIANCE WITH THE SERVICE CONTRACT LABOR STANDARDS (SCLS);
formerly known as the SERVICE CONTRACT (SCA). The SCA Wage Determination (WD) provided in Section J, Attachment 6, is applicable to this requirement. It is the responsibility of the Offeror and the subsequent contract awardee to comply with the SCLS Wage Determination Rates. The offeror shall provide a statement acknowledging:
i. Compliance with the requirements of the SCA WD;
ii. The prices proposed for labor covered by the SCA WDs were formulated in consideration of the rates specified in the document as required for covered contractor personnel;
iii. The wage and benefit rates specified in the SCA WD are not escalated beyond the basic period of performance
(FAR 52.222-43(a) and (b)) and likewise, the prices proposed for labor covered by the SCA WD were not escalated beyond the basic period of performance; and
iv. The proposed prices for each CLIN demonstrate a logical correlation to the staffing (e.g., Full-Time Employees’ man-years, man-hours, labor categories, skill mix) proposed in the Technical Proposal (Volume I).
(e) STATEMENT OF COMPLIANCE WITH THE COLLECTIVE BARGAINING AGREEMENT (CBA). The
CBAs provided in Section J, Attachments 3-5, is applicable to this requirement. The offeror shall provide a statement acknowledging:
i. Compliance with the requirements of the CBA;
ii. The prices proposed for labor covered by the CBA were formulated in consideration of the rates specified in the document as required for covered contractor personnel;
iii. The wage and benefit rates specified in the CBA are not escalated beyond the basic period of performance (FAR
52.222-43(a) and (b)) and likewise, the prices proposed for labor covered by the CBA were not escalated beyond the basic period of performance; and
iv. The proposed prices for each CLIN demonstrate a logical correlation to the staffing (e.g., Full-Time Employees’ man-years, man-hours, labor categories, skill mix) proposed in the Technical Proposal at Volume I.
4.1.3 Probable Subcontractors
Submit a list of the proposed probable subcontractors and inter-divisional transfers showing (a) the supplier, (b) description of effort, (c) type of contract.
4.1.4 Subcontractor and Vendor Pricing
The proposal must include a detailed explanation of your determination of proposed subcontractor or vendor pricing considered fair and reasonable. As prime contractor, documentation is required to demonstrate subcontractor/vendor commercial quotes are considered fair and reasonable. Include a detailed description of your process for evaluating subcontractor/vendor pricing in your determination of fair and reasonable pricing.
The percent of total small business subcontract dollars goal shall be no less than 5% of the total contract dollars, on an annual basis, when taking into consideration the CONUS operations ONLY. It is not required to apply the 5% to the OCONUS projected operating costs. The price proposal shall clearly indicate in the price data the total small business subcontract dollars.
4.1.5 Responsibility Determination
To assist in determining contractor responsibility in accordance with FAR 9.104-3(a), the offeror shall explain how they plan to maintain adequate financial resources for a contract of this magnitude and length. The offeror shall address a fiscal plan for covering mobilization, unexpected or emergency situations, and initial performance costs prior to recoupment in the form of monthly invoice payments.
IAW FAR 9.104-5, the offeror is required to comply with the submission regarding FAR 52.209-5, Certification
Regarding Responsibility Matters found in Section K of this RFP. Since it is the Government’s intent to make
Award Without Discussions IAW FAR 52.215-1, the Government may request an offeror submit additional information so a responsibility determination can be made. This request for additional information will not be construed as communications or discussions with an offeror as defined by FAR 15.306. An incomplete proposal may be considered to indicate lack of understanding of the requirement and may result in the entire proposal being determined “unacceptable” and eliminated from further consideration.
4.1.6 Teaming Arrangements and/or Letters of Intent
If a teaming arrangement is contemplated, provide complete, verifiable information detailing the arrangement, to include any relevant and recent information on previous teaming arrangements with same partner. Submit information relative to the formation, organization and operation of the business unit. Additional information that should be submitted shall include cost and revenue sharing agreements and any other information which describes the business arrangement. Disclose existing or planned agreements between and among the principals, each company’s responsibility for financial management of the venture, the business systems contemplated for use by the entity and their location.
L.5.0. Volume III - Past Performance
L.5.1 General
(a) Each offeror shall submit a Past Performance Volume with its proposal. The Past Performance volume shall be prepared in accordance with all instructions contained within this Section L. This information is required on the offeror and all subcontractors, teaming partners, and/or joint venture partners who are proposed to perform the work outlined in the solicitation. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance.
(b) Along with the information required in this paragraph, the offeror shall submit a consent letter executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance.
L.5.2 Format and Specific Content

5.2.2 Summary Page
Describe the role of the offeror and each subcontractor, teaming partner, and/or joint venture partner for whom the offeror is required to provide Past Performance Information.The Table of Contents and Summary Page(s) shall not exceed ten (10) pages combined.
5.2.3 Past Performance Information (PPI)
Submit information on no more than three (3) total recent contracts that the offeror considers most relevant in demonstrating their ability to perform the proposed effort. Also, the offeror may also submit up to three (3) past performance references for subcontractors, teaming partners, and/or joint venture partners, that will perform major or critical aspects of the requirement. “Recent” is defined as ongoing contracts or those completed within three years of the date of issuance of the solicitation, to include at least six months of documented performance during the three-year period. Include rationale supporting the offeror’s assertion of relevance. For a description of the characteristics or aspects the Government will consider in determining relevancy, reference Section M of this RFP. The following may be provided as part of the PPI: quality and satisfaction ratings for ongoing contracts or contracts completed in the past three (3) years, e.g. letters, metrics, customer surveys, independent surveys, etc., which demonstrates customer satisfaction with overall job performance and quality of completed product for relevant contracts. The PPI for each contract, including letters, metrics, customer surveys, independent surveys, etc., is limited to five (5) pages total per contract. The Government intends to collect additional references from other sources during the evaluation of past performance.
5.2.3.1 Specific Content
The PPI for each contract or subcontract shall include the following:
(a) Contracting Agency/Customer
(b) Contract Number (for subcontracts, provide the prime contract number and subcontract number)
(c) Contract Type
(d) Total Contract Dollar Value per Year and/or Total Amount
(e) Date of Award
(f) Period of Performance
(g) Narrative addressing why performance of the subject contract is relevant to the requirements defined in this solicitation.
(h) Description of the role of the offeror and each subcontractor.
(i) Contracting Officer’s Name or Commercial Customer Point of Contact, Telephone Number and E-mail address
The offeror is required to explain what aspects of the past/current contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a “Limited” or “No Confidence” rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems.
5.2.4 Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection.
As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the
Government receives information from other sources. There is no page limit applied to Organizational Structure
Change History; however, the offeror is requested to limit the number of pages to the minimum required to clearly articulate the pertinent information. Include CAGE codes for any predecessor companies.
5.2.5 Subcontractor Letters of Consent
Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Proposals must include a Consent Letter (Section J, Attachment 8) executed by each subcontractor, teaming partner, and/or joint venture partner, that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.
5.2.6 Client Authorization Letters
If applicable, offerors must also include Client Authorization Letters (Section J, Attachment 9) for each identified effort performed for a commercial customer, authorizing release to the Government of requested information on the offeror’s performance.
5.2.7 Past Performance Questionnaires (PPQ)
The Government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The Government will use information submitted by the offeror and other sources such as other Federal
Government offices and commercial sources, to assess past performance. Offerors are requested to complete the information in Sections 1, 2 and 3 of the PPQ (Section J, Attachment 7) and submit to POC(s) the offeror previously provided recent and relevant service. Ensure the Point of Contact provided is available and knowledgeable of the service provided under that contract. The POC shall submit completed questionnaires directly to the Government representatives identified in 2.1.1 no later than the proposal due date identified in Block 9 of SF33 above. Once submitted, the information contained therein shall be considered sensitive and shall not be released to the offeror.
L.6.0 Volume IV – Contract Documentation
6.0.1 No table of contents or summary page is required
L.6.1. Model Contract/Representations and Certifications
The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The offeror's proposal shall include a signed copy of the Model Contract, and Sections A through K.
6.1.1 Section A - Solicitation/Contract Form
Statement of the period for which the proposal is valid. Ensure period is specified in Block 12, Section A of the solicitation (SF33).
Complete Standard Form 33 (Solicitation, Offer, and Award), blocks 13, 14, 15A, 15B, 15C (if applicable), 16, 17, and 18. In completing these blocks, the offeror accedes to the contract terms and conditions as written in the RFP
Sections A through K Completed form signed by the offeror constitutes an offer, which the Government may accept.
The “original” copy should be clearly marked under separate cover and should be provided without any punched holes.
6.1.2 Section I – Contract Clauses
The offeror shall provide required information to complete clauses as required.
6.1.3 Section K – Representations, Certifications, and other Statements of Offerors Complete representations, certifications, acknowledgments and statements. Offeror is required to fill out an online provision 52.204-8 Annual Representations and Certifications https://www.sam.gov/portal/public/SAM/#1.
Include any FAR, DFAR, or AFFARS clauses requiring fill-in information, as well as any other acknowledgments required. Ensure the Tax Identification Number (TIN) is loaded in SAM or provided for in the proposal submission.If the CO is unable to access/retrieve an offeror’s annual representations and certifications, that offeror may, upon request by the CO, be required to submit a hard copy of their annual representations and certifications.
This request will not be construed as communications or discussions with an offeror as defined by FAR 15.306.
L.6.2 Exceptions to Solicitation Requirements
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors.
Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
