52.212-2 – Evaluation-Commercial Products and Commercial Services.
As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:
Evaluation – Commercial Products and Commercial Services. (Nov 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror, whose offer conforming to the solicitation, is determined to be the lowest priced, technically acceptable (LPTA) quote with acceptable past performance. The Government may award without discussions, but reserves the right to hold discussions if deemed necessary by the Procuring Contracting Officer (PCO).
The following factors shall be used to evaluate offers:
(1) Factor 1 – Price
(2) Factor 2 – Technical:
Subfactor 1: Past Experience
Subfactor 2: Quality Control Plan
Subfactor 3: Contractor Certifications
(3) Factor 3 – Past Performance
Factor 1 – Price Evaluation. Offerors will be evaluated on the TOTAL proposed price resulting from the total amounts of the vendor's quote. Unbalanced prices may serve as a basis for rejection of the quote.
Prices shall be submitted in EURO currency only and will be evaluated in EURO currency. Failure to include a unit price and extended price for each CLIN within Atch 2, Bid Schedule, to the combined synopsis/solicitation may exclude the offeror from further consideration for award. Price is determined by multiplying the unit price by the quantity of each CLIN. The extended amounts of all CLINs for all option periods represent the total proposed price. Base and all option years must be quoted – no partial quotes will be accepted. Award will be made on an all-or-none basis. For the evaluation of the option price pursuant to FAR clause 52.217-8, Option to Extend Services, 50% of the prices proposed for the last option period will be included in the Total Evaluated Price (TEP). The offeror's TEP will be calculated by adding the base period and all options, to include the option available under 52.217-8. The TEP will be evaluated for fair and reasonableness in accordance with FAR 13.106-3. The Government reserves the right to obtain other than certified cost or pricing data if deemed necessary by the Contracting Officer.
Arithmetic Discrepancies: For the purpose of evaluation of offers, the following will be utilized in resolving arithmetic discrepancies found on the face of the price list as submitted by the offeror.
A. Obviously misplaced decimal points will be corrected:
B. Discrepancy between unit price and extended price, the unit price will govern;
C. Apparent errors in extension of unit prices will be corrected.
The totals calculated by resolution of arithmetic discrepancies listed above will represent the total proposed price, as applicable.
Factor 2 – Technical Capability – Offerors will be evaluated on written documentation provided in accordance with paragraph (b)(4) of the Addendum to FAR 52.212-1, Instructions to Offerors – Commercial Products and Commercial Services. Technical acceptability is based on successfully meeting these requirements. Each outlined factor will be rated “Acceptable” or “Unacceptable” as follows:
Acceptable: Quote clearly meets or exceeds the minimum requirements of the solicitation.
Unacceptable: Quote does not clearly meet or exceed the minimum requirements of the solicitation.
Offerors must receive an “Acceptable” rating for each evaluation subfactor to receive an overall “Acceptable” rating in the technical evaluation. In the event one or more subfactors receive an “Unacceptable” rating, the quote will receive an overall “Unacceptable” rating.
Subfactor 1:
Past Experience. This subfactor is met when the offeror provides evidence of at least two (2) references for maintenance AND two (2) references for repair services where the offeror (or subcontractor, teaming partner, and/or joint venture partner being intended to perform the solicited services, or instances where the offeror performed as key personnel or a subcontractor) is/was responsible for the performance of maintenance and repair services for power-driven hangar doors.
Services under the references provided must be entirely within the previous ten (10) years from the issuance date of this solicitation.
Alternatively, this subfactor is met when the offeror provides one (1) reference of at least one (1) continuous year of contract performance entirely within the previous ten (10) years from the issuance date of this solicitation, where the offeror (or subcontractor, teaming partner, and/or joint venture partner being intended to perform the solicited services, or instances where the offeror performed as key personnel or a subcontractor) is/was responsible for the performance of maintenance and repair services for power-driven hangar doors.
Subfactor 2:
Quality Control Plan. This subfactor is met when the offeror submits in writing a quality control plan that adequately addresses that services are performed in accordance with paragraph 8.1. of the PWS.
Subfactor 3:
Copies of Certifications. This subfactor is met when the offeror submits copies of the certificates as specified in 3a) and 3b) below:
3a) Certificates of competency as an expert/a competent person for power-driven windows, doors and gates (Sachkunde/Befähigte Person für Kraftbetriebene Fenster, Türen und Tore) of all employees being intended to provide services under the contract. The training certificates shall be obtained through an accreditation authority (for example TÜV – Technischer Überwachungsverein, DEKRA).
3b) Certificates as a certified/qualified electrician (Facharbeiterbrief/Elektrofachkraft ) of all employees being intended to provide services under the contract in accordance with DGUV Vorschrift 3/DIN VDE 0105-100 (DGUV Regulation 3 / DIN VDE 0105-100 DGUV).
Offerors who fail to submit copies of certifications as specified in Subfactor 3a) and 3b) are not eligible for award, regardless of price, technical capability evaluation of subfactor 1, past experience, and subfactor 2, quality control plan, and past performance evaluation IAW FAR provision 52.212-2, Evaluation – Commercial Products and Commercial Services.
(3) Factor 3 – Past Performance. Offerors must receive an "Acceptable" rating to receive an award.
This rating is based on recent and relevant past performance information.
The following ratings will be applied:
- Acceptable: DEFINITION: Based on the offeror's performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror's performance record is unknown. (See note below.)
- Unacceptable: DEFINITION: Based on the offeror's performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.
Note: In case of an offeror without a record of recent and/or relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a (2) (iv))). Therefore, the offeror shall be determined to have unknown (or "neutral") past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered "Acceptable."
Past Performance information may be obtained from, but will not be limited to, the following sources:
a. Past Performance Questionnaires (PPQs)
Offerors must receive an "Acceptable" rating to receive an award. The standard for an "Acceptable" past performance rating is met when recent and relevant past performance information as defined in paragraph (b)(10) of the Addendum to FAR 52.212-1, Instructions to Offerors – Commercial Products and Commercial Services, and as outlined below is rated as "Acceptable" for overall performance (question #15, section D) on the Past Performance Questionnaire(s) submitted by the commercial customer/contracting activity.
This subfactor is met when the offeror provides evidence of at least two (2) references for maintenance AND two (2) references for repair services where the offeror (or subcontractor, teaming partner, and/or joint venture partner being intended to perform the solicited services, or instances where the offeror performed as key personnel or a subcontractor) is/was responsible for the performance of maintenance and repair services for power driven hangar doors and if all references are rated as "Acceptable" for overall performance (question #15, section D) on the Past Performance Questionnaire(s). This subfactor is also met, when all past performance references obtained through other sources are rated as “Acceptable”. Services under the references provided must be entirely within the previous ten (10) years from the issuance date of this solicitation.
Alternatively, this subfactor is met when the offeror provides one (1) reference of at least one (1) continuous year of contract performance entirely within the previous ten (10) years from the issuance date of this solicitation, where the offeror (or subcontractor, teaming partner, and/or joint venture partner being intended to perform the solicited services, or instances where the offeror performed as key personnel or a subcontractor) is/was responsible for the performance of maintenance and repair services for power driven hangar doors and if the reference is rated as "Acceptable" for overall performance (question #15, section D) on the Past Performance Questionnaire(s). This subfactor is also met, when all past performance references obtained through other sources are rated as “Acceptable”.
Award Process. The Government intends to award to the lowest priced, technically acceptable offeror with an acceptable past performance rating. The evaluation process is as follows:
1. The Government will rank the offerors from lowest to highest total evaluated price.
2. Next, a technical and past performance evaluation will be performed beginning with the two lowest priced offerors. Evaluations will stop when two technically acceptable quotes receive an acceptable past performance rating for price comparison purposes. Only those offerors determined to be technically acceptable with an acceptable past performance rating, either initially or as a result of discussions, will be considered for award.
3. A fair and reasonable determination will be made for the lowest-priced, technically acceptable quotations with acceptable past performance.
4. If only two quotations are received and one is not technically acceptable, the Contracting Officer will conduct a fair and reasonable determination of the quotation found technically acceptable and with acceptable past performance.
Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
NOTE: Pricing for the option periods will be evaluated for use under Federal Acquisition Regulation clauses 52.217-8 and 52.217-9. For the evaluation of the option price pursuant to FAR clause 52.217-8, Option to Extend Services, 50% of the prices proposed for the last option period will be included in the Total Evaluated Price (TEP).
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

252.232-7007 Limitation of Government's Obligation. Apr 2014
As prescribed in 232.706-70, use the following clause:
LIMITATION OF GOVERNMENT'S OBLIGATION (APR 2014)
(a) Contract line item(s) is/are incrementally funded. For this/these item(s), the sum of $ [Contracting Officer insert after negotiations] of the total price is presently available for payment and allotted to this contract. An allotment schedule [Contracting Officer insert after negotiations] is set forth in paragraph (j) of this clause.
(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "Termination for Convenience of the Government." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).
(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "Termination for Convenience of the Government."
(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.
(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "Disputes."
(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.
(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "Default." The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) and (e) of this clause.
(h) Nothing in this clause affects the right of the Government to terminate this contract pursuant to the clause of this contract entitled "Termination for Convenience of the Government."
(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C.
1342.
(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:
On execution of contract $ ____
(month) (day), (year) $ ____
(month) (day), (year) $ ____
