Miscellaneous text in this section has been modified to:

52.212-1 Instruction to Offerors - Commercial Items (Oct 2018)

This provision is incorporated by reference with the following addenda to paragraphs.

A. Addendum to 52.212-1(b), Submission of Offerors. This firm fixed-price (FFP) contract is being issued on a full and open competition basis. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit

FA330020R00010001

information to the extent necessary for the contracting officer to determine the reasonableness of the price.

B. Proposals must be complete, self-sufficient, and respond directly to the requirements of the Request for Proposal (RFP). Failure to meet a requirement may result in an offer being determined nonresponsive and ineligible for award. The Government intends to evaluate offers and award this firm fixed-price contract without discussions. Therefore, the offeror's initial proposal should contain the offeror's best terms from a price standpoint. The offeror's proposal shall consist of three (3) separate parts; Part I - Technical Factor, Part II - Past Performance Factor, and Part III - Price Factor.

C. Specific Instructions:

1. Submit proposals in electronic format (one (1) CD-ROM with full proposal, plus five (5) CD- ROMs with Technical Proposal ONLY). CDT ON 1 November 2019.

Offerors are encouraged to confirm proposal receipt.

Offerors should allow sufficient time to obtain base access and arrive at the contracting office PRIOR to the time specified for receipt of offers. Late proposals will be processed in accordance with FAR 52.212-1(f), "Late submission, modifications, revisions, and withdrawal of offers."

3. Addendum to 52.212-1(c), Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.

4. Addendum to 52.212-1(e), Multiple Offers. Deleted

5. Addendum to 52.212-1(h), Multiple Awards. Deleted

D. Representations and Certifications:

1. IAW FAR 52.212-3, the offeror shall complete only paragraphs (b) of this provision if the offeror has completed the annual representations and certifications electronically via the System for Award Management (SAM) website, accessed through http://www.sam.gov/portal. If the offeror has not completed the annual representations and certifications electronically, the offeror shall complete only paragraphs (c) through (u) of this provision, including the additions to (c)(11) at 52.212-3, Alternate I.

2. Interested parties capable of providing the requirement must include discount terms (if any), tax identification number, CAGE code, and DUNS.

If not, the offeror shall explain why. Likewise, the Government anticipates that the per user price for CLINs X018 (Army) and X019 (Navy) for "Medical Malpractice" to be the same. If not, the offeror shall explain why.

C. At this time, the Government does not commit, nor does anything in this solicitation obligate the Government to order the DLA, DCMA, and DCAA legal subscriptions and related services (CLINs X015, X016, X017, and X021) or medical malpractice databases (X018 and X019). However, the offeror MUST propose prices for all CLINs, including those mentioned in this paragraph.

Evaluation Factors for Award

Miscellaneous text in this section has been modified to:

BASIS FOR CONTRACT AWARD

This acquisition will be conducted using Lowest Price Technically Acceptable (LPTA) procedures.

Technical and past performance proposals will be evaluated, then the proposals that have both technical and past performance rated as "Acceptable" will be ranked by price. Award will be made to the lowest priced proposal from the responsible offeror meeting the evaluation standards. All offers receiving an "Unacceptable" rating shall be determined outside the competitive range, if established.

The evaluation process shall proceed as follows:

PART I - TECHNICAL FACTOR: Initially, the Technical Evaluation Team (TET) will determine whether each offeror's technical proposal is acceptable or unacceptable, using the ratings and descriptions outlined below. These ratings will be applied at the technical subfactor level. The TET will evaluate each offeror's technical proposal to assess whether the offeror's technical proposal will satisfy all the minimum requirements established in the following technical subfactors, as it applies to Attachment I, Statement of Requirements:

TECHNICALLY ACCEPTABLE/UNACCEPTABLE RATINGS (WITH THE EXCEPTION OF

SUBFACTOR 1, SMALL BUSINESS PARTICIPATION PLAN)

"Acceptable" means that the proposal meets the minimum requirements of the solicitation.

"Unacceptable" means that the proposal does not meet the minimum requirements of the solicitation.

A. Subfactor 1: Small Business Participation Plan: This subfactor will be met when the offeror's small business participation plan contain all of the elements required by FAR 19.704(a), and the percentages listed below are met. Of the total amount the offeror plans to subcontract for this contract, minimum percentages shall be as follows:

21% to small business

5 % to Small Disadvantaged Business

5 % to Women-Owned Small Business

3 % to HUBZone Small Business

3 % to Serviced Disabled Veteran-Owned Small Business

This factor will be evaluated on an Acceptable/Unacceptable basis as indicated below:

"Acceptable" means proposal indicates an adequate approach and understanding of small business objectives.

"Unacceptable" means proposal does not meet small business objectives.

B. Subfactor 2: Databases and Training - The Government will evaluate the offeror provided Exhibits A - I for completeness, accuracy and currentness to ensure the counts of databases have been indicated and the minimum requirements identified in Attachment 1, SOR have been met as listed below:

1. Exhibit A - All Databases Menu: Exhibit must meet the requirements of SOR Paragraph 2.1.1. and include the following:

a. An approximate count of the databases included.

b. Description/detailed source listing of the database included in Exhibit A. Offeror may reference a directory or catalog that it provides as part of the technical proposal for database details so long as the scope of this menu is clearly specified.

2. Exhibit B - Docket Databases: Exhibit must meet the requirements of SOR Paragraph 2.1.2. and include a description/detailed source listing of included databases and any associated services.

Offeror may reference a directory or catalog that it provides as part of the technical proposal for database details so long as the scope of the included databases is clearly specified.

3. Exhibit C - Fully Accredited ABA Law School Package: Exhibit must meet the requirements of SOR Paragraph 2.1.3. and include the following:

a. Description of the virtual classroom/web course capability that will be provided to The Army Judge Advocate General's Legal Center and School (TJAGLCS) users.

b. Description of any databases beyond those contained in the All Databases Menu that will be provided to TJAGLCS users for unlimited usage at no cost beyond the fixed price for CLIN X008.

4. Exhibit D - United Kingdom Databases: Exhibit must meet the requirements of SOR Paragraph

2.1.4. as well as include a detailed source list of the United Kingdom databases offered on an all-inclusive basis.

5. Exhibit E - Medical Malpractice Databases: Exhibit must meet the requirements of SOR Paragraph

2.1.5. as well as provide a description of the databases and any associated service.

6. Exhibit F - Insurance and Claims Databases: Exhibit must meet the requirements of SOR Paragraph 2.1.6. as well as provide a description of the databases and any associated service.

7. Exhibit G - Transaction Priced Databases: Exhibit must meet the requirements of SOR Paragraph

2.1.7. as well as provide a description of the databases and any associated service.

8. Exhibit H - Citators: Exhibit must meet the requirements of SOR Paragraph 2.3.3.4 and include the following:

a. Detailed source list of databases other than Federal Court opinion databases for which BOTH a case history citators and a general citatory are available.

b. Detailed source list of databases other than Federal Court opinion databases for which ONLY a case history citator is available.

c. Detailed source list of databases other than Federal Court opinion databases for which ONLY a general citator is available.

d. Describe the currentness of citators.

9. Exhibit I - On-Site Training: Exhibit must meet the requirements of SOR Paragraphs 2.5.2. -

2.5.2.6. as well as list locations where the offeror has training representatives and the territories they service.

C. Subfactor 3: Access Method Plan

1. The Government will evaluate the offeror's detailed access method plan to ensure it identifies how the requirements for Access through the FLITE Web Server for Air Force Legal, SAF/GC, and NonAF will be met as required by Attachment 1, SOR paragraph 2.3.2.2.

2. The Government will also evaluate the offeror's detailed access method plan to ensure it identifies how the requirements for Access through JAGCNet for Army Legal will be met as required by Attachment 1, SOR paragraph 2.3.2.3.

PART II - PAST PERFORMANCE FACTOR: Next, the past performance evaluation team shall evaluate the past performance of all technically acceptable offers on an acceptable or unacceptable basis using the ratings outlined below. The purpose of the past performance evaluation is to allow the Government to assess the offeror's ability to perform the effort described in this RFP, based on the offeror's record of relevant and recent past performance information that pertain to the products outlined in the SOR.

A. The past performance evaluation team will seek recent (within three (3) years from the date of issuance of solicitation) and relevant performance information for all technically acceptable offerors based on (1) the completed questionnaires submitted by the contractor's references and (2) data independently obtained from other government and commercial sources available, to include interviews with Program Managers and Contracting Officers. Relevant performance is defined in the Addendum to 52.212-1, Part III.

B. Past performance regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform significant (10% or more of the total effort) aspects of the requirement will be considered as highly as past performance information for their principal offeror. Past performance information pertaining to a subcontractor cannot be disclosed to the prime contractor without the subcontractor's consent. Provide a letter with the proposal from all subcontractors that will perform significant aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

C. Contractors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the contractor has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports an "unacceptable" rating on any past performance questionnaire evaluation element or any unfavorable comment received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the Contracting Officer reserves the right to award a contract without the opportunity for proposal revision.

PAST PERFORMANCE EVALUATION RATINGS

"Acceptable" means that based on the offeror's performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror's performance record is unknown (see note below).

"Unacceptable" means that based on the offeror's performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performances (see FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or "neutral") past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered "acceptable."

PART III - PRICE FACTOR: Finally, the Government will evaluate the price information submitted in each offeror's price proposal, as required by Addendum to FAR 52.212-1, as described below.

Any other data provided by the offeror with their price proposal that is not required by Addendum to FAR 52.212-1 will not be considered or evaluated. Evaluation of the option(s) will not obligate the Government to exercise the option(s).

The Government may use any of the following price analysis techniques IAW FAR 15.404-1(b) to determine price reasonableness: comparison of proposed prices received, comparison of previously proposed prices and previous Government and commercial contract prices, use of parametric estimating/rough yardsticks, comparison with competitive published price lists or market prices, comparison with independent Government cost estimates, comparison with market research, and analysis of pricing information provided by the offeror.

In addition, proposed unit prices may be evaluated for unbalanced pricing IAW FAR 15.404-1(g).

Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items or sub-line item(s) appear to be significantly overstated or understated as indicated by the application of price analysis techniques. An offeror's proposal may be rejected if the Contracting Officer determines the lack of balance poses an unacceptable risk to the Government.

The Source Selection Authority (SSA) has determined that this requirement meets the commercial item definition in FAR 2.101; therefore, certified cost or pricing data is not required per FAR 15.403-1(b)(3).

If the proposal analysis techniques listed above are insufficient to make a determination of price reasonableness, or if the Contracting Officer determined that adequate price competition no longer exists, the Contracting Officer may request submission of additional data other than certified pricing data as appropriate, and/or may use other proposal analysis techniques as described in FAR 15.404 to the extend necessary in order to make a determination of price reasonableness.

Offers shall be ranked according to price, including option prices. All line items prices (except CLINs X006, X009, and X013) will be evaluated. An offeror's proposed prices will be determined by multiplying the quantities identified in the pricing schedule by the unit price for each item to confirm the extended amount for each. However, at this time, the Government does not commit, nor does anything in this solicitation obligate the Government to order the DLA and DCMA legal subscriptions and related services (CLINs X015, X016, X017, and X021) or medical malpractice databases (CLINs X018 and X019).

The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.
