Changes in the terms and conditions of this contract may be made only by written agreement of the parties, except for the following actions:

1. Option to Extend Services pursuant to FAR 52.217-8, and incorporation of wage determinations in accordance with the Service Contract Labor Standards or the Davis-Bacon Act.

2. Administrative changes such as the paying office, accounting classifications, in accordance with FAR 43.103(b).

3. Modifications to obligate or de-obligate funds for not to exceed CLINS.

4. Modifications to obligate funds at the beginning of each fiscal year and incremental funding.

FAR 52.228-5 is supplemented as follows:

Required Insurance: The Contractor shall, at its own expense, procure and thereafter maintain the following kinds of insurance with respect to performance under the contract.

a. Workmen's Compensation and Employers Liability Insurance as required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

b. General Liability Insurance. Bodily injury liability insurance, in the minimum limits of $500,000 per occurrence shall be required on the comprehensive form of policy.

c. Automobile Liability Insurance. This insurance shall be required on the comprehensive form of policy and shall provide bodily injury liability and property damage liability covering the operation of all automobiles used in connection with the performance of the contract. At least the minimum limits of $30,000 per person and $60,000 per occurrence for bodily injury and $25,000 per occurrence for property damage shall be required.

52.209-10 Prohibition on Contracting with Inverted Domestic Corporations.

As prescribed in 9.108-5(b), insert the following clause:

Prohibition on Contracting with Inverted Domestic Corporations (Nov 2015)

(a) Definitions. As used in this clause-

Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395 (b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

Subsidiary means an entity in which more than 50 percent of the entity is owned-

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

(b) If the contractor reorganizes as an inverted domestic corporation or becomes a subsidiary of an inverted domestic corporation at any time during

the period of performance of this contract, the Government may be prohibited from paying for Contractor activities performed after the date when it becomes an inverted domestic corporation or subsidiary. The Government may seek any available remedies in the event the Contractor fails to perform in accordance with the terms and conditions of the contract as a result of Government action under this clause.

(c) Exceptions to this prohibition are located at 9.108-2.

(d) In the event the Contractor becomes either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation during contract performance, the Contractor shall give written notice to the Contracting Officer within five business days from the date of the inversion event.

52.233-2 Service of Protest.

As prescribed in 33.106 , insert the following provision:

(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from 82d Contracting Squadron 206 J Ave. Bldg 1662 Sheppard AFB, TX 76311

(Addendum to 52.212-1)

The offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers.

A. To assure timely and equitable evaluation of the quotation, the offeror must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, and representations and certifications. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separate parts; Part I - Summary and Misc. Data, Part II - Price Quote, and Part III - Past Performance Information.

B. Offers are to be received by the 82d Contracting Squadron no later than 2:00 pm Central Daylight Time (CDT) on May 29, 2024.

1. One (1) copy of quote/offer shall be submitted electronically, no paper copies will be accepted.

2. The quote/offer shall be submitted in a format readable by Microsoft Office which includes software programs such as Word, Excel, and PowerPoint.

3. Pages of the quote/offer that cannot be submitted using Microsoft Office, offerors shall include those pages electronically using Adobe Acrobat portable document files (.pdf) format.

4. Part II - Price shall be submitted in the provided Price Exhibit attachment using Microsoft Excel.

5. USB flash drives, floppy disks, and zip disks are not acceptable.

C. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional cost information will be requested. However, if at any time during this evaluation the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness.

D. Specific Instructions:

1. Part I - Summary and Miscellaneous Data. Submit PART I no later than 2:00 pm on May 29, 2024.Central Daylight Time (CDT)

(i) The offeror shall provide a concise summary and master table of contents of the entire quote/offer to include CAGE Code and UEI number.

(ii) Provision 52.212-3 Offeror Representations and Certifications - Commercial Items, Alternate 1.

(a) If the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Website located at https://sam.gov/content/home, the Offeror shall complete and return paragraphs (b) of this provision or submit a statement verifying the representation and certifications currently posted electronically in the SAM database have been updated within the past 12 months and are current, accurate, complete, and applicable to this solicitation. Return and include in Part I.

(b) If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall register on-line at https://sam.gov /content/home. Complete FAR provision 52.212-3, paragraphs (c) through (u) Offeror Representations and Certifications - Commercial Items (with the necessary fill-ins) and return with Part I. Annual representations and certification will not count towards page limit identified in paragraph d. - Quote/offer Submission Summary of this document.

(iii) For other provisions and clauses in the solicitation, the offeror is required to submit the pages that require an offeror fill-in and include in Part I.

Other provisions and clauses required in this solicitation will not count towards the page limit identified in paragraph d. - Quote/offer Submission Summary, of this document.

(iv) Submit an acknowledgment of all solicitation amendments, if issued.

(v) Submit an Affirmation of no Exceptions, Deviations, or Waivers, if none proposed.

(vi) Submit a letter, signed at the vice-president level or equivalent or higher, that identifies the individual(s) with the authority to obligate or otherwise bind your company to the resulting contract and, if necessary, future contract modifications.

(vii) Submit Disclosure of Lobbying Activities, if applicable.

(viii) Responsibility Determination. To assist in determining contractor responsibility in accordance with FAR Part 9, the offeror shall explain how they plan to maintain adequate financial resources for a contract.

2. PART II - PRICE QUOTE. Submit one (1) copy electronically Microsoft Excel. Submit PART II no later than 2:00 pm Central Daylight Time on May 29, 2024.(CDT)

(a) Contract Price Exhibit - Attachment 01. Insert proposed unit costs with the exception of Not to Exceed (NTE) Contract Line Item Numbers (CLINS) 0002, 0003 and 0004 in each ordering period FY25 - FY29. All unit costs provided must be at the fully burdened rate including (overhead, G&A, profit, etc.). The quote must be submitted for the full ordering period of five years. Total evaluated price will be the sum of five fiscal years included in the ordering period (1 October 2024 - 30 September 2029).

(i) It is imperative that mathematical calculations are correct; particular care should be taken to ensure the amounts match when using the Microsoft Excel program and the rounding of figures, limited to two decimal places.

(ii) NOTE: Extreme care should be exercised to ensure that no price data of any kind are included in any other Parts of the quote/offer.

3. PART III-PAST PERFORMANCE INFORMATION - Only references for the prime contractor for the same or similar type contracts should be submitted. Submit one (1) copy electronically Microsoft Word. Submit PART III no later than 2:00 pm on May Central Daylight Time (CDT) 29, 2024.

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years prior to the quote/offer due date: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

(b) Past Performance Questionnaire: Past Performance Questionnaires (PPQs) shall be used by the offeror in obtaining and providing past performance information. The government requires the offeror send out a PPQ to each of the Points of Contact (POCs) identified in the Past Performance quote/offer. The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this solicitation. The government will use information submitted by the offeror and other sources such as the Past Performance Information Retrieval System, other federal government offices and commercial sources to assess performance. Provide a list of no more than five (5), of the most relevant contracts performed for federal agencies and commercial customers within the last 3 years of the quote/offer due date. Relevant contracts include efforts involving service contracts similar in magnitude and complexity. The evaluation of past performance information will take into account past performance information regarding predecessor companies and key personnel who have relevant experience. Furnish the following information for each contract referenced:

(i) Company/Division name

(ii) Service Provided

(iii) Contracting Agency/Customer

(iv) Contract Number

(v) Contract Dollar Value

(vi) Period of Performance

(vii) Verified, up-to-date name, address, email and telephone number of the contracting officer

(viii) Comments regarding compliance with contract terms and conditions

(ix) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.

****NOTE: If an offeror has no past performance history of relevance, the offeror must state affirmatively it possesses no past performance history of relevance. **** If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with the same partner. Small Business Administration approval documentation is required to be submitted for teaming arrangements. If this is a first-time joint effort, each party to the arrangement must provide a list of past and present relevant contracts. The Government will evaluate no more than a total of five (5) contracts submitted by the offeror to include past performance records for each party of a first-time joint effort.

(c) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor's consent. Provide with the quote/offer a letter from each subcontractor that will perform major or critical aspects of the requirement, consenting to the release of its past performance information to the prime contractor.

(d) Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:

1. Requirements of the solicitation (Item Numbers) and Performance Work Statement (PWS), and government standards and regulations pertaining to the PWS.

2. Evaluation Factors for Award.

(e) Information Regarding Submission of Past Performance Questionnaires: Offeror's references should be instructed to complete the past performance questionnaire and email responses directly to the individual listed below no later than 2:00 PM CDT on May 29, 2024. Questionnaires can be emailed directly to Contract Specialist's email address joshua.mills.20@us.af.mil.

(i) The offeror shall send out the PPQ (Attachment 10/10A) to each of their references. The responsibility to send out the PPQs rest solely with the offeror.

(ii) Once the questionnaires are completed by the POCs, the information contained therein will be considered source selection sensitive and will not be released outside the government. The POCs shall forward their completed questionnaires directly to the government - NOT BACK TO THE

OFFEROR.

Information Regarding Submission of quote/offer: Offerors are cautioned that Sheppard AFB, TX has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. Late quote/offer will be processed in accordance with FAR 52.212-1(f)

(1) Site Visit: An organized site visit for Sheppard Air Force Base (SAFB) has been scheduled for Tuesday, 14 May 2024 at 7:30 am CDT.

Participants will meet at 206 J Ave. Bldg. 1662 Sheppard AFB, TX 76311-2742. In addition, a site visit has been scheduled for the Lake Texoma, TX for Tuesday, 14 May 2024 at 1:30 pm CDT. Participants will meet at 1030 SAFB Road Whitesboro, TX 76273 (Lake Texoma Lodge). There will not be a site visit to Frederick Auxiliary Airfield. Interested participants must send an email to joshua.mills.20@us.af.mil no later than Thursday, 9 May 2024 at 10:00 am CDT with full name, date of birth and driver's license number/identification number with state of issue or passport number with country of issue in order to be added to the entry authorization list. Questions resulting from site visit, or any part of the solicitation are welcome until Thursday, 16 May 2024 at 10:00 am CST. Answers will be posted altogether via the sam.gov where this solicitation is posted.

Evaluation Factors for Award

Addendum to FAR 52.212-2:

The clause at FAR 52.212-2, Evaluation - Commercial Items, applies to this acquisition and is amended as follows.

Basis for Contract Award: The basis of which this contract will be awarded will be price, and past performance in accordance with Federal Acquisition Regulation (FAR) Parts 12. This is a competitive selection in which competing offerors' present and past performance history will be evaluated on a basis significantly more important than price. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications. The government reserves the right to make an award based on whether the lowest priced of the offerors having the highest past performance rating possible represents the best value when compared to any lower priced offerors. The evaluation process shall proceed as follows:

1. Price Evaluation. Initially, offers shall be ranked according to price. An offeror's proposed prices will be determined by multiplying the quantities identified in the Price Exhibit (Attachment 1), limited to two decimal places for the Ordering Period. The sum total of all Firm-Fixed-Price Ordering Periods will form the offeror's Total Evaluated Price (TEP). Initially, government will rank all offers by the TEP lowest to highest according to price. The price evaluation will document the fairness and reasonableness of the TEP. The government reserves the right to perform price realism analysis.

NOTE: The contract will include FAR Clause 52.217-8, Option to Extend Services, with the potential to extend the contract an additional six (6) months beyond the awarded contract performance period. In the event the Government requires continued performance, the Government's evaluation of prices proposed for the Ordering Period will suffice to be the Government's evaluation of prices under the extension of services (ref. 52.217-8).

Should an extension of services be required, rates will be adjusted only as a result of revisions to applicable prevailing Department of Labor wage rates. Evaluating the Ordering Period CLIN or the six-month Extension of Services Option does not obligate the government to exercise the Option.

2. Performance Confidence Assessment. The purpose of the performance confidence assessment is to assess the offeror's ability to fulfill the solicitation requirements. A past performance evaluation will be accomplished for the purpose of assigning a Performance Confidence Assessment rating to the offeror's proposal based on performance ratings of recent and relevant efforts. The government will evaluate recent and relevant performance information on the lowest priced evaluated offeror based on:

(1) Any past performance information obtained from the Performance Questionnaires (Attachment 10/10A); and

(2) Any data independently obtained by the government and/or commercial sources.

3. Evaluation Process. The past performance evaluation considers each offeror's demonstrated recent and relevant record of performance. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror's Past Performance proposal volume, PPQs, and information obtained from other sources available to the Government.

4. The past performance evaluation will take into account past performance information from the principal offeror, as well as the predecessor company's key personnel and subcontractors that will perform major aspects of the requirement. The past performance on the predecessor company's key personnel and subcontractors that will perform major aspects of the requirement will be rated as highly as past performance information for the principal offeror. The Government will use the following procedures in evaluating past performance.

5. The offeror's past performance efforts will be assessed for: Recency, Relevancy and Performance Quality. The Government will only evaluate performance quality on past efforts that are determined to be both recent and relevant, which are defined as follows:

a. Recency: In order for past performance to be considered recent, performance must be ongoing or must have been performed within the past three

(3) years from the date of issuance of this solicitation, to include at least six (6) months of documented performance during the three (3) year period.

Past performance information that fails this condition will not be evaluated.

b. Relevancy: Relevant performance information will be based on (1) the references provided by the offeror and (2) data independently obtained from other Government and commercial sources. Past performance regarding predecessor companies and key personnel who have relevant experience will be given significant consideration in the evaluation of past performance for the principal offeror. Relevant performance includes performance of efforts involving requirements that are similar or greater in scope and complexity than the effort described in this solicitation. Relevancy will be assigned ratings of Very Relevant, Relevant, Somewhat Relevant, and Not Relevant. The Government will give greater consideration to information on those contracts deemed very relevant to the effort. The following relevancy rating definitions will be used in the assessment of relevancy:

c. Performance Quality: The quality assessment consists of an evaluation of recent and relevant past performance information available, regardless of its source. The quality assessment may reveal positive or adverse past performance information. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comment received from sources without a formal rating system.

Multiple ratings of less than "Satisfactory" in Contractor Performance Assessment Reporting System (CPARS) and/or Past Performance Questionnaires (PPQs) may result in a performance quality assessment rating of "No Confidence." Offerors may be given an opportunity to respond to adverse past performance information for which they have not previously had an opportunity to address in accordance with FAR 15.306. For each of the recent and relevant past performance information reviewed, the performance quality of work will be assessed based on the one (1) Quality Assessment Criteria evaluated in the PPQ (Attachment 10) and two (2) the evaluation ratings in the Federal Past Performance Information Retrieval System (PPIRS), if available and (3) Past Performance information obtained from other sources available to the Government.

d. Performance Confidence Assessments: The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror's ability to supply the services described in the solicitation that meet users' needs, based on the offeror's demonstrated record of performance. The assessment process will result in an overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Neutral Confidence as defined below. Offerors with no relevant past or present performance history or the offeror's performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating "Neutral Confidence", meaning the rating is treated neither favorably nor unfavorably. The Government will use the following Performance Confidence Assessment ratings in the assessment of performance confidence:

Based on the offeror's quality/recent/relevant performance record, the government has a low expectation that the offeror will successfully perform the required effort.

NO CONFID

ENCE

Based on the offeror's quality/recent/relevant performance record, the government has no expectation that the offeror will successfully perform the required effort.

e. In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.

6. If the lowest priced evaluated offer is judged to have a "Substantial Confidence" performance rating, and the offeror is determined to be responsible, that offer represents the best value for the Government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.

7. If the lowest priced offeror is not judged to have a "Substantial Confidence" performance assessment, the next lowest priced offeror will be evaluated, and the process will continue (in order by price) until an offeror is judged to have a "Substantial Confidence" performance assessment or until all offerors are evaluated. The government reserves the right to award a contract to other than the lowest price offer if the difference in the Past Performance Confidence Rating of another offeror justifies the higher price premium. In that event, the Source Selection Authority will make an integrated assessment best value award decision using the TEP and the Past Performance Confidence Rating.

8. Offerors are cautioned to submit sufficient information and, in the format, specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.

Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

9. The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.
