For the purpose of this solicitation, relevancy is defined as (1) direct performance of providing and maintaining portable chemical latrines/toilets; (2) Experience in providing and maintaining chemical latrines for an aircraft fleet (such as the removal of lavatory refuse content); and (3) Experience on contracts with a minimum value of $75,000.00. An offeror is not required to demonstrate all three elements above in each individual reference to be determined relevant. Relevancy can be demonstrated providing all three elements exist among the offeror’s references. Note: References in excess of three (3) will not be read or evaluated and will be removed from the offer.

(2) Past performance may be submitted for predecessor companies, key personnel who have relevant experience or subcontractors that will perform major or critical aspects of the requirement when such information is recent and relevant to this acquisition. The responsibility to timely send out and track the completion of the Past Performance Questionnaire rests solely with the offeror. The offeror shall exert its best efforts to ensure the points of contact submit completed Past Performance Questionnaires directly to the Contracting Officer and Contract Specialist as specified on the Past Performance Questionnaire by the closing date of the solicitation.

BASIS FOR AWARD / EVALUATION OF OFFERS

a) BASIS FOR AWARD

(1) This acquisition is being conducted using Simplified Acquisition Procedures under the authority of FAR

13.5 – Simplified Procedures for Certain Commercial Items. The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation provides the Best Value to the Government, price and other factors considered. Pursuant to FAR 13.106-2(b)(4)(ii) offers having the highest past performance rating will represent the best value to the Government when compared to any lower priced offer. The following factors will be used to evaluate offers:

PRICE

PAST PERFORMANCE

(2) By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale as detailed above in instructions to offerors, Volume I – General/Price.

(3) A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer, whether or not there are negotiations after its receipt, unless the offeror submits a written notice of withdrawal before award.

(4) Offerors are cautioned to follow the detailed instructions fully and carefully, as the Government reserves the right to make an award based on initial offers received, without discussion of such offers.

b) Evaluation.

(1) Volume I – Price Proposal/Contract Documents

1. Price: Price will be evaluated for reasonableness in accordance with FAR 13.106-3. Price will not be assigned an adjectival rating. As there is a high probability of competition, reasonableness shall be established through competition in accordance with FAR 13.106-3(a)(1). In the event that only one offeror is received reasonableness will be established in accordance with FAR 13.106-3(a)(2).

2. OPTIONS: The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. For Option CLINs 5001-5003, the Government will evaluate its option to extend services (FAR Clause 52.217-8) for six months of the offeror's final option period rate of CLIN 4001-4003, respectively. The Government may require continued performance of any services within the limits and at the rates specified in the contract. The Government may exercise up to six months at the end of any performance period using only the established rate for that period of performance (base or option periods).

Evaluation of option(s) does not obligate the Government to exercise the option(s)

3. The Government reserves the right to obtain additional information concerning the price as necessary to obtain a better understanding of the offered price. No proposal revisions will be allowed under these conditions.

Request for such information is for clarification purposes only. This does not constitute and shall not be construed as discussions. If a minor clerical error has occurred, in which case the offeror may be given an opportunity to correct the minor error within the constraints of the "clarifications" process or the Contracting Officer in his/her sole discretion later determines discussions to be necessary or appropriate.

4. Failure to submit a price for all CLINs in the price schedule will render the offer ineligible for award.

(2) Volume II – Past Performance

1. The Government will evaluate past performance information to determine the offerors ability to successfully complete the services required based on demonstrated past and present experience that meet the requirements of Recent, Relevant, and Quality.

2. Past performance will be evaluated in accordance with FAR 13.106-2. The contracting officer will seek recent and relevant performance information on all offerors based on (1) the references provided by the offeror (2) data independently obtained from other sources available to the Government, and (3) information obtained from the submitted past performance questionnaires. For the purpose of this solicitation, recent performance includes present/past performance of efforts within the last three (3) years from the period of the solicitation release date.

3. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror will be determined to have unknown past performance, and will receive a neutral confidence assessment rating.

4. Offerors may be asked to clarify certain aspects of their offer (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.

5. The Government reserves the right to obtain past performance information from other sources available to the Government to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

6. The Government may evaluate information on problems identified and encountered on previous contracts and corrective actions taken by the offeror. The Government may use information previously obtained from past performance questionnaires or data independently obtained from other Government and commercial sources in the evaluation process.

7. The Government will evaluate the offerors ability to successfully complete projects based on demonstrated past and present experience that meet the requirements of Recent and Relevant.

Past Performance Evaluation Process and Ratings.

8. Recency/Relevancy. The Government will initially evaluate the offeror’s past performance information to determine if the efforts are recent and relevant or not relevant to the services required according to the following:

(a) RECENCY for the purpose of this solicitation is defined as contracts performed within three (3) years of the issue month of the solicitation. Past performance information that fails this condition will not be evaluated.

(b) RELEVANCY for the purpose of this solicitation is defined as contracts within scope containing (1) direct performance of providing and maintaining portable chemical latrines/toilets; (2) Experience providing and maintaining chemical latrines/toilets for an aircraft fleet; and (3) Experience on contracts with a minimum value of $75,000.00. An offeror is not required to demonstrate all three elements above in each individual reference to be determined relevant. Relevancy can be demonstrated providing all three elements exist among the offeror’s references.

(c) The following RELEVANCY ratings, apply:

Table 1. Past Performance Relevancy Rating Method

PAST PERFORMANCE RELEVANCY RATINGS

Adjectival Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

9. Performance Quality Assessment. Next, the Government will consider the performance quality of the recent and relevant efforts (how well the contractor performed) to determine the likelihood that the offeror will successfully perform the work required in the solicitation/PWS. The quality assessment consists of an in-depth evaluation of the past performance questionnaire responses, the references provided by the offeror and data independently obtained from other Government and commercial sources. The Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation. For each recent and relevant past performance citation reviewed, the Government will assess the performance quality of the work performed according to the below table two. A satisfactory confidence past performance rating is worth more than a neutral confidence, a limited confidence, and a no confidence rating rating.

Table 2. Past Performance Confidence Assessments Rating Method

Adjectival Rating Description Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

c) Evaluation Process.

1. Initially all offers will be screened to ensure the offer conforms to the solicitation requirements to determine responsiveness. Next, all offeror’s prices will be ranked in order of total evaluated price (to include option pricing) from lowest to highest price. The responsive, lowest price offer will be evaluated to determine price fair and reasonable. The responsive, lowest price reasonable offer will then be evaluated for past performance. If the responsive, lowest priced reasonable offer is determined to have recent past performance the offeror’s past performance will be evaluated for relevancy. If the responsive, lowest priced reasonable offer is determined to have recent and relevant past performance the past performance will be evaluated for quality.

If that offer is determined to have a satisfactory confidence past performance rating, then that offer will be assessed for responsibility.

2. Contractor Responsibility. Once the apparent successful offeror is selected the Government will evaluate the offeror’s financial capabilities and the specified criteria at FAR 9.104. In the case of a Teaming Agreement, the financial capabilities of both teaming partners will be evaluated, with the Prime Contractor’s financial capability carrying significantly more weight than the subcontractor’s. Attachment G, Financial Reference Worksheet will be forwarded to the financial institution and a determination will be made regarding the apparent successful offerors financial capabilities and overall contractor responsibility using the specified criteria at FAR 9.104.

3. If the responsive, lowest priced reasonable offer with a satisfactory recent and relevant past performance rating is determined responsible; that offer represents the best value for the Government and the evaluation process stops at that point. Award will be made to that offeror without further consideration of any other offers.

If the responsive, lowest priced reasonable offeror is determined to have a neutral, a limited, or a no confidence recent and relevant past performance rating or determined non-responsible; the next responsive, lowest priced offer will be evaluated. This process will continue in order by price until an offer is determined reasonable with acceptable past performance; and responsible.
