Amendment 0001

Block 14 continued from the Standard Form 30.

The purpose of this amendment to Solicitation F05604-03-R-0011 is to clarify status of previous postings on FedBizOpps and to incorporate changes to the RFP and Section J as outlined below and include attached changed pages with a bar indicating the change in the right hand margin.

The final Request for Proposals (RFP) for F.E. Warren Electric Utilities Privatization was posted on 30 July 2003. The previously posted FedBizOpps amendments labels 01 and 02 are hereby replaced with this amendment 0001 dated 13 August 03. This is the first Amendment that must be acknowledged in accordance with the instructions in Block 11 of the Standard Form (SF) 30.

By changing the “Introduction” of the RFP shown on page 2, entitled, Notice of Source Selection, the second paragraph by deleting it in its entirety and replacing it with the following:

“The Request for Proposal (RFP) is for sale of the utility system and the acquisition of utility distribution system services. Included in this package are: (1) the terms and conditions upon which a service contract may be awarded for operations and maintenance; (2) the Right-of-Way, that when executed by the Government at the time of contract award, grants access to the utility system; and (3) the Bill of Sale that will transfer ownership of the utility system to the new owner, the successful contractor. Offerors are advised that Right of Way and Bill of Sale contain additional information vital to the development of a proposal and will affect subsequent performance of any contract awarded.”

By changing Paragraph C.3.2 shown on page 11, entitled, Performance Standards, by deleting the paragraph in its entirety and replacing it with the following:

"Subject to applicable legal requirements, unless otherwise provided for in this contract, the Contractor shall perform the required service in accordance with the Contractor's proposed Quality Management Plan (QMP) submitted in response to the solicitation and any subsequent revision thereto. The Contractor shall perform its contract services in accordance with state utility regulatory commission and industry standards and regulations, as applicable."

4. By changing Paragraph C.11.2.1 shown on page 21, entitled, Renewals and Replacements, in part, by removing the words “and the local municipal utility” from the first sentence so that the first sentence now reads as follows:

“Renewals and replacements are the continuing maintenance, repairs and upgrades that will permit the long term safe and reliable operation of the utility system- once it has been brought up to standards by the initial capital upgrades- allowing the system to comply with all requirements and standards imposed by federal, state and local law, as well as standards typically applied by the contractor to its other utility systems.

5. By changing Paragraph J1.2.1.2 shown on page J1-3, entitled, Inventory, in part, by replacing the subtitle “Substations” with “Substation” in the first column and by deleting the Grounding Grid, row 5, in its entirety from the Substation Inventory.

6. By changing Paragraph J1.3 shown on page J1-9, entitled, Specific Service Requirements, in part, by deleting the fourth bullet in its entirety and replacing it with the following: “All electric meters installed by the contractor shall be kWh meters unless demand registers are set forth in Tables 5 and 6 in Paragraphs J1.5.1 and J1.5.2”

C.3 Requirement

C.3.1 Utility Service Requirement

Subject to the terms and conditions hereinafter set forth, the Contractor shall furnish all facilities, labor, materials, tools, and equipment necessary to provide the services required by this contract. This contract includes a Separately Priced Option Item the Government may exercise, at its sole discretion, for the Contractor to operate and maintain the utility distribution system during the Transition Period Two.

If a regulated utility is chosen to own and operate the utility system, it shall furnish all facilities, labor, materials, tools, and equipment necessary to provide the services required to operate and maintain the Government utility system consistent with the operation and maintenance of the Wyoming’s state utility regulatory commission standards and regulations which should be reflected in the contractor’s regulated utility system, unless specifically exempted and identified in Section J documents.

The Contractor shall manage, control and perform its operations, maintenance, repairs, replacements, and incidentals of its utility system(s) to provide firm, reliable, and dependable utility service to each Government or tenant connection within the service area 24 hours each and every day. The Contractor shall be responsible for funding all capital investments required to acquire, maintain, and operate its utility system(s) in a safe and reliable condition and to meet all the requirements listed herein.

The Contractor shall obtain and maintain current any and all licenses, permits, or certifications necessary to own, maintain, upgrade, and operate its utility system(s). Access to its utility system will be as specified in paragraph C.6, Access to the Utility System.

C.3.2 Performance Standards

Subject to applicable legal requirements, unless otherwise provided for in this contract, the Contractor shall perform the required service in accordance with the Contractor's proposed Quality Management Plan (QMP) submitted in response to the solicitation and any subsequent revision thereto. The Contractor shall perform its contract services in accordance with state utility regulatory commission and industry standards and regulations, as applicable. C.11.2.1 Renewals and Replacements

Renewals and replacements are the continuing maintenance, repairs, and upgrades that will permit the long-term safe and reliable operation of the utility system—once it has been brought up to standards by the initial capital upgrades—allowing the system to comply with all requirements and standards imposed by federal, state, and local law, as well as the standards typically applied by the Contractor to its other utility systems. Renewals and replacements identified in the Capital Upgrades and Renewals and Replacements Plan will be paid under Sub-CLIN AB. Renewals and replacements shall be addressed in the Capital Upgrades and Renewals and Replacement Plan at a level of detail necessary to verify appropriate usage of payments made by the Government.

C.11.2.2. Initial Capital Upgrades

Initial capital upgrades consist of those repair, replacement, and improvement activities of the Contractor required to ensure the utility system, upon expiration of the initial capital upgrade period, will comply with all requirements and standards imposed by law as well as the standards typically applied by the Contractor to its other utility systems so that subsequent renewals and replacements will permit the long-term safe and reliable operation of the utility system. All initial capital upgrades shall be performed within the first five (5) years of this contract. All initial capital upgrades shall be listed in the first submittal of the Capital Upgrades and Renewals and Replacements Plan and will be described, for all five years, in the same detail required for the first year’s upgrade list in Paragraph C.11.2. Under no circumstances will the Government pay for capital upgrades that are not demonstrated to provide a useful and necessary benefit to the Government or derived from a change in legally applicable regulatory requirements or standards.

C.11.2.3 Future Capital Upgrades

The Contractor, through the Capital Upgrades and Renewals and Replacements Plan process, can propose capital upgrades to expand the system or to comply with requirements and standards imposed by law that have changed subsequent to the initial capital upgrade period. Capital upgrades may also include the implementation of new technologies not applied generally throughout the Contractor’s other utility systems. The Government reserves the right to determine at its discretion whether it will pay for any portion of proposed future capital upgrades, other than those required to comply with utility operating standards or requirements and standards imposed by law that have changed during the contract term.

C.11.2.4 Requirements and Standards

The Capital Upgrades and Renewals and Replacements Plan shall include an assessment of any new or revised standards that will require system upgrades or modification or affect system operation. The Capital Upgrades and Renewals and Replacements Plan shall clearly address planned system improvements or operational changes needed to comply with any revised standards.

C.11.2.5 Connections and Disconnections

The Capital Upgrades and Renewals and Replacements Plan shall include a list of anticipated new service connections, including a preliminary design and estimated construction costs. The Government will provide a list of new service requirements and anticipated disconnections.

a 115 kV ring bus with SF6 circuit breakers. The 115 kV ring bus feeds two 115 - 13.8 kV transformers that power F.E Warren AFB. The 115 – 13.8 kV transformers feed 13.8 kV metalclad switchgear. The metalclad switchgear includes two main circuit breakers, a tie circuit breaker, and two feeder circuit breakers to the base distribution system.

The electrical distribution system consists of three-phase, three-wire line rated at 15 kV. The distribution system includes both overhead and underground distribution circuits. The system also includes three-phase transformers ranging from 45 to 1,500 kilovolt amperes (kVA), single-phase transformers ranging from 10 to 100 kVA, utility poles, switches (2-, 3-, and 4-way), utility vaults, and streetlight fixtures. Approximately 10 percent of the electrical distribution system is located in the Military Family Housing areas.

In the event of a problem with one of the substation transformers, the entire Base distribution system can be fed by the remaining transformer. WAPA would accomplish this by closing the manual tie breaker between the two sections of 13.8 kV bus in the substation switchgear.

The two feeders from the substation supply Switch Station 1400, which has main-tie-main switches and five fused switches. The five switches supply distribution circuits of which two are express feeders to Switch Station 295. Switch Station 295 has main-tie-main switches and five fused switches. Four switches supply distribution circuits, one switch is a spare. The positioning of switches throughout the distribution system in most cases provides backup from one circuit to another. Mission-critical facilities, such as the Weapons Storage Area (WSA), have diesel generators for backup power to critical loads in addition to feeds from other circuits.

The service requirements for the F.E. Warren AFB electric distribution system are as defined in the Section C, Description/Specifications/Work Statement. The following requirements are specific to the F.E. Warren AFB electric distribution system and are in addition to those found in Section C. If there is a conflict between requirements described below and Section C, the requirements listed below take precedence over those found in Section C.

Contractor shall coordinate with WAPA for access, operation, maintenance, and repair of equipment within the 115 - 13.8 kV substation fence. For example, isolation of the 115 – 13.8 kV transformers for repair or maintenance will require WAPA to operate 115 kV ring bus circuit breakers . See Point of Demarcation established in Exhibit B of the Right of Way.

Contractor shall enter into an agreement with WAPA that defines operational and maintenance responsibilities for protective equipment associated with the two 115-13.8kV transformers, including but not limited to determination of appropriate relay settings.

For all privatized lighting fixtures, operations and maintenance of lighting fixtures includes the purchase and replacement of lighting elements and the removal and disposal of replaced lighting elements.

All electric meters installed by the Contractor shall be kWh meters unless demand registers are set forth in Tables 5 or 6 Paragraphs J1.5.1 and J1.5.2

The Contractor shall provide monthly meter reading reports IAW paragraph J1.6. The Contractor shall keep a meter book(s) and record monthly consumption and demand (if applicable) for each meter being read. The Contractor shall coordinate with the Government to determine the format of the meter books to be submitted.

When new meters are installed, to include meters installed for temporary service connections, the Contractor shall include with the meter reading report a separate report identifying the new meters installed during the prior month. The Contractor shall coordinate with the Government to determine the format of the report to be submitted.
