About this file

This is a Services Agreement between the City of Waxahachie, Texas and a selected contractor for the disposal of wastewater treatment plant sewage sludge or biosolids. The City issued Request for Proposal #13-05 (a 2013 re-bid) seeking qualified companies to provide contractual disposal services for waste materials from the City's Wastewater Treatment Plant. The City intends to award contracts to both a Primary Contractor and a Secondary Contractor, with the Primary Contractor serving as the first-choice facility for disposal services and the Secondary Contractor receiving material only if the Primary Contractor is unable to accept it. The agreement commences on the date of City approval and remains in effect for one year, with provisions for up to three additional one-year renewal terms subject to mutual consent. Either party may terminate the agreement with thirty days' prior written notice.

All materials become the property of the successful contractor and must be disposed of legally in conformance with TCEQ 30 TAC Chapter 312 & 330 and U.S. EPA 40 CFR Part 503 Sewage Sludge Use and Disposal regulations. Pricing is established at the rates set forth in each contractor's submitted bid quote. Payment for services is made upon approved claims submitted by the contractor in accordance with applicable law. The City reserves the right to make split awards, decline all awards, or pursue any combination of awards deemed in its best interest. The continued purchase of services is contingent upon City appropriation of sufficient funds in the applicable fiscal year; failure to appropriate funds renders the agreement void without further City action. The agreement constitutes the entire contract between the parties, and no modifications are permitted except through written instruments executed by both parties.
