About this file
This is a Non-Disclosure Agreement (NDA) between the Massachusetts Bay Transportation Authority (MBTA) and prospective contractors for RFP 114-26 Remote Terminal Unit (RTU) Upgrade. The agreement establishes the terms under which both parties may disclose proprietary and confidential information necessary for participation in the RTU Upgrade project. Confidential information is broadly defined to include technical data, trade secrets, protocols, internal deliberations, personnel information, software, designs, engineering plans, building schematics, security procedures, and any work product developed in connection with the project. The MBTA retains the right to retain a single copy of all confidential information for archival and records retention purposes following project completion.
The contractor's confidentiality obligations expire five years from the date of disclosure, with the exception that confidential employee personal information may never be disclosed. The contractor must comply with Massachusetts General Laws chapters 66A and 93H regarding personal data protection and shall restrict access to and maintain physical security of MBTA data in its possession. The contractor acquires no intellectual property rights under the agreement and may use confidential information only for the stated purpose of participation in the RTU Upgrade project. The agreement permits disclosure of confidential information only in response to valid court orders or legal requirements, provided the MBTA receives written notice to seek protective orders, except that MBTA disclosure pursuant to M.G.L. c. 66 does not require advance notice. The agreement is governed by Massachusetts law and constitutes the complete understanding between the parties regarding confidential information protection.
