About this file

This is a Compensation Exhibit (Exhibit C) for a contract with the City of Palo Alto, California, for compressed natural gas (CNG) compressor repair and maintenance services at the Municipal Services Center. The contract encompasses comprehensive preventative maintenance, regulatory compliance support, and emergency repair services for two CNG fueling stations—one public-facing and one fleet-focused—over a three-year term. The contractor must conduct an initial assessment, develop a manufacturer-recommended preventative maintenance plan, and ensure all components comply with federal, state, and local regulatory requirements. Services include quarterly preventative maintenance (three times annually) and annual preventative maintenance service in each year of the contract, with specific pricing to be determined for each service level across the three-year period.

Compensation is structured on hourly rates as detailed in Exhibit C-1, with the total contract value not to exceed a specified amount that encompasses all labor, parts, equipment, transportation, miscellaneous overhead, and taxes. Quarterly and annual preventative maintenance service fees are itemized separately for each of the three contract years, with Year One, Year Two, and Year Three pricing to be established during the procurement process. All payment requests must be accompanied by appropriate documentation and invoices. Additional services beyond the scope of Exhibit A may be authorized by the Project Manager, John Dimas Flores, and must be requested in advance with a detailed written proposal based on the established hourly rates in Exhibit C-1.
