EXHIBIT “B”

SCOPE OF SERVICES

1.0 Negotiated Scope of Services

This Scope of Services is intended to provide a general summary of the minimum tasks and deliverables expected of the Design-Builder to successfully implement the project. SCWSFA intends to identify the most responsive Proposer and negotiate a more refined and detailed scope of work with that Proposer, to be included in the PDB Agreement executed between SCWSFA and the Proposer (Design-Builder).

The Design-Builder will be expected to prepare and maintain/update a Design and Construction Management Plan for the project that considers SCWSFA’s schedule, budget, and design criteria, including alternatives for sequencing and executing the project and mitigating risks. The ideal PDB proposal responses will suggest scope clarifications reflective of proposers’ project-specific approaches to facilitate refinement of Phase 1 services in negotiation of the PDB contract.

· PDB Phase 1 Contract Deliverable Highlight: Design and Construction Management Plan

Thus, this Scope of Services is provided as a Draft Exhibit to the Draft Agreement and will be replaced with a negotiated, final Agreement Scope of Services Exhibit “B”.

2.0 Project Overview

The project entails design, permitting, and implementation of new public sewerage facilities in unincorporated Spalding County, Georgia on behalf of the Owner, Spalding County Water & Sewerage Facilities Authority (SCWSFA).

SCWSFA does not currently own or maintain any public sewerage facilities. In response to development demands, SCWSFA recently commissioned a Sewer Feasibility Study (final publication dated 08/08/2023, as provided under RFP Attachment 4). The Study identified four priority corridors for proposed sewer infrastructure. Of the four corridors, the overlay district surrounding Arthur K. Bolton Highway (“AKB”, or Highway 16) east of the City of Griffin was selected for the initial phasing of sewerage plans. Sections 7.0 and 8.0 of the Study developed a “base scenario” for phasing various “legs” of sewer extensions in the AKB area.

Subsequently, Spalding County government allocated approximately three million dollars ($3M) of its ARPA/SLFRF grant funding towards the new sewerage facilities. Under the terms of this Federal grant, the full amount of the funds must be “obligated” towards eligible project expenditures on or before December 31, 2024 and “expended” by the end of 2026.

SCWSFA seeks maximum benefit of these funds towards implementation of new public sewerage infrastructure through this PDB contract. SCWSFA has refined its first, second, and third priorities for extension of the AKB sewer, originally defined in the 2023 Sewer Feasibility Study, in RFP Attachment 6 entitled “PDB Scope Scenarios”. The Design-Builder will be responsible for progressing the design and implementation of the sewer system in a collaborative approach with SCWSFA as outlined in the RFP and this Scope of Services.

3.0 PDB Scope Scenarios and Project Validation

Design-Builder is responsible for validation of the project design basis in Phase 1 Pre-construction services. In SCWSFA’s 2023 Sewer Feasibility Study, the conceptual development of project elements illustrated in Attachment 6 “PDB Scope Scenarios” included the following:

Phase #1 (“Base”) Implementation Estimated 100,000 gpd WRF* +/- 15,600 LF gravity sewer, estimated 8-inch diameter

Phase #2 Sewer Extension +/- 7,000 LF gravity sewer, estimated 8-inch diameter

Phase #3 Sewer Extension Estimated 90 gpm duplex pump station +/- 17,300 LF gravity sewer, estimated 8-inch diameter +/- 7,400 LF force main, estimated 6-inch diameter

*EPD provided # WLA000257 for conceptual WRF in August 2023, as provided under RFP Attachment 5. SCWSFA submitted updated WLA request to EPD in February 2024, capturing a wider discharge extent and flow scenarios, also as provided under Attachment 5.

This PDB Phase 1 Services contract is limited to the extents of the Phase #1 (“Base”) scope above unless specifically noted otherwise. Portions of this Scope require Phase 1 Services covering the “full extent” of the illustrated PDB Scope Scenarios (“legs” or implementation Phases #1, #2, and #3).

Concept development to date has been based on conventional activated sludge treatment infrastructure of modular construction meeting the effluent criteria for stream discharge. Concepts have centered on submersible-style pump stations where necessary, maximizing gravity flow where possible. SCWSFA desires infrastructure solutions that are low maintenance, easy to operate, simple, durable, and reliable.

The technologies, materials, capacities, lengths, and sizes of all project components, as with all other design criteria, shall be confirmed by the Design-Builder in Phase 1 of the PDB contract and may vary substantially from the concept outlined above.

The Design-Builder shall not rely on the assumptions, projections, or sizes provided in this concept; independent and complete verification is required. Design-Builder must develop and validate the project basis and selections through technical memoranda submitted over the course of or at the conclusion of the Project Validation Phase.

· PDB Phase 1 Contract Deliverable Highlight: One or Multiple Concise Project Validation Technical Memoranda

4.0 Available Project Funds

In addition to the ~$3M SLFRF grant, SCWSFA may seek project financing through GEFA’s CWSRF program or other sources. SCWSFA’s commitment of total project funding will be based on the PDB team’s Phase 1 validation efforts coupled with developer commitments in the AKB focus area.

If CWSRF funds are secured, they will be available for SCWSFA’s use beginning in January 2026. The Design-Builder shall provide SCWSFA with a completed GEFA "Pre-Application" submittal based on the validated Scope as part of Phase 1 deliverables no later than October 1, 2024, in support of SCWSFA’s potential pursuit of GEFA funds.

· PDB Phase 1 Contract Deliverable Highlight: GEFA "Pre-Application"

5.0 Hypothetical Schedule and Design-Builder’s Schedule

In Attachment 3 of this RFP, SCWSFA has provided a concept for sequencing of PDB Phase 1 Pre-Construction activities, targeting effective obligation of the SLFRF funds by the end of 2024 through PDB Phase 2 contract amendment (in full or in part) and/or “off-ramping” with sufficient design development to enable SCWSFA to solicit and self-procure separate construction, materials, or equipment contracts.

This schedule is “hypothetical” in nature and provided only for the PDB Proposer’s contemplation and adaptation/updating in the proposal submittal.

The “hypothetical” schedule is not intended to capture all critical or required Phase 1 activities, nor is it offered with any warrant of viability or accuracy.

The Design-Builder shall prepare and maintain a project schedule detailing design, permitting, construction, and commissioning phase milestone activities. The Design-Builder’s Schedule should include all pre-construction, procurement, construction, and post-construction activities and be refined as the project progresses. The critical path should be defined on the Design-Builder’s Schedule and include estimated start and end dates for each activity. Include time requirements for sequences and durations; milestones dates for receipt and approval of design documents; application for and receipt of regulatory approvals and permits; preparation and processing of shop drawings and samples; procurement and delivery schedule of materials and equipment, highlighting long-lead time procurements; and installation, construction, and start-up completion.

Detailed Design-Builder’s Schedule and updates shall be developed and submitted to SCWSFA in Microsoft Project (.mpp) native format, with PDF duplicate accompanying each transmittal, on a monthly basis.

· PDB Phase 1 Contract Deliverable Highlight: Design-Builder’s Schedule and Routine Updates (.mpp and .pdf formats)

6.0 Phase 1 (Pre-Construction) and Phase 2 Services Delineation The Design-Builder’s Scope of Services is expected to be performed in two or more phases under a single contract with contract amendments, as needed, authorizing successive project phases following Phase 1 in the initial award. Under Phase 1 Pre-Construction Services, the Design-Builder will provide professional design and comprehensive, supporting preconstruction services of sufficient detail to develop a Guaranteed Maximum Price (GMP) for Phase 2 (full implementation of the project) or multiple GMPs allowing authorization of portions of Phase 2 sequentially.

Phase 1 Services include project validation, investigation/assessment, scheduling, establishing a Procurement Plan, securing permits (including related basis-of-design development, such as in the EPD DDR), producing 30% and 60% designs, cost estimating, performing constructability reviews, and ultimately providing open-book GMP(s) as a firm cost-of-work component of the Phase 2 Proposal extending through final design, construction, commissioning, and warranty.

The Design-Builder’s Procurement Plan must satisfy the requirements of applicable procurement policies and funding agency guidelines to obtain bids and firm quotations from equipment vendors, suppliers, and subcontractors for furnishing/installing the work. The Procurement Plan must identify long-lead elements that may affect the project schedule. The Plan should establish assessment tools and scoring criteria for selection, participation goals, recommended bid packages, and the process for integrating SCWSFA-selected and pre-negotiated equipment (if any) into the project. (Reference RFP Attachment 7 for SCWSFA’s Procurement Policy.)

During Phase 1, the Design-Builder will collaborate with SCWSFA in an open-book accounting process to define, confirm, and select the final construction scope while developing the Phase 2 Proposal with GMP(s) for SCWSFA’s consideration. The selected Design-Builder’s proposal will effectively communicate the team’s Project Approach and strategy for meeting SCWSFA’s schedule drivers and performance criteria. The ideal proposal response will thoroughly review potential project risks and demonstrate a clear plan for managing these, identifying contingencies for project unknowns or unforeseen circumstances. SCWSFA intends to collaborate with the selected Proposer to incorporate their approach details, such as interim milestones for partial GMP submittals, into a more complete and accurate contract scope.

Phase 2 Services, if awarded, will include the Design-Builder’s final (100%) design effort, final permitting activities, material and equipment procurement, and self-performed construction and construction management of principal and specialty trade subcontracts to construct, test, start-up, and commission the new sewerage facilities. Phase 2 Services, including final design, construction, and post-construction work, will be negotiated as amendment(s) to the PDB Agreement executed for Phase 1.

· PDB Phase 1 Contract Deliverable Highlight: Procurement Plan

· PDB Phase 1 Contract Deliverable Highlight: Phase 2 Proposal and GMP(s)

7.0 Phase 2 Off-Ramps

If SCWSFA and the Design-Builder are unable to agree on a GMP (partial or complete) for subsequent Phase 2 Services, SCWSFA may exercise a “failure to accept the proposal” option in accordance with the Contract Agreement. Options may include extending the services of the Engineer-of-Record (i.e. Designer), through the Design-Builder, to finalize the construction documents as suitable to support traditional public bidding and procurement of the work.

However, in consideration of the SLFRF funding obligation deadline, SCWSFA requires sufficient deliverables prior to Phase 1 Substantial Completion such that SCWSFA can exercise an “off-ramping” option to separately obligate remaining grant funds in a timely and compliant manner.

As illustrated in Attachment 3 “hypothetical schedule”, SCWSFA anticipates that the following minimum deliverables must be submitted by the Design-Builder adequately in advance of October 1, 2024 (latest Substantial Completion target) to allow SCWSFA review and Design-Builder addressing of comments captured in finalized deliverables by Substantial Completion:

1. WRF Technical Specification(s) with at least 60% supporting design development and drawings. WRF Technical Specification(s) must be based on EPD-approved process components and sizing. The Specification(s) must allow for competitive bidding from multiple vendors for major WRF equipment and materials, reflective of SCWSFA preferences or selected options solicited by the Design-Builder during Phase 1.

2. Sewer main (gravity/pressure) design development (at least 60%) including Technical Specification(s) and material quantity take-offs for all linear conveyance components. These Technical Specification(s) should be provided by the Design-Builder in “master” or “standard” format for SCWSFA’s future use as a general template, as well as in Project-Specific edited versions of those masters, reflective of SCWSFA’s selected preferences and customized to the criteria of this project.

3. Pump Station “Master” Technical Specification(s) with supporting standard design details and template (preliminary) drawings. The Specification(s) must allow for competitive bidding from multiple vendors for key facility equipment and materials, reflective of SCWSFA preferences or selected options solicited by the Design-Builder during Phase 1. As with the linear conveyance specifications, the Pump Station Technical Specification(s) and supporting template drawings and details should be provided by the Design-Builder in “master” or “standard” format for SCWSFA’s future use as a general template. Project-specific, edited versions of these masters are excluded from the base scope of Phase 1 but may be added by contract amendment pending results of project validation and development in Phase 1.

All deliverables must be provided to SCWSFA in native digital format (CAD, doc, etc.) as well as in formal secured (i.e. PDF) format. Professional seals must be included on the formal submittals but should be removed from native file transmissions. SCWSFA currently holds licensing for AutoCAD Civil 3D 2023; Design-Builder’s CAD deliverables should be compatible with this software.

SCWSFA’s objective in itemizing these minimum off-ramping deliverables is to ensure that SCWSFA has sufficient technical specifications to confidently procure essential materials and equipment in a competitive, SLFRF-compliant process before December 31, 2024. The Design-Builder is responsible for ensuring that Phase 1 design development and these deliverables are appropriately progressed to enable procurement of proper and suitable project materials and equipment. The onus is on the Design-Builder to progress design elements and content beyond 60% if necessary to achieve this schedule and deliverable objective, such as with enhanced multidiscipline detail that may not normally be characteristic of a 60% design milestone.

8.0 Master Standards and Specifications

As described in Exhibit “A” and in Section 7.0 above, SCWSFA desires a set of “master specifications” with supporting standard details and similar content to support the project-specific deliverables provided in Phase 1 and encompassing the broader elements of sewerage facilities expected to be considered in SCWSFA’s sewerage plans outlined in the Sewerage Feasibility Study (RFP Attachment 4).

10.0 Land Acquisition Support

SCWSFA has separately commissioned an outside consultant to facilitate land acquisition as needed for this project, in collaboration with SCWSFA’s legal counsel. The Land Acquisition Consultant is currently working to select and negotiate, in fee-simple transactions, sites appropriate for the proposed WRF and Pump Station described in the “PDB Scope Scenarios” section above. The Design-Builder’s survey scope, summarized hereafter, anticipates inclusion of a Boundary Survey for one or both sites.

Following successful acquisition of key fee-simple sites for vertical construction, the Land Acquisition Consultant will proceed with temporary and permanent easement acquisition for the linear infrastructure proposed in this project. The survey scope hereafter therefore anticipates that the Design-Builder will produce easement exhibits and supporting legal descriptions for the required temporary/permanent sewer line corridors, for use by SCWSFA’s Land Acquisition Consultant and legal counsel in securing the easements.

SCWSFA will rely on the Design-Builder’s expedient support of SCWSFA’s land acquisition efforts to inform design development and, ultimately, site accessibility needs under Phase 2.

11.0 Survey

Phase 1 Services shall include field survey of the “full extent” of the project concept illustrated in Attachment 6 “PDB Scope Scenarios”. Survey shall include utilities, topography, limits of wrested vegetation (streams), edges-of-pavement, wetlands, and all other features fundamental to support permitting and design.

Additionally, as described in Section 10.0 above, Design-Builder shall provide a boundary survey for the proposed WRF site and for a potential pump station site(s), pending site(s) confirmation, and shall produce easement exhibits (for both temporary and permanent easements) for SCWSFA’s use in the linear corridor acquisitions.

· PDB Phase 1 Contract Deliverable Highlight: Utility and Topographical Survey for “full extents” of project concept

· PDB Phase 1 Contract Deliverable Highlight: Boundary Survey(s) including legal descriptions

· PDB Phase 1 Contract Deliverable Highlight: Easement Exhibits including legal descriptions

SCWSFA will rely on the Design-Builder to coordinate the survey scope, solicit proposals, and to contract, oversee, and execute the work. A Contract Allowance is provided for the Phase 1 survey activities defined in this Section 11.0.

12.0 Environmental Assessments

Phase 1 Services shall include all environmental, historical, and other assessments integral to required project permitting along the “full extent” of the project concept illustrated in Attachment 6 “PDB Scope Scenarios” and outlined in Section 3.0 of this Exhibit.

Thus, PDB Phase 1 Services shall include delineation of wetlands, if present, along the “full extent” of the project concept illustrated in Attachment 6. Design-Builder shall capture any wetlands delineation (e.g. field flaggings) in the field survey defined under Section 11.0. However, the wetlands delineation effort and all other necessary permitting-related assessments shall be completed for the “full extent” of the scope scenarios and included in Proposer’s Phase 1 Price Proposal submitted in response to RFP 2024-022.

A Contract Allowance is provided for subsequent ACOE permitting (e.g. Section 404 Nationwide or Individual), subject to the findings of the environmental assessments.

· PDB Phase 1 Contract Deliverable Highlight: Environmental assessments, reports, and supporting exhibits or other content produced for the “full extent” of the project concept

13.0 Geotechnical Exploration and Report

Phase 1 services shall include geotechnical investigation to support design development and mitigate project risks. Proposers are encouraged to include, in proposals submitted in response to RFP 2024-022, details supporting the Proposer’s geotechnical qualifications, basis for proposed approach, extent/type of geotechnical exploration.

· PDB Phase 1 Contract Deliverable Highlight: Geotechnical Report

Geotechnical exploration and Report deliverable for the Phase #1 (“Base”) Implementation as provided in Section 3.0 of this Exhibit are integral to PDB Phase 1 Services contract. Proposers are therefore encouraged to clearly define and quantify proposed geotechnical services and value proposition to SCWSFA.

Geotechnical services may be extended beyond the “Base” corridor described therein and illustrated in Attachment 6 “PDB Scope Scenarios Phase 1” by contract amendment. Thus, the “full extent” of the project concept in Attachment 6 is excluded from initial Phase 1 Services; only the “Base” shall be initially included.

14.0 General Responsibilities of the Owner (or designee)

SCWSFA, directly and/or through its selected Program Manager and other consultants, will administer the services under the PDB contract and work closely with the selected Design-Builder to fulfill responsibilities in a timely manner. SCWSFA’s commitments include supporting the Design-Builder’s efforts by:

· Providing input on preferences and decisions requiring Owner-selection or confirmation.
