SECTION 1

INTRODUCTION

1.1 Overview

Texas A&M AgriLife Research (the Agency) is soliciting proposals for the selection of a commercial entity or entities to enter into a property (facility) lease and/or operating agreement of the Electron Beam Radiation Processing Facility (EBRPF), assume current production, and expand the commercial irradiation services.

The EBRPF is located at 400 Discovery Drive in College Station, Texas. The EBRPF is housed in the Electron Beam and Space Food Research Facility. This proposed lease is only related to the EBRPF and associated office space and shared conference room.

The Agency is interested in expanding the commercial eBeam irradiation services for the food, pet-food, spice, medical device, pharmaceutical, cosmetic, environmental, and other pertinent industries where electron beam irradiation is of value. The primary function of the facility will be to provide commercial irradiation services. Importantly, the facility should also continue to serve as an electron beam irradiation facility for carrying out research projects by academic and industry scientists in collaboration with Agency scientists. The facility is, therefore, intended to serve as a commercial irradiation service center as well as a laboratory to conduct research, education, and research for Agency faculty and students in areas of sterilization, pasteurization and disinfection. The Agency, College of Agriculture and Life Sciences, and other entities of the A&M System or other colleges, schools, departments, or units at Texas A&M University may utilize the facility for research relating to the expansion of electron beam technologies.

The Electron Beam Research Facility at Texas A&M University is a dual modality facility. There are 2 vertically mounted opposing electron beam linear accelerators. One (tower accelerator) is set at 10 MeV (Million Electron Volt), 15 Kilowatt, while the other (pit accelerator) is set at ~ 8.5 MeV, 2 kW.

Additionally, there is a single horizontally mounted 5 MeV, 15 Kilowatt X-Ray Linear Accelerator. A new 10 MeV, 15 kW pit linac supplied by Mevex-Steris was installed in the middle of October, 2023.

Additionally, Mevex-Steris will also install a low energy self-shielded 1 to 1.9 MeV eBeam and X-ray system ("Beams in a Box") by summer 2024. The facility also has a Scan EBLAB 200 (80-200 keV) self-shielded low energy eBeam research platform. The self-shielded "Beams in a Box" and the EBLAB200 are not for commercial usage and only for research purposes.

The intent of this RFP is to allow all interested / prospective entities to provide a sufficient amount of data that will enable the Agency to determine which entity is in fact best able to meet the criteria which are to be considered in the award of the facility lease and/or operating agreement. To this end, each Respondent shall furnish, as a part of the proposal, a complete general description of experience in their respective fields.

RESPONDENTS ARE ADVISED TO READ THE INFORMATION CONTAINED IN THIS RFP

CAREFULLY AND TO SUBMIT A COMPLETE RESPONSE TO ALL REQUIREMENTS AND

QUESTIONS AS DIRECTED.

1.4 Priorities & Expectations

Respondents should note the following priorities/expectations regarding the possibility of the Agency establishing a contractual relationship with any Respondent:

(a) Ensuring the sustainability of commercial eBeam services at EBRPF. The ability to sustain and expand eBeam and X-ray technologies within the Agency is a key priority. The Respondent shall provide a plan on how the commercial services at the EBRPF is sustained and expanded. Outline services to include facilities management, personnel, plans, goals, objectives, operational use plans, hours of proposed operation, etc.

(b) Acceptance of equipment as-is. The Respondent agrees to accept the equipment associated with the eBeam and X-ray irradiation services as-is. All equipment included in the lease will remain the property of the Agency at the end of any lease period or upon termination of the lease. An inventory list of all Agency owned equipment will be provided upon request. Requests shall be sent to Chris Chamberlain at cchamberlain@tamu.edu. Respondents requesting this information will be required to complete a Non-Disclosure Agreement.

(c) Expansion and maintenance of the eBeam equipment and capabilities at EBRPF. The equipment at the EBRPF was commissioned in 2002. A commercial linear accelerator repair and maintenance company provides preventive maintenance while a leading linear accelerator supplier provides strategic guidance vis-a-vis equipment and replacement strategies. The equipment at the facility is currently being used to provide commercial eBeam services. A key priority for the Agency is for the Respondent to propose an equipment maintenance, replacement, and expansion plan as part of the proposal.

(d) Radiation producing device permit and other necessary permits. The State of Texas has delegated the Texas A&M University’s Environmental Health and Safety Department (EHSD) to oversee the radiation producing device activities and occupational safety of the employees at the EBRPF. The awarded Respondent will have to confer with EHSD and determine whether they can work with the pre-existing RPD (radiation producing device) permit or would have to obtain their own directly from the Texas Department of State Health Services.

(e) Human resources. There are currently two full-time employees (Business Titles: Facility Manager and Technical Laboratory Coordinator) and several part-time employees at the EBRPF. The Respondent shall provide a plan to consider continued employment of these individuals per Section

2.9 - Personnel.

(f) Level of experience and expertise. Respondent must demonstrate its capabilities and qualifications in providing the utmost level of experience and expertise to ensure a successful project as determined by the Agency.

(g) Honoring current commercial accounts. Respondent shall honor current commercial contracts for the period of performance stated in each agreement. Requests for contract information by interested parties shall be sent to Chris Chamberlain at cchamberlain@tamu.edu. Respondents requesting this information will be required to complete a Non-Disclosure Agreement.

(h) Supporting the activities of the NCEBR. Multiple researchers from the Agency and external entities are currently utilizing the eBeam irradiation services at the EBRPF as part of their research projects.

Access to the eBeam irradiation services are critical part of these research activities. These research activities encompass both external sponsor funded and un-funded research projects. The un-funded projects are undertaken to gather preliminary data to support the submission of grant proposals to both industry and government. Currently, the Agency requires a minimum of 16 hours per week for research activities, however, this number is expected to increase. The Agency is willing to negotiate the number of hours required prior to issuing a contract. These research projects could ultimately support the commercial irradiation services of the Respondent. In addition to the research activities, Texas A&M AgriLife Research RFP #556-24-1 Lease and/or Operating Agreement – Electron Beam Processing Facility Page 7 of 41 the NCEBR also conducts yearly hands-on training workshops in electron beam irradiation technology. Additionally, graduate and undergraduate courses centered on electron beam technology will occasionally need access to the eBeam irradiation services. Since these activities can ultimately be of high value to successful commercial services, the Respondent shall provide a plan on how the diverse research, education and training activities of the NCEBR will be supported and potentially expanded. The National Nuclear Security Administration (NNSA) has recently designated the NCEBR as a National Center for Low Energy Electron Beam Research. As part of this contract, NNSA has committed funds to acquire research scale ("Beams in a Box") and EBLab200 for research and development purposes. The EBLab200 is already installed and other equipment will be purchased within the next 12-18 months and will be placed within the processing area. The “Beams in a Box” and the EBLab200 equipment and its operation are not planned to be part of this facility lease, however, a convincing argument why these two key pieces of equipment should be included in the lease agreement will be considered.

(i) Dosimetry Laboratory. The dosimetry laboratory is equipped with state of the art dosimetry systems (alanine, B3 film, Gafchromic film, Risoscan dosimetry and temperature calorimetry). The dosimetry laboratory will be part of the lease agreement. The Respondent should facilitate the measurement of dosimeters from the research studies.

(j) Ensuring a quality level of service. The Agency is seeking a Respondent that will ensure the provision of quality in its delivery of service through proven techniques and established metrics. The leasing of the facility could involve leasing only the commercially utilizable equipment and providing research hours or the lease agreement could involve leasing the entire facility and offering commercial services and research services to support the NCEBR activities. The Respondent should provide possible suggestions on how it will lease the facility and make the facility available for TAMUS and other academic researchers. We anticipate the Respondent to offer multiple options on achieving this.

(k) Financial stability. Respondent must demonstrate its financial stability and capabilities in providing the required services. At a minimum, the Respondent shall provide the two most current financial statements, attached in a separate envelope. Provide a list of all litigation that your company has been involved in within the last three (3) years. If the firm has been in existence less than three (3) years, identify litigation involving owners and management.

3.7 Evaluation Criteria for Award

3.7.1 Evaluation Information

The evaluation of the proposals shall be based on what is deemed to represent the best value to the Agency. The RFP provides the information necessary to prepare and submit proposals for consideration by the Agency. All properly submitted proposals will be reviewed, evaluated, and ranked by the Agency. The Agency will rank the Respondents in the order that they provide the overall “best value” to the Agency based on an evaluation of the responses to the RFP. The Agency may interview one or more of the top ranked Respondents as part of the evaluation process.

The Respondent selected will be the one whose experience and qualifications, as presented in response to this RFP, establish them, in the opinion of the Agency, as well qualified and offering the greatest benefits, experience and value to the Agency. The Agency may cancel this RFP or reject proposals at any time prior to an award and is not required to furnish a statement of the reasons why a particular proposal was not deemed to be the most advantageous. Should the Agency determine in its sole discretion that only one Respondent is fully qualified, or that one Respondent is clearly more highly qualified than the others under consideration, a contract may be negotiated and executed with that Respondent. The contract will be an agreement incorporating by reference all the requirements, terms and conditions of the solicitation, and the Respondent’s proposal as negotiated.

After proposal tabulation and such investigation of Respondents as the Agency deems appropriate, an award or perhaps multiple awards may be made to the Respondent(s) whose proposal(s) it judges to represent the best value to the Agency. Final determination for award of the contract or contracts will be made on the overall best value to the Agency. The Agency reserves the right to reject any or all proposals. No award will be made until the Agency is fully satisfied that the Respondent is professionally, financially, and otherwise competent and capable of entering into a long-term lease and/or operating agreement and comply with the conditions specified in the lease and/or operating agreement.

By submitting a proposal, Respondent acknowledges and accepts [a] the evaluation process, [b] the evaluation factors listed in Section 3.7.2 – Evaluation Criteria & Points, [c] the scope of this engagement (See Section 1.4), [d] the terms and conditions of the agreement (See Section 4), [e] all other requirements and specifications set forth in this RFP, and [f] that some subjective judgements must be made by the Agency during this RFP process.

The selection of the successful proposal may be made by the Agency based on the proposals initially submitted, without discussion, clarification, or modification. In the alternative, selection of the successful proposal may be made by the Agency based on negotiation with any of the Respondents.

The Agency shall not disclose any information derived from the proposals submitted by competing Respondents in conducting such discussions.

All proposals must be complete and convey all of the information requested to be considered responsive. If a proposal fails to conform to the essential requirements of the RFP, the Agency alone will determine whether the variance is significant enough to consider the proposal susceptible to being made acceptable, and therefore a candidate for further consideration, or not susceptible and therefore not considered for award.

The Agency will perform reference checks and seek further information, as needed from all Respondents whose proposals the Agency, at its discretion, considers viable, based on the initial evaluation and scoring. The Respondent’s response to this requirement officially authorizes the Agency to contact these organizations to discuss the services and other considerations which the Respondent has provided to such organizations and authorizes the organizations to provide such information to the Agency. Respondent shall, and hereby does, release and hold harmless the Agency, the State of Texas, and the organization of any and all liability whatsoever, in connection with providing and receiving all such information. Any negative responses received from reference checks may be grounds for disqualification of the proposal.

The Agency reserves the right to reject any or all proposals and re-solicit for new proposals, or to reject any or all proposals and temporarily or permanently abandon the project. The Agency makes no representations, written or oral, that it will enter into any form of agreement with any Respondent to this RFP for any project and no such representation is intended or should be construed by the issuance of this RFP.

Should the Agency be unable to agree on final agreement terms and conditions with the highest ranked Proposer, an Agency representative may then negotiate with the second-ranked Proposer or may reissue the same or modified version of this RFP. The Agency reserves the right to reject any and all proposals.

3.7.2 Evaluation Criteria & Points

Each proposal shall be evaluated on the ability to meet the Agency’s minimum requirements set forth in this RFP and to provide the best value to the Agency. Proposals shall be evaluated by assigning points to each of the Evaluation Criteria shown below.
