1.5 MILESTONE DELIVERABLES AND INSPECTION CRITERIA
To receive a milestone payout percentage, the Contractor must submit all required tangible deliverables and successfully pass the designated Agency inspections.

1.5.5 Excusable/Unexcusable Delays. If the Contractor encounters an Excusable Delay, the Contractor
Must send written notice to the Agency Site Manager and Agency Project Manager to notify THC that this requires a Change Order or Contract Amendment requesting an Excusable Delay, e.g., “material unavailability” or to state the reason for this Excusable Delay. The Agency Project Manager must notify the
Agency Contract Manager to proceed with a formal modification, typically a Change Order or Contract
Amendment, to legally change the contract end date. If the Contractor encounters an Unexcusable Delay, the
Contractor must send written notic to the Agency Site Manager and Agency Project Manager. It will be up to the Agency to determine the appropriate contractual remedies.
1.5.5.1 Excusable Delays: Delays beyond the Contractor's control (e.g., material shortages, extreme weather) qualify for a timeline extension. The Contractor must immediately submit a written request to the Agency Site and Project Managers to initiate a formal Change Order or Contract
Amendment.
1.5.5.2 Unexcusable Delays: Delays caused by Contractor oversight, poor planning, or subcontractor errors do not qualify for time extensions and may result in financial penalties.

c. Historic Protection Audit: Strict verification that no abrasive sandblasting occurred, heat guns never exceeded 600°F, and adjacent historic materials remain entirely undamaged. Low-pressure washing must not have gouged or saturated the historic wood.
1.5.7 Milestone 4: Priming and Painting (10% Payout)
A. Required Deliverables for Submission:
a. Signed Color Approval Form: Physical color submittals/draw-downs signed and dated by the
Agency Site Manager and Agency Project Manager, confirming final historic color selections.

It is the responsibility of interested parties to periodically check the ESBD (https://www.txsmartbuy.gov/esbd) for updates to this IFB prior to submitting a Bid. Bidder’s failure to periodically check the ESBD will in no way release the Bidder from the requirements of “addenda or additional information” or in any resulting additional costs to meet the requirements after the Award(s).
2.3 ADDENDA
THC reserves the right to issue addenda at any time prior to the bid due date. All addenda will be posted on the ESBD. It is the responsibility of interested parties to periodically check ESBD for updates to the procurement prior to submitting a Bid. Bidder’s failure to periodically check the ESBD will in no way release the Awarded Bidder from complying with the information contained therein. All addenda shall be acknowledged as received on the Bidder’s Price Schedule Sheet.
2.4 PRE-BID CONFERENCES AND SITE VISITS
Pre-bid activities may include conferences or site visits.
2.4.1 Pre-Bid Conference. This IFB does not require pre-bid conference attendance.
2.4.2 Pre-Bid Site Visit/Inspection. This IFB does require a pre-bid site visit/inspection.

2.5 BONDING REQUIREMENTS
If the total contract price exceeds $25,000, the Contractor may need to furnish a Payment Bond (Exhibit XII). If the total contract price exceeds $100,000, the Contractor may need to furnish both a Payment Bond and a Performance Bond (Exhibits XII and XIII). For both instances, these bonds are due within ten (10) days of Contractor’s receipt of a fully executed Contract on competitive bids and before work commences.
2.6 BID BOND
Bids exceeding $25,000 must be accompanied by a bid guarantee or security in the form of an original bid bond, certified check, or cashier’s check payable to the order of the Texas Historical Commission for not less than five percent (5%) of the total amount of the Bid (including total of all alternate bid items). Therefore, to ensure adequate bid security, Bidders should calculate bid security based on the highest possible monetary award.
Personal checks, company checks, and cash are not acceptable as bid security. If bid security is required, bids will be rejected if bid security is not furnished in the form specified and by the time set for receipt of Bids.
THC may retain bid security for the three (3) highest ranked firms until the Contractor executes the Contract, and if required, furnishes bonds and certificates of insurance. All other bid security deposits will be returned within thirty (30) days. Bid security for the Contractor will be returned following execution of the Contract and submission of satisfactory bonds and insurance. If the Contractor fails to return the signed Contract, bonds and certificate of insurance within the time specified, the bid security may be forfeited as liquidated damages. THC may then proceed to the next lowest responsive/ responsible Bidder. The undersigned further agrees that this bid security is the appropriate measure of liquidated damages which THC will sustain by the failure of the undersigned to execute and deliver said Contract and required documents.
2.7 INQUIRIES
Should any Bidder find discrepancies within the IFB document, or should a Bidder be in doubt as to their exact meaning, notify the THC at once at THC Contact Information below. All inquiries shall be submitted in writing by the date listed in Section 2.1 Schedule of Events. Verbal inquiries and responses will not be valid or binding.

Failure to observe this restriction may result in disqualification of any subsequent response. This restriction does not preclude discussions unrelated to this IFB.
2.7.4 Bidder Exceptions. If a Bidder takes any exceptions to any provisions of this IFB, the exceptions must be specifically and clearly identified in Bidder’s IFB Response. Bidders cannot take a ‘blanket exception’ to this entire IFB. If any Bidder takes a blanket exception to this IFB or does not propose alternative language, the
Bidder’s response may be disqualified from further consideration. Any exception may result in the Bidder not being awarded the Contract.
