About this file

This is Solicitation Addendum No. 1 to Request for Proposals No. 608-26-97100-CRE issued by the Texas Department of Motor Vehicles (TxDMV) for Commercial Real Estate Representation Services. The addendum, dated May 29, 2026, amends three key provisions of the original solicitation and provides TxDMV's formal responses to 14 vendor questions and clarifications. The solicitation seeks qualified commercial real estate brokerage firms to provide broker representation services statewide across 18 geographic service areas for leasing and acquiring commercial office properties. Services include needs assessment, market surveys, property identification (minimum three viable options), negotiation support, lease review assistance, and status reporting. All services must be delivered by Texas-licensed brokers and agents with a minimum of five years' commercial real estate experience. The original proposal due date was June 10, 2026, at 3:00 P.M. Central Time, with an anticipated notice of award on June 22, 2026. The contract term is anticipated to commence July 6, 2026, and extend through August 31, 2027, with TxDMV retaining sole discretion to extend or renew the contract for additional periods provided the total contract duration, including all extensions and renewals, does not exceed six years.

Compensation is based solely on broker commission fees for fully executed and closed lease or purchase transactions, with no fees owed for unsuccessful transactions and all payments derived from property owners or lessors rather than direct TxDMV reimbursement. Respondents must propose commission rates in the required Cost Proposal Workbook (Exhibit C) in its original Excel format, with the option to propose a single rate applicable to both lease and purchase transactions or separate rates by transaction type. The addendum clarifies that use of subcontractors is not required but is permitted with TxDMV approval, and that the principal broker/owner's individual commercial real estate experience may be applied toward meeting the firm's five-year minimum experience requirement if ownership thresholds are met. TxDMV will not provide pre-authorizations for co-brokers and will assess each request individually. Electronic proposal files must not exceed 20 megabytes individually; larger files must be divided and submitted separately. Respondents must acknowledge receipt of this addendum by signing and returning it with their response, as failure to submit the signed addendum may result in disqualification.

No.

RFP No. 608-26-97100-CRE Section 2.3 10

Any fee/commission owed to Contractor for any services rendered, or otherwise any Lease or Purchase transaction entered by TxDMV, under the Contract, will be paid solely by the Property owner, controller, or lessor, as applicable.

Will TxDMV provide any documentation, template, or standard language to include in Lease or Purchase agreements to ensure the Property owner is properly notified of and agrees to pay the Contractor's commission? If not, is the Contractor responsible for negotiating commission payment directly with the Property owner prior to engaging on a Work Order?

TxDMV will utilize its standard agency contract template, which will include provisions addressing the broker’s commission and ensuring that the property owner acknowledges and agrees to payment of the Contractor’s commission.

Accordingly, the Contractor is not responsible for independently negotiating commission payment directly with the property owner outside of this process.

Commission terms will be incorporated as part of the transaction documentation using the agency’s standard forms.

RFP No. 608-26-97100-CRE Section 2.3 10

Contractor may employ a co-broker or co-brokers (each referred to as an 'Other Broker') under the Contract. The Other Broker must be approved in writing by TxDMV prior to performing any Work under the Contract.

What is TxDMV's anticipated turnaround time for approving an Other Broker request in writing? Is there a standard form or process for submitting Other Broker approval requests, and can approvals be pre-authorized for specific named brokers at the time of Contract execution?

TxDMV will not make any guarantees with regard to turnaround time, but will respond = with approval or denial - as soon as possible.

There is no standard form for approval requests.

TxDMV will not provide pre-authorization(s). TxDMV will assess the scope of any proposed Other Broker's involvement/work to determine whether the proposed involvement/work is appropriate and in the best interests of the State.

RFP No. 608-26-97100-CRE Section 2.4 10

Contractor shall respond to each Work Order submitted by TxDMV within five business days of receipt, indicating acceptance or non-acceptance of Work Order terms.

If a Contractor cannot accept the terms of a Work Order in a specific Brokerage Region due to resource constraints or an undisclosed conflict, will TxDMV issue that Work Order to another awarded Contractor, or will TxDMV re-negotiate terms with the original Contractor? Please clarify the process for Work Order re-issuance.

TxDMV may award multiple contracts to Respondents within the same Brokerage Regions - to ensure service delivery. Therefore, TxDMV may issue that Work Order to another awarded Contractor.

RFP No. 608-26-97100-CRE Section 2.1(B) 8

The Property must: be a Class A or Class B commercial property; provide on-site free parking availability; be located in close proximity to existing public transportation...

How does TxDMV define 'close proximity to existing public transportation'? Is there a specific distance threshold (e.g., within 0.25 miles of a bus stop or transit station) that will be used to evaluate prospective properties?

Close proximity to existing public transportation” is intended to mean a reasonable walking distance to an available transit option, such as a bus stop or transit station. While no fixed distance threshold (e.g., 0.25 miles) is strictly defined, locations that are easily accessible on foot are preferred.

TxDMV will evaluate proximity based on practicality and accessibility, with preference given to properties that are as close as possible to public transportation.

Respondents should clearly describe nearby transit options and estimated walking distances to demonstrate compliance.

RFP No. 608-26-97100-CRE Section 5.2(B) 22

Respondent must be a company or an individual engaged, or whose partners are engaged, in the business of providing commercial real estate brokerage services for a minimum of five years within the past seven years.

For a company that was formed within the past five years but whose principal broker/owner has 10+ years of individual CRE brokerage experience, may that individual's experience be applied toward the company's five-year minimum requirement? The RFP references a 25% ownership threshold — please confirm whether a sole owner qualifies and whether any supporting documentation beyond the narrative is required.

The Principal Broker/Owner’s individual experience may be applied toward meeting the firm’s five-year minimum experience requirement, provided they meet the stated ownership threshold. A sole owner satisfies the 25% ownership requirement, as they exceed the minimum ownership interest. In addition to the narrative describing qualifications and experience, Respondents should be prepared to provide supporting documentation verifying both the individual’s experience and ownership status if requested (e.g., licensure history, transaction summaries, or organizational/ownership records).

RFP No. 608-26-97100-CRE Section 5.2(B) & Exhibit J 22

Respondent must have experience in the leasing and acquisition of commercial office property in the Brokerage Regions Respondent has identified and selected for provision of the Services required by this Solicitation.

Does TxDMV require that the Respondent's qualifying CRE experience be exclusively within the identified Brokerage Regions, or is demonstrated experience in comparable Texas markets (e.g., adjacent metro areas or similar-sized Texas cities) acceptable as evidence of regional competency?

TxDMV requires the requisit experience in the specific Brokerage Region(s) offered in the Respondent's Response.

RFP No. 608-26-97100-CRE Section 6.1(D) 24

The PM must have a minimum of five years' experience within the past seven years in project management for Services similar to those identified in Article II of this Solicitation. The PM must be a permanent staff employee and shall serve as a constant primary point of contact for TxDMV.

Does 'permanent staff employee' preclude a licensed broker who is a part-owner or principal of the Respondent firm from serving as Project Manager, or does ownership/partnership status qualify as a permanent staff relationship? Please clarify the intended distinction.

Ownership or partnership status within the Respondent firm qualifies as meeting the “permanent staff employee” requirement. Therefore, a licensed broker who is a part-owner, principal, or partner of the firm may serve as Project Manager.

RFP No. 608-26-97100-CRE Section 8.1 & Exhibit C 29

Respondent must state its commission fee for all Services provided during the course of any Contract that may result from this Solicitation.

Should the Respondent propose a single commission rate applicable to both Lease and Purchase transactions, or are separate rates expected for each transaction type? Additionally, should the commission rate be expressed as a percentage of total lease value (full term), annual rent, or purchase price?

Respondent may propose a single comission rate applicable to both Lease and Purchase transactions.

See footnote in Exhibit C - Cost Proposal for commission rate.

RFP No. 608-26-97100-CRE Section 3.2 12

The initial term of any Contract that may result from this Solicitation is anticipated to be from the Contract Effective Date until August 31, 2027, unless extended, renewed, or terminated sooner in accordance with the terms and conditions of the Contract.

Given that the anticipated Contract start date is July 6, 2026 and the initial term ends August 31, 2027 (approximately 14 months), will TxDMV confirm the maximum total Contract duration including all extensions is 5 years from the Effective Date? Will extension periods be offered in one-year increments, and will pricing be renegotiated at each extension?

Maximum contract duration, including all renewals/extensions, is 6 years. See Solicitation Addendum.

Contract renewals/extensions may be offered in up to two-year increments.

See Subsection 9.4(B) for Cost Increase After Initial Contract Term.

RFP No. 608-26-97100-CRE Section 2.5 11

The Contractor, Contractor's personnel, and Contractor's Subcontractor(s) shall affirm not to have, nor acquire any interest in, a Property during the term of the Contract that would conflict in any manner with the performance of Contractor's obligations or Services under the Contract.

If a Contractor's licensed agent or co-broker holds a listing agreement on a property that TxDMV subsequently identifies as a candidate for lease or purchase under a Work Order, how should this conflict be disclosed and managed? Should the Respondent preemptively disclose all currently held listing agreements in the identified Brokerage Regions as part of Exhibit D?

The submitted factual circumstance will not be allowed under any Contract resulting from the Solicitation.

Disclosure in this regard is required. See Section 2.5, Conflict of Interest, in the Solicitation.
