About this file
This is a Questions and Answers document for the Texas Transit Leadership Institute Training Solicitation issued by the Texas Department of Transportation (TxDOT) dated February 17, 2026. The solicitation seeks training services for 25 participants from transit agencies throughout Texas who hold leadership and upper management positions such as directors, managers, assistant directors, and coordinators. The training program includes up to three in-person sessions of up to three days each, complemented by intersession activities, coaching, 360-degree feedback, classroom instruction, peer cohorts, industry trend analyses, transit policy components, and results-oriented leadership strategies. Vendors must provide light refreshments and one midday lunch-style meal for each training day, as well as propose hotel accommodations and meeting rooms for in-person training sessions. Travel and meeting room costs are paid from a separate line item in the pricing schedule.
Key clarifications from the Q&A address intellectual property ownership, with TxDOT indicating that vendors may retain ownership of pre-existing proprietary materials while granting the agency a perpetual, non-exclusive license to use project-specific deliverables, consistent with industry standards for professional services. Subcontractors must meet qualification requirements outlined in the Scope of Work sections 7 and 8, though the Q&A does not specify required prior experience with transportation entities. Facilitators are expected to have expertise in best practices for both rural and urban public transportation agencies and knowledge of complex federal and state transportation requirements. Refreshment and meal costs are to be incorporated into Pricing Schedule line items 2, 3, and 4, while facilitator travel expenses and hotel and meeting room costs are budgeted separately on line item 7.

Could you please advise whether:

• The clause can be modified to reflect a license-to-use structure rather than a full assignment?
