SECTION C - DESCRIPTION/SPECIFICATIONS
STATEMENT OF WORK
C.1 INTRODUCTION
The Contractor shall provide Ginnie Mae with services as a Single Family Master Subservicer on the terms set forth below for current and future defaulted portfolios.
C.2 BACKGROUND
Ginnie Mae (http://www.ginniemae.gov/) is a wholly owned corporation within the Department of Housing and Urban Development (HUD). Its powers are prescribed generally by Title III of the National Housing Act, as amended (12 U.S.C. 1716 et seq.). Through its single class mortgage-backed securities (MBS) and multiclass programs, Ginnie Mae guarantees privately issued securities backed by pools of mortgages insured or guaranteed by the Federal Housing Administration (FHA), the Department of Veterans Affairs (VA), the USDA Rural Development (RD), or HUD’s Native American Program (PIH). Holders of these MBS receive a monthly “pass-through” of principal and interest payments on the pool of mortgages backing the securities, less amounts to cover servicing costs and certain Ginnie Mae fees. Ginnie Mae guarantees the registered holder the timely payment of scheduled monthly principal and interest payments, loan prepayments and early recoveries of principal on the underlying mortgages. If borrowers fail to make timely payments on their mortgages, the Issuers must make the timely payments to the registered holders, using their own resources.
Through its mortgage-backed securities program, Ginnie Mae provides a structure for channeling funds from the nation’s capital markets into the housing market. The U.S. Government’s full faith and credit guaranty backing the securities makes them widely accepted in those sectors of the capital markets that otherwise would not be likely to supply funds to the mortgage market.
The funds received through the sale of the securities are used to make residential and other mortgage loans. Through this process, the program serves to increase the overall supply of credit available for housing and helps to ensure that credit is available at reasonable interest rates.
An issuer default occurs when an Issuer violates the requirements of the Guaranty Agreements between the Issuer and Ginnie Mae, the form of which is set out in the Ginnie Mae Guide 5500.3 (Ginnie Mae Guide) (http://www.ginniemae.gov/guide/guidtoc.asp?subTitle=Issuers). Upon default Ginnie Mae may terminate its Issuer status and seize the portfolio. The Master Subservicer shall assist Ginnie Mae in seizing the portfolio and servicing it on the terms set forth below. A default may also occur when an Issuer asks to have its Issuer status terminated.
In October 2007 Ginnie Mae launched the Home Equity Conversion Mortgage-Backed Securities Program (HMBS). The HMBS program provides a standardized structure for the securitization of FHA insured Home Equity Conversion Mortgages (HECMs). The HMBS is a new class of Ginnie Mae security backed by HECM loan participations. While the pooling requirements are similar to the Ginnie II program, the servicing and investor reporting requirements for the HMBS program are quite different. Ginnie Mae’s HMBS program permits Issuers to securitize only the drawn balances on HECM loans. These balances, which represent participation interests in the related HECM loan, are referred to as Participations.
Participations generally consist of advances made to borrowers, monthly insurance premiums paid to Federal Housing Administration (FHA) and accrued interest, which may include certain servicing fees and guaranty fees. Issuers are required to track and account for these Participations separate from the underlying HECM loan. In addition, Issuers are required to report monthly on the HECM loan and the related pools.
There may be occasions where, at Ginnie Mae’s discretion, the Master Subservicer will be required to perform special servicing on a select group of loans. The loans may be delinquent and/or in various stages of default. The Master Subservicer will provide enhanced services for collection and loss mitigation services.
Ginnie Mae holds a defaulted single-family portfolio totaling approximately $28 billion.
Between fiscal years 2007 and 2011, there were 18 defaults estimated at $29.2 billion. The future level of default activity is uncertain and dependent upon various program and economic factors.
In difficult economic times, Ginnie Mae must be prepared to handle a large volume of defaults to insure it can fulfill its guarantee obligations.
In the future, Ginnie Mae may, at its discretion, assign additional portfolios of defaulted Issuers to the Contractor as the need arises. All loans being subserviced by Ginnie Mae’s existing Master Subservicers will be transferred to the Contractor(s) for servicing.
Ginnie Mae reserves the right to sell or otherwise transfer any or all of its portfolios during the period of this contract. Among its other servicing responsibilities, the Contractor shall work with Ginnie Mae to effect such sales.
C.3 SCOPE
The Contractor shall provide Ginnie Mae with services as a Single Family Master Subservicer.
The contractor shall be prepared, capable and staffed to perform the complete range of services expected of an issuer under the Government National Mortgage Association (Ginnie Mae) Mortgage-Backed Securities (MBS) program. The services include, but are not limited to services in connection with issuer defaults and servicing current, delinquent and defaulted loans for both pooled for mortgage-backed securities and non-pooled loans, including foreclosure services and management and disposition of acquired properties (i.e. REO). The contract also calls for preparation and submission of insurance or guarantee claims to FHA, RD, VA and PIH and reporting to Ginnie Mae in accordance with the attached statement of work.
C.4 TASKS
C.4.1 Transition In (CLIN 0001)
a. The Contractor shall provide a detailed plan describing how they will transition all services to be provided under this Master Subservicer contract from Ginnie Mae’s current Master
Subservicer to its own operation. The transition plan shall detail all specific actions that need to be taken and their expected completion dates. First, the transition plan shall identify critical implementation issues and elaborate on how the Contractor will address such issues. Second, the transition plan shall be comprehensive and assure Ginnie Mae that the work can be transitioned to the new Contractor within six months of contract award, including the required certification and accreditation. Third, the transition plan shall be implemented and completed with no reduction in service to Ginnie Mae. Following award of this contract the Contractor shall meet with Ginnie Mae to finalize the transition in plan which shall provide for the orderly transition of the work performed under this contract.
b. The Contractor’s infrastructure and systems for production, development, disaster recovery, and test sites must be Certified and Accredited by National Institute Science Technology (NIST) standards within the six-month transition period. This includes all Contractor provided hardware and software which will be utilized to process any information on behalf of Ginnie Mae or the Government. The Contractor shall provide a six-month transition-in plan with clear deliverables, milestones and dates, which is thorough and comprehensive. The Contractor shall identify any potential risks and propose mitigation strategies to address any identified risks during the transition-in. The Contractor shall demonstrate readiness to perform and demonstrate all processes and functions required under the SOW prior to final contract implementation including the disaster recovery test. The Contractor shall provide a certification of readiness, and documentation to support and demonstrate a complete and accurate transition-in.
c. The Contractor shall take inventory, board and take possession and control of all files and records, both for pooled and non-pooled loans in existing defaulted portfolios to be transferred from Ginnie Mae’s present Master Subservicer(s). Transfer costs may include, but are not limited to costs of taking possession of the accounts and custodial files, IT transfers, computer and other system conversion, travel, establishment or transfer of tax service, and custodial release fees or any other charges imposed by the document or funds custodians.
d. The Contractor shall submit the Document Custodian Exception Report that will detail the exceptions discovered and the timeline to the resolution of all exceptions for final certification of pools within sixty (60) days of transfer of pools to the Contractor to the GTR/GTM.
e. The Contractor shall provide a web-based site (compatible with Internet Explorer 7 and Google Chrome browsers) that will allow the GTR and its approved designee(s) to view all loan-level information regarding loans in the defaulted portfolio. This includes scanned documentation, insurance/guarantee status, document custodian exception status, transaction histories, correspondence letters, collection and servicing notes. This site, will allow for the uploading or downloading of documentation between the GTR, its designee(s) and the Contractor. The web-based site shall have reporting capabilities that will allow the user to run summary, portfolio pool-level, Document Custodian, Teaming Partner/Subservicer (if applicable) and loan-level reports exportable to Microsoft Word, Excel, PowerPoint and PDF.
The web-based site will allow the user to retrieve loan-level, pool-level and Issuer-level data and reports with drill-down capability. The Contractor will provide on an annual basis a Website Security Certification list of users with access to the web-based site that the GTR will acknowledge or revoke user access privileges. All user access information, including email addresses will be provided. The Contractor shall provide a letter library, a user guide and training for the web-based site with notification of any enhancements or updates.
C.4.2 Contract Services—Readiness to Perform (CLIN 0002, 0102, 0202)
The Contractor shall be prepared to perform the complete range of services expected of a Ginnie Mae Issuer. These services include, but are not limited to, providing default services, servicing current, delinquent and defaulted loans, both pooled and non-pooled, including bankruptcy and foreclosure services, management and disposition of acquired properties (i.e. REO), preparation and submission of insurance or guarantee claims to FHA, VA, RD, PIH, asset sales, and reporting to Ginnie Mae.
The Contractor shall maintain the capacity and readiness to execute simultaneous multiple issuer defaults, including defaults of the largest Ginnie Mae issuers i.e., those with more than $10 billion in Ginnie Mae pools. The Contractor shall maintain the capacity and readiness to service portfolios of HMBS loans and portfolios that are seriously delinquent.
C.4.3 Issuer Default Services--General (CLIN 0003, 0103, 0203)
The Contractor shall follow the procedures in Ginnie Mae’s Default Management Operating Procedures Manual (Attachment 1) for Master Subservicer and instructions provided by the GTR.
