Questions and Answers

Q1. The Executive Summary of the recently released Volpe RFP “DTRT57-13-R-20007” states:

“A prime contractor is not eligible to receive a contract or task order award under this solicitation unless its accounting system has been reviewed by a Government audit agency (such as the Defense Contract Audit Agency (DCAA) or the Defense Contract Management Agency (DCMA)) and determined by the Contracting Officer to be adequate for determining costs under a cost reimbursement contract (refer to Section H, Part I, paragraph H.19 and Section L, paragraph L.4.B – Section 2 (r)).”

And in response to question (13), it states:

“…a prime contractor is not excluded from bidding, but is not eligible to receive a contract or a task order as a result of this solicitation unless its accounting system has been reviewed by a Government audit agency (such as the DCAA or DCMA) and determined by the Contracting Officer to be adequate for determining costs under a cost reimbursement contract (refer to Section H, Part I, paragraph H.19).”

We are an 8(a) company, but we currently do not have a financial system that has been audited by the government. We have the following questions:

1) Are we still eligible to receive the award of the master contract as a prime prior to completing our accounting system audit?

2) If so, would we be eligible for fixed price task orders prior to completing our accounting system audit?

A1. In accordance with the solicitation, a prime Offeror is not eligible to receive a master contract award or a task order award of any type unless its accounting system has been reviewed by a Government audit agency (such as the DCAA or DCMA) and determined by the Contracting Officer to be adequate for determining costs under a cost reimbursement contract. Please refer to the following sections of the solicitation that specifically pertain to accounting systems:

Section H, part I, paragraph H.19:

“In accordance with FAR Subpart 16.306 (c), a prime Contractor is not eligible to receive a contract or a task order award unless its accounting system has been reviewed by a Government audit agency (such as the DCAA or DCMA) and determined by the CO to be adequate for determining costs under a cost reimbursement contract.”

Section L, paragraph L.4.B – Section 2 (r):

“In accordance with FAR Subpart 16.306 (c), the Government will not award a cost-type contract unless the limitations in FAR Subpart 16.301-3 are met. One of the limitations cited is that the contractor’s accounting system must be adequate for determining costs applicable to the contract or order. Therefore, no contract or task order award will be made under this solicitation to a prime Offeror whose accounting system has not been reviewed and determined adequate for determining costs under a cost-reimbursement contract.”

TORFP No. DTRTV-T9001

“The single award of CORA Task Order 1 will be made concurrently with the multiple-award master contracts. The Government does not anticipate requesting accounting system reviews prior to the award of CORA Task Order 1 and the master contracts.”

In addition, please refer to Section L, paragraph L.4.B – Section 2 (r), fourth paragraph, which states the following:

“If the Offeror’s accounting system has not yet been reviewed by a Government audit agency but the Offeror anticipates its accounting system will be reviewed by a Government audit agency and determined by the CO to be adequate for determining costs under a cost reimbursement contract prior to the concurrent award of the master contracts and CORA Task Order 1, the Offer must select “Currently under review” in the Accounting System block on the Cost Proposal Cover Sheet (Section J, Part III, Attachment J.1) and must explain these circumstances in its proposal.”

Q2. Are FAR Subpart 16.306(c) and FAR Subpart 16.301-3 applicable to the master contract? Section H.19 of the RFP states that “In accordance with FAR Subpart 16.306 (c), a prime Contractor is not eligible to receive a contract or a task order award unless its accounting system has been reviewed by a Government audit agency (such as the DCAA or DCMA) and determined by the CO to be adequate for determining costs under a cost reimbursement contract.” Please clarify whether the terms “contract” and “task order” underlined in the above paragraph refer to the master contract, any type of task orders, or only the cost-plus-fixed-fee task order/contract.

A2. The terms “contract” and “task order” in Section H, Part I, paragraph H.19 of the solicitation refer to the master contract and task orders of any type. As indicated in the solicitation, the Volpe Center intends to award the master contracts and CORA Task Order 1, a cost-type task order with the exception of the Firm Fixed Price transition CLIN, concurrently. FAR Subparts 16.301-3 and 16.306 (c) are applicable to the master contract. A prime Offeror is not excluded from bidding, but is not eligible to receive a master contract award or a task order of any type unless its accounting system has been reviewed by a Government audit agency and determined by the CO to be adequate for determining costs under a cost reimbursement contract. Please refer to the answer to question 1, above for additional information.

Q3. Does the Volpe Center intend to seek pre-award surveys for companies that have not had their accounting systems reviewed by a government audit agency?

A3. Given the time constraints associated with the concurrent award of the master contracts and CORA Task Order 1, the Volpe Center does not anticipate conducting pre-award surveys for prospective Offerors whose accounting systems have not been reviewed by a Government audit agency.

As stated in the DCMA’s “Prospective Offeror’s Guide to Preaward Surveys”, the Government typically conducts pre-award surveys for the purpose of reviewing a prospective supplier’s production capability, technical and financial capability, and its ability to deliver quality supplies/services in accordance with the contract specifications and delivery schedules to ensure that the supplier is sufficiently responsible to fulfill the terms of the contract. Pre-award surveys are not appropriate for this type of acquisition for on-site professional and technical support services.

The Contracting Officer relies upon the recommendations of a Government audit agency (such as the DCAA or DCMA) to determine that the accounting system of a prospective awardee is adequate for determining costs under a cost reimbursement contract. 8(a) companies may pursue mentor/protégé/joint venture teaming arrangements, which enhance the capability of 8(a) participants to compete more

TORFP No. DTRTV-T9001 successfully for federal government contracts such as CORA by providing access to a mentor firm’s expertise, resources, and capabilities.
