F.2 FAA AMS CLAUSES AND PROVISIONS PROVIDED IN FULL TEXT
3.8.2-22 - SUBSTITUTION OR ADDITION OF PERSONNEL (OCTOBER 2006)
(1) The Contractor must assign only those individuals whose resumes, personnel data, or personnel qualification statements have been submitted and determined by the Contracting Officer to meet the minimum requirements of the contract. The Contractor must not substitute or add personnel except in accordance with this clause.
(2) Substitution of Personnel.
(a) For the first 180 days of contract performance, the Contractor must not substitute personnel for the individuals whose resumes or other personal qualification were submitted with its offer (Key Personnel) and that were determined by the Contracting Officer to be acceptable at the time of contract award, unless such substitutions are because of an individual's sudden illness, death, or termination of employment. In any of these events, the Contractor must promptly notify the Contracting Officer and propose substitute personnel as required by paragraph (4) below.
(b) If an individual becomes, for whatever reason, unavailable for work under the contract for a continuous period exceeding thirty (30) working days, or is expected to devote substantially less effort to the planned work, the Contractor must propose a substitute personnel as required by paragraph (4) below.
(3) Addition of Personnel. If an FAA requirement will increase the specified level of effort for a
Page F-1 http://conwrite.faa.gov/ designated labor category, but not the overall level of effort of the contract, then the Contractor must notify the Contracting Officer to add personnel to the designated labor category. The Contractor must request added personnel as required by paragraph (4) below.
(4) Request and Review. The Contractor must submit the request for substitute or added personnel in writing to the Contracting Officer at least 14 days (if a security clearance must be obtained, at least 30 days) before the proposed date of substitution or addition. The Contractor's request must provide a detailed explanation of the circumstances causing the proposed substitution or addition, a complete resume for the proposed substitute or added personnel, and any additional information required by the Contracting Officer. Proposed substitutes and added personnel must have qualifications equal to or higher than those stated in the contract for the labor category. The Contracting Officer will evaluate the Contractor's request and promptly notify the Contractor of the decision to accept or reject the qualifications of the substitute or added personnel.
(5) The Contracting Officer may terminate the contract if the Contractor has not made suitable, timely, and reasonably forthcoming replacement of personnel who have been reassigned or terminated or otherwise become unavailable to work under the contract or the resulting loss of productive effort would impair the successful completion of the contract. Alternatively, if the Contracting Officer finds the Contractor to be at fault for the condition, then the Contracting Officer may equitably adjust (downward) the contract price or fixed fee to compensate the Government for any delay, loss or damage as a result of the Contractor's action.

F.3 PERIOD OF PERFORMANCE
The maximum total period of performance of this contract is seven years or eighty-four (84) months. It includes a base period of three years or thirty-six (36) months and two (2) two (2)-year or twenty-four (24)-month options. The contract may be extended by up to six (6) additional months through the exercise of AMS Clause 3.2.4-34, Option to Extend Services.
The contract period of performance is effective upon execution of the Contract by the Contractor and the FAA Contracting Officer.
TOs may be issued at any time during the base and option periods. As task orders are placed under this contract, each individual task order will specify a beginning date and an ending date for work to be completed. Each TO may include option periods, and a TO period of performance may extend up to twelve (12) months beyond the expiration date of this contract.
All TOs issued during the effective date of the contract and not completed within that period must be completed by the Contractor within the time specified in the TO. The labor rate prevailing immediately prior to contract expiration will apply to all such work. Any costs incurred prior to the beginning date or after the ending date of a task order will not be allowable without the written consent of the Contracting Officer via contract or TO modification.

F.4 AUTHORIZED PERFORMANCE
The execution of this contract does not constitute authority for the Contractor to commence performance. Performance must be ordered by the issuance of formal task orders by the FAA Contracting Officer.
F.5 DELIVERABLES
(a) All applicable TO deliverables, required delivery dates, destination of delivery, and schedule for completion of work will be specified in TOs issued under this contract.
(b) For purposes of delivery, all deliverables must be made by 4:30 P.M. local time at destination, Monday through Friday, unless stated otherwise in the TO.
(c) All deliverables submitted in electronic format must be free of any known computer virus or defects. If a virus or defect is present, the initial deliverable is not acceptable. The replacement file must be provided within two (2) business days after the Contractor becomes aware of the presence of a virus or defect.
(d) Each contract-level and TO-level deliverable must be accompanied by a cover letter from the Contractor on company letterhead. Multiple deliverables may be delivered with a single cover letter describing the contents of the complete package. All deliverables must be submitted in electronic format unless otherwise specified.
(e) In the event the Contractor anticipates difficulty complying with any contract- or TO-level delivery schedule, the Contractor must immediately provide written notice to the CO, COR, and FAA Program Manager. Each notification must give pertinent details, including the date by which the Contractor expects to make delivery, and explicitly provide that this data is informational only in character and that receipt thereof must not be construed as a waiver by the Government of any delivery schedule or of any rights or remedies provided by law or under this contract.
(f) In the event that a Contractor is noncompliant in submission of deliverables, the Government will reflect the noncompliance in the Contractor’s past-performance reports.

Program Management Review (PMR) Briefing
F.5.1 Contractor Format Quarterly and as directed by the FAA. PMR presentation material must be provided to the CO and COR no later than five (5) working days before each scheduled PMR date.
Contract-Performance and Cost-Status Report
F.5.2 Contractor Format Monthly, by the 20th of the following month.
F.5.1 PROGRAM MANAGEMENT REVIEW BRIEFING
The Contractor must conduct Program Management Reviews quarterly and more frequently if requested by the FAA Contracting Officer to address program accomplishments, issues, performance metrics, and other topics requested by the FAA Contracting Officer.
F.5.2 CONTRACT-PERFORMANCE AND COST-STATUS REPORT
The Contractor must prepare and provide the FAA with a monthly Contract-Performance and Cost-Status Report. For each TO, the report must address the following:
a) Accomplishments: The report must describe the accomplishments during the last reporting period, including the current status of major events and milestones, as well as a 30-day outlook on project accomplishments. The report must compare the status of the current month with the prior month’s 30-day outlook. The report must discuss any problems associated with each milestone as well as their proposed or completed resolutions.
b) Schedule: The report must provide the overall key milestone dates and their statuses and, for any schedule delays, the impacts, risks, and risk-mitigation actions planned or taken.
c) Issues and Concerns: The report must identify and discuss issues and concerns. For each issue or concern identified, the report must provide a description of the issue or concern, an assessment of the criticality and time sensitivity of the issue or concern, and actions planned to address it. For each action plan proposed, the report must indicate any involvement by the Government or subcontractors.
d) Action Items: The report must include the status of all formally assigned action items for the period. The status must indicate each action as open or closed. If open, the status must contain the actions necessary to close the action item and the planned date of closure. If closed, the status must briefly describe the action taken and date closed.

e) Contract Expenditures: The report must provide the following information for the reporting period for each by task order and for the overall contract. The report must also indicate whether or not remaining funds are sufficient to complete each task order.

F.6 PLACE OF PERFORMANCE
(a) Services required under this contract will normally be performed at the contractor’s facilities.
(b) If a particular place of performance is required, it will be included in the individual task order. In addition to Washington, DC, work will likely be ordered to be performed at the FAA’s William J. Hughes Technical Center in Egg Harbor Township, NJ, and at other FAA facilities.
