About this file

This document is a Draft Request for Proposal (RFP) for the Command, Control, Communications, Computers, Intelligence, Surveillance, and Reconnaissance (C4ISR) Sustainment III task order, solicited by the Naval Information Warfare Center (NIWC) Atlantic. The procurement is a small business set-aside under the SeaPort-Next Generation (NxG) Multiple Award Contract, with an estimated award date of April 1, 2026, and a base performance period of one year followed by four one-year option periods.

The task order will provide logistics support services for Marine Corps C4ISR Programs of Record, including field service representative (FSR) support, supply chain management, maintenance support, and performance outcome tracking. Key requirements include on-site technical support, inventory management, system maintenance, and parts procurement. The contractor must maintain a facility within 30 miles of NIWC Atlantic, minimum 6,000 square feet with 970 square feet of climate-controlled space. The contract will be awarded on a best-value basis, with technical capability significantly more important than cost, using a cost-plus-fixed-fee (CPFF) level of effort contract type. A virtual pre-solicitation conference is planned for early January 2026, with questions accepted until January 13, 2026.

FEE DETERMINATION AND PAYMENT (TERM TYPE)

a. Subject to the requirements of the “Limitation of Cost” or “Limitation of Funds” clause (whichever is applicable to this order), it is hereby understood and agreed that the fixed fee is based upon the Contractor providing the below listed number of staff-hours of direct labor, hereinafter referred to as X, at the estimated cost and during the term of this order specified elsewhere herein:

Total Staff Hours of Direct Labor (X) Estimated Funded Staff Hours*

1,062,965 TBD

*Note: Estimated Funded Staff Hours (LOE) is identified mathematically by calculating the total labor cost divided by the total hours identified for each CLIN.

The Contractor agrees to provide the total level of effort specified above in performance of work described in Sections “B” and “C” of this order. The total staff-hours of direct labor shall include subcontractor direct labor hours.

b. Notwithstanding any key personnel requirements of the order, the Contractor may utilize any mix of labor categories in performing the required effort. Although not typically permissible, if technical direction by the Government impacts the labor mix of this order AND as a result, the Contractor would be unable to perform estimated staff hours of direct labor during the performance period, the Contractor shall notify the Contracting Officer and COR in writing and request a bilateral modification for consideration for an increase in the estimated labor cost. It shall not be assumed that any changes will be approved by the Contracting Officer prior to a mutually agreed upon modification. Under no circumstance is the Contractor authorized to perform outside of the scope of the terms and conditions of this contract/task order. The primary purpose of this notification is to obtain prompt reporting of Government conduct that the Contractor considers to constitute a change. Except for changes identified as such in writing and signed by the Contracting Officer, the Contractor shall notify the Contracting Officer in writing promptly, within five calendar days from the date that the Contractor identifies any Government conduct (including actions, inactions, and written or oral communications) that the Contractor regards as a change to the contract terms and conditions which will impact the estimated staff hours. On the basis of the most accurate information available to the Contractor, the notice shall state, at a minimum,

(1) The date, nature, and circumstances of the conduct regarded as a change;

(2) The name, function, and activity of each Government individual and Contractor official or employee involved in or knowledgeable about such conduct;

(3) The identification of any documents and the substance of any oral communication involved in such conduct;

(4) In the instance of alleged acceleration of scheduled performance or delivery, the basis upon which it arose;

(5) The particular elements of the change in estimated staff hours for which the Contractor has identified an issue to include, but not limited to:

- What line items have been or may be affected by the alleged change;

- What labor have been or may be added, deleted, or wasted by the alleged change;

- To the extent practicable, what delay and disruption in the manner and sequence of performance and effect on continued performance have been or may be caused by the alleged change;

- What adjustments to the estimated staff hours and labor cost affected by the alleged change are estimated;

- What specific adjustments are being requested and the basis (both mathematical, and any information not previously listed) including the from, by, and to information

c. Of the total staff-hours of direct labor set forth above, it is estimated that zero (0) staff-hours are competitive time (uncompensated overtime). Competitive time (uncompensated overtime) is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no amount is indicated in the first sentence of this paragraph, competitive time (uncompensated overtime) effort performed by the Contractor shall not be counted in fulfillment of the level of effort obligations under this order.

d. Effort performed in fulfilling the total level of effort obligations specified above shall only include effort performed in direct support of this order and shall not include time and effort expended on such things as local travel from an employee’s residence to their usual work location, uncompensated effort while on travel status, truncated lunch periods, or other time and effort which does not have a specific and direct contribution to the tasks described in Section B and C.

e. It is understood and agreed that various conditions may exist prior to or upon expiration of the term of the order, with regard to the expenditure of staff hours of direct labor and/or costs thereunder which may require adjustment to the aggregate fixed fee. The calculations below will not be determined until the end of the performance on the order. The following actions shall be dictated by the existence of said conditions:

1. If the Contractor has provided not more than 110% of X or not less than 90% of X, within the estimated cost, and at the term of the order, then the fee shall remain as set forth in Section B.

2. If the Contractor has provided X-staff-hours, within the term, and has not expended the estimated cost, then the Contracting Officer may require the Contractor to continue performance until the expiration of the term, or until the expenditure of the estimated cost of the order except that, in the case of any items or tasks funded with O&MN funds, the "term" of performance shall not exceed a 12-month period. In no event shall the Contractor be required to provide more than 110% of X within the term and estimated cost of this order. The fee shall remain as set forth in Section B.

3. If the Contractor expends the estimated cost of the order, during the term of the order and has provided less than X staff-hours, the Government may require the Contractor to continue performance, by providing cost growth funding, without adjusting the fixed fee, until such time as the Contractor has provided X staff-hours.

4. If the Contracting Officer does not elect to exercise the Government’s rights as set forth in paragraph (e)(2) and (3) above, and the Contractor has not expended at least 90% of X staff-hours, the fixed fee shall be equitably adjusted downward to reflect the diminution of work. The Government shall use the following in order to determine the downward adjustment, where the Estimated Funded Staff Hours are defined in Paragraph a. above:

Fee Reduction = Fee (Estimated Funded Staff Hours - Expended Staff Hours) Estimated Funded Staff Hours

5. If the order is not fully funded, the total fixed fee is based on the percentage of staff hours of direct labor that is funded. The following equation will be utilized to determine the fixed fee for this order if it is not fully funded:

STEP ONE: Estimated Funded Staff Hours = Percentage of LOE funded Total Staff Hours of Direct Labor

STEP TWO: Percentage of LOE funded x Total Fixed Fee = maximum fee allotted/earned

Example:

Total Awarded Staff Hours 100 hours Awarded Labor Cost without fee $2,500.00 Awarded Fee (Proposed) $175.00 (7%)

Estimated Funded Staff Hours 20 hours Funded Labor Cost without fee $500.00 Funded Fee $35.00

*The maximum fee allotted/earned in this example will remain at $35 based on the funding on this order.

The Funded Fee shall be the maximum fee allowed if the full funded LOE is provided. In addition, if the estimated funded LOE is not provided, the fee may be reduced utilizing the Fee Reduction formula provided above in paragraph (e)(4).

6. Nothing herein contained shall abrogate the Contractor’s responsibilities, and/or the Government’s rights within the terms of the contract provision entitled “Limitation of Cost” or “Limitation of Funds” as they shall apply throughout the term of the order, based upon the total amount of funding allotted to the order during its specified term.

f. During the administration of this task order, deobligations of funding may be needed. The following is an example of how a deobligation of funding may change the estimated funded staff hours and funded fee using the same example from above:

EXAMPLE:

Awarded Staff Hours 100 hours Awarded Labor Cost without fee $2,500.00 Awarded Fee (Proposed) $175.00 (7%)

Estimated Funded Staff Hours 20 hours Funded Labor Cost without fee $500.00 Funded Fee $35.00

Deobligation Request: Total Deobligation Request: $133.75. Deobligate $125 Labor cost, $8.75 Fee.

This would change the Funded values to the following:

Estimated Funded Staff Hours 15 hours Funded Labor Cost without fee $375.00 Funded Fee $26.25

The modification would show the following changes as a result of the modification to deobligate:

From By To* Estimated Funded Staff Hours 20 hours -5 hours 15 hours

Funded Labor Cost without fee $500.00 -$125.00 $375.00 Funded Fee $35.00 -$8.75 $26.25

*All calculations described above in para e. would utilize these values instead of the originally funded values.

g. Payment of fee

The Government shall pay fixed fee to the Contractor at [add proposed fee rate]* based on total labor cost invoiced ensuring a minimum of 15% of the fee is withheld on each invoice. A total of all such payments shall not exceed 85% of the fixed fee specified under this order, unless waived. In accordance with the provisions of paragraph (e) of this clause, any balance of fixed fee shall be paid to the Contractor, or any overpayment of fixed fee shall be repaid by the Contractor, at the time of final payment or earlier as requested by the Government.

*Effective Fee Rate for Task Order to be added at time of award.

h. Within 45 days after completion of the work under each separately identified period of performance hereunder and 90 days after the completion of this work on this order in its entirety, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and DCAA office to which vouchers are submitted:

1. The total number of staff-hours of direct labor expended during the applicable period.

2. A breakdown of this total showing the number of staff-hours expended in each direct labor classification and associated direct and indirect costs.

3. A breakdown of other costs incurred.

4. The Contractor’s estimate of the total allowable cost incurred under the order for the period.

5. The amount of excess funds that may be recovered.

6. Total amount of staff-hours not expended (applicable to completion of this order).

7. A calculation of the appropriate fee reduction in accordance with this text, as applicable (also applicable to completion of this order).

All submissions required by this text shall include subcontractor information, if any.

EXAMPLE 5: Employee’s one way commuting distance to regular place of work is 35 miles. Employee drives to the regular place of work (35 miles). Later, the employee drives to alternate work site #1 (50 miles) and then to alternate work site #2 (25 miles). Employee then drives to residence (10 miles).

In this case, the employee is entitled to be reimbursed for the distance that exceeds the normal commuting distance (70 miles). The employee is reimbursed for 50 miles (35 + 50 + 25 + 10 - 70 = 50).

EXAMPLE 6: Employee’s one way commuting distance to regular place of work is 20 miles. Employee drives to the regular place of work (20 miles). Later, the employee drives to alternate work site #1 (10 miles) and then to alternate work site #2 (5 miles). Employee then drives to residence (2 miles).
