ADDENDUM TO FAR 52.212-2

1. BASIS FOR CONTRACT AWARD

a. This acquisition is being competed under FAR part 13.5, Simplified Procedures for Certain Commercial Items, utilizing the evaluation procedures under FAR parts 12 and 13. The Government is conducting subjective tradeoff source selection IAW 13.106 in which all evaluation factors other than cost or price, are significantly more important than cost or price. An award will be based on an integrated assessment of price and past performance information contained in responsive quotes. This approach allows the Government to accept other than the lowest priced quote or other than the highest past performance rated quote to achieve a best-value contract award. The Government intends to award one firm-fixed-price contract for this acquisition.

b. By submission of its quote, the quoter agrees to all solicitation requirements, including terms and conditions, representations and certifications, in addition to those identified as evaluation factors. The tradeoff will occur only between the past performance factor and the price factor. Failure to adhere to all solicitation requirements may result in an offer being determined unacceptable and ineligible for further evaluation. The determination to eliminate an offeror from further evaluation, for failure to adhere to solicitation requirements, is at the Government’s sole discretion. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

The evaluation process shall proceed as follows:

1. Compliance with Solicitation Requirements. All quotes will initially be reviewed for compliance with the solicitation requirements, as identified in the Instructions to Offerors (Addendum to FAR 52.212-1). Quotes that do not comply with the solicitation requirements may not be considered. Quotes that comply with the solicitation requirements will be evaluated as shown below.

2. Price Evaluation. Initially, the government shall place all acceptable proposals in order by price beginning with the lowest total evaluated price (TEP) as indicated on Attachment 2 – AD_EventSupportServices_Price_Schedule. The TEP is the sum indicated in cell M4849 of Attachment 2. An award will be made based on the contract line-item prices proposed by the offeror. The extended amounts will be added together to determine the total evaluated price, minus the phase-in if required. The unit price of the offeror’s quote shall control any conflict between the unit price and the extended amount submitted in response to this solicitation. No advantage will accrue to an offeror who proposes to perform the work for an unrealistically low price. The lowest priced quote may not necessarily be selected. Failure to propose for any item in the Price Schedule may cause the offeror’s quote to be rejected.

The Government will then evaluate the lowest total evaluated priced offer to determine if it is fair and reasonable, complete, and balanced. Offers should be sufficiently detailed to demonstrate completeness and balance. The burden of proof for credibility of proposed prices rests with the offeror. The Government may also determine a proposal unacceptable should the proposed prices be materially unbalanced.

i. Completeness: The extended amounts for all contract line-item numbers (CLINs) in the Supplies or Services & Prices or Costs sections will be added together to determine the total evaluated price. The unit price of the offeror’s quote shall control any conflict between the unit price and the extended amount submitted in response to this solicitation.

Failure to complete all elements of the price Schedule may cause the offeror’s quote to be considered incomplete and ineligible for award.

ii. Balance: The Offeror’s quote will be evaluated for balance. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more CLINs is significantly over or understated as indicated by the application of price analysis techniques. Evaluated offers that are determined to be unbalanced may be deemed ineligible for award.

Offerors whose total evaluated price is unreasonable (in accordance with FAR 15.404 and FAR 31.201-3) and/or unbalanced (in accordance with FAR 15.404-1) may not be considered for award.

3. Past Performance Assessment. Next, the Government will evaluate all offeror’s past performance in order to assign an overall performance confidence assessment rating. The past performance evaluation results in an assessment of the Government’s confidence in the offeror’s probability of meeting the solicitation requirements.

The past performance evaluation also includes applicable subcontractors, joint ventures, teaming partners’ and/or mentor protégé partners’ demonstrated recent, relevant, and quality record of performance provided by the offeror. Performance confidence is assessed at the overall Past Performance factor level after evaluating aspects of the offeror’s recent and relevant past performance. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance proposal volume, information submitted via Past Performance Questionnaires (Attachment 5 – Past Performance Questionnaire), and information obtained from other sources available to the Government, to include, but not limited to, the Contractor Performance Assessment reporting System System (CPARS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; the Defense Contract Audit Agency (DCAA); the Defense Contract Management Agency (DCMA); and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

The Government will evaluate the quality and extent of the offeror’s performance deemed recent and at least somewhat relevant to the requirements of this solicitation. The evaluation of past performance will consider past performance information regarding management of quality of work under previous contracts, contract management, and subcontractors who will perform major or critical aspects of the requirement when such information is relevant to the acquisition.

i. The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror’s ability to meet the solicitation requirements. The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance in providing services that meet the contract’s requirements. The currency and relevancy of the information, source of the information, context of the data, and general trends in the contractor’s performance shall be considered. These are combined to establish one performance confidence assessment rating for each offeror.

ii. Contractor past performance will be evaluated IAW FAR 13.106. Recency is defined as past performance on contracts with period of performance dates within the last three years from the closing date of this solicitation. Past performance not considered recent will not be evaluated. Offerors are cautioned to submit sufficient information following the format specified in the quote preparation instructions to permit a meaningful assessment of past performance.

iii. Relevancy will be rated as either “Relevant,” “Somewhat Relevant,” or “Not Relevant,” as indicated in the table below.

Past Performance Relevancy Rating Method

Adjectival Rating Description Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

More than 32,000 event attendees, more than 12,200 vehicles parked for a single event, and at least 6 months experience as a prime/subcontractor.

Similar Scope will include, as a minimum, the following areas:

Traffic, Coning, Signage, and Parking encompassing the requirements of

PWS Sections 1.7.1.3., 1.7.1.4., 1.7.2.3., 1.7.3.4., 1.7.4.3., and 1.7.4.4.

Patron Bag Screening/Venue Entry Procedures encompassing the requirements of PWS Sections 1.7.1.6., 1.7.2.4., and 1.7.4.6.

ROD/Vehicle Access Control encompassing the requirements of PWS

Sections 1.7.1.5, and 1.7.4.5., and Training and Providing Trained Personnel encompassing the requirements of

PWS Section 1.6.6.

Somewhat Relevant

Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

23,000 – 31,999 event attendees, with 8,000-12,199 vehicles parked for a single event, and at least 6 months experience as a prime/subcontractor.

Some of the Scope will include at least the following areas;

Traffic, Coning, Signage, and Parking encompassing the requirements of

PWS Sections 1.7.1.3., 1.7.1.4., 1.7.2.3., 1.7.3.4., 1.7.4.3., and 1.7.4.4.

Patron Bag Screening/Venue Entry Procedures encompassing the requirements of PWS Sections 1.7.1.6., 1.7.2.4., and 1.7.4.6., and ROD/Vehicle Access Control encompassing the requirements of PWS

Sections 1.7.1.5, and 1.7.4.5.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Less than 23,000 event attendees, less than 8,000 vehicles parked for a single event, and less than 6 months experience as a prime/subcontractor.

Little or None of the Scope will include little to none of the requirements of PWS Section 1.

A relevancy determination of the offeror’s past performance will be made based upon the Past Performance Relevancy Rating Method, shown above. Where a relevant performance record indicates performance problems, the Government will consider the number and severity of the problems and the appropriateness and effectiveness of any corrective actions taken (not just planned or promised). The Government may review more recent contracts or performance evaluations to ensure corrective actions have been implemented and to evaluate their effectiveness. The Government is not bound by an offerors’ opinion of a project’s relevancy. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, subcontractor, joint venture partner, teaming partner, or mentor-protégé partner whose contract is being reviewed and evaluated.

With respect to relevancy, past performance of greater relevancy will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance.

4. Performance Confidence Assessment (Quality Record of Performance). The Government will consider the performance quality of recent, relevant, and somewhat relevant efforts (how well the contractor performed on the contracts) in determining the overall performance confidence assessment rating. The quality assessment consists of an evaluation of all past performance information available, regardless of its source. Performance information from any source will be incorporated into the performance confidence assessment. The quality assessment may result in positive or adverse findings. Adverse is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comment received from sources without a formal rating system. For adverse information identified, the evaluation will consider the number and severity of the problem(s), mitigating circumstances, and the effectiveness of corrective actions that have resulted in sustained improvements.

5. Assigning Performance Confidence Ratings. As a result of the relevancy and quality assessments of the recent contracts evaluated, all offerors will receive an integrated overall performance confidence assessment rating. The Performance Confidence Assessment ratings include Substantial Confidence, Satisfactory Confidence, Limited Confidence, or No Confidence, as defined in as defined in the Performance Confidence Assessments Rating Method table, shown below. Past performance regarding predecessor companies or subcontractors that will perform major or critical aspects of the requirement will be rated as highly as past performance information for the principal offeror. The resulting performance confidence assessment rating is made at the factor level and represents an overall evaluation of contractor performance. In the case of offerors for which there is no information on past contract performance or where past contract performance information is not available, the offeror may not be evaluated favorably or unfavorably on the past contract performance factor. In this case, the offeror’s past performance is unknown and assigned a performance confidence rating of “neutral”. A strong record of relevant past performance may be considered more advantageous to the Government than a "Neutral Confidence" rating. Likewise, a more relevant past performance record may receive a higher confidence rating and be considered more favorable than a less relevant record of favorable performance.

Performance Confidence Assessments Rating Method

Adjectival Rating

Description

Substantial Confidence

Based on the offeror's recent performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the offer’s recent performance record, the Government has a reasonable expectation that the vendor will successfully perform the required effort.

Limited Confidence

Based on the vendor’s recent performance record, the Government has a low expectation that the vendor will successfully perform the required effort.

Neutral Confidence

No recent/relevant performance record is available, or the vendor’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

No Confidence Based on the vendor’s recent performance record, the Government has no expectation that the vendor will be able to successfully perform the required effort.

6. Best Value Decision. If the lowest priced quote is judged to have a “Substantial Confidence” performance confidence assessment rating and is determined to be responsible, that quote represents the best value for the government and the evaluation process stops at this point. Award shall be made to that quoter without further consideration of any other quotes.

If the lowest priced quote is not judged to have a “Substantial Confidence” performance confidence assessment rating, the next quote will be evaluated utilizing the methodology above, and the process will continue until an acceptable offeror is judged to have a “Substantial Confidence” performance confidence assessment rating or until all quotes are evaluated. At that point, whichever occurs first, the Contracting Officer will then make an integrated assessment best value award decision. The Contracting Officer performs this assessment by comparing the performance confidence and the cost/price of all evaluated, acceptable quotes to determine which quote represents the best value to the Government.

Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.

The government intends to award a contract without interchanges with respective offerors. The government, however, reserves the right to conduct interchanges if deemed in its best interest. The government reserves the right to award one or no contract at all, depending on the quality of quotes submitted.
