Indefinite Quantity (IDIQ) Contract to multiple vendors. DOL will define and purchase the required effort using a series of separate Labor Hour (LH), Firm Fixed Price (FFP) or Fixed Price Level of Effort (FPLE) Task Orders (TO).
1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform IT
Engineering Support Services as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards specified in this Solicitation.
1.2 Background: The DOL Office of the Chief Information Officer (OCIO) manages, operates and secures a diverse set of IT infrastructures, applications and IT services (internally and externally provided), and technology-enabled solutions on behalf of Agencies that make up the DOL. Each of the Agencies’ IT systems operates using a set of similar but different set of hosting, authentication and data communication infrastructures (both Wide and Local Area Networks).
Each Agency has developed policies and procedures to meet its specific business needs. The OCIO has taken on the challenge of integrating the Agency systems and creating a common IT services and systems , which will support all
Agency stakeholders (internal and external) using a set of common systems and procedures. The OCIO will manage the resulting integrated IT program centrally in a coordinated and cost effective manner providing a complete set of IT operational and support services to approximately 22,000 users.
In addition to the integration efforts, the OCIO is leading the DOL-wide effort to transition the current limited and costly infrastructure into a modern, flexible, secure and scalable computing environment, which takes full advantage of mature and developing technologies and procedures to deliver an ever increasing value to the DOL customers. Of particular interest are cloud-based technologies as well as flexible and secure access from a variety of devices, including users’ own devices.
The results of the OCIO’s efforts will build a foundation for creating an organization that values well-defined processes, applies repeatable procedures, moves away from a reactive to proactive approach to dealing with challenges and bases its management and operational philosophy on quality and an adherence to standards.
To realize its vision, the DOL OCIO is seeking support of highly qualified IT engineering contractor(s), who have a proven record of providing innovative end-to-end IT engineering services to government organizations similar in size to the DOL with special emphasis on experience with the fifteen US Cabinet-level Agencies.

Contractor's appointment of Key Personnel shall be subject to the Contracting Officer's written consent. DOL and Contractor shall meet as appropriate to update the list of Key Personnel.
2. Replacement or Reassignment of Key Personnel; except as otherwise mutually agreed or absent extenuating circumstances beyond the control of the Contractor, the Contractor shall not reassign or replace any Key
Personnel for twenty-four (24) months after his or her designation as Key Personnel.
3. Extenuating circumstances include:
a. Key Personnel's voluntary resignation from Contractor;
b. Dismissal of Key Personnel by Contractor;
c. Inability of Key Personnel to work due to medical leave (illness, sickness), leave covered under the
Family Medical Leave Act (maternity leave, care of a loved one, etc.), disability or death; or
d. Following the termination or expiration of the IDIQ or the applicable Task Order (where such work is not intended to be continued under another Task Order).
4. For any event not described in 3 (a) through 3 (d) above, Contractor must notify DOL, in writing, of its intention to replace or reassign Key Personnel. Written notice must be received by DOL three months (90 days) prior before contractor proceeds with any replacement or reassignment of Key Personnel.
C-8
5. If the Contractor replaces or reassigns Key Personnel in violation of this provision, in addition to whatever rights and remedies DOL may otherwise have, Contractor shall be responsible for replacing such Key Personnel within fifteen (15) business days of the last day of such Key Personnel's employment with the Contractor. Training of the Key Personnel replacement shall not be an additional charge to DOL.
6. DOL's Replacement of Key Personnel. The Contracting Officer, in consultation with the COR, may require
Contractor to remove any individual Key Personnel immediately, for any reason, including, but not limited to, improper conduct at the worksite, the arrest of any Key Personnel for conduct that may embarrass DOL or question the integrity of the Key Personnel such as alcohol-related charges; charges related to illegal drug use, possession or distribution; fraud charges; and domestic violence charges. DOL may allow the return of Key
Personnel back to their position once the charges have been resolved in court and a finding of innocence is determined. Plea bargains agreed to by Key Personnel will be reviewed on a case-by-case basis to determine whether the Key Personnel should be allowed to return to his/her duties.
7. Contractor's Special Request For Replacement or Reassignment.
a. DOL CO Review. In the event that Contractor wishes to replace or reassign a Key Personnel for reasons other than those listed in subsection (2) above, Contractor may make a written reasoned request to the
Contracting Officer. The Contracting Officer, in consultation with the COR and Federal Project
Manager, will review such requests on a case-by-case basis.
b. Review by CO. In the event that the CO declines Contractor's request, then the Contractor may request a meeting with the CO and the COR to discuss the request. The decision of the CO following such meeting shall be final.
8. Replacement of Key Personnel. In the event any Key Personnel is reassigned or otherwise removed before his or her service under the applicable Task Order is completed, Contractor shall as soon as practicable assign an appropriate replacement who shall thereafter be designated as a Key Personnel. Additionally, in order to ensure a smooth transition between such Key Personnel, DOL and Contractor shall jointly agree (such agreement not to be unreasonably withheld by either Party) upon an appropriate overlap period where both the Key Personnel being reassigned or removed and the replacement Key Personnel are assigned to support the contract or TO.
1.6.12 Identification of Contractor Employees: All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are
Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed.
1.6.13 Contractor Travel: Contractor may be required to travel CONUS during the performance of this contract.
Contractor will be authorized travel expenses consistent with the substantive provisions of the Joint Travel Regulation
(JTR) and the limitation of funds specified in this contract. All travel requires Government approval/authorization and notification to the COR prior to start of travel
1.6.15 Organizational Conflict of Interest: The policy of DOL is to avoid contracting with contractors who have unacceptable organizational conflicts of interest. An organizational conflict of interest means that because of existing or planned activities, a Contractor is unable, or potentially unable, to render impartial assistance to the agency, or has an unfair competitive advantage, or the Contractor’s objectivity is, or might be, impaired. If the Contractor does not have any
OCI issues, it must positively affirm so in writing.
The following provides the contractor with examples of situations where mitigation plans may or may not be required by
DOL. These examples are not intended to be inclusive.
Disclosure by contractors participating in a DOL acquisition. Contractors should provide information which concisely describes all relevant facts concerning any past, present or currently planned interest, (financial, contractual, C-9 organizational, or otherwise) relating to the work to be performed and bearing on whether the contractor has a potential
OCI.
If the Contractor does not disclose any relevant facts concerning an OCI, the Contractor, by submitting an offer or signing the contract, warrants that to its best knowledge and belief, no such facts exist relevant to possible OCI.
It is not the intention of DOL to exclude a Contractor from a competitive acquisition due to a perceived OCI. DOL
Contracting Officers are fully empowered to evaluate each potential OCI scenario based upon the applicable facts and circumstances. The final determination of such action may be negotiated between the impaired Contractor and the DOL
Contracting Officer. The Contracting Officer’s business judgment and sound discretion in identifying, negotiating, and eliminating OCI scenarios should not adversely affect DOL’s policy for competition. DOL is committed to working with potential vendors to eliminate or mitigate actual and perceived OCI situations, without detriment to the integrity of the competitive process, the mission of DOL, or the legitimate business interests of the vendor community.
Mitigation plans: The successful Contractor will be required to permit a Government audit of internal OCI mitigation procedures for verification purposes. DOL reserves the right to reject a mitigation plan, if in the opinion of the
Contracting Officer, such a plan is not in the best interest of DOL. After award, DOL will review and audit OCI mitigation plans as needed (in the event of any changes due to mergers, consolidations, or any unanticipated circumstances that may create an unacceptable organizational conflict of interest).
By agreeing to the award of this contract, the Contractor or subcontractor agrees not to compete for any follow-on work related to this contract. In particular, Contractor or subcontractor will not compete for any future U.S. Department of
Labor solicitation in which they obtained; worked on; or helped develop requirements that are part of the future U.S.
Department of Labor solicitations.
1.6.16 Phase-In/Phase-Out Period: Phase-In requirements will be defined at the Task Order level, when appropriate.
Continuation of the DOL operations is a critical concern during the transition of activities from an incumbent Contractor or vendor staff to the successor. Services are to be obtained in the most cost-effective manner and free of any potential conflicts of interest. To prepare for contract phase-out, as well as task order phase out when appropriate, the Contractor shall develop a 30 Day Outgoing Transition Plan for transitioning the services to the successor Contractor(s) to ensure continuity of services, minimize any decreases in productivity, and prevent possible negative impacts on additional services during the phase out period. The contractor shall provide all documentation and code developed under the contract. The Contractor shall coordinate phase-out efforts with the Government and successor Contractor(s).
1.6.17 Proposed Subcontractor Agreements: Subcontractor agreements must be approved by the Contracting Officer.
Subcontracting agreements submitted and approved in response to the Department of Labor’s (DOL) Request for
Proposals (RFP) shall remain in place for the duration of each task order placed on this Indefinite Delivery Indefinite
Quantity (IDIQ) contract, unless otherwise agreed to in writing by the Contracting Officer by modification to the contract. In the event the contractor proposes to substitute any of the key personnel designated in the subcontracting agreements, the resume (s) proposed must demonstrate the same or greater qualifications and experience as those required by the PWS. The DOL will determine whether proposed resumes are qualified to work on the project. The DOL shall approve proposed resumes within 14 days after submission.
1.6.18 Task Orders: The government will execute all work under this contract using a series of Task Orders (TO). The individual TOs will define the government needs as well as explain how the Task Order Proposals (TOP) will be evaluated. The DOL will use a variety of evaluation approaches including, but not limited to best value and Lowest
Proceed Technically Acceptable (LPTA) evaluation methodologies.
1.6.19 508 Compliance: The Contractor shall ensure that all documents and Web updates delivered to DOL are compliant with the applicable Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d) regulations. Information about the
C-10
