REQUEST FOR PROPOSAL

CRYPTOCURRENCY MANAGED SERVICES CLASSES 2 thru 4

SOLICITATION NO.: 15M50024QA4400003

1. FAR 52.212-2 EVALUATION - COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (ADDENDUM).

(a) The contract will be awarded to the responsible company whose proposal conforming to the solicitation will be most advantageous to the government, based on the evaluation of Experience, Technical Capability/Resumes and Price and an approved Teaming Agreement, if applicable, in addition to a compliant Quality Control Plan (QCP).

All non-price factors, when combined, are significantly more important than price.

(b) Options. The government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. FAR 52.217-8 will be calculated by using 50% of Option Year 4. Evaluation of options shall not obligate the government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

2. GENERAL.

A single award will be made to the Offeror whose proposal pursuant to the Request for Proposals (RFP) is determined to be in the best interests of the Government. Only one (1) award will be awarded to one (1) successful Offeror. Proposals must be prepared and submitted in accordance with Attachment #3 Instructions to Offerors.

3. BASIS FOR AWARD

The Government intends to award a Firm Fixed Priced (FFP) Indefinite Delivery Indefinite Quantity (IDIQ) Award to the responsible offeror whose proposal represents the best value to the Government based on the following criteria:

Factor 1 - Experience (Oral Presentation) Factor 2 - Technical Capability/Resumes Factor 3 - Other Data Factor 4 - Price

A description of what is required and will be evaluated for each factor is provided below.

Confidence ratings provided below will be utilized when evaluating Factors 1, and 2 and will be used to support the best value decision.

For the purposes of identifying the tradeoff for best value, the following will be considered:

• A lower price may be traded off for more advantageous offer.

• Proposal with highest non-factor merit may not be in the best interest of the Government or

• Price may be the tiebreaker for equal non-price factors.

• Risk assessment will be a part of the overall evaluation.

4. EVALUATION PROCESS

The evaluation process will be performed using confidence ratings in evaluating Factors 1, and 2;

each Factor will have its own confidence assessment. The Government will consider the Offeror’s approaches and the risks associated with the approaches proposed by the Offeror to arrive at a confidence assessment of the Offeror’s likelihood of successfully performing the work and meeting the USMS objectives. Table 1 below shows the ratings the Government will assign in its evaluation of these factors.

High Confidence The Government has high confidence that the Offeror understands the requirement, proposes a sound approach, and will be successful in performing the contract with little or no Government intervention.

Some Confidence The Government has some confidence that the Offeror understands the requirement, proposes a sound approach, and will be successful in performing the contract with some Government intervention.

Low

Confidence

The Government has low confidence that the Offeror understands the requirement, does not propose a sound approach, or will be successful in performing the contract even with Government intervention.

Factor 3 Other Data - Teaming Agreement (if applicable) will be reviewed for acceptance and Quality Control Plan (QCP) will be reviewed as compliant or non-compliant to the guidelines provided under the Instructions to Offerors Attachment #3 to the solicitation.

Factor 4 Price will be evaluated as fair and reasonable, and on the basis of award being made at a fair market price.

5. PHASE I - FACTOR 1, EXPERIENCE - ORAL PRESENTATION

The Government will assess its confidence that the offeror will successfully perform the work, by evaluating the offeror’s demonstrated experience from contracts/orders performed up to date. Prior experience will be evaluated to assess the expectation of successful outcomes based on the extent to which the Offeror has successfully performed within activities similar to the requirements described in the Performance Work Statement (PWS), to include managing, transferring and liquidating cryptocurrency. The Government will evaluate prior experience with regards to architecture, security, insurance, and ability to recruit and maintain the critical personnel required to support the PWS objective.

Additionally, as indicated in the provided Attachment 6 Performance Work Statement (PWS) to this RFP, the Government will evaluate the offeror’s use and implementation of System and Organization Controls (SOC) 2 Type II audits.

As per PWS guidelines, Contractors who have not undergone a SOC 2 Type 2 assessment and have not been provided with a recent independent an independent third-party assessment report will be given up to 6 months to complete the audit processes and provide their independent third-party assessment results to the USMS.

Finally, the Government will also evaluate the relevance of the Offeror’s demonstrated prior experience to the PWS technical and business solution; and successful execution of a system solution implementation that encompassed all aspects and phases of cryptocurrency managed services.

6. PHASE II - FACTOR 2, TECHNICAL CAPABILITY/RESUMES

The offeror’s technical approach will be evaluated based upon its understanding of the objectives of the PWS and planned execution of the project. This refers to the manner in which the offeror proposes to plan, manage, control, and provide the services and deliverables. The extent to which the Offeror demonstrates a solid understanding of addressing anticipated problems, issues, constraints, organizations and system(s) involved and the approach and methodologies proposed to ensure successful accomplishment of all tasks in the PWS will be evaluated. The Government will evaluate the Offeror’s proposed technical approach based on their demonstrated understanding of the objectives of the PWS and planned execution of the project and will be assigned a confidence rating.

The following Subfactors 1. Facility and Staffing, 2. Security, 3. Initial Intake, 3. Storage & Management, 4. Disposal and 5. Resumes will be evaluated based upon:

a) The manner in which the offeror proposes to plan, manage, control, and provide the required services and deliverables;

b) The extent to which the Offeror understands the problems, issues, constraints, organizations and system(s) involved;

c) The methodologies proposed to ensure successful accomplishment of the work.

d. The personnel resumes proposed to accomplish the work and to successfully support the technical requirement.

All listed Subfactors are of equal importance. Specifically, the evaluation will address the following:

Subfactor 1, Facility and Staffing The offeror’s proposal will be evaluated on the Technical Evaluation Board (TEB)’s degree of confidence that the proposed Phase-In/Phase-Out Plan and the proposed team can successfully achieve the requirements in the PWS. Offerors will be evaluated on type and level of coverage and the TEB’s degree of confidence that the proposed insurance coverage and other policies can successfully achieve the requirements in the PWS and make USMS whole in the event of loss.

Subfactor 2, Security Offerors’ proposal will be evaluated on the TEB’s degree of confidence that the proposed standards and controls, and methods can successfully achieve the requirements in the PWS.

Subfactor 3, Initial Intake Offerors’ description of the initial intake process for a newly seized cryptocurrency asset will be

CRYPTOCURRENCY MANAGED SERVICES CLASSES 2 thru 4 evaluated on the TEB’s degree of confidence that the proposed process, platform, and provided sample can successfully achieve the requirements in the PWS.

Subfactor 4, Storage and Management Offerors’ methods, proposed solutions, plans of how a complete and accurate accounting is maintained, web-based Asset Management Solution tracking assets in custody and provides reporting, and monitoring processes will be evaluated on the TEB’s degree of confidence that the provided methods can successfully achieve all the requirements in the PWS.

Subfactor 5, Disposal Offerors’ platform and sample of large liquidation methodology will be evaluated on the TEB’s degree of confidence that the proposed recommendations can successfully achieve all the requirements in the PWS.

Subfactor 6, Resumes Offerors’ resumes will be evaluated to assess that the proposed personnel can successfully perform and achieve all the requirements in the PWS. Resumes will be evaluated on the basis of candidates' education, years of work experience related to the technical requirement and certifications.

7. PHASE II - FACTOR 3, OTHER DATA

Teaming Arrangement (if applicable) Each Teaming Arrangement (if applicable) will be reviewed for completeness in accordance with the instructions provided in Attachment 3 to this solicitation. The following situations may result in a proposal being considered non-conforming to the solicitation and at the sole discretion of the Contracting Officer the offer will not be further considered for award:

1. Failure to submit a teaming arrangement without signatures and demonstration of the relationship between firms and authority to bind the firms.

2. Failure to submit signed letters of commitment for offerors who are proposing major subcontracts (subcontracts exceeding 10% of the overall prime contract value) that define the contractual relationship and identify contribution to the planned arrangement in terms of the type and proportion of work to be performed.

3. Failure to include cover pages with their arrangement to include a list of the teaming parties and the following information for each party: Company Name, Entity ID from SAM.gov, Authorized Corporate Representatives names, titles, emails, and phone numbers.

Quality Control Plan (QCP) Offerors shall provide a Quality Control Plan in accordance with the instructions provided in the Attachment 3 to this solicitation. The Quality Control Plan (QCP) will be reviewed as compliant or non-compliant with the instructions. Failure to submit a quality control plan with the minimum criteria provided and, in the format, required in the instructions may result in the proposal being considered non-conforming to the solicitation and at the sole discretion of the Contracting Officer the offer will not be further considered for the award.

8. PHASE II - FACTOR 4, PRICE

Each Offeror must submit one (1) original Price Schedule (Attachment #7). The pricing schedule will be provided in Microsoft Excel. The resulting contracting will be Firm Fixed Price (FFP) and will use range/band pricing. For this proposal and under the range/band approach, a single quantity within each band/range is used to establish the unit price for the entire range of quantities in each band/range. For the Monthly Managed Services, the minimum band/range is $250,000.00 while the max value is $25B+. For the Disposal Services, the minimum band/range is $10,000 while the max value is $400K+. Each band/range will be evaluated for a determination of fair and reasonable price.

The Government projects the value of the Crypto portfolio by month for each given year (including option years). The portfolio value is used in conjunction with the pricing schedule to estimate the cost of SOC 25715 for each month based on proposed range pricing.

The price proposal will not be given a confidence rating, but its price must be found to be both fair and reasonable and award must be made at a fair market price.
