About this file

This document is an amendment to a solicitation (CORHQ-24-R-0422) issued by the Federal Deposit Insurance Corporation (FDIC) for a Basic Ordering Agreement (BOA) and Task Order 1 related to ServiceNow platform support. The amendment provides additional questions and answers, including clarifications on required confidentiality agreements, organizational conflict of interest, proposal validity, contractor responsibilities, and key personnel requirements. The solicitation seeks contractor support for operations, maintenance, enhancements, research, analysis, and implementation of the ServiceNow platform to support the FDIC mission. This is a multiple-award BOA with a 12-month base period and six 12-month option periods. The FDIC anticipates awarding a single Task Order 1 as part of this solicitation, which will have separate proposal and evaluation phases. Vendors must comply with all instructions in the RFP to submit a responsive proposal.

Question FDIC's Response

SOO 1 Reference: NAICS 541519.

Will Government please clarify if this opportunity is being released under a GSA schedule contract? If so, please confirm what SINs offerors should utilize.

This requirement is not being solicited under a GSA schedule.

SOO 16/44/145

(Page 44) The 3700/46 forms must be signed by the Contractor, and each subcontractor or consultant and submitted at the time of award to the Contracting Officer, with the signed contract.

(Page 145) The Offeror shall include the following documents at the time of their proposal submission.

Subcontracting Plan (if applicable)

Confidentiality Agreement (3700/46A)

Assumptions/Exceptions

Section K Representation and Certifications

POC for Background Investigation Questionnaire correspondence and completed FDIC Non‐ Disclosure Agreement (Form 3700‐46a) at the time of their proposal submission.

Q. Are confidentiality agreements required at proposal submission or award?

The Confidentiality Agreement forms f3700‐46 and f3700‐46A are required to be completed and submitted with Phase II proposals.

SOO 17

A task order award for services under one of the three Functional

Areas could preclude an Offeror from receiving a task order award under one of the other three functional areas, subject to an organizational conflicts of interest (OCI) review by the

Contracting Officer and the FDIC’s Legal Division.

Q. What point in the process will Offeror request an OCI waiver?

There are multiple product management task orders anticipated to be awarded. Award of TO1 will not preclude a vendor from bidding on additional product management or platform services task orders. The FDIC does not anticipate a conflict arising between TO1 work, and future work in the product management functional area, but cannot definitively state that no such conflict will arise. The OCI language is in reference to awards for tasks orders whose functional area is identified as advisory.

SOO 19

Offerors shall indicate in their proposal the duration their proposal is valid for under this clause but no longer than eighteen

(18) months from initial award.

Q. Is validity from proposal closing date or date of award?

BOA proposals shall be valid for 180 calendar days from the RFP due date. Task Order 1 proposals shall be valid for 18 months from the RFP due date.

SOO 20

As a result, the Contractor shall be required to coordinate with other contractor(s) as applicable and at the FDIC’s discretion in providing suitable, non‐conflicting technical or management interfaces and/or in the avoidance of duplication of effort for any supply or service.

Q. Is the contractor or FDIC responsible for initial connection and what is the process for non‐conflicting duplication?

The FDIC is ultimately responsible. In the event this is brought to our attention by the contractor, the FDIC will take the required actions for mitigating any duplicative efforts.

SOO 20

During contract performance, other contractor(s) may be requested to assist the FDIC in the technical review of the

Contractor’s technical efforts.

Q. What is the process for review and will contractor be notified of the results and have the opportunity to respond?

The FDIC is not regularly conducting third party independent technical reviews. However, when triage is required to address questions or incidents that are identified, other contractors may be engaged to assist. In addition, as part of the path to production, configurations and code should be expected to be reviewed for alignment with known best practices. In the event that material information is uncovered as part of these reviews, that information will be shared with all appropriate contractors and FDIC staff.

SOO 20

Information on reports/documentation provided under this contract may, at the discretion of the FDIC, be provided to other contractor(s) for the purpose of review.

Q. How does contractor ensure confidentiality of its information?

The FDIC is subject to a number of different confidentiality restrictions, including but not limited to the Trade Secrets Act, and the FDIC will adhere to all of its statutory and regulatory requirements with regards to contractors' proprietary information. All awardees will be bound to 7.5.1‐02 ‐

Protecting Sensitive Information ‐ February 2019.

Contractor’s physical and/or technical environment in relation to all FDIC information being handled and/or services being provided to FDIC pursuant to this contract. Q. Will the FDIC place the third party under an obligation of confidentiality with regard to vendor information?

The FDIC is subject to a number of different confidentiality restrictions, including but not limited to the Trade Secrets Act, and the FDIC will adhere to all of its statutory and regulatory requirements with regards to contractors' proprietary information. All FDIC contractors will be bound to 7.5.1‐02 ‐

References: 7.3.2‐12(b) and 7.5.6‐04(8); language related to markup on subcontractors.

Will the Government confirm that all labor category rates established at the BOA level and task order level apply to all labor

(i.e., prime and subcontractor), and therefore the above references related to markup on subcontractors should be removed?

Paragraph (b) of provision 7.3.2‐12 is revised from "Offeror must identify the markup rate the prime contractor has applied to each subcontractor labor category. Offeror must justify the reasonableness of the subcontractor markup rate(s)." to

"Subcontracting is permitted under this solicitation; however, markup of the subcontractor labor rates by the prime contractor is not permitted."

No, the FDIC only intends to use one round of Q&A, prior to the

Phase I due date.

Task Order

Clauses

131 and

Pricing

Workbook s for BOA and TO1

References: 7.3.2‐12( c ) "For the purpose of proposing on‐site and off‐site labor rates, ..."

Given the solicitation's reference to proposing on‐site and off‐ site labor rates, will the Government be providing revised BOA and Task Order 1 Pricing Workbooks that include on‐site and off‐ site contract roles?

All labor rates should be proposed using the Off‐Site definition in provision 7.3.2‐12(c)(2). 7.3.2‐12(c)(1) does not apply and has been removed.

Evaluation

Criteria

7.3.2‐15 (b) Subcontracting Plan. The offeror must provide a subcontracting plan for any portion of the work proposed to be subcontracted.

Q: Is a subcontracting plan required at the BOA level or only required for each Task Order where subcontractors will be utilized?

Subcontracting Plans, if applicable, should be included in

Volume IV (BOA Additional Information) and Volume VIII (Task

Order 1 Additional Information).

Evaluation

Criteria

132 Q: Is it the intent and/or expectation that small business subcontracting goals relative to this contract are to be based on

Contractor’s best effort to subcontract with small business concerns rather than goals dictated by FDIC?

Offerors should follow 7.5.6‐04 ‐ Approved Subcontractors and

Consent to Subcontract ‐ April 2022.

Evaluation

Criteria

140+D4 The Government stated "The degree of importance of price as a factor, however, could increase depending upon how equally matched the competing proposals are for the other factors evaluated ." During the Offerors Conference, it was stated that statement that offerors does not need to be strong in all three

(3) functional areas to be considered for award.

Q. How will the Government ensure fair and equitable evaluation of proposals across diverse strengths and weaknesses?

Specifically, can the Government outline the evaluation criteria and methodology it will employ to assess companies with varying levels of expertise in different functional areas?

The FDIC has already provided the basis for evaluation for each factor within the solicitation. The FDIC is aware of the different expertise required across the ServiceNow ecosystem and designed the submission requirements and basis for evaluation leveraging this awareness. The FDIC is not anticipating providing any additional information related to the evaluation criteria and methodology beyond what has already been included in the solicitation materials.

Evaluation

Criteria

141‐142 Does the Government require PDF version of the slides on submission?

The FDIC has not specified the submitted file format of the slides. If the offeror chooses to convert their files to pdf for submission, they are welcome to do so.

Evaluation

Criteria

141‐142 Will there be a need for offerors to modify Factor C slides based upon the Technical Scenario?

The 4 slides for Factor C provide the offeror with the ability to use slides, with a defined limit, in response to the technical scenario provided 2 hours prior to the oral presentation time slot. Please see revised Section L document from Amendment
